BACKGROUND
The City of Laguna Niguel owns and maintains a wide variety of infrastructure which includes streets, buildings, parks, wetlands, open space, recreational trails, roadway medians, slopes, and right-of-way. Maintenance of this infrastructure requires contracted maintenance services.
Contract services play a key role in the delivery of maintenance and special projects as they provide access to expert service that is efficient, responsive, and available as needed. In support of City Council Goal 4 (Infrastructure and Technology) of the City's adopted Strategic Plan, the Public Works Department relies on maintenance contractors to maintain all City-owned property. The City currently has multi-year Maintenance Services Agreements with the Contractors listed below for a variety of maintenance activities:

ANALYSIS
Each of the existing multi-year Maintenance Services Agreements (MSA) has an initial three- year term and include optional one-year term extensions that the City may elect to exercise based upon the firm's performance of the services. The prices established on the multi-year MSAs are generally fixed for the initial three-year term. However, the MSAs include provisions allowing the Contractor to request a price increase upon notification that the City intends to exercise an optional term extension.
Due to increases in cost of materials and labor, it is common for Contractors to request that the City consider a price increase. Traditionally, cities look to the Consumer Price Index (CPI) as a benchmark for discussing price increases with contractors. The current CPI for the region in which the City of Laguna Niguel resides (Los Angeles-Long Beach-Anaheim, CA) is 4.0%. After reviewing the requests for price increase, staff was successful in negotiating a 3% price cap with the contractors, which is lower than the regional CPl of 4.0%.
Additionally, staff is also recommending the addition of a price escalation clause in the MSA Amendments to cap any future optional one-year term extension price increase requests by the Contractors to the CPI for our region or 3%, whichever is less.
Further, staff is also recommending the updates below to the MSA Amendments with Otis Worldwide Corporation dba Otis Elevator Company; Jamey Clark, Inc.; Real Estate Consulting and Services; and Zimprich Engineering, Inc. • Staff is recommending the addition of a contingency amount for additional work as part of the MSA Amendment with Otis Worldwide Corporation dba Otis Elevator Company. The contingency would provide the City with the ability to request additional elevator repair and maintenance services within the City in Fiscal 2024-25. • Staff is recommending an increase in the services provided by Jamey Clark, Inc., Real Estate Consulting and Services, and Zimprich Engineering, Inc to accommodate additional City maintenance needs. The City experienced an increased need for facilities, landscape, parks and playground maintenance services in Fiscal Year 2023-24 and Staff anticipate a similar need for maintenance services in Fiscal Year 2024-25.
• Staff is recommending approval to assign all legal requirements on the MSA for Audio Visual Success Plan For The Crown Valley Community Center to RTS Solutionz Inc., dba Solutionz as a result of their acquisition of Presentation Products, Inc. dba Spinitar.
The recommended amendments to the MSAs are included as Attachments "A" through "M" to this report. The terms of the MSA Amendments will be effective for Fiscal Year 2024-25.
