BACKGROUND
The City of Laguna Niguel owns and maintains a wide variety of infrastructure which includes streets, buildings, parks, wetlands, open space, recreational trails, roadway medians, slopes, and right-of-way. Maintenance of this infrastructure requires contracted maintenance services.
Contract services play a key role in the delivery of maintenance and special projects as they provide access to expert service that is efficient, responsive, and available as needed. In support of City Council Goal 4 (Infrastructure and Technology) of the City's adopted Strategic Plan, the Public Works Department relies on maintenance contractors to maintain all City-owned property. The City currently has multi-year Maintenance Services Agreements with the Contractors listed below for a variety of maintenance activities:

* The services offered by Real Estate Consulting & Services, Inc. include residential and commercial property management and maintenance, janitorial services, fire and life safety, landscaping, and inspection services.
ANALYSIS
Each of the existing multi-year Maintenance Services Agreements (MSA) has an initial three- year term and includes optional one-year term extensions that the City may elect to exercise based upon the firm's performance of the services. The prices established on the multi-year MSAs are generally fixed for the initial three-year term. However, the MSAs include provisions allowing the Contractor to request a price increase upon notification that the City intends to exercise an optional term extension.
Due to increases in cost of materials and labor, it is common for Contractors to request that the City consider a price increase. The Agreements with these contractors include a price escalation clause applicable to any option year extensions, which allows rate increases equal to the lesser of the Consumer Price Index (CPI) or 3.0%. The current CPI for the region in which the City of Laguna Niguel resides (Los Angeles-Long Beach-Anaheim, CA) is 3.0%.
Staff were successful in negotiating with the subject maintenance contractors to keep their service rates the same, with the exception of BPR, Inc., where staff negotiated a 3.0% rate increase to reflect current market conditions.
Additionally, staff is also recommending the addition of a price escalation clause in the MSA Amendment with Bapptre Landscaping, Inc. dba Shine Illumination to cap any future optional one-year term extension price increase requests by the Contractor to the CPI for our region or 3%, whichever is less.
Further, staff is also recommending an increase in the amount of services provided by Bear Electrical Solutions, Inc., Jamey Clark, Inc., Real Estate Consulting and Services, and Zimprich Engineering, Inc to accommodate additional City maintenance needs. The City experienced an increased need for these maintenance services in Fiscal Year 2024-25 and staff anticipates a similar need for these maintenance services in Fiscal Year 2025-26.
The recommended amendments to the MSAs are included as Attachments "A" through "H" to this report. The terms of the MSA Amendments will be effective for Fiscal Year 2025-26.
The table below summarizes the current total annual not-to-exceed (NTE) contract amounts, and the proposed total annual NTE contract amounts, and the increase in contract value to accommodate additional maintenance needs.

Staff recommends approving the subject MSA Amendments, which exercise the optional one-year term extensions and include the aforementioned price or contract value increases so that the vital services provided by the Contractors are not delayed or stopped.
ALTERNATIVES CONSIDERED
1. The City Council may decide not to approve one or more of the Amendments to the Maintenance Services Agreements. This alternative is not recommended as these vital services maintain a clean and safe environment for the community.
2. The City Council may decide not to approve one or more of the Maintenance Services Amendments. This alternative is not recommended at this time as it will likely result in higher costs for the City and possible delays in the delivery of vital services to the community.
FISCAL REVIEW
The proposed Fiscal Years 2025-27 Public Works Department operating budget includes sufficient funding for these contracted services.
LEGAL REVIEW
The City Attorney's Office has reviewed the Amendments to the Maintenance Services Agreements and has approved the documents as to form.
