CITY COUNCIL AGENDA ITEM
Honorable Mayor and Council Members
Jonathon Harmon, Parks and Recreation Director
August 5, 2025
1 Approval of Amendment No. 1 of the Professional Services Agreement for the Senior Mobility Program with Cabco Yellow Inc., DBA California Yellow Cab and Orange County Yellow (OCY) Management, LLC., for the Senior Wheels Program, through the Orange County Transportation Authority (OCTA) Senior Mobility Program.

RECOMMENDATION
Staff recommends that the City Council:

1. Approve Amendment No. 1 of the Professional Services Agreement for the Senior Mobility Program with Cabco Yellow Inc., DBA California Yellow Cab and OCY Management, LLC., for the Senior Wheels Program, through the Orange County Transportation Authority (OCTA) Senior Mobility Program and finding said action exempt from CEQA, Pursuant to State CEQA Guidelines.

2. Direct staff to submit Amendment No. 1 to OCTA for final approval as the program meets all OCTA Senior Mobility Program eligibility requirements.

BACKGROUND
The City of Laguna Niguel participates in the Orange County Transportation Authority (OCTA) Measure M2 Project U-Senior Mobility Program, offering transportation services to Laguna Niguel seniors. This transportation service provides round-trip transportation from a senior resident's home to eligible locations throughout the City and county. OCT A's Senior Mobility Program funds cover 80% of total expenditures for this program.

The Parks and Recreation Department facilitates this program and contracts the transportation services through a Professional Services Agreement with CabCo Yellow Inc., DBA California Yellow Cab (Attachment A). California Yellow Cab has provided transportation services for the City's Senior Mobility Program for more than 10 years.

California Yellow Cab was awarded a contract through a formal Request for Proposal (RFP) with an initial contract term beginning on July 1, 2022, through June 30, 2025, with the option for two (2) one (1) year extensions.
2 The City Council unanimously approved program modifications to the City of Laguna Niguel Senior Mobility Program known as "Senior Wheels" at the December 19, 2023, City Council meeting. Modifications included expanding the eligible locations to include additional hospitals and medical facilities in Orange County and streamlining the requirements for participants to be Laguna Niguel residents age 60 years and older, who cannot operate a vehicle for any reason.

On July 1, 2025, OCTA ended the OC Flex pilot program. The QC Flex program was launched in October 2018 as an on-demand public van service in parts of Mission Viejo, Aliso Viejo, Laguna Hills, and Laguna Niguel. The QC Flex program ended operations after OCTA evaluated the effectiveness of the program. Due to the end of the OC Flex pilot program, staff anticipates that this may have an impact on immediate and future transportation needs in the community.

ANALYSIS
Services Assignment (Contractor):

On June 1, 2025, Orange County Yellow Cooperative, Inc. (OCY Management) acquired the management operations and delivery of service from California Yellow Cab. Since that time, OCY Management has continued to provide services as previously approved by the City Council. Due to this acquisition, and the newly assigned contractor being OCY Management, staff initiated Amendment No. 1 to the Professional Services Agreement (Attachment B).

Program Hours:

Included in Amendment No. 1 is the contractual alignment of program hours for the Senior Wheels (Senior Mobility Program) with the existing program offering of seven (7) days per week, twenty-four hours per day, including holidays. Rides can be scheduled with the contractor, one (1) hour ahead of time or up to a week in advance.

Increase in Not-to-Exceed (NTE Amount):

Based on the City's population, the City's senior transportation funding is projected to increase in fiscal year 2025-2026, and at an annual rate of about 3% thereafter, as shown in the OCTA 5-year funding allocation projection (Attachment C). These Measure M2 Project U funds must be spent within three years from the date of receipt, or the City may need to return the funds to OCTA to be distributed to other participants in the County.

When the City Council approved the program modifications in December 2023, the Senior Wheels program averaged 117 rides per month. Modifications were implemented in January 2024, and by the end of the year, the average monthly ridership increased to 326 rides per month. The program continues to be valued by the residents, as the 2025 ridership is currently trending to exceed the total number of rides in 2024. 3 The chart below depicts the total number of rides administered through the program since 2022.

In the current agreement with California Yellow Cab, the not-to-exceed (NTE) amount was $97,200 per year. This amount was based on a lower average monthly ridership at the time of the original Professional Services Contract in 2022. With the increase in popularity of the Senior Wheels program and the consistent increase of OCTA Measure M2 funds, staff recommends that the City Council approve Amendment No. 1 to the Professional Services Agreement with OCY Management with a not-to-exceed amount of $216,000 per fiscal year.

ALTERNATIVES CONSIDERED

1. The City Council may decide not to approve Amendment No. 1 to this Professional Services Agreement. This alternative is not recommended as it may delay the transportation program from being available to the senior community.

2. The City Council may direct staff to return with a revised agreement to be presented at a future meeting. This alternative is not recommended as it may delay the transportation program from being available to the senior community.

FISCAL REVIEW
The adopted Fiscal Years 2025-27 Budget includes sufficient funding for this Amendment No. 1 to the Professional Services Agreement for the Senior Mobility Program.

LEGAL REVIEW
The City Attorney's Office has reviewed this report and its attachments and has approved them as to form.
4 CONCLUSION
Staff recommends that the City Council:

1. Approve Amendment No. 1 of the Professional Services Agreement for the Senior Mobility Program with Cabco Yellow Inc., OBA California Yellow Cab, and OCY Management, LLC., for the Senior Wheels Program, through the Orange County Transportation Authority (OCTA) Senior Mobility Program and finding said action exempt from CEQA, Pursuant to State CEQA Guidelines.

2. Direct staff to submit Amendment No. 1 to OCT A for final approval as the program meets all OCTA Senior Mobility Program eligibility requirements. ~i~Pt;tJA_

6) Defense costs shall be payable in addition to the foregoing limits.

D. Waiver of subrogation. The commercial general and auto liability policies maintained or procured pursuant to this Agreement shall be endorsed to waive subrogation against City, its elected or appointed officers, agents, officials, employees and volunteers or shall specifically allow Contractor or others providing insurance evidence in compliance with these specifications to waive their right of recovery prior to a loss. Contractor hereby waives its own right of recovery against City and shall require similar written express waivers and insurance clauses from each of its subconsultants.

E. Duration of coverage. Contractor shall procure and maintain for the 2494671v412100-0001\2661417v1 .doc
duration of the contract insurance against claims for injuries to persons or damages to property, which may arise from or in connection with the performance of the Scope of Services hereunder by Contractor, his agents, representatives, employees or subcontractors.

F. Primary/noncontributing. Coverage provided by Contractor shall be primary and any insurance or self-insurance procured or maintained by City shall not be required to contribute with it. The limits of insurance required herein may be satisfied by a combination of primary and umbrella or excess insurance. Any umbrella or excess insurance shall contain or be endorsed to contain a provision that such coverage shall also apply on a primary and non-contributory basis for the benefit of the City before the City's own insurance or self-insurance shall be called upon to protect it as a named insured.

G. City's rights of enforcement. In the event any policy of insurance required under this Agreement does not comply with these specifications or is canceled and not replaced, City has the right but not the duty to obtain the insurance it deems necessary and any premium paid by City will be promptly reimbursed by Contractor or City will withhold amounts sufficient to pay premium from Contractor payments. In the alternative, City may cancel this Agreement.

H. Acceptable insurers. All insurance policies shall be issued by an insurance company currently authorized by the Insurance Commissioner to transact business of insurance or is on the List of Approved Surplus Line Insurers in the State of California, with an assigned policyholders' Rating of A- (or higher) and Financial Size Category Class VII (or larger) in accordance with the latest edition of Best's Key Rating Guide, unless otherwise approved by the City's Risk Manager.

I. Enforcement of contract provisions (non estoppel). Contractor acknowledges and agrees that any actual or alleged failure on the part of the City to inform Contractor of noncompliance with any requirement imposes no additional obligations on the City nor does it waive any rights hereunder.

J. Requirements not limiting. Requirements of specific coverage features, or limits contained in this Section are not intended as a limitation on coverage, limits or other requirements, or a waiver of any coverage normally provided by any insurance. Specific reference to a given coverage feature is for purposes of clarification only as it pertains to a given issue and is not intended by any party or insured to be all inclusive, or to the exclusion of other coverage, or a waiver of any type. If the Contractor maintains higher limits than the minimums shown above, the City requires and shall be entitled to coverage for the higher limits maintained by the Contractor. Any available insurance proceeds in excess of the specified minimum limits of insurance and coverage shall be available to the City.

K. Notice of cancellation. Contractor agrees to oblige its insurance agent or broker and insurers to provide to City with a thirty (30) days prior notice of cancellation (except for nonpayment for which a ten (10) day prior notice is required) or nonrenewal of coverage for each required coverage.
2494671v412100-0001\2661417v1 .doc
L. Additional insured status. The commercial general and auto liability policies shall provide or be endorsed to provide that City and its officers, officials, employees, agents, and volunteers shall be additional insureds under such policies. This provision shall also apply to any excess/umbrella liability policies.

M. Prohibition of undisclosed coverage limitations. None of the coverages required herein will be in compliance with these requirements if they include any limiting endorsement of any kind that has not been first submitted to City and approved of in writing.

N. Separation of Insureds. A severability of interests provision must apply for all additional insureds ensuring that Contractor's insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the insurer's limits of liability. The policy(ies) shall not contain any cross-liability exclusions.

0. Pass Through Clause. Contractor agrees to ensure that its subcontractor, subcontractors, and any other party involved with the project who is brought onto or involved in the project by Contractor, provide the same minimum insurance coverage and endorsements required of Contractor. Contractor agrees to monitor and review all such coverage and assumes all responsibility for ensuring that such coverage is provided in conformity with the requirements of this section. Contractor agrees that upon request, all agreements with consultants, subconsultants, and others engaged in the project will be submitted to City for review.

P. City's right to revise specifications. The City reserves the right at any time during the term of the contract to change the amounts and types of insurance required by giving the Contractor ninety (90) days advance written notice of such change. If such change results in substantial additional cost to the Contractor, the City and Contractor may renegotiate Contractor's compensation.

Q. Self-insured retentions. Any self-insured retentions must be declared to and approved by City. City reserves the right to require that self-insured retentions be eliminated, lowered, or replaced by a deductible. Self-Insurance will not be considered to comply with these specifications unless approved by City.

R. Timely notice of claims. Contractor shall give City prompt and timely notice of claims made or suits instituted that arise out of or result from Contractor's performance under this Agreement, and that involve or may involve coverage under any of the required liability policies.

S. Additional insurance. Contractor shall also procure and maintain, at its own cost and expense, any additional kinds of insurance, which in its own judgment may be necessary for its proper protection and prosecution of the Scope of Services.

EXIIlBIT C: OCTA SMP PROJECT U FUNDING AND

POLICY GUIDELINE
Senior Mobility Program
Project U Funding and Policy Guidelines
November 2018

1.0 Overview
RFP for Senior Mobilily Program
Spring 2022
Exhibit C
The Measure M2 (M2) Project U - Senior Mobility Program (SMP) provides funding to support local, community-based transportation service for seniors. Originally established in 2001 using limited state funding for bus operations, M2 Project U SMP funding was established to continue and expand the existing program. A formula funding allocation was established for all Orange County participating cities and eligible agencies based upon their senior population. One percent of M2 net revenue is used to fund the program and participating cities and eligible agencies must provide a minimum 20 percent local match of the total annual program expenditures.

Included in the SMP are eligible non-profits. These agencies are funded locally and must also comply with the Guidelines.

2.0 Objectives
• To provide for local, community-based senior transportation services. • To allow participating cities and eligible agencies to develop and implement senior transportation services to serve their community . • To provide transit options for seniors which complement rather than duplicate OCTA fixed route and ACCESS paratransit service.

3.0 Eligibility Requirements
Participation in the SMP is contingent upon maintaining M2 eligibility. Participating cities and eligible agencies must be eligible to receive M2 funding, established on an annual basis as specified in the M2 Ordinance Requirements for Eligible Jurisdictions, to receive the formula allocation for this program.1 Adherence to strict funding guidelines is required.

Participating cities and eligible agencies are required to submit a Service Plan as described in Section 7.0 and must enter into a cooperative funding agreement with OCT A that defines the conditions of use of SMP funds prior to receiving their SMP funding allocation.

4.0 Funding Allocation Method & Distribution
1 Orange County Transportation Authority Ordinance No. 3, Attachment B, Section Ill RFP for Senior Mohility Program
Spring 2022
Exhibit C
Funding for the program is identified as one percent of M2 net sales tax revenue and will be allocated to eligible participating cities and eligible agencies based upon the participatin9 cities and eligible agencies' percentage of the senior population of the coLJrl':y. Senior population is determined by using the most current official decennial Census information provided by the U.S. Census Bureau.

Funding allocations are based on actual sales tax receipts. Funding will be distributed on a bi-monthly basis. SMP funds must be expended within three years of receipt.

OCT A may grant a two-year extension beyond the three-year expenditure limitation; however, an extension may not exceed five years from the date of the initial funding allocation. Participating cities and eligible agencies requesting an extension beyond the three-year limitation must submit a justification letter for review and approval by OCTA at least 90 days prior to the end of the third fiscal year.

In the event the time limits for use of SMP funds are not satisfied, any retained SMP funds that were allocated to an eligible participating city and eligible agency, including interest, shall be returned to OCTA.

5.0 Match Requirements
Participating cities and eligible agencies must provide a minimum 20 percent tocal match of the total annual program expenditures. Match funding may be made up of cash subsidies, fare revenues, donations, or in-kind contributions such as salaries and benefits for the participating cities and eligible agencies' employees who perform work on the program. Participating cities and eligible agencies may also be required to submit supporting documentation to substantiate local match expenditures. Participating cities and eligible agencies are not required to contribute the minimum match requirement on a monthly basis; however, the minimum 20 percent match requirement must be met by the end of each fiscal year, defined as June 30.

Participating cities and eligible agencies not satisfying the annual 20 percent match shall be subject to withholding of funds from future bi-monthly allocations equal to the difference between the amount of Measure M funds actually spent and the amount of Measure M funds actually matched.

Cabco Yellow Inc., dba California Yellow Cab (CYC) would kindly like to express interest in providing transportation services to the City of Laguna Niguel. The proposal shall remain valid for a period of not less than 180 days from the date of submittal.

In business since 1995, CYC has a long history of providing transportation services that go far beyond the traditional forms of taxicab services . Early in the company's history, we identified underserved segments of Orange County's population and sought to craft an on demand service option for those affected by the challenges of public transportation .

Today, CYC remains the largest and most adaptive taxicab fleet in the county, providing seniors and paratransit passengers the opportunity to get where they need to go, without doing so according to a bus schedule.

We are confident that at CYC we have the dedicated drivers and representatives to complete all tasks . In addition, our drivers not only are professional, but they will treat seniors with respect, be of assistance, and drive cautiously at all times. 3 Currently, we are contractors to the City of Laguna Niguel along with numerous senior transportation programs in the county including Brea, Cypress, Fountain Valley, Fullerton, Laguna Hills, Mission Viejo, Orange, Garden Grove, Lake Forest and others.

CYC is delighted to have the opportunity to submit this Proposal to you and we welcome the opportunity to continue to meet the transportation needs of seniors in your fine City.

Sincerely

6 Project Summary & Proposed Operational System for
City of Laguna Niguel
California Yellow Cab - CYC - proposes to establish a toll-free telephone number for use by the Senior Mobility Program (SMP) patrons in the City of Laguna Niguel. By using this number, program participants may call for on-demand service with the expectation of a cab arriving at the pick-up address within sixty (60) minutes, during program service hours.

The phone number will automatically identify the caller as a program participant, and the participant would then only need to provide basic trip information along with their SMP I.D. number.

In addition to routine on-demand service, program participants may use the same phone number with the same identifying protocols for reservation service when possible. up to two weeks in advance. This can provide CYC dispatch with the ability to pre-route these trips to select drivers.

Reporting and Billing
Documentation and reporting on the part of CYC is managed via our proprietary digital dispatch system. In addition to monthly trip data and invoicing, highly detailed electronic records are kept in our archiving, and can be accessed and placed into a report in as little as twenty-four hours. Information submitted, stored and readily available for any reporting purposes include rudimentary dispatch data like passengers' names, pick-up locations, destinations, dates and times of travel, passenger ID number. and additional contact information. Additionally, this data includes GPS "ping" information from the cabs themselves that provide accurate data on the route taken during a trip, vehicle speed, performance standards data, records of customer contact including audio recordings of 7 every call to or from a customer, and event records for each trip lik.e times of pickups and drop offs.

Complaints and Incidents
All complaints will be reviewed by the Project Manager within 24 hours. From there. a remedy for the issue would be offered in addition to the City being contacted as to the status of the issue within 48 hours. Appropriate action would be taken to ensure the complaint does not arise again in any area of our operations.

We view incidents between drivers and passengers as among the most serious of problems that can occur in a program like this. CYC is a service business, and therefore any incident that may occur is not acceptable . Once a report of an incident is received, the Field Operations Supervisor will be charged with obtaining the details of the incident and following up. A detailed report of any accident, injury, or any dispute will be completed and provided to the City.

Per our routine day-to-day operations, any and all accidents receive the immediate attention of CYC accident investigators . These individuals are charged with rapidly responding to an accident scene. They use the appropriate reporting protocols to complete a formal investigation report that includes interviews of affected parties, measurements of the scene and photographs of the incident and the surroundings .

CYC was one of the first taxicab companies in the U.S. to electronically archive all trip data and continues to do so as a matter of routine, for three years so as to permit rapid forwarding of this data upon request.
8 Detailed itemization of trip data is included in the monthly invoicing. An accounting of ridership . in a line-by-line format is provided so as to aid in auditing and oversight of the program .

Experience
CYC has been in the Seniors and Paratransit transportation business since its inception some twenty plus years ago (1995), and is the current service contractor for seniors' programs in the cities of Brea, Fullerton, Cypress. Laguna Hills, Laguna Woods, Mission Viejo, Orange, Garden Grove, Rancho Santa Margarita and others. Additionally, we are the primary contractor for John Wayne Airport , a franchise in the City of Anaheim and have a number of independent private care organizations, all requiring ADA compliance and driver Sensitivity Training programs.

Of particular note are the twelve years' experience servicing the 25,000 seniors residing in Laguna Woods with a consistent sub 1 % complaint record.

As the John Wayne Airport (JWA) contractor, we are continually challenged to innovate and update our fleet and methods for accommodating the traveling public . What we learn from our operations at JWA are modern fleet protocols, advanced customer service methods, situational awareness training for our staff and drivers, and skills is handling seniors , developmentally disadvantaged and varying cultural expectations. These advances are incorporated into our street-fleet driver training programs and help ensure consistency throughout our fleet.

Fleet and Maintenance
9 CYC has a diverse fleet consisting of conventional sedans, 6-passenger minivans, and ADA compliant wheelchair-access vans. The average age of the CYC fleet is 5 years.

All of our taxicabs undergo a rigorous maintenance program, designed to ensure safe and dependable transportation for passengers. Records of inspections and maintenance logs are kept by our company as a pem, anent record for the vehicles. These records are available for City staff review upon request.

The heart of our vehicle maintenance program called Preventive Safety and Maintenance Inspection (PSMI). This program is designed to identify and correct any and potential vehicle issues before they become a more serious problem.

All CYC cabs are professionally washed on a weekly basis and drivers are required to maintain a clean and tidy vehicle at all times . All cabs are randomly inspected in the field.

Any dirty or foul smelling vehicles are removed from service right away, and re-inspected for corrections before being returned to service.
10 California Yellow Cab has been taking the following steps to protect both the seniors and drivers from the spread of the Covid-19 virus. Although it is not guaranteed that they will not be exposed, studies have shown that if followed there will be a greatly decreased likelihood of contracting the virus.

Every Three Days
• Vehicle is disinfected at the main office
• Complete thorough cleaning of all interior surfaces
• Restock of all required supplies
Start of Each Day
• Driver will check supply inventory of masks, gloves, and disinfecting wipes • Wipe down of all interior surfaces
• Safely dispose of any used cleaning supplies or protective equipment After Each Passenger
• Using the disinfecting wipes and while wearing gloves they will wipe down passenger area. Specifically, any area of contact; door handles, window controls, credit card processor, headrest, etc. Note: While we encourage the wearing of facial coverings by all passengers and will make them available for drivers to offer those passengers that do not have them it is still a personal choice that each passenger will make for themselves (unless the City requires all passengers to wear one).

CYC cabs are distinct with decals arranged in the same position on all vehicles with the California Yellow Cab logo on the front.

Operations Base in Santa Ana
Owned by us, our base has approximately 2600 sq. feet of office space and more than 5000 sq. feet of logistics and maintenance facilities, we employ six full-time staff members 11 in our administrative offices and contract with a dozen more on-site fleet-maintenance technicians and specialists in our independently owned and operated service facility All scheduled and unscheduled maintenance, with the e)(ception of certain bodywork and machine shop work, is performed here. Our maintenance facility is fully equipped to easily perform maintenance ranging from routine oil changes to complete driveline and chassis rebuilds . Our shop meets all local zoning requirements and possesses the equipment and is staffed by highly trained and certified technicians .

o Be photographed with copies placed into their Anaheim taxi permit 12 Only after successfully producing the above will a prospective driver be considered for a Lease under the CYC livery.

CYC uses a driver training program comprised of a four-module training platform called Operations, Safety, Service and Review (OSSR). OSSR focuses much more in-depth on customer service, fare collection policies and sensitivity training for providing rides to seniors and individuals with disabilities. Encompassing some 30 hours of classroom and on-the-road training, and typically presented over a 3-day training period.

All of the seniors programs we service have asked that our drivers wear a white shirt with dark trousers and dark-color shoes. Drivers have the option of participating or not, but if they elect to participate, they must adhere the programs' requirements. 13 References
