BACKGROUND
The City of Laguna Niguel owns and maintains a wide variety of infrastructure which includes streets, buildings, parks, wetlands, open space, recreational trails, roadway medians, slopes, and right-of-way. Maintenance of this infrastructure requires contracted maintenance services.

Contract services play a key role in the delivery of maintenance and special projects as they provide access to expert service that is efficient, responsive, and available as needed. In support of City Council Goal 4 (Infrastructure and Technology) of the City's adopted Strategic Plan, the Public Works Department relies on maintenance contractors to maintain all City-owned property. The City currently has multi-year Maintenance Services Agreements with the Contractors listed below for a variety of maintenance activities:

ANALYSIS
Each of the existing multi-year Maintenance Services Agreements (MSA) has an initial three year term and includes two optional one-year term extensions that the City may elect to exercise based upon the firm's performance of the services. The prices established on the multi-year MSAs are generally fixed for the initial three-year term. However, the MSAs include provisions allowing the Contractor to request a price increase upon notification that the City intends to exercise an optional term extension.

Due to increases in cost of materials and labor, it is common for Contractors to request that the City consider a price increase. The Agreements with these contractors include a price escalation clause applicable to any option year extensions, which allows rate increases equal to the lesser of the Consumer Price Index (CPI) or 3.0%. The current CPI for the region in which the City of Laguna Niguel resides (Los Angeles-Long Beach-Anaheim, CA) is 3.4%.

Staff were successful in negotiating with the subject maintenance contractors to keep their service rates the same, with the exception of Animal Pest Management Services, Inc., First Response Air Conditioning & Heating, Inc., Golden West Arbor Services, Inc., Merchants Landscape Services, Inc., Pacific Plumbing Company of Santa Ana dba Pacific Plumbing of Southern California, MCE Corporation, Real Green, Inc. and Verne's Plumbing, Inc., where staff negotiated a rate increase of 3.0%, or less, to reflect current market conditions.

Staff recommends the addition of a price escalation clause to cap any future optional one year term extension price increase requests by the Contractor to the CPI for our region or 3%, whichever is less in the MSA Amendment with Animal Pest Management Services, Inc., First Response Air Conditioning & Heating, Inc., Golden West Arbor Services, Inc., Merchants Landscape Services, Inc., Pacific Plumbing Company of Santa Ana dba Pacific Plumbing of Southern California, MCE Corporation, Real Green, Inc. and Verne's Plumbing, Inc.

Staff also recommends an increase in the amount of services provided by First Response Air Conditioning & Heating, Inc., Knorr Systems lnt'I., LLC, MCE Corporation, Merchants Landscape Services, Inc., Pacific Plumbing Company of Santa Ana dba Pacific Plumbing of Southern California, Real Green, Inc., Verne's Plumbing, Inc., and Waterline Technologies, Inc. The City experienced an increased need for these maintenance services in Fiscal Year 2025-26 and staff anticipates a similar need for these maintenance services in Fiscal Year 2026-27.

The recommended amendments to the subject MSAs are included as Attachments "A" through "L" to this report. The terms of the MSA Amendments will be effective for Fiscal Year 2026-27. Staff recommends approving the attached MSA Amendments, which exercise the optional one-year term extensions and include the aforementioned price or contract value increases so that the vital services provided by the Contractors are not delayed or stopped.

ALTERNATIVES CONSIDERED

1. The City Council may decide not to approve one or more of the Amendments to the Maintenance Services Agreements. This alternative is not recommended as these vital services maintain a clean and safe environment for the community.
