Dear Planning and Environmental Services Director:
RE: City of Laguna Woods – Accessory Dwelling Unit (ADU) Ordinance Updates – Letter of Technical Assistance
The most recent ADU ordinance on file for the City of Laguna Woods with the California Department of Housing and Community Development (HCD) is from 2020. Given the numerous changes to State ADU Law since the adoption of the ordinance, the ordinance may be outdated and out of compliance with State ADU Law. If HCD’s records are incorrect, and a new ordinance has been adopted, please submit it to the ADU Portal for HCD’s review.
Below are the changes to State ADU Law that have occurred in recent years and may warrant an update to the City of Laguna Woods' ADU ordinance:
Updates to the ADU Handbook (2025)
• Clarifies that ADU Law prohibits deed restrictions on ADUs. A deed restriction would be an “additional standard” and thus cannot be imposed on ADUs (Gov.
Code, § 66315).
• Clarifies that homeowners’ associations (HOAs), as a third party, cannot influence the approval of an application to create an ADU. Third party reviews by an HOA or their representatives or agents would violate State ADU Law. (Gov.
Code, § 66315.) No other local ordinances, policies, or regulations may be applied in the approval or denial of an ADU or junior ADU (JADU) permit application (Gov. Code, § 66317, subd. (c)).
• Clarifies that a local agency may not require parking as a condition to permitting a JADU, even when the JADU is converted from an attached garage (Gov. Code, § 66334, subd. (a)).
ITEM 8.2 - Attachment B
Planning and Environmental Services Director, Planning and Environmental Services
Changes to ADU Law in 2025:
• Specifies that if a JADU has shared sanitation facilities with the primary structure, owner-occupancy will be required. If the JADU does not have shared sanitation facilities, owner-occupancy will not be required (Gov. Code, § 66333, subd. (b)).
• Require rental terms for JADUs for terms longer than 30 days (Gov. Code, § 66333, subd. (g)).
• Specifies that if a local agency fails to submit an adopted ADU ordinance to HCD within the 60-day timeline or fails to respond to HCD’s findings regarding their ordinance within the 30-day timeline, that ordinance is null and void and the local agency must only apply State ADU Law when permitting ADUs (Gov.
Code, § 66326, subd. (d)).
• Revises the definition of a “junior accessory dwelling unit” to require the size of a JADU to be no more than 500 square feet of interior livable space (Gov. Code, § 66313, subd. (d)).
• Revises the limitations on impact fees to, instead, prohibit impact fees upon the development of an ADU that has 750 square feet of interior livable space or less or a JADU that has 500 square feet of interior livable space or less, and to require that any impact fee on an ADU that has more than 750 square feet of interior livable space be charged proportionately in relation to the square footage of the primary dwelling unit (Gov. Code, § 66311.5, subds. (a) – (d)). • Requires a permitting agency to determine whether an application for an ADU or JADU is complete and provide written notice of the determination not later than 15 business days after the permitting agency received the application (Gov.
Code, § 66317, subd. (a)(2)(A)).
• Requires the permitting agency to provide the applicant with a list of incomplete items and a description of how the application can be made complete in the written notice and authorizes the applicant to cure and address the application, as specified, if it is determined that an application is incomplete (Gov. Code, § 66317, subd. (a)(2)(B)).
• Requires the permitting agency to provide a process for the applicant to appeal a denied application, as provided, and requires the permitting agency to provide a final written determination by not later than 60 business days after receipt of the written appeal if a permit application is determined to be incomplete or is denied (Gov. Code, § 66317, subd. (d)(1)).
• Specifies that an ADU or JADU that contains less than 500 square feet of interior livable space does not increase assessable space. • Revises size limitations to be based on the square footage of interior living space of the ADU (Gov. Code, § 66321, subds. (b)(2)(A), (b)(2)(B), and (b)(3)). • Specifies the number of allowable ADUs per lot with a proposed or existing single-family dwelling (Gov. Code, § 66323, subd. (a).
ITEM 8.2 - Attachment B
Planning and Environmental Services Director, Planning and Environmental Services
• Clarifies that fire sprinklers are not required for a JADU if the primary residence does not have fire sprinklers and that the addition of a JADU cannot trigger the requirement for fire sprinklers (Gov. Code, § 66323, subd. (d)). • Adds section 66333.5, which specifies that if a local agency fails to submit an adopted JADU ordinance to HCD within the 60-day timeline or fails to respond to HCD’s findings regarding their ordinance within the 30-day timeline, that ordinance is null and void and the local agency must only apply State ADU Law when processing applications for ADUs.
• Requires a local agency to issue a certificate of occupancy for an ADU constructed in a county that is subject to a proclamation of a state of emergency made by the Governor on or after February 1, 2025, even if the primary dwelling has not yet been issued a certificate of occupancy, if certain requirements are met, including that the primary dwelling was substantially damaged or destroyed by an event referenced in the state of emergency proclamation (Gov. Code, § 66328).
• Creates an exception to areas that fall under the California Coastal Act by requiring a local government or the Coastal Commission, as specified, to either approve or deny a coastal development permit application for an ADU within 60 days of receiving a completed application (Gov. Code, § 66329, subd. (a).) • Specifies that no reimbursement is required for school service charges, fees, or assessments sufficient to pay for the program or level of service within the meaning of Government Code section 17556 (Gov. Code, § 66329). • Specifies that reasonable restrictions in covenants, restrictions, and conditions, as described in the Civil Code, shall not include any fees or other financial requirements (Civil Code, § 714.3, subd. (b)).
Changes to ADU Law in 2024:
• SB 477 (Chapter 7, Statutes of 2024) made changes to the numbering of the sections of the Government Code for State ADU and JADU Laws. • Prohibits a local agency from denying a permit for an unpermitted ADU or JADU that was constructed before January 1, 2020, for building code violations, unless the local agency makes a finding that correcting the violation is necessary to comply with conditions that would otherwise deem a building substandard (Gov.
Code, § 66332, subds. (a)-(c)).
• Defines “livable space” as a space in a dwelling intended for human habitation, as the term appears in Government Code sections 66313, subdivision (e), and 66323, subdivision (a)(3)(A).
• Provides that uncovered, off-street parking spaces demolished in conjunction with the construction of an ADU do not need to be replaced (Gov. Code, § 66314, subd. (d)(11)).
ITEM 8.2 - Attachment B
Planning and Environmental Services Director, Planning and Environmental Services
• Changes the allowable number of detached ADUs on a lot with an existing multifamily dwelling to eight detached ADUs, provided that the number of ADUs does not exceed the number of existing units on the lot (Gov. Code, § 66323, subd. (a)(4)(A)(ii)).
• Prohibits a local agency from imposing any objective development standards on 66323 Units that are not authorized by the provisions of Government Code section 66323, subdivision (a) (Gov. Code, § 66323, subd. (b)).
Changes to ADU Law in 2023:
• Sunsets a former prohibition on a local agency imposing an owner occupancy requirement on any ADU and instead prohibits a local agency from requiring owner occupancy for an ADU (Gov. Code, § 66315).
• Allows a local agency to adopt a local ordinance to allow the separate conveyance of the primary dwelling unit and ADU(s) as condominiums, subject to certain conditions (Gov. Code, §§ 66340-66342).
Changes to ADU Law in 2021:
• Allows a local agency to permit the separate conveyance of ADUs from the primary dwelling under Government Code section 66341 in certain circumstances.
Changes to ADU Law in 2020:
• Requires that an application for the creation of an ADU or JADU is deemed approved (not just subject to ministerial approval) if the local agency has not approved or denied the completed application within 60 days (Gov. Code, § 66317, subd. (a)).
• Requires ministerial approval of an application for a building permit within a residential or mixed-use zone to create one ADU and one JADU per lot (not one or the other), within the proposed or existing single-family dwelling, if certain conditions are met (Gov. Code, § 66323, subd. (a)(1)(A)). • Allows for rental or leasing of a separate interest ADU or JADU in a common interest development, notwithstanding governing documents that otherwise appear to prohibit renting or leasing of a unit, and without regard to the date of the governing documents (Civ. Code, §§ 4740, subd. (a); 4741, subd. (a)). • Allows a homeowner to create “any of the following”: one converted or attached ADU; one detached, new construction ADU; and one JADU (Gov. Code, § 66323, subds. (a)(1)-(2)). More information can be found in HCD’s 2025 ADU Handbook.
ITEM 8.2 - Attachment B
Planning and Environmental Services Director, Planning and Environmental Services
Changes to ADU Law in 2019:
• Prohibits a local agency from including requirements on minimum lot size in development standards for ADUs (Gov. Code, § 66314, subd. (b)(1)). • Allows a local agency to designate areas where ADUs may be located based on the adequacy of water and sewer services, as well as on impacts on traffic flow and public safety (Gov. Code, § 66314, subd. (a)).
• Eliminates all owner occupancy requirements by a local agency for ADUs approved between January 1, 2020, and January 1, 2025 (Gov. Code, § 66315). • Prohibits a local agency from establishing a maximum size of an ADU of less than 850 square feet, or 1,000 square feet if the ADU contains more than one bedroom and requires approval of a permit to build an ADU of up to 800 square feet (Gov. Code, § 66321, subds. (b)(2), (b)(3)).
• Prohibits a local agency from requiring replacement of off-street parking spaces for ADUs created through the conversion of a garage, carport, or covered parking structure (Gov. Code, § 66314, subd. (d)(11)).
• Reduces the maximum ADU and JADU application review time from 120 days to 60 days (Gov. Code, §§ 66317, subd. (a); 66335, subd. (2)). • Clarifies that “public transit” includes various means of transportation that charge set fees, run on fixed routes, and are available to the public (Gov. Code, § 66313, subd. (m)).
• Adds impact fee exemptions and limitations based on the size of the ADU.
ADUs up to 750 square feet are exempt from impact fees, and ADUs that are 750 square feet or larger may be charged impact fees, but those fees must be proportional in size (by square foot) to fees charged for the primary dwelling unit (Gov. Code, § 66324, subd. (c)(1)).
• Defines of an “accessory structure” to mean a structure that is accessory and incidental to a dwelling on the same lot (Gov. Code, § 66313, subd. (b)). • Permits JADUs even where a local agency has not adopted an ordinance expressly authorizing them (Gov. Code, § 66320).
• Allows for a permitted JADU to be constructed within the walls of the proposed or existing single-family residence and eliminates the required inclusion of an existing bedroom and an interior entry into the single-family residence (Gov.
Code, § 66333, subd. (d)).
• Requires, upon application and approval, a local agency to delay enforcement against a qualifying substandard ADU for five years to allow the owner to correct the violation, so long as the violation is not a health and safety issue, as determined by the enforcement agency (Gov. Code, § 66331; HSC, § 17980.12).
ITEM 8.2 - Attachment B
Planning and Environmental Services Director, Planning and Environmental Services
• Makes covenants, conditions, and restrictions that either effectively prohibit or unreasonably restrict the construction or use of an ADU or JADU on a lot zoned for single-family residential use void and unenforceable (Civ. Code, § 4751)).
If an existing ADU ordinance fails to meet the requirements of State ADU Law, the ordinance is “null and void” and the local jurisdiction must apply the standards set forth in State ADU Law until it adopts an ordinance that complies with state law (Gov. Code, § 66316). HCD recommends that a local jurisdiction with a noncompliant ADU ordinance repeal the ordinance to provide clarity for ADU applicants who may otherwise rely on the outdated ordinance.
HCD requests a response by January 4, 2026 with either (1) a description of how the ADU ordinance continues to comply with State ADU Law despite the changes to the law, or (2) a plan and timeline to either repeal the current ordinance or adopt an amended, compliant ordinance and submit it to HCD for review.

9.1 PUBLIC PARTICIPATION IN CITY MEETINGS
AND EVENTS
This page is intentionally blank.
ITEM 9.1
CC 05-20-2026 Item 9.1 – Page 1 of 4
TO: Honorable Mayor and Members of the City Council
FROM: Christopher Macon, City Manager
FOR: May 20, 2026 City Council Meeting
SUBJECT: Public Participation in City Meetings and Events Recommendation
1. Provide direction to the City Manager on policies and procedures for public participation in City Council meetings including, but not limited to, implementation of California Senate Bill 707 (Durazo, Chapter 327, Statutes of 2025).
AND
2. Adopt a resolution titled:
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LAGUNA WOODS, CALIFORNIA, ADOPTING ADMINISTRATIVE POLICY 1.4 PERTAINING TO THE
DISRUPTION OF TELEPHONIC OR INTERNET SERVICE DURING MEETINGS OF THE
CITY COUNCIL, IN ACCORDANCE WITH CALIFORNIA GOVERNMENT CODE SECTION 54953.4
AND
3. As permitted by Laguna Woods Municipal Code Section 3.06.100(b), waive the competitive bidding requirements set forth in Laguna Woods Municipal Code Section
3.06.040 for the purchase of a semi-custom Americans with Disabilities Act (“ADA”)- style accessible lectern for use during City meetings and events from Key Code Media, Inc., and authorize the City Manager to make such purchase, in an amount not to exceed $13,000.
Background
California Senate Bill 707 (Durazo, Chapter 327, Statutes of 2025) (“SB 707”) was signed into ITEM 9.1
Item 9.1 – Page 2 of 4 CC 05-20-2026
law by Governor Newsom on October 3, 2025. SB 707 made broad changes to the Ralph M.
Brown Act(California Government Code Sections 54950-54963), which governs the conduct of city council meetings and other meetings of specified local legislative bodies.
Discussion
Today’s meeting is an opportunity for City Council action and public input on matters related to public participation in City meetings and events. Specifically, staff recommends that the City Council provide direction on public participation policies and procedures (Attachments A and B), adopt a policy pertaining to technological disruptions during City Council meetings (Attachment B), and take action to facilitate the purchase of an ADA-style accessible lectern (Attachment C). Staff’s recommendations are intended to comply with SB 707 and enhance public participation in City meetings and events.
Recommendation #1
Beginning July 1, 2026, SB 707 requires certain city councils and special district boards of directors to accept remote public comments and testimony. The Laguna WoodsCity Council is required to do so because Orange County has a population that exceeds 599,9999.
Staff has reviewed SB 707, as well as public participation policies and procedures in other cities, and prepared new policies and procedures for City Council meetings (Attachment A).
Unless the City Council provides direction to the contrary, the new policies and procedures will “soft launch” in June ahead of SB 707’s July 1, 2026 compliance deadline.
Notable changes will include:
• Accepting remote public comments and testimony via Zoom (by electronic device or telephone). Speakers will be permitted, but not required, to use their cameras. [Note:
SB 707 does not require that speakers be permitted to use their cameras.] • Activating Zoom’s automatic captioning. [Note: SB 707 requires this.] Historically, staff has activated Zoom’s automatic captioning only when technical difficulties have prevented the provision of live, human-generated captioning (“live captioning”). Live captioning will continue to be provided, in addition to Zoom’s automatic captioning, as live captioning tends to be more accurate. [Note: While SB 707 does not require live captioning, some disability advocacy groups maintain that live captioning is a required accommodation under the ADA.]
Staff would also like to ensure the City Council is aware of the following:
1. By accepting remote public participation, theCity Council may experience occasions of intentionally inflammatory public comments and testimony, often referred to as “Zoom bombing.” Zoom bombing may include the utterance of ethnic or racial slurs, ITEM 9.1
CC 05-20-2026 Item 9.1 – Page 3 of 4
the use of profanity, or ad hominem attacks on members of the City Council or other individuals or groups. Such conduct, while often offensive and upsetting, is generally protected by federal and state law. Public participation policies and procedures can help to limit such conduct, but only if consistently enforced (e.g., speakers can be limited to three minutes, once per agenda item, but only if all speakers are limited to three minutes, once per agenda item).
2. Some remote public comments and testimony will be clearerthan others. Individuals who choose to participate remotely in City Council meetings will do so using their own computers, tablets, telephones, or similar devices. Not speaking directly into their microphones, slow or overwhelmed telephone or internet connections where they are located, incorrectly configured devices, user error, or any number of other issues beyond the City’s control may result in audio that is difficult to understand or video that is difficult to see in the Council Chambers. Those same issues may result in the inability for individuals to unmute their microphones, turn on their cameras, or connect to Zoom at all. Staff will be unable to troubleshoot such issues as they are not a result of the City’s actions or technology.
Recommendation #2
SB 707 requires the City Council to approve a policy “regarding disruption of telephonic or internet service occurring during [City Council] meetings” (i.e., a policy outlining what happens if City Hall’s telephone or internet service is disrupted during City Council meetings in a manner that prevents remote public participation).California Government Code Section 54953.4 identifies specific matters that must be addressed in the policy.
The proposed resolution (Attachment B) would establish the policy required by California Government Code Section 54953.4.
Recommendation #3
In preparing policies and procedures for SB 707 compliance, staff broadly assessed existing public participation opportunities and identified adding an ADA-style accessible lectern to the Council Chambers as a potential enhancement of public participation.
Staff has worked with Marshall Furniture and Key Code Media to design a semi-custom ADAstyle lectern that would be appropriately sized for the Council Chambers, contain ventilated storage for temporary battery power (the Council Chambers does not have in-ground power), and incorporate the City’s speaker timer technology (Attachment C). The lectern would also have a detachable City seal that could be attached when the lectern is used by City officials.
The proposed action would allow the City Manager to purchase the lectern from Key Code Media without obtaining three bids, which is impractical due to the semi-custom design of the lectern. The estimated cost is $12,488.22; however, staff is requesting authorization to spend up to $13,000, in the event estimated tax and shipping costs change.

1.4.02. Applicability.
This Administrative Policy shall apply to all meetings of the City Council for which California Government Code Section 54953.4 requires an opportunity be provided for members of the public to attend via a two-way telephonic service or a two-way audiovisual platform.

If the telephonic or internet service is restored less than one hour from the time the City Council recessed the open session of the meeting, the City Council may reconvene in open session and continue the meeting.
OR
4b. If the telephonic or internet service disruption persists for more than one hour from the time the City Council recessed the open session of the meeting, the City Council may reconvene in open session and consider adopting a finding by roll call vote that good faith efforts to restore the telephonic or internet service have been made in accordance with this Administrative Policy and that the public interest in continuing the meeting outweighs the public interest in remote public access. a. If such a finding is adopted by a majority of the quorum of members of the City Council present, the meeting may be continued.

Pricing Update from Key Code Media
Due to ongoing market volatility, Key Code Media must temporarily revise pricing on a weekly basis.
Global demand for memory and storage components, along with volatility in tariffs affecting core manufacturer products, is creating rapid and unpredictable price fluctuations across the industry. Many manufacturers are honoring pricing for only one week at a time.
Effective immediately, all Key Code Media quotes are valid for seven days. Quotes older than seven days will need to be refreshed to reflect current manufacturer pricing.
We understand this may be an inconvenience and appreciate your flexibility as we navigate these conditions. This policy will be revised once the market stabilizes.
Thank you for your continued partnership.

9.2 AUDIT COMMITTEE

ITEM 9.2
CC 05-20-2026 Item 9.2 – Page 1 of 3
TO: Honorable Mayor and Members of the City Council
FROM: Christopher Macon, City Manager
FOR: May 20, 2026 City Council Meeting
SUBJECT: Audit Committee
Recommendation
1. Adopt a resolution titled:
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LAGUNA WOODS, CALIFORNIA, ADOPTING ADMINISTRATIVE POLICY 1.5 PERTAINING TO THE
ESTABLISHMENT AND OPERATION OF AN AUDIT COMMITTEE OF THE CITY COUNCIL AND
2. Appoint three members of the City Council to serve on the Audit Committee from May 20, 2026 through December 31, 2026.
AND
3. Designate members of the Audit Committee to serve as the Chair and Vice Chair of the Audit Committee from May 20, 2026 through December 31, 2026.
Background
For many years, the City Council’s practice has been to annually appoint an ad hoc audit committee consisting of two of its members to work with the City’s independent auditors on matters regarding each fiscal year’s audit. The ad hoc audit committees have typically met twice, once after the auditor’s interim field work and, again, after the auditor’s final field work, before the final audit reports are presented to the City Council.
In recent years, when the City has solicited competitive proposals from firms interested in providing annual audit services, the City Council has appointed an ad hoc auditor selection ITEM 9.2
Item 9.2 – Page 2 of 3 CC 05-20-2026
committee to work with staff on the development of such solicitation and the screening of interested firms. The ad hoc auditor selection committees have made recommendations to the City Council regarding which firm to award a contract to.
Ad hoc committees, which are temporary and serve a limited purpose, are not subject to the Ralph M. Brown Act (California Government Code Section 54950-54963).
The Government Finance Officers Association of the United States and Canada (“GFOA”) is a major professional association for appointed and elected local, state, and provincial-level government officials and other finance practitioners. Among the resources GFOA provides is a best practices document for audit committees (Attachment B).
Discussion
Today’s meeting is an opportunity for City Council action and public input on the proposed establishment and operation of an audit committee of the City Council, including the appointment of members and the designation of a chair and vice chair. Staff recommends that the City Council take the recommended actions to enhance transparency and better align audit committee functions with GFOA’s best practices.
Highlights of the Proposed Audit Committee
• The Audit Committee would be a standing committee of the City Council and, thus, subject to the open meeting requirements of the Ralph M. Brown Act. [The previous ad hoc audit and auditor selection committees were not subject to the Ralph M. Brown Act.] • The Audit Committee would be comprised of three members of the City Council, as recommended by GFOA’s best practices. [The previous ad hoc audit and auditor selection committees were comprised of only two members of the City Council.] o GFOA’s best practices state that “all members of the audit committee should be members of the governing body.” Making the Audit Committee a standing committee of the City Council would ensure that deliberations are open to the public, except for “closed session” topics set forth in the Ralph M. Brown Act. • After an initial, shorter establishment term, members of the Audit Committee would serve two-year terms. [The previous ad hoc audit and auditor selection committees were generally appointed for periods of less than one year.] • The Audit Committee’s responsibilities would include providing independent review and oversight of the City’s financial reporting processes, internal controls, and independent auditors including, but not limited to, ensuring that the City’s senior management properly develops and adheres to a sound system of internal controls, that procedures are in place to objectively assess the practices of the City’s senior ITEM 9.2
CC 05-20-2026 Item 9.2 – Page 3 of 3
management, and that independent auditors, through their own review, objectively assess the City’s financial reporting practices. The specific responsibilities are set forth in Section 1.5.04 of the proposed administrative policy (Exhibit A to Attachment A) and are broadly consistent with GFOA’s best practices. [The previous ad hoc audit and auditor selection committees’ responsibilities applied only to annual financial audits.] • To further enhance transparency, the Audit Committee would receive reports of independent audits of the City conducted by other governmental agencies (e.g., the Orange County Transportation Authority periodically audits Measure M2 and Senior Mobility funds, and the South Coast Air Quality Management District periodically audits the Mobile Source Reduction Fund). [The previous ad hoc audit and auditor selection committees’ responsibilities applied only to annual financial audits.] • The Audit Committee would meet at least three times per year on the second Wednesdays of February, June, and November at 2 p.m. [The previous ad hoc audit and auditor selection committees’ met less frequently.]
Fiscal Impact
Sufficient funds to support an audit committee are included in the City’s budget.

ADMINISTRATIVE POLICY 1.5
AUDIT COMMITTEE
1.5.01. Statement of Purpose.
This Administrative Policy is intended to establish a practical means for the City Council to provide independent review and oversight of the City of Laguna Woods’ financial reporting processes, internal controls, and independent auditors.
This Administrative Policy is additionally intended to ensure that the City of Laguna Woods’ senior management properly develops and adheres to a sound system of internal controls, that procedures are in place to objectively assess the practices of the City of Laguna Woods’ senior management, and that independent auditors, through their own review, objectively assess the City of Laguna Woods’ financial reporting practices.
1.5.02. Establishment.
An Audit Committee is established as a standing committee of the City Council.
1.5.03. Membership.
The City Council shall appoint three of its members to serve on the Audit Committee for terms two calendar years in length, commencing on January 1 of each odd-numbered year.
In making such appointments, the City Council shall designate one appointee to serve as the Chair of the Audit Committee and another to serve as Vice Chair.
The City Council may remove or replace any member of the Audit Committee, or modify Chair or Vice Chair designations, with or without cause, following a publicly noticed vote of a majority of the quorum of the members of the City Council present at the time.
1.5.04. Responsibilities.
The Audit Committee shall be responsible for the following:
1. Making recommendations to the City Council regarding the selection, compensation, retention, and oversight of the work of any independent accountants engaged by the ITEM 9.2 – Exhibit A to Attachment A
Administrative Policy 1.5 (5/XX/2026) | Page 2 of 3
City of Laguna Woods for the purpose of preparing or issuing an independent audit report or performing other independent audit, review, or attest services. This includes, but is not limited to, preparing requests for proposals and screening and interviewing such prospective independent accountants.
2. Managing agreements entered into by the City of Laguna Woods with any independent accountants engaged for the purpose of preparing or issuing an independent audit report or performing other independent audit, review, or attest services.
3. Establishing procedures for the receipt, retention, and treatment of complaints from internal or external parties regarding the City of Laguna Woods’ accounting, internal accounting controls, or auditing matters. Such procedures shall, at a minimum, provide for confidential and anonymous submission of concerns by City of Laguna Woods employees regarding questionable accounting or auditing matters.
4. Monitoring internal controls performed directly by the City Manager or department heads (hereinafter, “senior management”), as well as internal controls designed to prevent or detect senior-management override of other internal controls.
5. Receiving reports of independent audits of the City of Laguna Woods conducted by other governmental agencies (e.g., the Orange County Transportation Authority periodically audits Measure M2 and Senior Mobility funds, and the South Coast Air Quality Management District periodically audits the Mobile Source Reduction Fund).
6. Notifying the City Council when the Audit Committee believes it is necessary to retain outside financial experts, legal counsel, or other appropriate specialists to support the Audit Committee’s work. This provision shall not be interpreted as limiting the Audit Committee’s ability to consult with or receive services from the City Attorney’s Office.
7. Annually reviewing the adequacy of this Administrative Policy and, if modifications are identified as necessary or advantageous, making recommendations regarding the same to the City Council.
8. Receiving an biennial presentation from the City Attorney’s Office regarding the role of the Audit Committee and the responsibilities of members thereof.
9. Annually preparing and submitting a written report to the City Council and members of the public describing how the Audit Committee has discharged its duties and met its responsibilities. Each annual report, which may take the form of a letter, shall state whether the Audit Committee has discussed the financial statements included in the Annual Comprehensive Financial Report with the independent auditors and senior management, and believes that such financial statements are fairly presented, to the extent such a determination can be made solely on the basis of such conversations.
This Administrative Policy shall be included as an appendix to each annual report.
ITEM 9.2 – Exhibit A to Attachment A

Members of the Audit Committee are hereby advised to exercise an appropriate degree of professional skepticism in the performance of their responsibilities.

The Audit Committee shall be subject to all applicable provisions of the Ralph M. Brown Act (California Government Code Section 54950-54963).
1.5.06. Staff Support.
The City Manager and/or their designee shall provide clerical, analytical, professional, and technical support to the Audit Committee, but shall not be members thereof.
1.5.07. Administrative Policy Dissemination.
All members of the Audit Committee shall be provided with and acknowledge receipt of a copy of this Administrative Policy when this Administrative Policy is adopted or amended, as part of their appointment to the Audit Committee, and in conjunction with each biennial City Attorney’s Office presentation pursuant to Section 1.5.04 of this Administrative Policy.
This Administrative Policy shall be posted on the City of Laguna Woods’ website.
1.5.08. Relationship to Federal and State Laws.
Where federal or state laws are more restrictive than or contradict this Administrative Policy, such laws shall take precedence. Where this Administrative Policy is more restrictive than federal or state laws, this Administrative Policy shall take precedence.
