FIRST AMENDMENT TO
AGREEMENT FOR PROFESSIONAL CONSULTANT SERVICES
1. PARTIES AND DATE.
This First Amendment to the Agreement for Professional Consultant Services (" First Amendment") is entered into on the . 2.___Lc) day of ` P , 2020, by and between the City of Lake Forest, a municipal corporation, organized under the laws of the State of California, with its principal place of business at 100 Civic Center Drive, Lake Forest, CA 92630 (" City") and All City Management Services, Inc., a California Corporation, with its principal place of business at 10440 Pioneer Boulevard, Suite 5, Santa Fe Springs, California 90670 (" Consultant"). City and Consultant are sometimes individually referred to herein as " Party" and collectively as " Parties."
2. RECITALS.
2.1 Agreement. The Parties entered into that certain Agreement for Professional Crossing Guard Services dated July 9, 2020 (" Agreement").
2.2 First Amendment. The Parties now desire to amend the Agreement in order to expand the scope of services, and increase the total amount of compensation under the Agreement.
3. TERMS.
3.1 Extra Work. The Scope of Services as set forth in Exhibit " A" of the Agreement is hereby amended to include the Services set forth in Attachment 1 to this Amendment, attached hereto and incorporated herein.
3.2 Compensation. Section 3.3.1 of the Agreement is hereby amended in its entirety to read as follows:
Consultant shall receive compensation, including authorized reimbursements, for all Services rendered under this Agreement at the rates set forth in Exhibit " C" attached hereto and incorporated herein by reference. The total compensation shall not exceed NINE
HUNDRED FOURTY THOUSAND FOUR HUNDRED SEVENTY
NINE DOLLARS AND SIXTY SIX CENTS ($ 940,479.66) without written approval of the City Council or City Manager as applicable.
Extra Work may be authorized, as described below, and if authorized, will be compensated at the rates and manner set forth in this Agreement.
3.3 Remaining Provisions of Agreement. Except as otherwise specifically set forth in this First Amendment, the remaining provisions of the Agreement shall remain in full force and effect.

SCOPE OF WORK
Per the locations below, the City will compensate up to a maximum of three ( 4.5) hours per guard when the crossing guard works the same location in both the morning, mid- day, and afternoon. Should the hours for the crossing guard services exceed, the contractor must obtain prior approval from the City. Any changes or reductions to locations and/or hours are at sole discretion of the City.
