SIXTH AMENDMENT TO AGREEMENT FOR EMPLOYMENT
CITY MANAGER
THIS SIXTH AMENDMENT is made and entered into this 18th day of June, 2024, effective July 1, 2024, by and between the City of Lake Forest, a California general law municipal corporation of the State of California, hereinafter referred to as "City" and Debra D. Rose, hereinafter referred to as "City Manager."
RECITALS
WHEREAS, the City Council of the City of Lake Forest entered into that certain Agreement for Employment dated May 2, 2017 (“Agreement”) employing the services of Debra D. Rose as City Manager of the City of Lake Forest; and WHEREAS, the City Council of the City of Lake Forest subsequently entered into that certain Amendment to Agreement for Employment dated August 7, 2018 (First Amendment”); and
WHEREAS, the City Council of the City of Lake Forest subsequently entered into that certain Second Amendment to Agreement for Employment dated August 20, 2019 (Second Amendment”); and
WHEREAS, the City Council of the City of Lake Forest subsequently entered into that certain Third Amendment to Agreement for Employment dated June 1, 2021 (Third Amendment”); and
WHEREAS, the City Council of the City of Lake Forest subsequently entered into that certain Fourth Amendment to Agreement for Employment dated June 7, 2022 (Fourth Amendment”); and
WHEREAS, the City Council of the City of Lake Forest subsequently entered into that certain Fifth Amendment to Agreement for Employment dated June 20, 2023 (Fifth Amendment”); and
WHEREAS, the City now desires to amend the Agreement in order to provide for an increase to the City Manager’s annual Base Salary and to provide additional benefits (“Sixth Amendment”).
NOW, THEREFORE, in consideration of the respective and mutual covenants hereinafter contained and made, and subject to all the terms and conditions hereof, City and City Manager agree as follows:

TERMS
A. Compensation. Section 2(A) is hereby amended in its entirety to read as follows:
“Effective July 1, 2024, the City shall pay City Manager an annual Base Salary of two hundred ninety-five thousand one hundred forty-six dollars ($295, 146) in installments at the same time as other executive management employees (department heads) of City are paid.”
B. Deferred Compensation. Section 2(I) is hereby amended in its entirety to read as follows:
“The City agrees to contribute the IRS maximum annual contribution for a 457 (b) plan to the City Manager’s deferred compensation account at the beginning of each fiscal year during the term of this Agreement. (This is $23,000 for 2024).”
C. Bonus. Section 2(J) is hereby added as follows:
“The City agrees to provide a one-time lump-sum non-PERSable bonus in the amount of twelve thousand dollars ($12,000).”
D. Remaining Provisions of Agreement. Except as otherwise specifically set forth in this Sixth Amendment, the remaining provisions of the Agreement, as previously amended, shall remain in full force and effect.
