1 AMENDMENT NO. 1 TO
AGREEMENT INCORPORATING PIGGYBACK CONTRACT
BETWEEN THE
CITY OF LAKE FOREST
AND
SOFTCHOICE CORPORATION
1. Parties and Date.
This First Amendment to the Agreement Incorporating Piggyback Contract (“Amendment”) is made and entered into this [** INSERT DATE**] day of [** INSERT MONTH**], 2023 by and between the City of Lake Forest (“City”) and Softchoice Corporation, a New York corporation Contractor” or “Seller”). City and Seller are together referred to as “Parties,” and individually, asa “Party” in this Amendment.
2. Recitals.
2.1 City and Seller entered into that certain Agreement dated July 19, 2022DATE**] Agreement”), whereby Seller agreed to provide certain Licenses.
2.2 City and Seller now desire to amend the Agreement for the first time to include additional Licenses.
3. Terms.
3.1 Licenses. The Licenses to be provided by Seller shall be revised to include the additional Licensessetforth in Attachment “1” attachedhereto and incorporated by this reference.
3.2 Compensation. The total compensation shall increase by $ 7,657. 35 so that the total amount paid to Seller for the purchaseof the Licenses under the Agreement shall not exceedthe sum of $ 125, 508. 75.
3.3 Continuing Effect of Agreement. Except as amended by this Amendment, all provisions of the Agreement shall remain unchanged and in full force and effect. From and after the date of this Amendment, whenever the term “Agreement” appearsin the Agreement, it shall mean the Agreement as amended by this Amendment.
3.4 Adequate Consideration. The Parties stipulate and agree that they have each received adequate and independent consideration for the performance of the obligations they have undertaken pursuant to this Amendment. Seller further acceptsthe terms and conditions of this Amendment as full and final resolution of any and all claims, asserted or otherwise, arising out of or related to the subject of this Amendment and acknowledges that the compensation and/or additional time, if any, set forth herein is adequate and comprises the total compensation and/or time due for the change(s) included in this Amendment.

2 3.5 Counterparts. This Amendment may be executed in duplicate originals, each of which is deemedto be an original, but when taken together shall constitute but one and the same instrument.
