1. Parties and Date.
This Second Amendment to the Agreement Incorporating Piggyback Contract ("Amendment") is made and entered into this day of
, 2025 by and between the City of Lake Forest ("City") and Softchoice Corporation, a New York corporation ("Contractor" or "Seller"). City and Seller are together referred to as " Parties," and individually, as a "Party" in this Amendment.
2. Re
citals.
2.1 City and Seller entered into that certain Agreement dated July 19, 2022 ("Agreement"), whereby Seller agreed to provide certain Licenses, and th at Agreement was amended on June 21, 2023 (the "First Amendment").
2.2 City and Seller now desire to amend the Agreement for the second time to include additional Licenses.
3. Terms.
3.1 Licenses. The Licenses to be provided by Seller shall be revised to include the additional Licenses set forth in Attachment "1" attached hereto and incorporated by this reference. For greater certainty, the Licenses in the First Amendment shall not expire until 7/31/2025.
3.2 Compensation. The total amount paid to Seller for the purchase of the Licenses under the Agreement set out in Attachment “1” shall not exceed the sum of $ 49,631.67. Sel ler shall also provide additional Microsoft licenses on an as-need basis to the City, not to exceed the total value
of $15,000 (the “Cap”) unless pre-approved in writing by the City, provided that City will track its expenditure to ensure the Cap is not exceeded as per this sentence.
3.3 Continuing
Effect of Agreement. This Second Amendment
expires when
all Licenses subscription terms for licenses
r eferenced in Section 3.2 expire. Except as amended by this Amendment, all provisions of the Agreement shall remain unchanged and in full force and effect. From
and after the date of this Amendment, whenever the term "Agreement" appears in the Agreement, it shall
mean the Agreement as amended by this Amendment.
3.4 Adequate
Consideration. The Parties stipulate and agree that they have each received
adequate and independent consideration for the performance of the obligations they have undertaken pursuant to this Amendment. Seller further accepts the terms and conditions of
this Amendment as full and final resolution of any and all claims, asserted or otherwise, arising out of or related to the subject of this Amendment and acknowledges that the compensation and/or additional time, if any, set forth herein is adequate and comprises the total compensation and/or time due for the change(s) included in this Amendment.
