3 1. PARTIES AND DATE.
This Agreement is made and entered into this [***INSERT DAY***] day of [***INSERT MONTH***], [***INSERT YEAR***], by and between the City of Lake Forest, a municipal corporation, organized under the laws of the State of California, with its principal place of business at 100 Civic Center Drive, Lake Forest, California 92630 (“City”) and Cabco Yellow Cab, Inc. dba California Yellow Cab, a California Corporation (Inc.) , with its principal place of business at 520 W. Dyer Road, Santa Ana, CA 92707 (“Consultant”). 4 2. RECITALS.
2.1. Agreement
The Parties entered into that certain Agreement for Senior Transportation Taxi Consulting Services dated June 23, 2022 (“Agreement”).
2.2. First Amendment
The Parties entered into that certain First Amendment to expand the scope of services the Agreement dated March 20, 2024 ("First Amendment").
2.3. Second Amendment
The Parties now desire to amend the agreement in order to amend the compensation schedule under the Agreement.

5 3. TERMS.
3.1. Scope of Services.
The Scope of Services as set forth in Exhibit “A” of the Agreement is hereby amended to include the Services set forth in EXHIBIT "A" SCOPE OF SERVICES to this Amendment, attached hereto and incorporated herein.
3.2. Schedule of Compensation
Exhibit “C” of the Agreement is hereby amended in its entirety in the form of EXHIBIT "C" - COMPENSATION to this First Amendment, attached hereto and incorporated herein.
3.3. Remaining Provisions of Agreement.
Except as otherwise specifically set forth in this Second Amendment, the remaining provisions of the Agreement shall remain in full force and effect.

7 5. EXHIBIT "C" - COMPENSATION
5.1. EXHIBIT "C" - COMPENSATION
Consultant shall be paid for services in accordance with Section 3.3 of the Agreement and as described above under Exhibit “A” Scope of Services and the not to exceed fee of ONE HUNDRED SIXTY-NINE THOUSAND DOLLARS ($169,000.00). Compensation shall be paid per the following schedule and terms.
