CITY COUNCIL AGENDA REPORT
MEETING DATE: 6/17/2025
DEPARTMENT: Management Services
SUBJECT:
AMENDMENT TO AGREEMENT WITH PET ADOPTION CENTER OF ORANGE COUNTY
RECOMMENDED ACTION(S):
1. Approve the proposed First Amendment to the Agreement with the Pet Adoption Center of Orange County.
2. Authorize the Mayor to sign and the City Clerk to attest the First Amendment to the Agreement with the Pet Adoption Center of Orange County, substantially in the form attached.
EXECUTIVE SUMMARY:
Since 2016, the City has contracted with the Pet Adoption Center of Orange County (“PAC-OC”). The PAC-OC operates out of a commercial property on Muirlands Boulevard and can house up to 20 dogs at any given time. The original intent of the arrangement with the PAC-OC is to alleviate space constraints at the former shelter sites operated by the City’s primary animal care provider, Orange County Animal Care (“OCAC”). The PAC-OC also provides a local option for Lake Forest residents to potentially relinquish their dogs, rather than traveling to the OCAC shelter. In addition, the PAC-OC offers adoption services, pet owner counseling, volunteering opportunities for residents, and assistance with the City’s annual Pet Expo event.
In 2024, the City entered into a Professional Consultant Services Agreement with the PAC-OC that included a one-year term from July 1, 2024, to June 30, 2025, (“Agreement”) (Attachment 1). Anticipating the expiration of this Agreement, staff negotiated with PAC-OC staff to extend the term by one-year to end on June 30, 2026. The proposed First Amendment to the Agreement extends the term to June 30, 2026, and increases compensation by $19,000, resulting in total compensation amount of $38,000 (“First Amendment”) (Attachment 2). Staff recommend the City Council approve the First Amendment to the Agreement with the PAC-OC.
BACKGROUND:
On December 6, 2016, the City entered into a professional consultant services agreement (“Pilot Agreement”) with the PAC-OC for the provision of animal care services. The Pilot Agreement included a one-year term beginning July 1, 2017, and a compensation amount of $30,000. The County of Orange provided the City with $15,000 to offset the compensation costs of the Pilot Agreement. The OCAC only provided this payment for the first year of the City’s contractual relationship with the PAC-OC.
On June 18, 2024, the City Council approved the City's most recent contract with the PAC-OC (Attachment 1). The Agreement requires that 50% of the PAC-OC's shelter space and resources be dedicated to animals that originate from Lake Forest or the OCAC service area. The Agreement also includes a clause requiring the PAC-OC to intake at least four dogs. PAC-OC is required to participate in community events and provide monthly performance reporting. The current term of the Agreement is set to expire on June 30, 2025.
DISCUSSION:
The proposed First Amendment would maintain the existing Scope of Work and performance reporting requirements outlined in the Agreement. PAC-OC would continue submitting monthly reports on data related to intake, adoptions, and other animal outcomes, as well as details about the facility's general animal population, the free and low-cost services that are rendered (including microchipping and spay/neutering), event activities, and community engagement initiatives. Before approving invoices received from the PAC-OC, staff review performance reports that are submitted with each invoice package. The PAC- OC's shelter population performance from January 1, 2025, to March 31, 2025, is summarized in Table 1 below. See Attachment 3 for a comprehensive list of performance reporting for July 2024 to April 2025.

Staff continue to monitor PAC-OC efforts to meet contract parameters. The proposed First Amendment to the Agreement would cover the costs for the PAC- OC to provide the same service for an additional year. The First Amendment would continue the $19,000 annual cost to fund the services paid for, via monthly installments.
FISCAL IMPACT:
The proposed Amendment to the Agreement with the PAC-OC includes an extension of one-year term with an additional compensation amount of $19,000, resulting in a new total not-to-exceed amount of $38,000. The 2025-2027 Operating Budget includes sufficient funding to cover the costs of the proposed First Amendment.
