STAFF REPORT
Lancaster Successor Agency
SA CC 1
7/11/2023
JC
Date: July 11, 2023
To: Chairman Parris and Agency Directors
From: Larissa De La Cruz, Director – Community Development Chenin Dow, Assistant Director – Real Estate & Economic Development Sydney Yeseta, Assistant Manager – Real Estate & Economic Development Subject:Declaration of Surplus Land
Recommendation:
Adopt Resolution No. SA 01-23, declaring pursuant to Section 54221 of the Government Code that certain parcels of land owned by the Lancaster Successor Agency are surplus and not necessary for the Agency’s use.
Fiscal Impact:
None.
Background:
The Lancaster Successor Agency owns several vacant parcels throughout the community, acquired for the purposes of economic development and affordable housing development. Staff has identified several parcels that will not be utilized for development projects implemented, owned, and/or operated by the City.
Most parcels acquired by the Successor Agency were done with the intent to ultimately sell them to private-sector developers who are ready and willing to develop them consistent with the City’s vision for the community.
In order to sell these properties as intended, the parcels must be formally declared surplus, consistent with the Surplus Land Act (SLA). The City Council previously declared the parcels surplus on September 8, 2020, and October 11, 2022, through Resolution Nos. 20-49 and 22-53, respectively. Notices of Availability were transmitted on September 10, 2020, and October 14, 2022, to all required entities, and the California Department of Housing and Community Development has determined the parcels have met the requirements of public noticing pursuant to the SLA.
Recently, Staff has determined the parcels found in Exhibit A are subject to further disposition approval from the Lancaster Successor Agency and Oversight Board. The proposed action would 1 3
3 0
satisfy the declaration requirement of the SLA. Subsequently, Staff will submit for review and approval to the Oversight Board. Once the formal declaration is complete from both entities, no further noticing period is required and the parcels will meet the complete requirements of the SLA.
The proposed Declaration of Surplus Land does not authorize the lease or sale of the affected properties. Once the above process is complete, individual property transactions are required to come before the Successor Agency and Oversight Board for approval.

Date: July 11, 2023
To: Mayor Parris and City Council Members
From: Larissa De La Cruz, Director – Community Development Chenin Dow, Assistant Director – Real Estate & Economic Development Christopher Aune, Manager – Real Estate & Economic Development Subject:Subordination Agreement, allowing Laurel Crest L.P. to Proceed with Refinance of Senior Loan for Laurel Crest Apartments
Recommendation:
Adopt Resolution No. 23-52, authorizing the City Manager, or his designee, to finalize terms, modify and execute a subordination agreement with respect to the $3,412,500.00 Lancaster Redevelopment Agency Loan and a $4,024,440.00 HCD loan, allowing Laurel Crest, L.P. to proceed with mortgage refinance of senior loan for Laurel Crest Apartments.
Fiscal Impact:
None.
Background:
The City has previously issued its $11,000,000.00 Multifamily Housing Revenue Refunding Bonds (Laurel Crest Apartments) 2005 Series (the “Bonds”). The project was owned and operated by Jamboree Housing Corporation, (the “Developer”). A Regulatory Agreement and Declaration of Covenants were recorded simultaneously for the property to remain affordable for fifty-five (55) years, a condition of issuing the Bonds.
The Multifamily Housing Revenue Bonds were paid down to $2,100,000.00 with a combination of Investor Equity, $3,412,500.00 Lancaster Redevelopment Agency loan, and a $4,024,440.00 HCD loan.
City staff received a request from Laurel Crest L.P., owner and manager of Laurel Crest Apartments, to subordinate Laurel Crest’s $3,412,500.00 Lancaster Redevelopment Agency loan 1 3
3 1
with the City of Lancaster (City) to a new $1,900,000.00 first mortgage loan (the “New Loan”) from Clearinghouse Community Development Financial Institution (“CCDFI”) and the $4,024,440.00 HCD loan as part of a restructuring of the HCD loan under HCD’s Loan Portfolio Restructuring Program, whereby new loan documents will be issued. Development of Laurel Crest Apartments, a 72-unit complex, was financed through a combination of mortgage loan, multi- family revenue bonds, HCD loan, a Lancaster Redevelopment Agency/the City loan, and the owner/investor.
Laurel Crest L.P. (the “Borrower”) now desires to refinance and pay off the existing Bond loan that has a balance of $1,508,096.47 as of May 2023 with a loan provided by CCDFI in the amount of $1,900,000.00. The additional proceeds above the existing loan balance will be used for deferred capital expenditure items, such as a new fence, new boiler, new mailbox area, landscaping, et cetera.

SUBORDINATION AGREEMENT
NOTICE: THIS SUBORDINATION AGREEMENT RESULTS IN YOUR SECURITY
INTEREST IN THE PROPERTY BECOMING SUBJECT TO AND OF LOWER
PRIORITY THAN THE LIEN OF SOME OTHER OR LATER SECURITY
INSTRUMENT.
THIS SUBORDINATION AGREEMENT (the "Agreement") is made as of __________________, 2023, by and among the City of Lancaster, as Successor Agency to the Lancaster Redevelopment Agency, (the "Junior Lienholder") and Laurel Crest L.P., a California limited partnership (the "Borrower"), and the Clearinghouse Community Development Financial Institution, a California corporation (the "Senior Lender").
RECITALS
A. Borrower owns certain real estate more particularly described on Exhibit “A”, and all improvements now or hereafter located thereon (collectively, the “Real Property”). Borrower is rehabilitating a 72-unit multifamily residential rental development on the Real Property (the “Improvement”). The Property and Improvements are sometimes referred to collectively as the “Development.”
B. Junior Lienholder made a loan to the Borrower in the principal sum of Three Million, Four Hundred Twelve Thousand Dollars ($3,412,000.00) (the “Junior Lienholder Loan”). The Junior Lienholder Loan is evidenced by a certain Loan Agreement (the “Junior Lienholder Note”), secured by a certain deed of trust (the “Junior Lienholder Deed of Trust”) recorded on September 1, 2005, as Instrument No. 2005-2539571 in the Official Records of Los Angeles County, California (the “Official Records”). The Junior Lienholder and Borrower also entered into a regulatory agreement affecting the use of the Real Property, recorded on 4886-9072-9838v3/022283-0548
September 1, 2005, as Instrument No. 2005-2539565 in the Official Records. (The Junior Lienholder Deed of Trust, the Junior Lienholder Regulatory Agreement and all other documents evidencing or securing the Junior Lienholder Loan are collectively referred to herein as the “Junior Lienholder Documents.”)
C. In order to re-finance the Development, the Senior Lender has agreed to loan the Borrower a sum not to exceed One Million, Nine Hundred Thousand Dollars ($1,900,000.00) (the "CCDFI Loan"), which will be evidenced by a promissory note (the "CCDFI Note"), the repayment of which will be secured by, among other things, a deed of trust by Borrower as trustor, to Senior Lender as beneficiary recorded concurrently herewith as an encumbrance on the Property in the Official Records (the "CCDFI Deed of Trust") and by such other security as is identified in other loan documents.
D. The Senior Lender requires, as a condition precedent to its making the CCDFI Loan, that (i) the CCDFI Deed of Trust is a lien, claim or charge upon the Development prior and superior to the Junior Lienholder Documents, and (ii) the Junior Lienholder specifically and unconditionally subordinates and subjects the Junior Lienholder Documents to the financial terms of the liens, claims or charges of the CCDFI Deed of Trust
AGREEMENT
NOW, THEREFORE, in consideration of the mutual benefits accruing to the parties hereto and other valuable consideration, the receipt and sufficiency of which is hereby acknowledged, and in order to induce the Senior Lender to make its CCDFI Loan, it is hereby declared, understood and agreed as follows:
1. The CCDFI Deed of Trust securing the CCDFI Note in favor of the Senior Lender, and any and all renewals, modifications, extensions or advances thereunder or secured thereby (including interest thereon) shall unconditionally be and remain at all times liens, claims, or charges on the Development prior and superior to the Junior Lienholder Documents, and to all rights and privileges of the Junior Lienholder thereunder; and the Junior Lienholder Documents, together with all rights and privileges of the Junior Lienholder thereunder are hereby irrevocably and unconditionally subject and made subordinate to the liens, claims or charges of the CCDFI Deed of Trust.
2. This Agreement shall be the whole and only agreement with regard to the subordination of the Junior Lienholder Documents, together with all rights and privileges of the Junior Lienholder thereunder, to the liens, claims or charges of the CCDFI Deed of Trust, and this Agreement shall supersede and cancel any prior agreements to subordinate the claims, liens or charges of, but only insofar as would affect the priority between the claims, liens or charges of the Junior Lienholder Documents to the CCDFI Deed of Trust including, but not limited to, those provisions, if any, contained in the Junior Lienholder Documents, which provide for the subordination of the lien or charge thereof to another lien or charge on the Property or the Improvements.
4886-9072-9838v3/022283-0548
3. The Junior Lienholder declares, agrees and acknowledges that:
(a) The Junior Lienholder consents and approves (i) all provisions of the CCDFI Note and the CCDFI Deed of Trust;
(b) That none of the execution, delivery or recordation of any of the CCDFI Note, CCDFI Deed of Trust, or the performance of any provision, condition, covenant or other term thereof, will conflict with or result in a breach of the Junior Lienholder Documents or the Junior Lienholder Note; and (c) The Junior Lienholder intentionally and unconditionally waives, relinquishes, subjects and subordinates the claims, liens or charges upon the Development of the Junior Lienholder Documents, all present and future indebtedness and obligations secured thereby, in favor of the claims, liens or charges upon the Development of the CCDFI Deed of Trust, and understands that in reliance upon, and in consideration of, this waiver, relinquishment, subjection, and subordination, the CCDFI Loan and advances thereof are being and will be made and, as part and parcel thereof, specific monetary and other obligations are being and will be entered into which would not be made or entered into but for said reliance upon this waiver, relinquishment, subjection and subordination.
4. Senior Lender hereby agrees, but only as a separate and independent covenant of the Senior Lender and not as a condition to the continued effectiveness of the covenants and agreements of the Borrower and the Junior Lienholder as set forth herein, as follows:
(a) Following a notice from the Senior Lender to the Borrower that a default or breach exists under the terms of the Senior Lender Documents and each of them, the Senior Lender shall promptly (but in no event later than the following business day) send a copy of such notice to the Junior Lienholder and the Junior Lienholder shall have the right, but not the obligation, to cure the default as follows:
(i) If the default is reasonably capable of being cured within thirty (30) days, as determined by the Senior Lender in its sole discretion, the Junior Lienholder shall have such period to effect a cure prior to exercise of remedies by Senior Lender under the Senior Lender Documents, or such longer period of time as may be specified in the Senior Lender Documents.

From: Larissa De La Cruz, Director – Community Development Chenin Dow, Assistant Director – Real Estate & Economic Development Christopher Aune, Manager – Real Estate & Economic Development Subject:2023 Transformative Climate Communities Planning Grant Application Submission Approval
Recommendations:
1. Adopt Resolution No. 23-53, authorizing the submittal of an application to the California State Department of Housing and Community Development for funding under the Transformative Climate Communities Program; and delegating the authority to the City Manager or his designee, to negotiate and execute all related documents.
2. If funded, accept the Transformative Climate Communities grant award funds and appropriate said funds into a Transformative Climate Communities Fund account number, to be created by Finance, for expenditure in accordance with the Transformative Climate Communities Program.
Fiscal Impact:
Other than staff time, there is no cost associated with the grant application. If awarded, the City would receive $300,000 from California’s Strategic Growth Council.
Background:
The Transformative Climate Communities (TCC) Program is part of the State of California’s Climate Budget and funds the “development and implementation of neighborhood-level transformative climate community plans that provide local economic, environmental, and health benefits to disadvantaged communities.”

This opportunity uniquely aligns with the redevelopment goals for the former Fairgrounds site at Division Street and Avenue I. Local governments are eligible to apply for Planning Grants as Lead Applicants; however, there must be a minimum of one Co-Applicant in addition to the Lead Applicant. Staff recommends the submittal of the application for the former Fairgrounds site in conjunction with Habitat LA, a member of the development team selected to develop the site in a recent competitive Request for Proposals. Habitat would serve as Co-Applicant.
Planning Grants are intended to be utilized to help communities successfully apply for and implement future TCC Grant awards. This action is the first in a two-step process. First, through this authorization, the City will apply for a TCC Planning Grant. If awarded, the Planning Grant will fund the necessary work for the City to apply for a TCC Implementation Grant.
The TCC Program focuses on investment in communities most burdened by environmental, socioeconomic, and health inequities. At least 51% of the project area must be in a disadvantaged community and the balance of the area must be in a low-income community.
At the end of this planning grant process, the City will have a detailed proposal ready to submit for an implementation grant. These efforts will help further the City’s goals in terms of advancing workforce housing.

12.20.010 THROUGH SECTION 12.20.090 OF THE
LANCASTER MUNICIPAL CODE REGARDING STREET
TREES.
WHEREAS, the City Council (“City Council”) of the City of Lancaster (“City”) adopted Ordinance No. 478, which added Chapter 12.20 of the City’s Municipal Code relating to street trees;
WHEREAS, the City Council now desires to amend Chapter 12.20 to define ownership, maintenance responsibilities and civil liability for street trees;
NOW, THEREFORE, THE CITY COUNCIL OF THE CITY OF LANCASTER, CALIFORNIA, DOES HEREBY ORDAIN AS FOLLOWS:
Section 1. Chapter 12.20 of the Lancaster Municipal Code is hereby repealed and replaced as follows:
12.20.010 Definitions
As used in this chapter:
“Dangerous Condition” refers to a tree that is damaged, diseased, decaying, at risk of falling, obstructs a clear view of street signs, traffic lights and/or vehicular or pedestrian traffic, obstructs the free passage of vehicles or pedestrians along the public right-of-way, including sidewalks, or poses a hazard to persons, private and/or public property. “Parkway” means all areas between the curb and the sidewalk in front of or alongside a residential lot.
“Property owner” means the owner or owners of record of real property as shown on the latest Los Angeles County assessment roll, or as identified by a title report. “Street tree” means a tree located in the parkway on publicly or privately-owned land or within a public easement or a private front or side yard. “Tree debris” refers to leaves, seedpods, fruit, sap, branches, and other deposits from trees.
Ordinance No. 1104
12.20.020 Owner’s duty to maintain trees
State law requires each property owner to maintain street trees located in the parkway abutting the owner’s property. Such maintenance shall include watering, keeping the parkways free from weeds or other obstructions harmful to public safety. It is unlawful for any property owner to do any of the following:
(A)Allow a street tree on a parkway or within a public easement area of a private front or side yard to be in a dangerous condition.
(B) Allow the roots of a street tree to lift or otherwise damage a public sidewalk, curb, street, or other pavement of a public right-of-way.
(C) Allow the roots or any part of a street tree to damage any public sewer, water main, electrical, gas, or telecommunications utility.
(D)Allow a street tree or tree debris from a street tree on a parkway or within a public easement area of a private front or side yard to pose a danger to persons, property, or vehicles in an adjacent public right-of-way or on adjacent property.
12.20.030 Obstruction
The trees and ground cover shall be maintained so as not to constitute a hazard and in addition, to avoid interference with vehicular or pedestrian use of streets and sidewalks. The property owner shall be required to maintain trees in such a manner so as not to encroach into or over any adjacent sidewalk or street. Absent special circumstances and approved by the City the minimum clearance of any overhanging portion thereof shall be ten (10) feet over sidewalks, and thirteen and one-half (13-1/2) feet over streets. No permit is required to remove the hazard or correct the encroachment.
Trees shall not obstruct or shade the streetlights, obstruct the passage of pedestrians on sidewalks, obstruct vision of traffic signs, or obstruct view of any street or alley intersection.
12.20.040 Nuisance
(A)The City Council finds and declares that it is unlawful for any property owner, as defined, in this Chapter, to allow, cause, create, suffer or permit the presence of a tree in a condition that is in violation of this Chapter.
(B) The City Council finds and declares that a tree that does not fully comply with this Chapter constitutes a public nuisance subject to abatement. (C) Any person violating the provisions of this Chapter is subject to the penalty provisions set forth in Chapter 1.12.
(D)A person violating the provisions of this Chapter may additionally be issued an administrative citation in accordance with the provisions set forth in Chapter 1.16.
Ordinance No. 1104
12.20.050 Civil liability
(A)A property owner shall be liable for any personal injury or property damage caused by a street tree in a parkway abutting the owner’s property or within a public easement area of a private front or side yard or by tree debris from such a street tree, including but not limited to:
(1) Damage to any public sewer, water main, electrical, gas, or telecommunications utility;
(2) Damage to any public sidewalk, curb, street, or other pavement of a public right-of-way;
(3) Damage to any adjacent private personal or real property; (4) Damage to any vehicle on an adjacent street or public right-of-way; (5) Injury to any person on the property owner’s own property or on adjacent private property;
(6) Injury to any pedestrian or other person on or traveling on an adjacent parkway, sidewalk, street, or other public right-of-way. (B) In the event that a claim, demand, action or suit is brought against the city for personal injury or property damage related to such street tree or tree debris, the City shall be entitled to full indemnity from the property owner for the amount of damages paid and the legal expenses incurred by the city.
12.20.060 City’s right to remove street trees.
A. Abatement of nuisance. Upon a determination by the city that a tree located adjoining public property constitutes a nuisance tree, the city shall attempt to notify the owner and occupant of the property containing the tree about the hazardous, destructive, or trespassing condition by written notice. The notice shall require the owner or occupant of said property to control the nuisance tree in such a manner as will abate the nuisance. Failure to comply with such notice within ten (10) days thereafter is a violation of this Code.
B. Emergency abatement by city. If an emergency situation exists where the nuisance tree constitutes an immediate threat to public health or safety, the city (or it’s appointed contractor) may abate the nuisance tree emergency from adjoining public property by trimming, pruning, cutting or removing all or such portion of such tree or shrub as may be necessary to eliminate such interference, obstruction or condition on or above the public property without notice and without waiting.
C. Recovery of costs. The owner of the premises upon which the nuisance tree is located which constituted an immediate threat to public health or safety shall be liable for the entire cost of removal or maintenance by the city in compliance with this section in order to abate the nuisance. Establishment, collection and recovery of costs, as well as administrative appeal procedures, shall be in accordance with the provisions set forth in Chapter 8.28 of this Code.
Ordinance No. 1104
Section 2. The Mayor shall sign and the City Clerk shall certify to the passage and adoption of this Ordinance and shall cause the same to be published and posted pursuant to the provisions of law in that regard and this Ordinance shall take effect 30 days after adoption.
