Adopt Resolution No. CCEA ______ Approving Second Amendment to the Joint Exercise of Powers Agreement Relating to the California Choice Energy Authority.
Fiscal Impact:
There is no fiscal impact associated with this action.
Background:
The cities of Lancaster and San Jacinto entered into a Joint Exercise of Powers Agreement (Agreement), dated as of August 14, 2012, establishing the California Choice Energy Authority (CalChoice) pursuant to the Joint Exercise of Powers Act. The Agreement authorizes amendments, modifications or alterations of the Agreement by (i) a 30-day notice being given to participating members and (ii) an affirmative vote of the administrative body of the Authority (Authority Board).
Section 15 of the Agreement provides that the Agreement may be amended provided that (1) a 30 day notice is provided to the participating members and (2) an affirmative majority vote of the Authority Board. The 30 day notice has been provided to all participating members advising of the proposed Second Amendment.
The First Amendment was approved by the Authority Board on March 28, 2017. At this time, the Authority Board desires to make a second amendment to the Agreement in order to change the composition of the Board of Directors. Currently the City Council of the City of Lancaster serves as the Authority Board. The proposed Second Amendment establishes the composition of the Board of Directors to be composed of representatives of each member agency, one (1) board 1 5
