Subject:Approve Third Amended and Restated Bylaws of the California Choice Energy Authority
Recommendation:
Approve Third Amended and Restated Bylaws of the California Choice Energy Authority and authorize the Executive Director, or designee, to execute all necessary documents.

Background:
In 2012, Lancaster City Council adopted Resolution 12-59, forming the California Clean Energy Authority (“Authority”), a Joint Powers Agreement (“JPA”) with the City of San Jacinto with the purpose of expanding solar partnerships.
On March 28, 2017, Lancaster City Council adopted Resolution No. 02-17, adopting the first amendment to the JPA Agreement. The amendment changed the name of the JPA to California Choice Energy Authority to better reflect the Authority’s purpose and administrative support to be provided to member cities for their Community Choice Aggregation (“CCA”) operational services.
Amended and Restated Bylaws
The Authority currently has eight associate members (“Members”), the cities of Lancaster, San Jacinto, Pico Rivera, Rancho Mirage, Pomona, Santa Barbara, Palmdale, and the Town of Apple Valley. The City Council of the City of Lancaster currently serves as the Board of the Authority; however, under a separate item approved on January 23, 2024, the Board approved the Second 1 5

Amendment to the JPA (the “Amendment”) effective February 14, 2024. The Amendment changes the composition of the Board to include the City Manager, or designee of each member agency. As the Authority and its member agency CCAs have matured, this action will allow the Board of the Authority to represent the member agencies more effectively.
The Third Amended and Restated Bylaws are required to conform to the new Board and Officer structure established by the Amendment.
