AMENDMENT NO. 1 TO AGREEMENT FOR THE CITY LANDSCAPE MAINTENANCE
PROGRAM
This Amendment (“Amendment No. 1”) is hereby entered into effective September 1, 2024, by and between the City of Lancaster, a Municipal Corporation, in the State of California (“OWNER”), and Parkwood Landscape Maintenance Inc. (“CONTRACTOR”) with respect to the Operating Agreement for the City Landscape Maintenance Program between the parties dated September 1, 2022 (“Agreement”).
The Parties agree as follows:
1. The term of the Agreement is extended to and including August 31, 2025.
2. Section 7 of the Agreement for the City Landscape Maintenance Program dated September 1, 2022, is deleted in its entirety and replaced with “Payment Clause” attached hereto as Exhibit “A”
3. Areas added in Exhibit “B” of this Agreement are in addition to the areas set forth in the original Agreement dated September 1, 2022.
4. All other terms and provisions of the Agreement and subsequent amendments are hereby reaffirmed.

PAYMENT CLAUSE
7. Obligations of the OWNER.
A. The total compensation to be paid by OWNER to
CONTRACTOR for all work and services described in Scope of Services is not to exceed $1,999,328.23 for FY24/25.
CONTRACTOR’S fees and charges for the work and services performed shall in no event exceed those set forth in Exhibit “B” of the original contracted dated September 1, 2022.
B. No payment made hereunder by OWNER to CONTRACTOR,
other than the final payment, shall be construed as an
acceptance by OWNER of any work or materials, nor as
evidence of satisfactory performance by CONTRACTOR of its obligations under this AGREEMENT.
