RELEASE OF COVENANT AND TERMINATION OF AGREEMENT
This RELEASE OF COVENANT AND TERMINATION OF AGREEMENT (this "Release and Termination") is made by the CITY OF LANCASTER, a municipal corporation and charter city (the "City"), in favor of CP ANTELOPE SHOPS LLC, A Colorado limited liability company, as successor in interest to LANCASTER COMMERCE CENTER, a California limited partnership (the "Owner"), as of the date set forth below.
RECITALS
A. The Owner previously executed that certain "Covenant and Agreement to Hold Property as One Parcel" recorded on December 29, 1988, as Instrument No. 88-2075327 in the Official Records of Los Angeles County (the "Covenant and Agreement"), which Covenant and Agreement requires Owner to hold that certain real property situated in the City of Lancaster, California (the "Property") as one parcel and prohibits the Owner from separately selling any portion thereof.
B. The Owner has recorded Lot Line Adjustment 19-14 as Instrument No. 20200698135 to eliminate parcel lines crossing buildings which necessitated the Covenant and Agreement.
C. The City has determined that the Covenant and Agreement is no longer required by law.
D. The City has agreed to terminate the Covenant and Agreement in order for Owner to be able to convey fee title to the Property free of the Covenant and Agreement as an encumbrance thereon.
NOW, THEREFORE, the City hereby agrees as follows:
1 That certain Covenant and Agreement to Hold Property as One Parcel recorded on December 29, 1988, as Instrument No. 88-2075327 in the Official Records of Los Angeles County is hereby released and terminated in its entirety, and the provisions thereof shall not constitute an encumbrance to title to the Property or bind Owrer or any future owners of the Property.
