Year 2 : $113,300 Payment Net 30 one year after original purchase date Year 3 : $113,300 Payment Net 30 two years after original purchase date Customer may terminate this Agreement prior to the expiration of the three-year term if Customer experiences a loss of funding that prevents continued performance. Customer must provide written notice to SHI along with documentation evidencing such funding loss. Upon such termination, Customer shall pay for all services rendered through the termination date and shall have no obligation to make any further annual payments. Similarly, SHI shall have no obligation to make further payments to its vendors/suppliers for the terminated portion of the Agreement. Customer shall be responsible for any reasonable costs associated with early termination, including uninstallation and wrap-up costs. This termination right applies solely to bona fide loss of funding scenarios and not for Customer's convenience.
The products offered under this proposal are resold in accordance with the terms and conditions of the Contract referenced under that applicable line item.
