MEMORANDUM OF UNDERSTANDING
THIS MEMORANDUM OF UNDERSTANDING (this “MOU”) is entered into this 13th day of May, 2025, by and between the CITY OF LANCASTER, a California municipal corporation and charter city (the “City”), and GREENLAND SYMMETRY LLC (“GREENLAND”), a California Limited Liability Corporation. (The City and GREENLAND are sometimes referred to herein individually as a “Party” and collectively as the “Parties.”) GREENLAND shall be a partner (the “Partner”) to the City in its application for Project Homekey Plus Program Funding.
R E C I T A L S
A. The City is a California municipal corporation located in Los Angeles County. The City’s current population is approximately 170,000 and the City is interested in securing funding from the California Department of Housing and Community Development (HCD) through their Project Homekey Plus Program (Homekey) to build permanent housing units for families and Veterans.
B. The Parties are willing and desire to cooperate and work together to pursue the current grant funding opportunity available through Homekey.
NOW, THEREFORE, in consideration of the mutual understandings and agreements set forth herein, the parties hereby agree as follows:
1. Homekey Application. The City will be the main applicant for Homekey funding. Greenland will be the City’s co applicant.
2. Project Roles. If funding is secured through Homekey a. Greenland will receive all capital funds for the project and is in charge of the initial development of the site for the program, and coordinate with necessary partners to support the project.
b. The City will work with the program operator and service provider, guide and utilize the operating funds to run the Homekey project site.
3. Deliverables include but are not limited to:
a. The City and Greenland will collaborate on the development of the Homekey Program application which will be submitted to HCD.
4. Confidentiality. To the extent permitted by law (including, but not limited to, the Ralph M.
Brown Act and the California Public Records Act), each Party shall make its best efforts not to disclose any other Party’s Confidential Information without such Party's prior written consent.
5. Communication. Any communication or notice which any Party may desire to give to the other Party under this MOU shall be in writing and addressed to the address of the Party as set forth below, or at any other address as that Party may later designate by notice.

Such addresses may be changed by Notice to the other Party(ies) given in the same manner as provided above.
6. Non-Binding Effect. The Parties shall not have any legal obligation under or by virtue of this MOU, including any obligation to enter into any definitive agreement or other contract, to provide any services, to disclose any information, to make any investment or pay any consideration or compensation, whether or not expressly described herein; provided that the Parties agree to cooperate in good faith along the lines described in this MOU.
Nothing herein creates any obligation to take or refrain from taking any action by the parties, whether to each other or to any other person or entity. Nothing herein shall be interpreted to limit, restrict, waive or release any of the City’s rights under law, including its police powers, all of which are expressly preserved. No promises or assurances have been made by either party to the other as to the subject matter of the MOU.
