Seller and Buyer, and each and all of their agents, representatives, attorneys, principals, predecessors, successors, assigns, administrators, executors, heirs, and beneficiaries, hereby release the other Party, and each of them, from any and all Claims, obligations, liabilities, claims, costs, expenses, demands, debts, controversies, damages, causes of action, including without limitations those relating to just compensation, damages which any of them now have, or might hereafter have by reason of any matter or thing arising out of or in any way relating to acquisition of the PROPERTY and/or TCE by Buyer. Buyer and Seller agree that this Agreement is being entered into in order to avoid litigation and in lieu of Buyer’s exercise of its power of eminent domain.

11. CONSTRUCTION CONTRACT AND CURATIVE WORK.
a. It is understood and agreed by and between the Parties hereto in addition to the compensation shown in Paragraph 2 hereinabove, the Buyer, its contractors or assigns, may perform certain work to the Master Property to make repairs as a result of the construction of the roadway within the Property pursuant to plans agreed upon by Buyer and Seller.

c. Buyer represents and warrants to Seller that the work depicted as “Phase I” on the staging plan attached hereto as Exhibit “F” (the “Staging Plan”) has been completed (but the work depicted on "Phase IA on the Staging Plan has not been completed). Buyer may not commence the portion of the work depicted as “Phase III” on the Staging Plan until all of the work depicted as “Phase I,” "Phase 1A," and “Phase II” on the Staging Plan has been completed. Buyer may commence the portion of the work depicted as “Phase III” on the Staging Plan simultaneously with the work depicted as “Phase IV” on the Staging Plan. Buyer shall commence the Phase III/IV work (as depicted on the Staging Plan) within thirty (30) days after Seller completes the work depicted as Phase II on the Staging Plan. After Buyer commences the work depicted as Phase III/IV on the Staging Plan, Buyer shall use commercially reasonable and diligent efforts to complete the Phase III/IV work.
d. If Buyer disrupts electrical power to the Master Parcel at any time in connection with the construction of the Project, Buyer shall cause a back-up generator to provide consistent 4 and uninterrupted electrical power to the Master Parcel (including, without limitation, sufficient electrical power for the store and parking areas on the Master Parcel) so that electrical power to the Master Parcel is not interrupted.

12. RENTAL AND LEASEHOLD INTEREST. To Seller’s actual knowledge, without any duty of inquiry or investigation, there are no third parties in possession of any portion of the Property and/or TCE as lessees, tenants at sufferance, trespassers, or invitees, and that there are no oral or written, recorded or unrecorded leases or other agreements concerning all or any portion of the Property and/or TCE.

13. WARRANTIES, REPRESENTATIONS, AND COVENANTS OF SELLER. Seller hereby warrants, represents, and/or covenants to Buyer that:

13.1 To Seller’s actual knowledge (without any duty of inquiry or investigation), there are no actions, suits, material claims, legal proceedings, or any other proceedings affecting the Master Parcel or any portion thereof, at law, or in equity before any court or governmental agency, domestic or foreign.

13.2 To Seller’s actual knowledge (without any duty of inquiry or investigation), there are no encroachments onto the PROPERTY and/or TCE by improvements on any adjoining property.

13.3 From the date hereof until Closing, Seller shall not do anything which would impair Seller’s title to the Master Parcel.

13.4 Seller shall, upon learning of any fact or condition which would cause any of the warranties and representations in this Agreement not to be true as of Closing, immediately give written notice of such fact or condition to Buyer.

14. HAZARDOUS WASTE. Seller shall not cause or permit the presence, use, generation, release, discharge, storage, or disposal of any Hazardous Materials (as defined below) on, under, in, or about, or the transportation of any Hazardous Materials to or from, the Property. The term “Hazardous Material” shall mean any substance, material or waste so defined by any state, federal or local statute, ordinance, rule or regulation including (without limitation) any material, substance or waste which is (i) defined as a "hazardous waste", "acutely hazardous waste", "restricted hazardous waste", or "extremely hazardous waste" under Sections 25115, 25117 or 25122.7, or listed pursuant to Section 25140, of the California Health and Safety Code; (ii) defined as a "hazardous substance" under Section 25316 of the California Health and Safety Code; (iii) defined as a "hazardous material", "hazardous substance", or "hazardous waste" under Section 25501 of the California Health and Safety Code; (iv) defined as a "hazardous substance" under Section 25281 of the California Health and Safety Code; (v) petroleum; (vi) asbestos; (vii) a polychlorinated biphenyl; (viii) listed under Article 9 or defined as "hazardous" or "extremely hazardous" pursuant to Article 11 of Title 22 of the California Code of Regulations, Chapter 20; (ix) designated as a "hazardous substance" pursuant to Section 311 of the Clean Water Act (33 U.S.C. Section 6903); (xi) defined as a "hazardous substance" pursuant to Section 101 of the Comprehensive Environmental Response, Compensation and Liability Act (42 U.S.C. Section 9601); or (xii) any other substance, whether in the form of a solid, liquid, gas or any other form whatsoever, which by any governmental requirements either requires special handling in its use, transportation, generation, collection, storage, treatment or disposal, or is defined as "hazardous" or is harmful to the environment or capable of posing a risk of injury to public health and safety.

15. PERMISSION TO ENTER ON PREMISES. Seller hereby grants to Buyer, its authorized agents or contractors, the right to enter upon the PROPERTY prior to close of escrow upon forty-eight (48) 5 hours prior written notice to make necessary and reasonable inspections. Such inspections may include environmental based testing. Buyer shall conduct any such entries onto the PROPERTY in a manner that minimizes, to the extent reasonably possible, interference with the conduct of any business or businesses currently being conducted on the Master Parcel. Buyer agrees that it will reasonably repair any damage to the Property resulting from surveys, tests and inspections performed in accordance herewith if Buyer does not purchase the Property, exclusive of normal wear and tear and customary effects of the surveys, tests and inspections. Buyer shall also defend, indemnify and hold harmless Seller from and against any and all loss, cost, damage, expense or liability (including, without limitation, reasonable attorneys’ fees and court costs) for loss of or damage to the Property, or any property thereon, and for injuries to or death of a person, Seller may suffer or incur to the extent arising out of Buyer’s activities on the PROPERTY and/or the cost thereof, or out of any negligence or willful misconduct of Buyer in performing the surveys, tests and inspections contemplated hereby, provided that, without expanding by implication the scope of the foregoing indemnity, the foregoing agreement to indemnify and hold harmless shall not apply to any loss, cost, damage, expense or liability arising out of or related to (i) any condition upon or under the PROPERTY not caused by Buyer, (ii) any violation of law existing with respect to the PROPERTY not caused by Buyer, or (iii) the negligence or willful misconduct of Seller or its shareholders, officers, directors, employees, agents or contractors.

The foregoing indemnity shall survive the expiration or earlier termination of this Agreement.

16. POSSESSION AND USE. In consideration of the sum to be paid to the Seller for the Property and TCE to be conveyed to Seller and any other consideration set forth herein, Seller hereby grants to Buyer, its contractors, agents and all others deemed necessary by Buyer, the irrevocable right to possession and use of the Property, including the right to remove and dispose of improvements within the Property. In consideration for this irrevocable grant of possession and use, concurrently with the Opening of Escrow (as defined above), Buyer will tender into escrow the full cash portion of the Purchase Price in sum of SEVEN HUNDRED EIGHTY TWO THOUSAND DOLLARS ($782,0000.00). Buyer's right to possession of the PROPERTY hereunder shall be conditioned upon and shall commence on the date said sum is paid into Escrow (as defined above) and such amount is delivered to Seller.

Upon taking possession, Buyer shall be solely responsible for the PROPERTY and TCE and shall defend, indemnify and hold Seller harmless from and against any and all claims arising out of or related to Buyer’s possession and use of the PROPERTY and TCE. If Buyer does not complete the purchase of the PROPERTY and TCE hereunder and this Agreement is terminated or canceled, for any reason except Seller's default, Buyer shall, at Buyer's sole cost and expense, completely restore the PROPERTY and TCE to its condition as existed immediately prior to Buyer taking possession under this Section 14. The provisions of this Section 16 shall survive the Closing.

AND PROVISIONS OF THIS SECTION SHALL EXPRESSLY SURVIVE THE CLOSING AND NOT

MERGE THEREIN AND SHALL BE INCORPORATED INTO THE DEED TO BE DELIVERED BY SELLER TO BUYER AT CLOSING.

18. COUNTERPARTS. This Agreement may be executed in counterparts, each of which so executed shall, irrespective of the date of its execution and delivery, be deemed an original, and all such counterparts together shall constitute one and the same instrument.

19. CONTINGENCY. It is understood and agreed between the Parties hereto that the completion of this transaction, and the escrow created hereby, is contingent upon the specific acceptance and approval of the Buyer herein. Buyer’s execution of this Agreement and the delivery of same to Escrow Holder constitutes said acceptance and approval.

20. NO BROKERS. Buyer and Seller each represents to the other that no brokers have been involved in this transaction. Buyer and Seller agree to indemnify one another against any claim, suits, damages and costs incurred or resulting from the claims of any person for any fee or 7 compensation due in connection with this transaction pursuant to a written agreement made with said claimant.

21. JURISDICTION AND VENUE. This Agreement shall be governed by and construed in accordance with the laws of the State of California. The Parties consent to the jurisdiction of the California courts with venue in Los Angeles County.

22. ASSIGNMENT. The terms and conditions, covenants, and agreements set forth herein shall apply to and bind the heirs, executors, administrators, assigns and successors of the Parties hereto.

It is understood that minor changes in dimensions of the PROPERTY and/or TCE may be required to meet design requirements and minor changes in language or format may be required to meet recording standards. Seller agrees to sign revised documents that may vary slightly from those exhibits attached to this Agreement when said adjustments do not affect the material purpose or magnitude of the PROPERTY and/or TCE.

Additionally, upon Seller’s request to Buyer, Buyer shall use commercially reasonable efforts to cooperate with Seller so that the County of Los Angeles does not include the Property within the assessment of the Master Parcel for purposes of property taxes and assessments. The requirement for Buyer to cooperate with Seller as provided in the foregoing sentence shall survive the Closing.

24. ENTIRE AGREEMENT, WAIVER AND MODIFICATION. This Agreement, together with escrow instructions executed by the Parties, will constitute the entire Agreement between the Parties with respect to the subject matter of this Agreement. It supersedes all prior agreements and understandings, whether oral or written, between the Parties with respect to the matters contained in this Agreement. Any waiver, modification, consent or acquiescence with respect to any provision of this Agreement shall be set forth in writing and duly executed by or on behalf of the Party to be bound thereby. No waiver by any Party of any breach hereunder shall be deemed a waiver of any other or subsequent breach.

25. SITE PLAN AMENDMENT. The Closing shall be contingent upon the Community Development Director of the City of Lancaster (or his/her designee) approving a Site Plan Amendment for the Master Parcel in accordance with Lancaster Municipal Code Section 17.12.12, which approval shall substantially conform to the site plan attached to this Agreement as Exhibit E attached hereto and incorporated herein (“Site Plan Amendment Approval”), as determined by Seller in Seller’s reasonable discretion.
