SERVICE AGREEMENT AND RELEASE OF LIABILITY AMENDMENT
This Amendment (“Amendment No. 1”) is hereby entered into effective June 9, 2026 by and between the City of Lancaster, a Municipal Corporation, in the State of California, and SHANA MABARI STUDIO LLC, a California limited liability company (“Vendor”) with respect to the amended Section 2 of the original Agreement between the parties dated March 9, 2025 (“Agreement”).
The Parties agree as follows:
1. Section 2 of the Agreement is deleted in its entirety and replaced with this update:
Compensation; Vendor’s Payment of Subcontractors . City shall pay Vendor an amount not to exceed $132,370 (“Compensation”) as full and complete compensation for Vendor (including any subcontractor(s)) performing the Work, subject and according to the payment schedule specified in the Scope of Work. Vendor shall make all payments to all subcontractors (except in the case of legitimate disputes between the Vendor and any such subcontractor arising out of the agreement between the Vendor and such subcontractor) in accordance with the respective agreements between the Vendor and its subcontractors such that subcontractors will not be in a position to assert, claim, or enforce any lien and/or other right against City or any of City’s property.
2. All other terms and provisions of the Agr eement and s ubsequent amendments are hereby reaffirmed.
