From:George N. Harris II, Senior Director/Treasurer – Administrative Services Subject:Amendments 2 & 3 to CliftonLarsonAllen LLP (CLA) Agreement Recommendations:
1. Approve a not to exceed amount of $558,000 to be paid to CliftonLarsonAllen LLP
2. (CLA) for all work and services described in the Scope of Services.
3. Approve Amendment No. 2 of the CliftonLarsonAllen LLP (CLA) professional auditing services agreement extending the term of the agreement by 1 year to June 30, 2026.
4. Update Exhibit “B” of the Schedule of Pricing & Contract Term to increase FY2025/26 pricing to a not to exceed amount of $140,000 for all services.
5. Approve Amendment No. 3 of the CliftonLarsonAllen LLP (CLA) professional auditing services agreement extending the term of the agreement by 1 year to June 30, 2027.
6. Authorize the City Manager or his designee to finalize and execute the terms and conditions of the proposed Second and Third Amendments.

Fiscal Impact:
Sufficient funds are available in account 10117100-5710 for FY 2025 and 2026. Staff will budget additional funding in future fiscal year.

Background:
On March 22, 2022, the City awarded the professional auditing services agreement to CliftonLarsonAllen LLP (CLA) through a competitive bid. These services included an Annual Comprehensive Financial Report (ACFR) and its component unit financial statements for the City of Lancaster, Lancaster Public Financing Authority, Lancaster Housing Authority, Lancaster Community Services Foundation, California Choice Energy Authority and the Lancaster Choice Energy. Also in 2022, the Government Accounting Standards Board (GASB) released new standards resulting in an additional need for services provided by CLA. On May 07,2024, the Council approved Amendment No 1, which amended the scope of services under the original agreement.
