AMENDMENT NO. 1 TO AGREEMENT FOR PROFESSIONAL SERVICES
FOR “OUTLOOK MAGAZINE” PRODUCTION SERVICES
This Amendment (“Amendment No. 1”) is hereby entered into effective June 29, 2026 by and between the City of Lancaster, a Municipal Corporation, in the State of California (“OWNER”), and Advantage Mailing LLC (“CONSULTANT”) to the Agreement for AGREEMENT FOR PROFESSIONAL SERVICES between the parties dated March 26, 2024 (“Agreement”).
The Parties agree to amend the Agreement as follows:
1.Amendment to Section 5– Obligations of the City. Section 5 of the Agreement is hereby deleted in its entirety and replaced with the following:
a. The City shall pay Consultant an amount not to exceed $616,066 for all work necessary to complete the Services, as described in the Scope of Services and Rates Schedule, which amount shall be inclusive of Services provided during Fiscal Years 2024-2025, 2025-2026, and 2026-2027. Payments shall be due within thirty (30) days following submittal of an invoice detailing the services performed, at the quarterly rates set forth in Exhibit A to the Agreement.
b. No payment made hereunder by the City to Consultant, other than the final payment, shall be construed as an acceptance by the City of any work or materials, nor as evidence of satisfactory performance by Consultant of its obligations under this Agreement.
2.Amendment to Section 10 – Term; Effective Date. Section 10 of the Agreement is hereby deleted in its entirety and replaced with the following:
This Agreement shall become effective upon execution by both parties and shall remain in full force and effect until June 30, 2027, unless the Agreement is sooner terminated in accordance with its terms; provided, however, that the City and the Consultant may not extend the Term of this Agreement beyond December 31, 2027.
3. All other terms and provisions of the Agreement are hereby affirmed.
