CITY MANAGER' SREPORT
APRIL 13, 2026 CITY COUNCIL REGULAR MEETING
ITEM: APPROVE AMENDMENT NO. 1 WITH VEOLIA WATER
WEST OPERATING SERVICES, INC., FOR THE

OPERATION AND MAINTENANCE OF THE LATHROP

CONSOLIDATED TREATMENT FACILITY AND

APPROVE BUDGET AMENDMENT
RECOMMENDATION: Adopt Resolution to Approve Amendment No. 1 with Veolia Water West Operating Services, Inc., for the
Operation and Maintenance of the Lathrop
Consolidated Treatment Facility and Approve Budget
Amendment
SUMMARY:

The Lathrop Consolidated Treatment Facility ( CTF) provides sewer treatment capacity for the Crossroads, Mossdale, River Islands, South Lathrop, Gateway and Central Lathrop Specific Plan development areas. Veolia Water West Operating Services, Inc., (Veolia) provides Operations and Maintenance ( O&M) services based on a 2023 Amended and Restated O&M Agreement. An amendment to this agreement is needed primarily due to changes in operation and maintenance requirements due to Capital Improvement Project ( CIP) WW 22- 38 Phase 3 CTF Expansion and CIP WW 25-6 Phase 4 CTF Expansion.

Staff requests Council approve Amendment No. 1 with Veolia for the CTF O&M services for a cost of $ 174, 219. 45 per month. Sufficient funds were not included in the Fund 6080 ( WW Recycling Plant -# 1 MBR) to cover the increase in cost, and therefore a budget amendment in the amount of $400, 00 is requested for fiscal year FY) 2026/7paid for by revenue generated by rate payers within new development areas.

BACKGROUND:

The CTF provides sewer treatment capacity for the Crossroads, Mossdale, River Islands, South Lathrop, Gateway and Central Lathrop Specific Plan development areas. On March 13, 2023, City Council approved an Amended and Restated Wastewater O&M agreement with Veolia. This agreement replaced the original agreement and amendments between the City and US Filter Operating Services from 2003. The agreement must be amended to expand the scope and monthly service fee to cover new maintenance and operational obligations from facility improvements constructed as a part of CIP WW 22- 38 Phase 3 CTF Expansion and CIP WW 25-6 Phase 4 CTF Expansion.

APPROVE AMENDMENT NO. 1 WITH VEOLIA WATER WEST OPERATING SERVICES, INC., FOR THE OPERATION AND MAINTENANCE OF THE LATHROP

CONSOLIDATED TREATMENT FACILITY AND APPROVE BUDGET AMENDMENT REASON FOR RECOMMENDATION:

Staff requests City Council approve Amendment No. 1 with Veolia for O&M services of the CTF. The amendment ensures that the scope and service fee are adjusted accordingly to cover changes in O&M requirements from the completed improvements constructed with the Phase 3 and Phase 4 Expansions.

FISCAL IMPACT:

The current fees for the Veolia O&M contract are $ 149, 219. 45 per month. The negotiated fee adjustment under the new agreement is $ 174, 219. 45per month. FY 2025/6 budgeted sufficient funds in Fund 6080 ( WW Recycling Plant # 1 MBR) to cover this increase, however sufficient funds were not included for FY 2026/7, therefore staff requests Council approve a budget amendment in the amount of 400, 00 paid for by revenue generated by rate payers within new development areas.

Fiscal Year 2026/7:

Increase Revenue
6080- 5034- 344- 01- 36 $400, 00
Increase Appropriation
6080- 5034- 420- 01- $400, 00

Background
Bioreactors and membranes at the Lathrop Consolidated Treatment Facility (CTF) are undergoing a series of upgrades to improve treatment performance. Phase III construction is nearing completion and includes bioreactors 3 and 4, as well as membranes 6, 7, and 8. Phase IV construction, which includes bioreactors 5 and 6 and membranes 4 and 5, is still in progress.

This startup plan outlines the six -day sequence of activities required to startup and commission the Phase III system, followed by the multi -month process to decommission, repair, and restart the Phase II system.

Discharge specifications for each stage of startup are also provided.

The startup plan ( Stages 0-2) for commissioning the Phase III system is detailed in this document. 17520 Nev. hope Street. Suite 200 Fountain Valley. Stage 0 — Functional Testing
Prior to seeding the new Phase III system with MLSS- activated sludge, the new bioreactors and membranes need to be tested for functionality.

Step Oa: Existing Condition
In this step, Phase II bioreactors 1 and 2 will be filled with mixed liquor suspended solids ( MLSS) activated sludge, and membranes 1, 2, and 3 will remain operating normally. The equalization pipes between Phases II and I I I will remain closed during this step and bioreactors 3 and 4 and membranes 6, 7, and 8 will be initially empty ( shown in gray in Figure Oa). Phase IV bioreactors 5 and 6 are still under construction.

Figure Oa. Phase I II is empty while Phase II operates normally at Lathrop CTF.

Step Ob: Clean Water Testing of Phase III ( start of Dec ' 25) Phase III will be filled with " clean water", i.e. recycled water, for functional equipment testing ( shown in purple in Figure Ob). Functional testing of Phase III will consist of the following steps:

Running the Phase III systems in HAND and then AUTO with temporary permeate plumbing to return permeate to the Phase III RAS channel.

Closing the permeate header valve between Phases II and III, allowing Phase I I I permeate to be temporarily routed to the Phase I I I RAS channel.

Note: The influent channel and RAS sump from Phases II and III are interconnected, and during the clean water testing and commissioning procedure the valves on the connected pipes will remain closed.

Figure Ob. Phase I I I filled with clean water for functional testing while Phase II operates normally.

Step Oc: Emptying Phase 111 of Clean Water ( late Dec ' 25 or early Jan ' 26) After the completion of Phase I I I functional testing with clean water, the Phase I I I system will be partially emptied once the SCADA system is installed and functional. If the SCADA system is not ready, clean water will continue to be recirculated, and biological seeding will be delayed until ready.

Emptying Phase I I I steps ( once the SCADA system is up):

The dewatering pumps will be run prior to emptying Phase III bioreactors 3 and 4 to avoid flotation or groundwater flowing into the tanks.
50% of the water ( around 8 ft. depth remaining) will be pumped out from bioreactors 3 and 4.

Discharge Specifications: The emptied clean water will be sent to the S5 storage basin to allow these bioreactors to be replenished with MLSS activated sludge obtained from bioreactors 1 and 2.

Stage 1 — Seeding Phase III with MLSS
Once Phase III bioreactors 3 and 4 are 50% empty, the seeding process will begin by introducing MLSS activated sludge sourced from Phase II bioreactors 1 and 2.

Inflows are typically 1, 000 gallons per minute ( gpm), so to ensure operational safety, bioreactors 1 and 2 will be pumped at a conservative rate of 200 gpm each. This rate is selected to ensure that both bioreactors 1 and 2 remain full and Phase II continues operating while Phase III is being filled.

To begin seeding:

Automatic DO mode will be enabled for all 4 bioreactors.

Temporary submersible pumps will transfer MLSS from bioreactor 1 to bioreactor 3 and from bioreactor 2 to bioreactor 4 at a slow flowrate, around 75 — 200 gpm.

The transfer of MLSS will be conducted over a period of nine hours daily for six consecutive days, aiming to transfer 50% of the activated sludge from bioreactors 1 and 2 to bioreactors 3 and 4. The total time projected to startup and commission Phase III is six days. Membranes 6, 7, 8 will be turned on once bioreactors 3 and 4 reach 100% capacity.

A detailed, daily, description of each day of MLSS and sewage transfer is provided below. This plan will only describe the transfer from bioreactor 1 to bioreactor 3, which will be the same as the transfer from bioreactor 2 to bioreactor 4.

PACE
V3 Phase III Startup Plan for Bioreactor and Membrane Systems at Lathrop CTF November 18, 2025 City of Lathrop - # A713 Page 6 of 14
Step la: Day 1 of Seeding ( late Dec ' 25 or early Jan ' 26) The MLSS from Phase II bioreactor 1 will be slowly transferred to Phase III bioreactor 3 at a flowrate of 200 gpm for a period of nine hours.

Table 1 a, column 6 shows the microbial population ( bacteria concentration in ppm) for bioreactor 1. Column 2 shows the influent flowrate ( Qinflow in gpm), which indicates the volume of raw sewage entering the treatment facility. The total inflow will be evenly distributed, with 50% directed to bioreactor 1 and 50% to bioreactor 2. Column 3 shows the fraction of inflow directed to bioreactor 1, which initially is 50% and gradually decreases over time, reaching 42% by the end of the first day.

Upon completion of MLSS transfer on Day 1, the sewage transfer process to bioreactor 3 will commence.

As shown in Table 1 a, the inflow percentage to bioreactor 3 ( column 14) increases from 0% to 8% and remains at this level until 3: 00 pm on the second day. It is necessary to ensure that the sewage is transferred immediately following the completion of the MLSS transfer.

By the end of day 1, bioreactor 3 is not at full capacity ( Figure 1 a). The total volume of sewage in the tank starts at 50%, due to 370, 00 gallons ( column 16) of clean water remaining after the completion of Phase III functional testing, and ends at 73% on Day 1, as indicated in column 18.

In this early stage of transferring, MLSS from bioreactor 3 ( column 17) appears low because the seed sludge is diluted. Over the following days, as organic load is introduced, MLSS is expected to rise gradually due to bacterial growth.

November 18, 2025
Figure 1a. On Day 1, Phase II bioreactors are seeding Phase III with MLSS activated sludge. Phase III has reached 73% of its total capacity.

Step lb: Day 2 of Seeding
Bioreactor 1 continues to pump MLSS to bioreactor 3 at a rate of 200 gpm for nine hours. This pumping occurs during the day to avoid overnight pumping. Table lb shows that by 5: 00 pm on day 2, Phase III bioreactors will reach 100% of their capacity ( column 18) and at this point, membranes 6, 7, and 8 will be turned on and active ( column 19). Phase III RAS pumps will also be manually turned on.

On day 2, the percentage of inflow sewage decreases from 42% to 34% ( column 3) and sewage transfer has increased from 8% to 16% ( column 14). The total MLSS concentration at the end of day 2 reaches 2, 325 ppm ( column 17), which is still low but projected to grow over time.

By the end of day 2, Phase 3 bioreactors will be full and in operation (Figure lb).

Discharge Specifications: Phase 3 membrane permeate produced from this day forward ( if turbidity and ammonia compliant), will be chlorinated, dechlorinated, and sent to the San Joaquin River.

If turbidity is non -compliant, permeate is automatically routed to the emergency storage basin.

If ammonia is non -compliant, permeate will be manually routed to the emergency storage basin, and immediate action will be taken to resolve the high ammonia before resuming discharge to the river.

Step 1e: Day 5 of Seeding
As shown in table 1e, bioreactor 1 continues to pump MLSS to bioreactor 3, at a reduced flow of 150 gpm for nine hours ( column 9), due to total inflow to bioreactor 1 declining progressively, from 18% to 10% as PACE

Stage 2 — Phase III Operation and Phase II Repairs
The Phase II bioreactors and membranes require repairs before the system can be recommissioned to operate in parallel with Phase II I . The following steps outline the process for operating Phase III while efficiently servicing Phase I I .

Step 2a: Day 6 of Seeding ( afternoon)
Following the final transfer at 70 gpm on the morning of Day 6, the Phase II bioreactors will be shut down, and no additional MLSS will be transferred to the Phase I I I bioreactors. The transfer flow rate will then be increased to 150 gpm to expedite the emptying of the Phase II bioreactors. The remaining 50% of the MLSS in the Phase II bioreactors will be wasted.

Discharge specifications: The remaining 50% MLSS from bioreactor 1 will be wasted and sent to the digesters ( Figure 2a).

Unless otherwise noted, membrane permeate will be chlorinated, dechlorinated, and then discharged to the San Joaquin river.

Figure 2a. On Day 6, Phase II has been shut down, and 50% of the MLSS activated sludge will be transferred to the digesters.

Step 2c: Days 6 — 90 (finishing as late as Apr '26)
Throughout this timeframe, Phase III is expected to continue to operate efficiently and without interruption.

Simultaneously, maintenance of the Phase II system, particularly the air scour blowers and membranes, will commence.

The maintenance of the membranes requires special care, as they must remain continuously immersed in water and cannot be allowed to dry out. During the repair process, the membranes will be immersed in a mild chlorine - based solution ( 2-5
ppm). The air scour blowers will be repaired and installed for Phase II. If the air scour repair takes longer than 10 days, the soaking membranes shall be gently mixed using a submersible pump to ensure homogeneous conditions. Following blower repair, Phase II membranes 1, 2, and 3 will undergo a full backwash and descaling.

Phase II bioreactors will be temporarily out of service to allow maintenance on the RAS sump and renovation of the influent box ( Figure 2b). However, Phase II membranes will be online and fed with Phase III RAS. Phase I I I RAS pumps will be turned on high to ensure enough pressure to penetrate all six membranes from Phases II and III. The RAS interconnection valve will be open during this step unless a repair is needed in the RAS channel and then the valve will be closed briefly while the Phase II RAS channel equipment is repaired. The Phase II RAS channel will undergo minor renovations of the WAS pumps and mixer mounting brackets.

Once the Phase II bioreactors are repaired, the Phase II and III systems will be ready to run parallel.

Step 2d: Days 90+
Following the successful renovation of Phase II, bioreactors 1 and 2 will be replenished with MLSS activated sludge, thereby reversing the previously described process. Bioreactor 1 will be inoculated with MLSS sourced from bioreactor 3, while bioreactor 2 will receive MLSS sourced from bioreactor 4. Phase II RAS pumps will be turned back on. Phases II and III will run parallel. Phase IV bioreactors 5 and 6 are still under construction.
