AMENDMENT
RECOMMENDATION: Adopt Resolution to Ratify Amendment No. 2 with Bay Alarm Company for Security, Fire Alarm, Access
Control, Equipment, and Maintenance Services and
Approve Related Budget Amendment
SUMMARY:
The City performs as needed and routine upgrades to life safety and security systems at its facilities to ensure compliance with State and Federal requirements and to safeguard City assets, personnel, and the public. Several new facilities have recently been incorporated into the City' s network and require fire alarm monitoring, access control, surveillance systems, and ongoing maintenance. In addition, certain existing security components have reached end of life and must be replaced to maintain system reliability and regulatory compliance.
These improvements are necessary to meet applicable Department of Homeland Security ( DHS), Criminal Justice Information Services ( CJIS), and National Institute of Standards and Technology ( NIST) security and monitoring standards.
The costs associated with these additions and upgrades were not included in the previously approved budget or the Agreement approved on June 5, 2023. As these facilities came in after of have been recently added. Therefore, an amendment to the Agreement is required, along with a budget amendment in the amount of $ 174, 259 to cover unforeseen expenses.
BACKGROUND:
The City completed a Vulnerability Assessment and Emergency Response Plan in 2003 in accordance with U. S. EPA guidelines and has since maintained updated standards and layered security systems to protect critical facilities. The City currently operates fire alarm, access control, intrusion detection, and surveillance systems, and since approval of the 2023 agreement, the number of secured facilities has increased from 39 to 43, requiring expanded monitoring, maintenance, and support.
Several legacy access control systems have reached end of support and no longer meet current cybersecurity and regulatory standards. Prompt replacement is necessary to maintain CJIS and DHS compliance, particularly for law enforcement facilities, and to reduce the risk of system failure, security vulnerabilities, and noncompliance.

It is critical to continue using the existing services provider to ensure system compatibility, maintain proprietary infrastructure, and preserve uninterrupted 24/ 7 monitoring services. Bay Alarm Company has provided security and surveillance services to the city for more than two decades, and its extensive experience and proven reliability are critical to maintaining compliance with State requirements related to critical security infrastructure. Transitioning to a new vendor would require full system replacement, resulting in substantially higher costs, potential operational disruptions, and the risk of exposing sensitive security configurations.
REASON FOR RECOMMENDATION:
Several facilities have access control systems that have reached end of life and must be upgraded to maintain compliance, cybersecurity integrity, and alignment with NIST, CJIS, and DHS requirements. Failure to replace these systems increases the risk of security vulnerabilities and non- compliance.
In addition, four newly accepted facilities require integrated fire alarm systems, access control, and 24/ 7 surveillance monitoring, including installation of necessary wiring and communication infrastructure to support these systems. Due to the sensitive nature of these facilities and applicable DHS requirements, security systems must be operational immediately upon completion of construction. Therefore, this work was carried out under Amendment No. 2 with Bay Alarm Company to ensure timely implementation and continuous protection against unlawful entry, vandalism, fire hazards, and other security risks.
FISCAL IMPACT:
Sufficient funds were not budgeted in the City Council approved biennial budget and an amendment in the amount of $ 174, 259 is required as detailed below.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LATHROP TO RATIFY AMENDMENT NO. 2 WITH BAY ALARM COMPANY FOR SECURITY, FIRE
ALARM, ACCESS CONTROL, EQUIPMENT, AND MAINTENANCE SERVICES, AND
APPROVE RELATED BUDGET AMENDMENT
WHEREAS, Bay Alarm Company has provided integrated fire alarm systems, 24/ 7 central station monitoring, access control, intrusion detection, and maintenance services for various City facilities for over two decades; and WHEREAS, several new facilities have recently been incorporated into the City' s network and require fire alarm monitoring, access control, surveillance systems, and ongoing maintenance, and certain existing security components have reached end - of -life and must be replaced to maintain system reliability and regulatory compliance; and

BE IT FURTHER RESOLVED, that the City Council hereby approves a budget amendment in the amount of $ 174, 259 to fund these improvements.

BETWEEN THE CITY OF LATHROP AND BAY ALARM COMPANY
THIS SERVICE AGREEMENT AMENDMENT, dated the "'' day of M/°" 12026, is by and made and entered into by and between Bay Alarm Company. (" CONSULTANT") and the CITY OF LATHROP, a California municipal corporation (" CITY"); RECITALS:
WHEREAS, CONTRACTOR is specially trained, experienced, and competent to provide the Security, Fire Alarm, Access Control, Equipment and Maintenance Services, which are required by this Agreement; and
WHEREAS, CITY selected the CONTRACTOR as the most qualified to perform these services and was selected by CITY pursuant to said qualification; and WHEREAS, on June 5, 2023, CONSULTANT and CITY entered into an AGREEMENT to provide the Security, Fire Alarm, Access Control, Equipment and Maintenance Services, not to exceed $ 621, 450 for a five ( 5) year term; and WHEREAS, on June 20, 2024, CONSULTANT and CITY entered into Amendment No. 1 to provide the Security, Fire Alarm, Access Control, Equipment and Maintenance Services adding the Lathrop Police Department Evidence Building, not to exceed $ 29,80 annually for four (4) fiscal years, and a one- time cost for equipment of $18, 750; and WHEREAS, the total amended contract sum was not to exceed $ 669, 480 621, 450 for the original agreement plus the $ 29,80, one- time cost of $ 18, 750 for equipment for Amendment No. 1 for the addition of the Lathrop Police Department Evidence Building; and
WHEREAS, additional stations not included in the original agreement and Amendment No. 1 require security, fire alarm, access control, equipment and maintenance service and equipment at several existing stations have also gone end of life, therefore, require upgrading; and
WHEREAS, pursuant to City of LMC 2. 36. 080, to efficiently and timely maintain essential facility services, continuation with CONSULTANT is necessary to ensure system compatibility, maintain proprietary infrastructure, and preserve uninterrupted 24/ 7 monitoring services; and due to the vendor' s extensive experience and the integrated nature of the systems, transitioning to a new provider would result in significantly higher costs, potential service disruptions, and increased risk to sensitive security configurations; and

WHEREAS, the City currently has an existing contract with the CONSULTANT, CONSULTANT provided CITY with a scope of work attached hereto as Exhibit " A" for Amendment No. 2 to furnish Security, Fire Alarm, Access Control, Equipment, and Maintenance Services for additional stations and necessary system upgrades; and NOW, THEREFORE, CONTRACTOR and the CITY agree as follows:
AMENDMENT NO. 2 to AGREEMENT
1) Amendment. Section (2) of the AGREEMENT entitled " Compensation" is hereby amended as follows:
CITY does hereby agree to pay CONTRACTOR a sum not to exceed $ 843, 79 621, 450 for the original five ( 5) year Agreement, $ 29,80 plus a one- time cost for equipment of $ 18, 750 for Amendment No. 1 and an additional $ 174, 259 for Amendment No. 2), in accordance with the payment schedule included in the original scope of work and the Agreement hereafter referred to as Exhibit "A" and incorporated herein by reference notwithstanding any contrary indication which may be contained in CONTRACTOR' s
proposal.
2) Effective Date and Term
The effective date of AMENDMENT NO. 2 is May 4—, 2026 and shall terminate no later than June 30, 2028. All other terms of the original AGREEMENT shall remain in full force and effect.
3) Applicability to Original Agreement.
All terms and conditions set forth in the AGREEMENT dated June 5th, 2023, are still in effect and are incorporated by reference herein and said AGREEMENT is incorporated by reference herein.
4) Signatures.
The individuals executing this AMENDMENT NO. 2 represent and warrant that they have the right, power, legal capacity, and authority to enter into and to execute this Agreement on behalf of the respective legal entities of the CONTRACTOR and the CITY. This agreement shall inure to the benefit of and be binding upon the parties hereto and their respective successors and assigns.
