STAFF REPORT
AGENDA ITEM: Resolution Approving Award of Agreement for Information Technology (IT) Managed Services to Mid Valley IT Services

MEETING DATE: July 7, 2026
PREPARED BY: Happy Bains, Finance Director/Assistant City Manager REVIEWED BY: Jose A. Ramirez, City Manager

RECOMMENDATION
Staff recommends that the City Council adopt a Resolution approving award of agreement for IT Managed Services to Mid Valley IT Services and authorize the City Manager to sign the Professional Services Agreement contract.

BACKGROUND
In April 2026, the City circulated a Request for Proposal (RFP) for Professional IT Managed Services. The existing contract for IT Managed Services will expire on August 30, 2026. In accordance with industry standards and the City’s Purchasing Policy a Request for Proposal was written, reviewed, and published. Responses were evaluated by a committee, ranked in accordance with the terms of the RFP, and a recommendation to award a contract to Mid Valley IT Services is being made based on the vendor’s qualifications.

DISCUSSION
In April 2026, the City published Request for Proposal (RFP) for Professional Auditing Services.

Nine (9) responses were received and found to be both, responsive and responsible. They were then evaluated by a committee comprised by City staff and ranked in accordance with the terms of the RFP.

Below, you will find a summary of the nine (9) applicants:

Company Total Contract
(3 years)
1 Mid Valley IT Services $475,972.80
2 Apex Technology Management $479,852.00
3 Alpha Technologies $567,000.00
4 Global Solutions Group, Inc $454,017.48
5 Datanetiix Solutions Inc $1,649,000.00

6. Consultadd Inc. $367,500.00

7. Buzz Clan $535,500.00

8. BumbleBee IT Services $270,000.00

9. Leonard Technology, Inc. $963,000.00
20 of 161

Page 2 of 2 ends

The ranking matrix was weighted with cost and experience being of critical importance. One (1) firm emerged as the leader in the evaluation process. The committee performed background and reference checks and based upon the combined information obtained, Mid Valley IT Services is the recommended vendor for IT Managed Services.

Mid Valley IT was founded in 2007 and has been helping small, medium and large business in the California Central Valley with all or their IT support services. Mid Valley IT is one of the most experienced government IT companies in the area with more than 11 years of experience working directly within all departments of our public sector clients. Mid Valley IT provides managed IT support for more than 80 clients on a full-time basis. It also designs, plans and implements projects for 36 additional clients in a non-support environment including VoIP phone systems, security systems, and forensics. Average client size is approximately is approximately 150 users. Mid Valley IT currently employs a team of 16 full-time engineers and 6 administration/account management staff. Mid Valley IT Services is the current managed IT service provider for the City.

The agreement, should Council approve it, is for an initial three-year (3) period starting in August of 2026. Included in the agreement is the option for two (2) additional one-year extensions. These extensions can be initiated by staff upon mutual agreement by the City and Mid Valley IT Services.

FISCAL IMPACT

4 01424.0001/1017452.1

Without limiting Consultant’s indemnification of City, and prior to commencement of any services under this Agreement, Consultant shall obtain, provide and maintain at its own expense during the term of this Agreement, policies of insurance of the type and amounts described below and in a form satisfactory to City. (a) General liability insurance. Consultant shall maintain commercial general liability insurance with coverage at least as broad as Insurance Services Office form CG 00 01, in an amount not less than $1,000,000 per occurrence, $2,000,000 general aggregate, for bodily injury, personal injury, and property damage. The policy must include contractual liability that has not been amended. Any endorsement restricting standard ISO “insured contract” language will not be accepted.
(b) Automobile liability insurance. Consultant shall maintain automobile insurance at least as broad as Insurance Services Office form CA 00 01 covering bodily injury and property damage for all activities of the Consultant arising out of or in connection with Services to be performed under this Agreement, including coverage for any owned, hired, non-owned or rented vehicles, in an amount not less than $1,000,000 combined single limit for each accident. (c) Professional liability (errors & omissions) insurance. Consultant shall maintain professional liability insurance that covers the Services to be performed in connection with this Agreement, in the minimum amount of $1,000,000 per claim and in the aggregate. Any policy inception date, continuity date, or retroactive date must be before the effective date of this Agreement and Consultant agrees to maintain continuous coverage through a period no less than three (3) years after completion of the services required by this Agreement. (d) Workers’ compensation insurance. Consultant shall maintain Workers’ Compensation Insurance (Statutory Limits) and Employer’s Liability Insurance (with limits of at least $1,000,000).

All coverages for subcontractors shall include all of the requirements stated herein. (f) Additional Insurance. Policies of such other insurance, as may be required in the Special Requirements in Exhibit “B”.

5.2 General Insurance Requirements.

(b) Duration of coverage. Consultant shall procure and maintain for the duration of this Agreement insurance against claims for injuries to persons or damages to property, 27 of 161
5 01424.0001/1017452.1
which may arise from or in connection with the performance of the Services hereunder by Consultant, its agents, representatives, employees or subconsultants. (c) Primary/noncontributing. Coverage provided by Consultant shall be primary and any insurance or self-insurance procured or maintained by City shall not be required to contribute with it. The limits of insurance required herein may be satisfied by a combination of primary and umbrella or excess insurance. Any umbrella or excess insurance shall contain or be endorsed to contain a provision that such coverage shall also apply on a primary and noncontributory basis for the benefit of City before the City’s own insurance or self-insurance shall be called upon to protect it as a named insured.
(d) City’s rights of enforcement. In the event any policy of insurance required under this Agreement does not comply with these specifications or is canceled and not replaced, City has the right but not the duty to obtain the insurance it deems necessary and any premium paid by City will be promptly reimbursed by Consultant or City will withhold amounts sufficient to pay premium from Consultant payments. In the alternative, City may cancel this Agreement. (e) Acceptable insurers. (f) Waiver of subrogation. All insurance coverage maintained or procured pursuant to this agreement shall be endorsed to waive subrogation against City, its elected or appointed officers, agents, officials, employees and volunteers or shall specifically allow Consultant or others providing insurance evidence in compliance with these specifications to waive their right of recovery prior to a loss. Consultant hereby waives its own right of recovery against City, and shall require similar written express waivers and insurance clauses from each of its subconsultants.
(g) Enforcement of contract provisions (non-estoppel). Consultant acknowledges and agrees that any actual or alleged failure on the part of the City to inform Consultant of non-compliance with any requirement imposes no additional obligations on the City nor does it waive any rights hereunder.
(h) Requirements not limiting. Requirements of specific coverage features or limits contained in this section are not intended as a limitation on coverage, limits or other requirements, or a waiver of any coverage normally provided by any insurance. Specific reference to a given coverage feature is for purposes of clarification only as it pertains to a given issue and is not intended by any party or insured to be all inclusive, or to the exclusion of other coverage, or a waiver of any type. If the Consultant maintains higher limits than the minimums shown above, the City requires and shall be entitled to coverage for the higher limits maintained by the Consultant. Any available insurance proceeds in excess of the specified minimum limits of insurance and coverage shall be available to the City.
(i) Notice of cancellation. Consultant agrees to oblige its insurance agent or 28 of 161
6 01424.0001/1017452.1
broker and insurers to provide to City with a thirty (30) day notice of cancellation (except for nonpayment for which a ten (10) day notice is required) or nonrenewal of coverage for each required coverage.
(j) Additional insured status. General liability policies shall provide or be endorsed to provide that City and its officers, officials, employees, and agents, and volunteers shall be additional insureds under such policies. This provision shall also apply to any excess/umbrella liability policies.
(k) Prohibition of undisclosed coverage limitations. None of the coverages required herein will be in compliance with these requirements if they include any limiting endorsement of any kind that has not been first submitted to City and approved of in writing. (l) Separation of insureds. A severability of interests provision must apply for all additional insureds ensuring that Consultant’s insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the insurer’s limits of liability. The policy(ies) shall not contain any cross-liability exclusions. (m) Pass through clause. Consultant agrees to ensure that its subconsultants, subcontractors, and any other party involved with the project who is brought onto or involved in the project by Consultant, provide the same minimum insurance coverage and endorsements required of Consultant. Consultant agrees to monitor and review all such coverage and assumes all responsibility for ensuring that such coverage is provided in conformity with the requirements of this section. Consultant agrees that upon request, all agreements with consultants, subcontractors, and others engaged in the project will be submitted to City for review. (n) Agency’s right to revise specifications. The City reserves the right at any time during the term of the contract to change the amounts and types of insurance required by giving the Consultant ninety (90) days advance written notice of such change. If such change results in substantial additional cost to the Consultant, the City and Consultant may renegotiate Consultant’s compensation.
(o) Self-insured retentions. Any self-insured retentions must be declared to and approved by City. City reserves the right to require that self-insured retentions be eliminated, lowered, or replaced by a deductible. Self-insurance will not be considered to comply with these specifications unless approved by City.
(p) Timely notice of claims. Consultant shall give City prompt and timely notice of claims made or suits instituted that arise out of or result from Consultant’s performance under this Agreement, and that involve or may involve coverage under any of the required liability policies.
(q) Additional insurance. Consultant shall also procure and maintain, at its own cost and expense, any additional kinds of insurance, which in its own judgment may be necessary for its proper protection and prosecution of the work.

5.3 Indemnification. To the full extent permitted by law, Consultant agrees to indemnify, defend and hold harmless the City, its officers, employees and agents (“Indemnified 29 of 161
7 01424.0001/1017452.1

The indemnity obligation shall be binding on successors and assigns of Consultant and shall survive termination of this Agreement.

Consultant shall not release or disclose any such information or work product to persons or entities other than the City without prior written authorization from the Contract Officer.
(b) Consultant shall not, without prior written authorization from the Contract Officer or unless requested by the City Attorney, voluntarily provide documents, declarations, letters of support, testimony at depositions, response to interrogatories or other information concerning the work performed under this Agreement. Response to a subpoena or court order shall not be considered “voluntary” provided Consultant gives the City notice of such court order or subpoena.

30 of 161
8 01424.0001/1017452.1
(d) Consultant shall promptly notify the City should Consultant be served with any summons, complaint, subpoena, notice of deposition, request for documents, interrogatories, request for admissions or other discovery request, court order or subpoena from any party regarding this Agreement and the work performed thereunder. The City retains the right, but has no obligation, to represent Consultant or be present at any deposition, hearing or similar proceeding. Consultant agrees to cooperate fully with the City and to provide the City with the opportunity to review any response to discovery requests provided by Consultant.

6.4 Ownership of Documents. All studies, surveys, data, notes, computer files, reports, records, drawings, specifications, maps, designs, photographs, documents and other materials (the “documents and materials”) prepared by Consultant in the performance of this Agreement shall be the property of the City and shall be delivered to the City upon request of the Contract Officer or upon the termination of this Agreement, and Consultant shall have no claim for further employment or additional compensation as a result of the exercise by the City of its full rights of ownership use, reuse, or assignment of the documents and materials hereunder. Moreover, Consultant with respect to any documents and materials that may qualify as “works made for hire” as defined in 17 U.S.C. section 101, such documents and materials are hereby deemed “works made for hire” for the City.

In the event of litigation in a U.S. District Court, venue shall lie exclusively in the Northern District of California.

7.2 Disputes; Default. In the event that Consultant is in default under the terms of this Agreement, the City shall not have any obligation or duty to continue compensating Consultant for any work performed after the date of default. Instead, the City may give notice to Consultant of the default and the reasons for the default. The notice shall include the timeframe in which Consultant may cure the default. This timeframe is presumptively thirty (30) days, but may be extended, if circumstances warrant. During the period of time that Consultant is in default, the City shall hold all invoices and shall, when the default is cured, proceed with payment on the invoices. If Consultant does not cure the default, the City may take necessary steps to terminate this Agreement under this Article.

7.3 Legal Action. In addition to any other rights or remedies, either party may take legal action, in law or in equity, to cure, correct or remedy any default, to recover damages for any default, to compel specific performance of this Agreement, to obtain declaratory or injunctive relief, or to obtain any other remedy consistent with the purposes of this Agreement.

Notwithstanding any contrary provision herein, Consultant shall file a statutory claim pursuant to Government Code Sections 905 et. seq. and 910 et. seq., in order to pursue any legal action under this Agreement.

9 01424.0001/1017452.1
Agreement, the rights and remedies of the parties are cumulative and the exercise by either party of one or more of such rights or remedies shall not preclude the exercise by it, at the same or different times, of any other rights or remedies for the same default or any other default by the other party.

7.4 Termination Prior to Expiration of Term. This Section shall govern any termination of this Contract except as specifically provided in the following Section for termination for cause. The City reserves the right to terminate this Contract at any time, with or without cause, upon thirty (30) days’ written notice to Consultant, except that where termination is due to the fault of the Consultant, the period of notice may be such shorter time as may be determined by the Contract Officer. In addition, the Consultant reserves the right to terminate this Contract at any time, with or without cause, upon sixty (60) days’ written notice to City, except that where termination is due to the fault of the City, the period of notice may be such shorter time as the Consultant may determine. Upon receipt of any notice of termination, Consultant shall immediately cease all services hereunder except such as may be specifically approved by the Contract Officer. Except where the Consultant has initiated termination, the Consultant shall be entitled to compensation for all services rendered prior to the effective date of the notice of termination and for any services authorized by the Contract Officer thereafter in accordance with the Schedule of Compensation or such as may be approved by the Contract Officer. In the event the Consultant has initiated termination, the Consultant shall be entitled to compensation only for the reasonable value of the work product actually produced hereunder, but not exceeding the compensation provided therefore in the Schedule of Compensation Exhibit “C”. In the event of termination without cause pursuant to this Section, the terminating party need not provide the nonterminating party with the opportunity to cure pursuant to Section 7.2.

7.5 Termination for Default of Consultant. If termination is due to the failure of the Consultant to fulfill its obligations under this Agreement, City may, after compliance with the provisions of Section 7.2, take over the work and prosecute the same to completion by contract or otherwise, and the Consultant shall be liable to the extent that the total cost for completion of the services required hereunder exceeds the compensation herein stipulated (provided that the City shall use reasonable efforts to mitigate such damages), and City may withhold any payments to the Consultant for the purpose of set-off or partial payment of the amounts owed the City as previously stated.

8. MISCELLANEOUS

8.6 Waiver. No delay or omission in the exercise of any right or remedy by non-defaulting party on any default shall impair such right or remedy or be construed as a waiver.

A party’s consent to or approval of any act by the other party requiring the party’s consent or approval shall not be deemed to waive or render unnecessary the other party’s consent to or approval of any subsequent act. Any waiver by either party of any default must be in writing and shall not be a waiver of any other default concerning the same or any other provision of this Agreement.

8.7 Attorneys’ Fees. If either party to this Agreement is required to initiate or defend or made a party to any action or proceeding in any way connected with this Agreement, the prevailing party in such action or proceeding, in addition to any other relief which any be granted, whether legal or equitable, shall be entitled to reasonable attorney’s fees, whether or not the matter proceeds to judgment.

How much is your data worth?

THE CHALLENGE
Your business data serves as
the lifeblood of your
organization, and the
volume you are collecting
and storing continues to
expand rapidly.

Consider the ramifications
of losing a day's worth of
data, a week's worth, or
even an entire year's data
due to insufficient or
infrequent backup
procedures. What would be
the consequences? Would
recovery be feasible?
800.931.2043

THE SOLUTION
Fully Managed System means that we monitor your
assets to ensure they are always functional and up-todate, and will respond quickly to any issues that may arise.

Delta Level Technology eliminates the need for
complete backups; significantly minimizing backup
duration, storage requirements, network traffic, and the overall workload on your computers.

Recover Your Data to Dissimilar Hardware; meaning
you can perform a bare metal restore of your data to
other hardware.

Supreme Flexibility in data recovery from a full restore to retrieving a single file.

5 Mid Valley IT was established in 2007. We are one of the most reputable government IT companies in the area with more than 17 years of experience working directly within all departments of our public sector clients.

ABOUT US
56 of 161
Mid Valley IT was founded in 2007 by
two IT professionals who recognized a
growing need for customized support
services for organizations that rely
heavily on technology.

Traditional IT models were no longer able to
keep pace with rapidly changing trends,
leaving many organizations unsure how to
maintain growth and long-term sustainability
through their technology investments.

Tom Leach and Cullen Byrne formed Mid
Valley IT with a clear mission: to provide
tailored IT support based on each client’s
unique needs and to help organizations
unlock the profit potential of fully utilizing
their technology. And IT works. Today, Mid
Valley IT is one of the fastest-growing IT
companies in the nation. This success is a
direct result of our client-focused approach
and commitment to delivering customized,
secure, high-impact technology solutions.

Mid Valley IT has no lawsuits, judgements, or
liens pending against our organization, nor
anything that would negatively impact our
ability to provide managed IT services to the
City.

Singularity Endpoint
AI-powered, autonomous protection, detection & response TM
Endpoints continue to be a primary attack vector and the front door to an organization’s network. But attacks are increasingly more automated and difficult to detect. As endpoint and identity attack surfaces converge, legacy and siloed systems can’t keep up. Yet despite the expanded scope and complexity, security teams are being asked to do more with less.

Singularity Endpoint is a leading EPP and EDR solution that protects endpoints from advanced, machine-speed attacks. It delivers AI-powered, autonomous protection, detection, and response capabilities in a single agent–across endpoints, servers, identities, and more. Paired with Purple AI, Singularity Endpoint provides radically accelerated triage, investigation, threat hunting and response.

Microsoft 365 Backup
Protect your 365 data
Mid Valley IT offers a backup and recovery
service for Exchange, OneDrive, Sharepoint and
Teams. The service handles full Microsoft 365
backups so you can recover data long after it is
cleaned or lost from Microsoft databases.

This service relies on tenant access, giving the
ability to function on multiple domains.

All backed up data is encrypted during the
backup process and the key is securely stored in
the cloud.

Benefits
Retention 7 years
Multiple daily backups
Backup Channels messages
Restore from specific data
Restore to a new or target location
Why is 365 backup important?
While Microsoft 365 provides high availability, it
does not guarantee full data protection or longterm backup. Data loss can still occur due to:

Accidental deletion
Malicious insiders or disgruntled employees
Ransomware and cyberattacks
Compliance and legal requirements
Microsoft operates on a shared responsibility model. They ensure service uptime, but you are responsible for your data.

Without a dedicated backup solution, recovering lost or compromised data can be limited or impossible.

Adding 365 Backup ensures your Microsoft 365 data is secure, recoverable, and compliant. It fills the critical gap left by native Microsoft retention features, giving organizations full control over their data and resilience against modern threats.

5a.Desktop Support (Hardware & Software)
Mid Valley IT is a full-service managed support provider. We provide helpdesk support and monitoring of all systems, maintain networks, monitor computers, servers, and network equipment, provide off-site backup, and perform all security and antivirus updates. For hardware, we offer configuration and installation of computers, network equipment, servers, security systems, and VoIP phone systems, and handle warranty issues on behalf of the City. 5b. Network Hardware & Operating Systems
We support all network hardware and operating systems across the full lifecycle: planning, design, infrastructure build-out, installation, configuration, backup, updates, migration, large-scale deployment, disaster recovery, multi-site configurations, forensics, mobile device management, and Active Directory management. 5c. Remote Access Support
All end users have access to the helpdesk through any internet-connected device. Once a ticket is created, an engineer remotely accesses the system to identify the root cause. Most issues are resolved remotely. If the cause is a hardware malfunction, a field engineer is dispatched to the site promptly. 5d. Work Order / Ticket System
Any user can open a helpdesk ticket for any technology-related issue — from computers to security systems to VoIP phones.

An automated response is immediately sent confirming ticket creation. All activities are logged and visible to the ticket initiator in real time. Once resolved, the initiator is notified. If the resolution is unsatisfactory, the ticket remains open until the issue is fully addressed.
5e. Escalation of Chronic or Advanced Problems
When an issue is reported, a ticket is created and all work is tracked on that ticket. If the assigned engineer cannot resolve the issue, a senior engineer is consulted. If the problem persists, a new engineer is assigned or the manufacturer of the hardware or software is engaged for further instruction. All escalations are documented. 5f. Hours of Operation & Response Time
Mid Valley IT operates 7x24x365. Normal business hours are Monday–Friday, 8:00 AM–5:00 PM PST. Outside business hours, an on-call engineer is reachable through our automated attendant at 800-931-2043. A four-hour response time is guaranteed for all emergencies; 48-hour notice is requested for non-emergencies.

The City of Livingston currently receives three (3) automatic on-site visits per week from assigned engineers. Hours are flexible and can be adjusted based on project needs. Mid Valley IT is responsible for all patch management. Tools such as N-Able and Microsoft’s update infrastructure are used to deploy approved patches across servers and desktops. Antivirus updates are automatic nightly. All other updates are deployed monthly unless a critical security patch requires immediate action. All updates are approved by Mid Valley IT before deployment.
5r. Network Downtime Communication
Maintenance downtime is never scheduled during normal business hours. Security and antivirus updates are performed after hours. Larger maintenance or hardware replacement projects are scheduled on weekends to account for unexpected events and ensure smooth transitions.

All pertinent information is reported at regularly scheduled monthly meetings. Issues requiring earlier attention are communicated via email or phone. A monitoring dashboard accessible to designated City staff provides real-time visibility into open tickets, system status, and engineering activity. 7b. Changes in Assigned Technicians
Mid Valley IT assigns a primary engineer and a backup engineer to each client. Both engineers are fully trained on the City’s IT environment, ensuring continuity during vacations, illness, or personnel transitions. Any proposed change in a primary engineer is communicated to the City’s designated point of contact with adequate advance notice. 7c. IT Strategic Planning
Mid Valley IT provides a technology planning chart indicating recommendations for maintaining a stable IT infrastructure, planned improvements, and adjustments as technology changes and new software releases become available. We assist with IT roadmap planning, capital replacement planning, budget forecasting, and introduction of new applications or platforms.
8a. Routine Reporting
Routine reporting is provided in multiple ways. A monitoring dashboard is placed on the designated City staff member’s device, providing real-time visibility into open tickets including originator, status, and expected resolution date. Issues requiring escalation are communicated through daily emails from the helpdesk. Monthly reports summarize system health, ticket activity, patch status, and backup health.
8b. Documenting Maintenance, Installations & Changes
Any changes to the environment — including new equipment, configuration changes, or software updates — are recorded in the network documentation. Network diagrams are updated whenever infrastructure changes occur. Password changes are logged in the secure password management portal. Mid Valley IT continuously compiles data on the status of the entire network and generates regular reports.
8c. Transition Documentation
At the end of any contract period, Mid Valley IT provides the City with all documentation necessary to ensure a smooth transition. This includes, but is not limited to: project charts, network diagrams, equipment inventories, software license records, password documentation, and system configuration records. 12b. What Makes Mid Valley IT Unique
Mid Valley IT brings something no other bidder can offer: we are already here. Since 2017, we have operated as a seamless extension of the City of Livingston’s team. We know your infrastructure, your departments, your users, and your workflows.

There is no learning curve, no transition risk, and no disruption.

Beyond continuity, we offer dedicated, personal service on an enterprise level. Our staffing model provides a team of experts across every IT discipline, from cybersecurity and virtualization to VoIP and law enforcement systems. We are one of the few IT providers in the region with deep, verifiable experience in government environments — with 26 active public sector clients.
12c. CJIS Security Certificates
All engineers and administrative staff assigned to the City of Livingston hold current CJIS Security Certificates. This includes all staff who access, or may access, any law enforcement systems or camera infrastructure. 12d. CJIS Security Policy Familiarity
Mid Valley IT has extensive familiarity with the CJIS Security Policy. Multiple engineers have completed the CJIS network change application process and manage CJIS-compliant environments for numerous law enforcement clients across the Central Valley. We understand the specific requirements for user authentication, audit logging, access controls, mobile device management, and incident response as mandated by the FBI CJIS Security Policy. 12e. Technology Stack
Mid Valley IT’s technology stack includes:
• RMM (Remote Monitoring & Management): N-Able / N-Central — full device monitoring, patch management, and automation
• PSA (Professional Services Automation): Integrated ticketing and billing platform • BDR (Backup & Disaster Recovery): Managed off-site backup with dual co-location, HIPAA-compliant • Endpoint Protection: EDR software — advanced threat detection and response • Email Security: Spam filtering and secure email gateway • DNS Filtering: OpenDNS — DNS-level threat blocking

12f. Incident Response — Security Events
During a security event, a senior engineer with computer forensics expertise leads the response. The process includes immediate containment of the threat, documentation of the event, rapid restoration of services, and a post-incident report with recommended remediation steps. Mid Valley IT’s forensic lead is a court-certified expert in network intrusion cases. 12g. Ransomware Experience
Yes. A client that had been with Mid Valley IT for fewer than 30 days was attacked by a crypto-locker variant. During onboarding, a vulnerable remote access solution was identified as a weakness, and a replacement was being implemented. An attacker exploited the legacy system before the fix was completed. The system was fully restored to its pre-attack state within one business day with no data loss. Remote access now requires two-factor authentication through a secure, logged platform, and direct RDP is no longer permitted.
12h. Backup Validation Strategy
Tickets are created in our automation system requiring the primary engineer to audit each client’s backup environment quarterly, verifying that all data sources are being captured and that data restores successfully. Additionally, manual checks of backup histories are performed weekly, and job failure alerts are automatically sent to the ticketing system daily. No backup failure goes unnoticed.
12i. Third-Party Penetration Testing
Yes. Mid Valley IT contracted with a third-party provider in 2016 to conduct a penetration test on behalf of a requesting client. We welcome and encourage independent security assessments for clients who request them. 12j. PCI Compliance
All Mid Valley IT clients that accept credit card payments are current and compliant with PCI DSS standards. Mid Valley IT manages the attestation of compliance process and conducts the required network scans on behalf of our clients. 12k. Additional Technology Solutions
Mid Valley IT offers the following additional services to the City of Livingston:
• VoIP Phone Systems — Design, deployment, and ongoing support • Camera / Surveillance Solutions — Avigilon-certified installation and management • Forensic Audits — Network intrusion analysis and court-certified forensic investigation • IT Consulting — Strategic planning, budgeting, and technology roadmaps • Off-Site Backup — Managed, redundant, HIPAA-compliant cloud backup • SCADA-Adjacent Support — Coordination with SCADA vendors for network-level support • Live Scan / Fingerprinting Systems — Ongoing support for existing infrastructure SECTION 12 - EXECUTIVE SUMMARY

RE: Letter of Recommendation – Mid Valley IT
I am pleased to write this letter of reference on behalf of Mid Valley IT. In my capacity as City Clerk, I oversee the City’s Technology. The City began its relationship with Mid Valley IT principal Cullen Byrne in 2006 and we have been working with Mid Valley IT since its inception.

We outsource our all of our organization’s IT functions to Mid Valley IT and we could not be more pleased with the services they provide. Their staff is knowledgeable and they provide us with excellent customer service. Mid Valley IT responds to all our needs promptly and in a professional manner.

Mid Valley IT not only addresses issues and problems that arise but they also do an excellent job of helping us evaluate new technologies and systems, plan for the future and attain our organization’s technological goals. We appreciate that Mid Valley IT understands our budget constraints and is always respectful how we spend the public’s money.

In summation, Mid Valley IT provides exactly what we need from an IT company; our relationship with them feels much more like a partnership than that of an outside consultant. We trust in their work and even more importantly, in their advice and guidance.

I strongly recommend Mid Valley IT and their services. Should you have any questions, please feel free to contact me at: (209) 862-3725, option 5 or [email protected] P.O. BOX 787 • 938 FRESNO STREET • NEWMAN, CA 95360 | PH (209) 862-3725 • FAX (209) 862-3199 | WWW.CITYOFNEWMAN.COM ~~

To Whom It May Concern,
As the Chief Business Officer for Gustine Unified School District, I understand the importance and desire to find a company that will provide you with quality services that are tailored to your organization's needs. We recently went through this process after about 10 years of the same Technology services company and we made a decision to make a change, contracting with MidValley IT as of July l , 2018. I can sincerely tell you that it has been an even better decision than I anticipated. MidValley IT has surpassed my expectations in all areas of service that they provide to our district and it is very rewarding to know that we have greatly improved the quality of technology support that we provide to our students, teachers, and all throughout our district.

When we contracted with MidValley IT, I was really hoping for a company that would feel like they were not an outside company, but rather an extension of our district. Well I can tell you that MidValley does that and more. MidValley is a real partner in our district that feels like they are "one of us". MidValley listens to us, works with us, for us, and then they act quickly to deliver.

When presented with a problem, MidValley always listen to us and what we want, then they take that and bring us their guidance and expertise. They give us options to what we are looking for and also present other options that we did not know existed and that may be better than what we were considering. They do this with a problem-solving approach, helping us consider the advantages and disadvantages and also the longterm impacts. But MidValley does not only wait for problems to arise, they are forward-thinking and they bring forth areas of their own where they feel we can plan and improve. They take the initiative to bring us suggestions in many areas such as budget planning, inventory management, and system documenting.

MidValley is also highly committed to consistent and regular communication and they do this in everything from regularly scheduled meetings that are thorough and efficient, to the service they provide each and every day. MidValley has set up multiple ways to make it easy for staff to seek technical assistance.

MidValley set up a local, custom phone number for staff to call into their office for technical assistance as well as an easy to use e-mail address with our local domain. Our staff throughout the district are extremely pleased and impressed with the importance that MidValley gives to their requests and their quick attention and turnaround time.

The City strives to provide safe conditions for all sidewalk users, and this project closes a portion of the existing gap in the City’s sidewalk system.

The major work consisted of constructing a concrete multiuse path along Dwight Way and Walnut Avenue in the City of Livingston. The work also included curb and gutter, AC pavement conform sections, driveways, curb cut ramps, striping, markings and signage, landscaping, and landscape irrigation.

Following a public bidding process, on August 19, 2025, the City Council awarded a contract to Taylor Backhoe Service, Inc. dba TBS Contractors. The Phase 1 portion of the contract was in the amount of three hundred seventy-nine thousand seven hundred fifteen dollars and two cents ($379,715.02).

Therefore, the work should be accepted as complete and a Notice of Completion filed with Merced County. If no claims are filed within 35 days after recordation, the retention in the amount of twenty-two thousand one hundred twenty-seven dollars and four cents ($22,127.04) should be paid to Taylor Backhoe Service, Inc. dba TBS Contractors.

BACKGROUND AND DISCUSSION:

Existing Well No. 8 is nearing its useful life and is in need of replacement. Well No. 8A was constructed on-site, approximately 200 feet southeast of the existing well location, to serve as the replacement production well for the City’s existing Well No. 8. The major work for the project consisted of drilling and casing a new municipal well, including developing, testing, and related tasks at the City of Livingston Well No. 8A site located on North Main Street, approximately 300 feet north of Celia Drive. Work also included equipping a 1,700-gpm municipal well with a vertical turbine pump, electric motor, well discharge and site yard piping, connection to the existing GAC filter piping manifold, electrical equipment and controls, and miscellaneous improvements to the well site.

On February 7, 2023, the City Council awarded a contract to Conco West, Inc. for the construction of the Well 8A Improvements in the amount of $3,621,500.00. The project was funded with local Water Enterprise Funds.

During construction, there were field conditions and owner-requested changes that resulted in change orders for the project. The change orders primarily addressed modifications to the well construction and pumping components, additional water quality testing and sampling related to arsenic levels, site and trench stabilization measures, modification for well controls, and owner-requested system modifications and operational improvements to keep the existing Well 8 on line.

The project included a total of eleven (11) Change Orders totaling $291,108.17. These change orders have increased the construction contract cost to $3,912,608.17. These change order costs have exceeded the FY 25/26 budgeted funds for this project.

The project is ready for closeout, and a supplemental appropriation is needed for final payment to the contractor.

Agreement No: 640.24-2023
The following changes are hereby made to the Contract Documents upon execution of this Change Order:

1. This change order will increase prices for bid items 6 and 7.

Justification: (attach documents supporting change):

1. The project was awarded on February 7, 2023 and the Notice to Proceed was not issued until August 22, 2023. The delay was due to additional time needed for the City to acquire the well site property from Foster Farms. The gravel pack material that the Contractor intended to use at the time of bid is no longer available. The current gravel pack material that is available and was utilized on the project is significantly more expensive (see attached Proposed Change Order 002).

1. Provide well pump and motor with higher head and pumping capacity based on information obtained during well development and testing.

2. Add 80 additional working days to the existing Contract and provide additional supervision and general site maintenance.

STAFF REPORT
AGENDA ITEM: Adopt the 2026-2027 Strategic Plan and its Identified Priorities MEETING DATE: July 7, 2026
PREPARED BY: José A. Ramírez, City Manager
Recommendation:

1. Adopt the 2026–2027 Strategic Plan and its identified priorities.

Background:

The City Council conducts an annual Priority Setting process to improve decision-making and ensure that limited staff and financial resources are focused on initiatives that extend beyond routine operations and reflect the community's highest priorities.

Council priorities serve as overarching focus areas that guide the City's projects, programs, and policy decisions. By identifying and defining these priorities, the City Council ensures that staff efforts and available resources remain aligned with the most critical needs of the community.

The 2025–2028 Strategic Plan establishes a clear direction for major policy areas over the next four years and provides a framework for budget development, resource allocation, and implementation efforts. The Plan serves as both an actionable roadmap for the near term and a foundation for longerrange strategic planning.

Discussion:

Development of the Strategic Plan included a comprehensive engagement process consisting of community meetings, workshops, stakeholder convenings, and internal alignment sessions with crossdepartmental staff teams. Information gathered through these efforts was analyzed, synthesized, and organized into six strategic focus areas that reflect the community's priorities and aspirations.

On May 19, 2026, the City Council identified the following six priority areas for inclusion in the City's Strategic Plan:
• Public Safety
• Critical Infrastructure
• Parks and Recreation
• Economic Development
• Community Development
• Transparency

Attachment A provides a comprehensive summary of the priorities expressed by community members, key stakeholders, City leadership, and the City Council, and presents them within the framework of the proposed Strategic Plan.

Fiscal Impact:

There is no direct fiscal impact associated with adoption of the Strategic Plan.

2026-2028 City of Livingston Strategic Plan

ABOUT CITY OF LIVINGSTON
Livingston is a City on the move and is in a period of transition and transformation due to new residential and commercial development. The community is rapidly becoming a premier ethnically diverse, residential, commercial and industrial center in Merced County and Central Valley. It is strategically located along one of California’s major freeway arteries and is just two hours from San Francisco, the Pacific Coast and the majestic Sierra Nevada Mountains.

The city of Livingston is located near Highway 99, providing easy access to other parts of the county, the Central Valley and the rest of California. As is typical in Merced County and the Central Valley, agriculture is the cornerstone of Livingston's economy.

The city is home to one of Foster Farms' largest poultry processing plants, which is a major employer in the county. Cultural diversity is celebrated in the city, with events that reflect the community's strong Hispanic and Sikh heritage.

Merced County’s current economic condition is composed of its economic, physical, and social environments. These environments are connected and influence each other. For example, the physical environment is the infrastructure (streets, utilities, development sites, etc.); the social environment consists of population, income, housing, health, and safety; and the economic environment encompasses the industry mix, jobs and employment which are all influenced by physical and social characteristics. Achieving a balance among these environments is necessary to create and sustain a socioeconomically healthy community.

Dairy
Merced County is the second largest dairy producer in California, right behind Tulare County. The Joseph Gallo Dairy, just outside Livingston, has the single largest dairy herd in the United States. Neighboring towns (especially Hilmar) have many more dairy cattle. According to statistics from the California Department of Food and Agriculture, Merced County had 305 operating dairies in 2006, down from the 327 dairies in 2005 and 335 dairies in 2000. While the number of diaries has gone down, the number of milk cows increased by 4,000 during that 12-month period. Dairy farmers and industry experts say recent increases in feed costs, tightened environmental regulations and growing pressure to sell land for development are among the factors that could be pushing some dairies to close.

Grapes
Joseph Gallo, Ernest and Julio Gallo, the Arkelian family, and many family farmers grow grapes for wine, the table and raisin-making. Ernest and Julio Gallo have a major grape pressing operation near Livingston.

Sweet Potatoes
Ninety percent of the sweet potatoes grown west of the Rockies are grown and packed in Livingston, Delhi and Atwater. The sweet potatoes benefit from the sandy soil in the area.

Other Crops
Other crops grown in the Livingston area include barley, wheat, corn, soybeans, onions, strawberries, blueberries, blackberries, raspberries, melons, peaches and alfalfa. Most of the peach orchards have been replaced by almonds. The alfalfa, soybeans and corn are grown to support the dairies.

CITY MANAGER LETTER
It has been of great vantage to contribute to the development of the 2025–2028 City of Livingston Strategic Plan, a document that will serve as a roadmap for addressing the challenges and opportunities facing our community in the years ahead.

The development of this plan reflects the insights gathered through numerous community conversations, workshops, and stakeholder convenings. The final document represents the collaborative efforts of the City Council, city department heads, and community members who generously shared their perspectives, ideas, and aspirations for Livingston’s future.

Together, these contributions have helped create a strategic plan that reflects our community’s priorities and provides a clear direction for achieving meaningful and sustainable progress.

The purpose of this strategic plan is to align the City’s resources, efforts, and actions with the priorities that matter most to our community. More than a planning document, it provides a framework for decision-making, establishes clear direction, and outlines actionable strategies to guide our work over the next several years.

By focusing on shared goals and measurable outcomes, this plan will help ensure that City initiatives are responsive to community needs, fiscally responsible, and aligned with our vision for Livingston’s future.

I look forward to our continued partnership and the meaningful progress that will result from implementing this plan.

Sincerely,
Jose Antonio Ramirez
City Manager
