AGENDA TITLE:
Adopt a Resolution Rejecting Protest and Awarding Contract for 2026-2028 Tree Maintenance Project to Elite Maintenance & Tree Service, of Ceres ($616,700), and Execute Change Orders ($100,000) (PW) MEETING DATE:
August 5, 2026
PREPARED BY:
Sean Nathan, Interim Public Works Director
RECOMMENDED ACTION:
Adopt a resolution rejecting protest and awarding contract for 2026-2028 Tree Maintenance to Elite Maintenance & Tree Service, of Ceres, in the amount of $616,700 and authorizing City Manager to execute change orders in an amount not-to-exceed $100,000.
BACKGROUND INFORMATION:
This on-call contract provides for the structural pruning, maintenance trimming, stump grinding, emergency calls, removal of City trees, pest control, and tree planting at various locations throughout the City for Fiscal Years 2026/27 and 2027/28. The main objective of this contract is to provide a safe and healthy urban forest and to reduce costs associated with this effort. The initial contract term is two years and includes two optional, one-year extensions, for a total of four years, if all extensions are executed. If the extensions are utilized, staff will bring the contract back to council to identify the source of the additional funding and to authorize the associated increase in change order authority.
The bid opening was held on May 8, 2026. There were 6 bids received and 4 of them were responsive. The responsive bids are summarized below.
Bidder Location Bid Above/(Below)
Estimate
Engineer’s Estimate $ 784,700.00
Elite Maintenance & Tree Ceres $ 616,700.00 $(168,000.00) West Coast Arborists, Inc. Anaheim $ 684,920.00 $(99,780.00) Professional Tree Care Comp Berkeley $ 999,750.00 $ 215,050.00 New Image Landscape Comp Fremont $ 1,155,050.00 $ 370,350.00 The City received a protest letter (Exhibit A) from the second lowest bidder, West Coast Arborists, Inc. (WCA), dated May 8, 2026, claiming the bid submitted by Elite Maintenance & Tree Service does not meet the minimum qualifications required under the contract documents. In response to the protest letter, staff investigated the allegations and determined that the low bidder, Elite Maintenance & Tree Service (Elite) does in fact meet the minimum qualifications required, and should be awarded the contract as reflected in the City’s response letter, dated May 28, 2026 (Exhibit B).

COUNCIL COMMUNICATION
During the June 17 Council meeting, a representative from WCA reiterated their protest during the public comment period and requested that the Council award the contract to them instead. Through an unintentional issue with the comment cards, no other members of the public (including Elite) were given an opportunity to speak on the item, and Council voted to push the item to a later date in order to get more information about the WCA claims as well as ensure public comment was sufficiently heard.
Since that council meeting, staff internally reviewed the steps taken with the original qualification verification and came to the same conclusion that Elite Maintenance & Tree Service meets the requirements set forth in the bid specifications and therefore staff’srecommendation is to award the contract to Elite Maintenance & Tree Service in the amount of $616,700. This amount is intended to cover the initial term of the contract (two years). The actual funds spent each Fiscal Year will not exceed the amount included in the adopted budget for that Fiscal Year and/or otherwise appropriated by Council. The funding utilized for contract extensions will be subject to Council approval at a future meeting. The change order authority is intended to provide contract flexibility should another Department/Division need to utilize the services of this contract. This commonly occurs with the Parks Department, the Transit Division, and the Facilities Division.
In response to the June 17 Council meeting, Elite has provided a letter to the City, which is included as Exhibit C.
FISCAL IMPACT:
The funding of ongoing tree maintenance improves the long-term health of the City’strees, which reduces the number of emergency issues and the risk to the health and safety of the community.
FUNDING AVAILABLE:
Funding for this work comes from adopted operating budgets for Fiscal Years 2026/27. (Landscape/Trees Misc. Contract Services - 30156004.72499). Fiscal Year 2027/28 (and any executed extensions) will come out of the same fund, however that expenditure will be dependent on Council’s Budget adoption for those associated fiscal years.

ubject: Bid Protest Response – 2026-2028 Tree Maintenance T
his letter is in response to your bid protest letter dated May 8 , 2026. In your letter, you indicated that the low bidder’s submittal did not meet the mandatory minimum qualifications required under the contract documents; therefore, the low bidder should not be awarded the contract. Below are your specific items of concern that Elite Maintenance & Tree Services (Elite) lack the required:
1. M
inimum two (2) years of experience performing municipal/public agency tree inventories;
2. Experience developing urban forest inventory databases;
3. Experience maintaining GIS-compatible tree inventory systems; and
4. Completion of comprehensive tree inventory database projects for at least two California cities.
S
taff conducted a thorough evaluation of the low bidder, Elite, in order to determine if they do indeed meet the minimum qualifications required under the contract documents. The City contacted multiple references provided by Elite to verify their experience. The references consisted of public agencies , in California, that confirmed Elite has maintained their tree inventories for more than two years on a GIS-compatible system.
I
n addition, Staff met with Elite, where they provided a clear demonstration of their tree care management software, showing the actual databases being used for multiple agencies (in California). The meeting confirmed that the software they use is capable of collecting the required data specified in the contract documents.
B
ased on this evaluation, Staff is recommending that City Council reject the protest submitted by West Coast Arborist, and awarding the contract to Elite.

Honorable Mayor and Members of the Lodi City Council
221 W. Pine Street
Lodi, CA 95240
Dear Mayor and Members of the City Council,
I am writing on behalf of Elite Maintenance & Tree Service regarding the City's Tree Maintenance Services Contract. Elite submitted the lowest responsive bid, approximately $60,000 below the next bidder, while meeting all minimum qualifications and requirements established by the City.
Elite Maintenance & Tree Service currently provides professional tree care, vegetation management, and municipal maintenance services throughout California. Our team includes experienced arborists, operations managers, account managers, certified tree care professionals, and dedicated field crews who routinely manage projects of similar scope and complexity. We have made significant investments in personnel, equipment, safety programs, and technology to ensure we consistently deliver high-quality services to our municipal clients.
Elite currently provides services to public agencies including Fresno Unified School District, Stanislaus Regional Transit Authority, City of Clovis, and Merced County School District. Our team has extensive experience managing tree inventories, GIS mapping, asset databases, work order systems, and municipal tree maintenance programs.
To support our municipal clients, Elite maintains operational facilities in Ceres, Tracy, and Lincoln. These locations allow us to efficiently deploy crews and equipment throughout Northern California. We actively monitor weather conditions and pre-stage resources in areas where severe weather events are anticipated, ensuring rapid response when communities need assistance most.
Additionally, Elite was recently selected through a competitive procurement process to maintain the City of Roseville's urban forest. The City of Roseville's urban forest contains approximately 55,000 trees, and Elite was selected to maintain a section encompassing approximately 18,000 trees This award followed a comprehensive evaluation of our qualifications, staffing, safety programs, operational capabilities, and technology platform, Exhibit C
261
demonstrating our ability to successfully manage large-scale municipal tree maintenance contracts.
At the award meeting, a competing contractor raised concerns regarding Elite's ability to perform the contract. While we respect the competitive bidding process and the right of all bidders to express their views, we believe those concerns are inconsistent with the findings reached through the City's own evaluation process. The City had already completed its due diligence and determined that Elite possesses the necessary knowledge, experience, staffing, equipment, management systems, and technology required to successfully execute the contract.
As part of the evaluation process, City staff conducted a comprehensive review of our qualifications and capabilities. We participated in an interview where we demonstrated our GIS/GPS-based tree inventory and management software, which provides real-time tracking of work activities, tree inventories, inspections, service requests, and reporting. This technology allows municipalities to maintain transparency, accountability, and efficient management of their urban forestry programs.
In addition to reviewing our qualifications and technology, City staff contacted and verified references from organizations where Elite currently provides similar services and utilizes the same software platform. Following this thorough evaluation, City staff determined that Elite met the requirements of the solicitation and recommended our firm for contract award.
The recommendation presented to the Council was the result of a deliberate and professional vetting process conducted by City staff. The City reviewed our experience, assessed our operational approach, evaluated our technology, verified our references, and ultimately concluded that Elite Maintenance & Tree Service was qualified to perform the work and represented the best value to the City.
While we respect the competitive bidding process, we request that the City Council place significant weight on the recommendation of City staff and the evaluation completed. Elite Maintenance & Tree Service met all requirements, submitted the lowest responsive bid, and has demonstrated the qualifications and capabilities necessary to provide exceptional service to the City of Lodi.
262
Elite Maintenance & Tree Service remains committed to providing safe, professional, transparent, and cost-effective tree maintenance services. We appreciate the time and effort invested by City staff throughout this process and thank the City Council for its consideration of this matter.
Thank you for your consideration and for your commitment to a fair and objective procurement process.
Best regards,
Jose Flores
Regional Tree Care Operations Manager

AGENDA ITEM G.6
COUNCIL COMMUNICATION
AGENDA TITLE:
Waive the First Reading and Introduce an Ordinance Amending Chapter 2.13 of the Municipal Code to Transfer the Appointment Authority for the City Clerk to the City Manager (IS - HR) MEETING DATE:
August 5, 2026
PREPARED BY:
James Peavey, Human Resources Manager
RECOMMENDED ACTION:
Waive the first reading and introduce an Ordinance amending Chapter 2.13 of the Municipal Code to Transfer the Appointment Authority for the City Clerk to the City Manager.
BACKGROUND INFORMATION:
Under the Lodi Municipal Code, the City Manager serves as the City's chief executive officer and is responsible for the administration of all City affairs placed under the City Manager's control. The City Manager has the authority to appoint and remove department heads, with the exception of the City Attorney and the City Clerk, whose appointments are currently made by the City Council. Therefore, the City Attorney and City Clerk serve at the pleasure of Council, through an employment agreement made between the appointee and the City Council.
The proposed amendment would transfer the appointment authority for the City Clerk from the City Council to the City Manager. Aligning the City Clerk's appointment and reporting structure with the City's administrative organization will promote greater operational efficiency, strengthen day-to-day coordination with executive management, and provide greater consistency in the administration of City operations while preserving the City Clerk's statutory duties and responsibilities.
Implementation of this organizational change requires an amendment to Chapter 2.13 of the Lodi Municipal Code.
Therefore, Staff recommends waiving the first reading and introducing an ordinance amending Chapter 2.13 of the Lodi Municipal Code updating the appointment and reporting structure of the City Clerk from the City Council to the City Manager.
