EXHIBIT “A”
GANN APPROPRIATIONS LIMIT - FISCAL YEAR 2025-2026
Article XIIIB of the California State Constitution, commonly referred to as the Gann Initiative or Gann Appropriations Limit, was adopted by California voters in 1979 and placed limits on the amount of proceeds of taxes that state and local governmental agencies can appropriate and spend each year.

The limit is different for each agency and changes each year. Each year’s limit is based on the amount of tax proceeds that were authorized to be spent in the base Fiscal Year 1978-79 in each agency, modified for changes in inflation and population in each subsequent year. Inflationary adjustments are, by law, based on increases in the California per capita income or the increase in non-residential assessed valuation due to new construction. Population adjustments are based on city population growth or county population growth. The annual adjustment factors used in making this calculation are the cost of living adjustment - CPI based on the percentage change in California per capita income and the population adjustment based on the annual population change for the County of San Bernardino.

As established by the following calculations, the City of Loma Linda’s appropriations limit for Fiscal Year 2025-2026 is $70,006,960. The difference between the appropriations limit of $70,006,960 and the proceeds of taxes subject to the appropriations limit of $14,763,354 as set forth in the Fiscal Year 2025-2026 Proposed Budget is $55,243,606. Therefore, the City is $55,243,606 under its appropriation or “Gann” limit.

Fiscal Year 2024-2025 Appropriation Limit $65,483,185
A. Cost of living adjustment 1.0644
(based on change in CA per capita income)
B. Population adjustment 1.0044
(based on the County’s population change)
Aggregate Change Factor (A x B) 1.069083
Increase in appropriation limit $ 4,523,775
Fiscal Year 2025-2026 Appropriation Limit $70,006,960
Resolution No.

May 2025
Dear Fiscal Officer:

Subject: Price Factor and Population Information
Appropriations Limit
California Revenue and Taxation Code Section 2227 requires the Department of Finance to transmit an estimate of the percentage change in population to local governments. Each local jurisdiction must use their percentage change in population factor for January 1, 2025, in conjunction with a change in the cost of living, or price factor, to calculate their appropriations limit for fiscal year 2025-26. Attachment A provides the change in California’s per capita personal income and an example for utilizing the price factor and population percentage change factor to calculate the 2025-26 appropriations limit. Attachment B provides the city and unincorporated county population percentage change along with the population percentage change for counties and their summed incorporated areas. The population percentage change data excludes federal and state institutionalized populations and military populations.

Population Percent Change for Special Districts
Some special districts must establish an annual appropriations limit. California Revenue and Taxation Code Section 2228 provides additional information regarding the appropriations limit.

Article XIII B, Section 9(C) of the California Constitution exempts certain special districts from the appropriations limit calculation mandate. The code section and the California Constitution can be accessed at the following website: http://leginfo.legislature.ca.gov/faces/codes.xhtml.

Special districts required by law to calculate their appropriations limit must present the calculation as part of their annual audit. Any questions special districts have on this requirement should be directed to their county, district legal counsel, or the law itself. No state agency reviews the local appropriations limits.

Population Certification
The population certification program applies only to cities and counties. California Revenue and Taxation Code Section 11005.6 mandates Finance to automatically certify any population estimate that exceeds the current certified population with the State Controller’s Office. Finance will certify the higher estimate to the State Controller by June 1, 2025.

Please Note: The prior year’s city population estimates may be revised. The per capita personal income change is based on historical data.

If you have any questions regarding this data, please contact the Demographic Research Unit at (916) 323-4086.

Attachment A
A. Price Factor: Article XIII B specifies that local jurisdictions select their cost of living factor to compute their appropriation limit by a vote of their governing body. The cost of living factor provided here is per capita personal income. If the percentage change in per capita personal income is selected, the percentage change to be used in setting the fiscal year 2025-26 appropriation limit is:

Per Capita Personal Income
Fiscal Year Percentage change
(FY) over prior year
2025-26 6.44
B. Following is an example using sample population change and the change in California per capita personal income as growth factors in computing a 2025-26 appropriation limit.
2025-26:

Per Capita Cost of Living Change = 6.44 percent
Population Change = 0.28 percent
Per Capita Cost of Living converted to a ratio: 6.44 + 100 = 1.0644 100
Population converted to a ratio: 0.28 + 100 = 1.0028
100
Calculation of factor for FY 2025-26: 1.0644 x 1.0028 = 1.0674

F. Approve the Fiscal Year 2025-2026 Investment Policy and Adopt Resolutions Updating Authorized Positions for Investment Transactions with the Local Agency Investment Fund (LAIF) for the City, Housing Authority, and Successor Agency [Finance]
(CC/HA/SA)
Meeting

Agenda Group
Public Hearing and Scheduled Items Item: 3F.

To
City Council
From
Sonia Fabela, Finance Director
RECOMMENDATION:

It  is recommended that that City Council:

1. Approve the Investment Policy for 2024-2025 Fiscal Year as presented;

2. Adopt Council Bill #R-2025-25, waive the reading in its entirety and read by title only the Resolution of the City Council to authorize investment of monies in the Local Agency Investment fund (LAIF) and designate positions authorized to deposit or withdraw monies in LAIF and Repeal Resolution No 2568;

3. Adopt Loma Linda Housing Authority Bill #R-2025-02, waive the reading in its entirety and read by title only the Resolution of the Housing Authority to authorize investment of monies in the Local Agency Investment fund (LAIF) and designate positions authorized to deposit or withdraw monies in LAIF and Repeal Resolution No 4; and

4. Adopt Council Bill #R-2025-26, waive the reading in its entirety and read by title only the Resolution of the City Council serving as Successor Agency to the Loma Linda Redevelopment Agency to authorize investment of monies in the Local Agency Investment fund (LAIF) and designate positions authorized to deposit or withdraw monies in LAIF and Repeal Resolution No 2726.

BACKGROUND:

The California Government Code (§53600 et seq.) governs the investment of public funds by local agencies and requires prudent management with a focus on safety, liquidity, and yield. Specifically, Section 53607 mandates that the delegation of authority to invest public funds must be renewed annually by the governing body, in this case, the City Council.

Although no changes have been made to the City’s investment strategy, it is best practice and a legal requirement to formally reaffirm the delegation of authority to the City Treasurer and to adopt the City’s Investment Policy each year.

Additionally, the Government Finance Officers Association (GFOA) recommends that investment policies be reviewed and adopted by the governing body at least annually to ensure continued alignment with evolving market conditions, legislative requirements, and public fund best practices.

The City has historically utilized the Local Agency Investment Fund (LAIF) as a primary vehicle for investing pooled cash. As part of LAIF’s requirements, the City must adopt a resolution identifying the officers or their successors who are authorized to deposit and withdraw funds on behalf of the City.

ANALYSIS:

The City’s Investment Policy establishes the framework for the prudent management of public funds, including investment objectives, authorized instruments, internal controls, and reporting requirements. The primary objectives of the policy—safety, liquidity, and yield—are prioritized in accordance with state law.

For Fiscal Year 2025–2026, the proposed policy continues the City’s conservative investment approach, with a strong emphasis on public investment pools such as the Local Agency Investment Fund (LAIF). LAIF is widely used by California public agencies and is fully compliant with State investment regulations.

As part of this annual update, staff is also requesting City Council approval of the following individuals—as determined by their positions—as authorized officers for the City of Loma Linda, the Housing Authority, and the Successor Agency:

Name
Position (City and Successor
Agency) Position (Housing Authority)
T Jarb Thaipejr City Manager Executive Director
Sonia Fabela Finance Director/Treasurer Finance Director/Treasurer Anna Briones Finance Manager Finance Manager
Zahada Singh Supervising Account Tech. Supervising Account Tech.

Lynette Arreola City Clerk Secretary
Per LAIF requirements, all deposits to and withdrawals from LAIF accounts must be made directly to or from the designated bank accounts of the City, Housing Authority, or Successor Agency. Any changes to authorized signatories, banking details, or account structure must be approved by at least two authorized officers of the respective agency.

ENVIRONMENTAL IMPACT:

N/A
FINANCIAL IMPACT:

There is no direct fiscal impact associated with the approval of the Investment Policy.

INVESTMENT POLICY

PURPOSE
This statement is intended to provide guidelines for the prudent investment of the City’s temporary idle cash, and outline the policies for maximizing the efficiency of the City’s cash management system. The ultimate goal is to enhance the economic status of the City while protecting its pooled cash.

OBJECTIVE
The City’s cash management system is designed to accurately monitor and forecast expenditures and revenues, to achieve a reasonable rate of return on public funds investments, while minimizing the potential for capital losses due to market changes or issuer defaults The three main objectives used to determine placement of investments are safety, liquidity and yield, in accordance with Section 53600.5 of the California Government Code.  Safety is the primary objective of the City’s investment program. Investments shall be undertaken in a manner that seeks to ensure the preservation of capital in the overall portfolio by limiting investment to the safest types of securities, and take steps to reduce market value interest rate risks.
 Liquidity in the investment portfolio shall be maintained to meet all operating requirements that may be reasonably anticipated. Portfolios will be structured so that securities mature concurrent with cash needs to meet anticipated demands.
 Yield (the average annual return on an investment based on the interest rate, price, and length of time to maturity) is the City’s third objective. The portfolio shall be designed with the objective of attaining a market rate of return by taking into account the investment risk constraints and liquidity needs of the City. Core investments will be limited to relatively low risk securities in anticipation of earning a reasonable return relative to the risk being assumed.

DELEGATION OF AUTHORITY
Authority to manage the investment portfolio is granted to the City Treasurer for a one-year period, subject to review. Delegation by the City Council may be renewed pursuant to this section each year.

Responsibilities under this authority shall be carried out according to procedures and internal controls consistent with this plan.

PRUDENCE
The standard to be used by investment officials shall be the “prudent person” standard and shall be applied in the context of managing an overall portfolio with judgment and care, under circumstances then prevailing. The investment officer acting in accordance with written procedures and this investment policy and exercising due diligence in investment management shall be relieved of personal responsibility for an individual security’s credit risk or market value changes, provided deviation from expectations are reported in a timely fashion.

Investment officers and employees involved in the investment process shall refrain from personal business activity that could conflict with the proper execution and management of the investment program, or that could impair their ability to make impartial decisions.

INVESTMENT INSTRUMENTS
Individual placement of investments with financial institutions shall be made under the guidelines provided herein and in accordance with Section 53601 et. Seq. of the California Government Code and the performance of such placements shall be continually monitored to ensure the best interest of the City of Loma Linda.

The City of Loma Linda may make investments in the following instruments:
 Local Agency Investment Fund (LAIF): A money market fund that allows local agencies to pool their investment resources. Current policies of LAIF set minimum and maximum amounts of monies that may be invested as well as maximum numbers of transactions that are allowed per month.
 Certificate of Deposit: Time Certificates of Deposit will be made only in accounts insured pursuant to Federal laws. For deposits in excess of the insured maximum of $100,000, approved collateral shall be required in accordance with California Government Code Section 53652.

Purchase of Time Certificates of Deposit, are restricted to a maximum of (0%-25%) of the City’s surplus funds and a maximum maturity of one year.
 Securities of the U.S. Government or its Agencies: Federal Agency or United States government-sponsored enterprise obligations, participations, or other instruments, including those issued by or fully guaranteed as to principal and interest by federal agencies or United States government-sponsored enterprises.
 Treasury Bills and Notes: U.S. Treasury Bills, Notes, Bonds or Certificates or Indebtedness, or those for which the full faith and credit of the United States is pledged for the payment of principal and interest.

DIVERSIFICATION AND MATURITY
In order to prevent unreasonable and avoidable risk, the investment portfolio shall be diversified among security types, issuers and maturities. The investment policy further limits the percentage of holdings with any one issuer, except for investment in U.S. Treasury Securities, Federal Agency Securities, and LAIF.

Investment policy maturity limitations are set at (five years) without City Council approval.

REPORTING AND CREDIT RATE CHANGES
A monthly report of investment transactions shall be submitted by the Finance Director on a monthly basis. The report shall include all investments and monies held by the City and/or under the management of any outside party. The report shall also include a list of security transactions, type of investments, issuer, date of maturity, par and dollar amount invested, current market value and current credit rating on all securities.

The Finance Director shall notify the City Manager and City Council in the event a security, subject to a rating change and held by the City, falls below the minimum credit rating specified in this Policy. The course of action followed will be decided on a case-by-case basis, considering such factors as the reason for the rate drop, prognosis for recovery or further rate drops, and the market price of the security.

SAFEKEEPING
All cash and securities in the City of Loma Linda’s portfolio, shall be held in safekeeping in the name of the City by a third party bank trust department, acting as agent under the terms of a custody agreement executed by the bank and the City.

G. Approve the Citizen Option for Public Safety (COPS) Grant Expenditure Plan for the Fiscal Year 2025-2026 Budget [Public Safety]
(CC/HA)
Meeting
Tuesday, June 24, 2025, 7:00 PM

Public Hearing and Scheduled Items Item: 3G.

To
City Council
From
Sonia Fabela, Finance Director
RECOMMENDATION:

Staff recommends that the City Council approve the City’s expenditure plan for FY 2025-2026 Supplemental Law Enforcement Services Funds (also known as the “COPS - Citizen Option for Public Safety - Grant”) as discussed below and included in the Proposed FY 2025-2026 City Budget.

BACKGROUND:

Although the funds and expenditures have been included as part of the FY 2025-2026 Proposed City Budget, the County’s Law Enforcement Oversight Committee (the entity responsible for administering the funds for the State) requires that the Council approve the expenditure plan for the COPS grant as a separate item from the City budget.

Pages from the proposed FY 2025-2026 City Budget reflecting this expenditure plan are attached.

The estimated use of COPS funding by the City for FY 2025-2026 is $240,100.  As the City has done in previous years, the COPS funds will be used to pay for the Sheriff’s Service Specialist (SSS) position.  Additionally, the grant will be used to pay for activities and supplies overseen by the SSS position such as the Kidzwatch program for three schools, the annual Explorer’s Law Enforcement Competition, and the Red Ribbon “Say NO to drugs” campaign. The grant also pays for the uniforms, installation event for the Citizens Patrol, and annual fee for the 26 License Plate Reader cameras at various locations.

ANALYSIS:

N/A
ENVIRONMENTAL IMPACT:

None.

FINANCIAL IMPACT:

As required by State regulations related to the grant, COPS grant revenue is budgeted and accounted for in a fund separate than the General Fund.  Grant funds are then used to reimburse the General Fund for approved expenses incurred as discussed above.

RECOMMENDATION:

It is recommended that the City Council adopt Council Bill #R-2025-19, waive the reading in its entirety and read by title only a resolution approving the Wildland Fire Protection Contract with the California Department of Forestry and Fire Protection (CAL FIRE) for Fiscal Year 2025-26 in the amount of $124,898.12.

BACKGROUND:

The City of Loma Linda contracts annually with the California Department of Forestry and Fire Protection (CAL FIRE) for wildland fire protection in the Local Responsibility Area (LRA) in the southern part of the City.

ANALYSIS:

The City of Loma Linda has the responsibility for protection of life, property and wildland areas comprising approximately 2,247 acres of land in the southern part of the City often referred to as the “South Hills”.

The State of California, who has responsibility for property adjacent to the City area, provides wildland fire protection through contract for defined areas. For the area under local responsibility, CAL FIRE will provide wildland fire protection at the same level of service it provides to the adjacent State Responsibility Area (SRA). These services expand the services provided by the Loma Linda Fire Department.

FINANCIAL IMPACT:

The amount for this agreement is $124,898.12, which has been budgeted under account number 0012110-51830 for Fiscal Year 2025–2026.

F. Council Bill #R-2025-22 - A Resolution to Modify FLSA and Bargaining Unit Status of the Accountant Classification [Administration]
(CC)
Meeting
Tuesday, June 24, 2025, 7:00 PM
Agenda Group
Consent Calendar Item: 4F.

To
City Council
From
Andy Ramirez, Assistant City Manager
RECOMMENDATION:

It is recommended that the City Council adopt Council Bill #R-2025-22, waive the reading in its entirety, read by title only a Resolution to re-establish the Fair Labor Standards Act (FLSA) status of the Accountant classification as exempt and restore the bargaining unit designation to Unrepresented Management and Confidential Group.

BACKGROUND:

On June 27, 2023, the City Council adopted Resolution No. 3187, which revised the Accountant position and changed its status under the FLSA from exempt to non-exempt, and its bargaining unit status from Unrepresented Management and Confidential to represented by the City of Loma Linda Professional and Administrative Employees Union, Teamsters Local 1932.

Recently, after a review by City management, it was determined there was a miscommunication in June 2023 and the position does not reflect the intended administrative structure or the duties associated with the classification. The City has reviewed the classification and determined that the duties and responsibilities remain consistent with those of an exempt, unrepresented position under FLSA and the Meyers-Milias-Brown Act (MMBA) guidelines.

The City provided timely notice to the Teamsters Local 1932 and met and conferred in good faith. No objection was received on June 12, 2025 to the City’s proposed reclassification.

ANALYSIS:

The Accountant classification meets the definition of a "confidential employee" under Government Code § 3507.5, as the position involves routine access to confidential information related to labor relations, personnel matters, and internal budget planning that may affect negotiations. The role provides technical and analytical support to management and participates in preparing materials used in labor-related decision-making. Additionally, the position performs duties aligned with the FLSA’s administrative exemption. Under direction, the Accountant supports the City’s financial operations through tasks involving budget monitoring, financial reporting, reconciliation, and regulatory compliance, and exercises independent judgment in applying accounting principles and recommending procedural improvements.

FINANCIAL IMPACT:

There is no additional fiscal impact associated with this action.

City Council
From

T Jarb Thaipejr, City Manager
RECOMMENDATION:

It is recommended that the City Council:

1. Adopt Council Bill No. R-2025-24, waive the reading in its entirety and read by title only a Resolution approving the negotiated adjustments to employee compensation and benefits. Adoption of the resolution will authorize updates to the applicable Memorandum of Understanding (MOUs), Benefit Profile, and Citywide Salary Schedule;

2. Approve the necessary budgetary adjustments to implement the agreed-upon changes; and

3. Affirm the reclassification and anniversary date of Anna Katrina Briones from Senior Accountant/Financial Analyst to Finance Manager effective July 13, 2025.

BACKGROUND:

The City engaged in negotiations with Loma Linda Professional Firefighters (LLPFF) regarding terms and conditions of employment. These discussions led to a three (3) year tentative agreement, effective from July 1, 2025, through June 30, 2028, which has been ratified by the employees and is now presented to the Council for approval.

The City also met with the Unrepresented Management/Confidential Employee Group regarding terms and conditions of their Benefit Profile. These meetings resulted in a three (3) year Benefit Profile effective July 1, 2025 through June 30, 2028 and is being presented to Council for approval.

Salary Schedule: California Code of Regulations, Title 2, Section 570.5 requires governing bodies of local agencies contracting with CalPERS to approve and adopt a publicly available pay schedule at a public meeting.

ANALYSIS:

The City of Loma Linda recognizes that its ability to provide high quality public services relies on attracting and retaining qualified, experienced employees. In order to remain competitive with other cities, it is important that the City’s salary and benefit offerings are consistent with those provided by comparable municipalities.

Maintaining competitive compensation is a key part of the City’s strategy to continue delivering reliable and effective services to the community. As part of this process and to meet the needs of the organization, in accordance to the City Council's delegated authority to the City Manager in Sections 4.5 and 10.5 of the Personnel Rules and Regulations, the City Manager is promoting Anna Briones from Senior Accountant/Financial Analyst to Finance Manager effective July 13, 2025. Her previous position will become inactive and not budgeted for FY 25/26.

The City engaged in negotiations with the Loma Linda Professional Firefighters (LLPFF) and Unrepresented Management/Confidential Employee Group regarding the terms and conditions of employment. These discussions resulted in a tentative three-year agreement, effective July 1, 2025, through June 30, 2028 for both groups. The agreements has been finalized and is now presented to the City Council for approval.

ENVIRONMENTAL:

N/A
FINANCIAL IMPACT:

The financial impact of the negotiated adjustments has been incorporated into the Fiscal Year 2025–2026 Adopted Budget. Specifically, salary and benefit costs for the Loma Linda Professional Firefighters (LLPFF) group increased by $253,456, while costs for the Unrepresented Management/Confidential Employee Group— including the reclassification and promotion of Anna Katrina Briones to Finance Manager—rose by $134,016.

Although these adjustments represent a total increase of $387,016 in personnel costs, the impact has been partially absorbed through other budgetary assumptions and reallocations within the proposed budget. As a result, no additional appropriation is required at this time.

RECOMMENDATION:

It is recommended that the Housing Authority Board authorize the Executive Director to sign, on behalf of the Board, a preliminary commitment letter with Mary Erickson Community Housing related to financing a portion of the rehabilitation of the 24-unit affordable apartment complex located at 25421 Cole Street, Loma Linda, California.

BACKGROUND:

The attached draft Preliminary Commitment Letter (this “Preliminary Commitment Letter”) sets forth the basic terms under which the Loma Linda Housing Authority (“Authority”) is prepared to proceed with implementation of various physical improvements to the 24-unit multifamily housing complex located at 25421 Cole Street (the “Housing Project”).  The Housing Project is owned and operated by Mary Erickson Community Housing A Nonprofit Corporation, a California nonprofit public benefit corporation (“MECH”) as a result of an agreement entitled “Affordable Housing Agreement” (the “AHA”) entered into between MECH and the former Loma Linda Redevelopment Agency (“Former Agency”) on March 11, 2008.  In connection with the AHA, MECH previously made certain improvements to the Housing Project.  In addition, for the purpose of assuring the affordability of the apartments, an instrument entitled “Regulatory Agreement” (the “Regulatory Agreement”) was recorded among the official records of the County Recorder on May 30, 2008, as Document No. 2008-0245186.  The Housing Project remains subject to the requirements of the AHA as well as those set forth in the Regulatory Agreement.

Pursuant to the dissolution of all California redevelopment agencies on February 1, 2012, the housing rights and responsibilities of the Former Agency were assumed by the Authority in its capacity as the Successor Housing Agency of the former Agency.  Under the AHA and the Regulatory Agreement, twenty four (24) units are restricted for rental at affordable rents to households of limited income; respectively, seventeen (17) units for very-lowincome households (up to 50% of median income); three (3) units for low-income households (up to 80% of median income by statute, and currently restricted to households earning not more than 60% of median income); and four (4) units for moderate-income households (up to 120% of median income).  The Regulatory Agreement has a duration running to May 30, 2068.

Due to a variety of factors such as the limited construction requirements imposed by the County of San Bernardino when the Housing Project was originally constructed (prior to incorporation of the City of Loma Linda), the age of the Housing Project, and the heavy utilization of the Housing Project, MECH has asserted and Housing Authority staff concurs that substantial improvements to the Housing Project are needed.  Housing Authority staff has been working with MECH over the past few months to delineate with specificity the improvements needed, to establish priorities as to the order in which various tasks are undertaken, to develop a budget for construction as well as ancillary costs that are expected to be associated with the proposed improvements (the “Proposed 2025 Improvements”), and to identify the manner and timing by which MECH will undertake the Proposed 2025 Improvements.  While the discussions that staff and MECH have initiated are well underway and are continuing with purpose, additional work is required to refine the scope of the improvements to be undertaken as well as other tasks.  As of the date of this Preliminary Commitment Letter, it is evident that the costs for the Proposed 2025 Improvements will be in excess of One Million Dollars ($1,000,000.00).

ANALYSIS:

With the foregoing in mind, and in view of the condition of the Housing Project at this time, the Authority and MECH propose to execute the Preliminary Commitment Letter in the form submitted with this staff report, which would commit to a loan in the approximate sum of One Million Dollars ($1,000,000.00) (the “Authority Preliminary Commitment Amount”) for the purpose of the Proposed 2025 Improvements, subject to the following terms and conditions:
i. MECH, in coordination with Housing Authority staff, will finalize a detailed work plan for improvements to the Housing Project, as well as a financing plan and proposed scheduling involving when work will be performed as well as the manner in which housing for renters affected by work will be addressed.  The plans are to be comprehensive and account for all anticipated costs;
ii. A loan in the amount of the Authority Preliminary Commitment Amount (herein, the “Authority Loan”) will be made available to defray development costs of defined improvements to the Housing Project.  The Authority Loan would be secured by a deed of trust junior to all existing encumbrances against the Housing Project.

There would be no scheduled repayments under the Authority Loan; however, the Authority Loan would be repayable in the event of change in use (e.g., a change from affordable rental project to a market rate project).  The Authority Loan would be funded using moneys from the Authority’s Low and Moderate Housing Asset Fund;
iii. MECH will explore potential other funding sources both to provide better assurance that all necessary improvements will be accomplished at the Housing Project; iv. MECH and Authority staff will explore extending the period under which the Housing Project is subject to affordability restrictions, as well as exploring whether it is feasible to restrict a greater number of units than are currently restricted as Very-Low-Income units;
v. A presentation of a more detailed iteration of the improvements to take place at the Housing Project, the scheduling of improvements and related activities, and related matters will be set forth in a comprehensive amendment to the AHA to be prepared by legal counsel for the Authority which amends certain provisions of the AHA; the amended agreement is referred to herein as the “Amended AHA”; and i. The Amended AHA will contain provisions that are customarily utilized by the Authority in agreements for the disposition and development of affordable rental housing projects, e.g., insurance; indemnity; schedule of activities; criteria for disbursement of funds; requirements that MECH comply with all applicable state and local laws in connection with the Amended AHA.

The Authority’s approval of the recommended action will authorize its Executive Director to sign the Preliminary Commitment Letter on behalf of the Authority.

ENVIRONMENTAL IMPACT:

The Preliminary Commitment Letter has been reviewed with respect to applicability of the California Environmental Quality Act (the “CEQA”), the State CEQA Guidelines (California Code of Regulations, Title 14, § 15000 et seq., hereafter the “CEQA Guidelines”), and the City’s environmental guidelines.  The Preliminary Commitment Letter does not constitute a “project” for purposes of CEQA, as that term is defined by CEQA Guidelines § 15378, because the Preliminary Commitment Letter is an administrative activity that will not result in a direct or indirect physical change in the environment, per § 15378 (b) (5) of the CEQA Guidelines.

FINANCIAL IMPACT:

The recommended action does not have the effect of immediately appropriating Authority funds; however, it does constitute a commitment of funds subject to the conditions set forth above.  If in the future the Authority and MECH enter into the Amended AHA to provide financing for the rehabilitation for the Housing Project, such amendment will require separate Authority consideration and authorization, which at that time will include a discussion of the financial impact of the Amended AHA.

Re: Preliminary Commitment Letter with Mary Erickson Community Housing related to financing a portion of the rehabilitation of the 24-unit affordable apartment complex located at 25421 Cole Street, Loma Linda, California
This Preliminary Commitment Letter (this “Preliminary Commitment Letter”) sets forth the basic terms under which the Loma Linda Housing Authority (“Authority”) is prepared to proceed with implementation of various physical improvements to the 24-unit multifamily housing complex located at 25421 Cole Street (the “Housing Project”). In addition, for the purpose of assuring the affordability of the apartments, an instrument entitled “Regulatory Agreement” (the “Regulatory Agreement”) was recorded among the official records of the County Recorder on May 30, 2008 as Document No.

Under the AHA and the Regulatory Agreement, twenty four (24) units are restricted for rental at affordable rents to households of limited income; respectively, seventeen (17) units for very- low-income households (up to 50% of median income); three (3) units for lowincome households (up to 80% of median income by statute, and currently restricted to households earning not more than 60% of median income); and four (4) units for moderate-income households (up to 120% of median income).

Authority staff has been working with MECH over the past few months to delineate with specificity the improvements needed, to establish priorities as to the order in which various tasks are undertaken, to develop a budget for construction as well as ancillary costs that are expected to be associated with the proposed improvements (the “Proposed 2025 Improvements”), and to identify the manner and timing by which MECH will undertake the Proposed 2025 Improvements.

With the foregoing in mind, and in view of the condition of the Housing Project at this time, the Authority and MECH propose to execute this Preliminary Commitment Letter”), which would commit to a loan in the approximate sum of One Million Dollars ($1,000,000.00) (the “Authority Preliminary Commitment Amount”) for the purpose of the Proposed 2025 Improvements, subject to the following terms and conditions:
(i) MECH, in coordination with Housing Authority staff, will finalize a detailed work plan for improvements to the Housing Project, as well as a financing plan and proposed scheduling involving when work will be performed as well as the manner in which housing for renters affected by work will be addressed. The plans are to be comprehensive and account for all anticipated costs;
(ii) A loan in the amount of the Authority Preliminary Commitment Amount (herein, the “Authority Loan”) will be made available to defray development costs of defined improvements to the Housing Project. The Authority Loan would be secured by a deed of trust junior to all existing encumbrances against the Housing Project. There would be no scheduled repayments under the Authority Loan; however, the Authority Loan would be repayable in the event of change in use (e.g., a change from affordable rental project to a market rate project). The Authority Loan would be funded using moneys from the Authority’s Low and Moderate Housing Asset Fund; (iii) MECH will explore potential other funding sources both to provide better assurance that all necessary improvements will be accomplished at the Housing Project; (iv) MECH and Authority staff will explore extending the period under which the Housing Project is subject to affordability restrictions, as well as exploring whether it is feasible to restrict a greater number of units than are currently restricted as VeryLow-Income units; (v) A presentation of a more detailed iteration of the improvements to take place at the Housing Project, the scheduling of improvements and related activities, and related matters will be set forth in a comprehensive amendment to the AHA to be prepared by legal counsel for the Authority which amends certain provisions of the AHA; the amended agreement is referred to herein as the “Amended AHA”; and

(vi) The Amended AHA will contain provisions that are customarily utilized by the Authority in agreements for the disposition and development of affordable rental housing projects, e.g., insurance; indemnity; schedule of activities; criteria for disbursement of funds; requirements that MECH comply with all applicable state and local laws in connection with the Amended AHA.

The Authority and MECH have caused this Preliminary Commitment Letter to be executed pursuant to the signatures provided below by their respective authorized officers.

Sincerely,
Loma Linda Housing Authority
