3. Scheduled Agenda Items

3.A. Consider Accepting and Filing the Network and Financial Assessment of the Loma Linda Connected Community Program Report (LLCCP) [CC]
Kyle MacGavin, Information Technology Manager, noted that the Loma Linda Connected Communities Program (LLCCP), the City's municipal internet service, has been in operation for 20 years ago to provide telecommunication services to the community and intended to be self sufficient; however, it has been financially challenged from the beginning, mainly due to competitive internet market. It has left the LLCCP in a status of insolvency. The City needed a third party assessment of the LLCCP system. Through an RFP project the City selected the Broadband Ground who conducted a Network and Financial Assessment of the LLCCP.

Jeff Ryman, President of the Broadband Group, stated that they were hired to conduct an independent technical operational financial assessment of the LLCCP program and identify a potential path forward. He discussed what their assessment involved. He noted that the LLCCP network serves two functions, one is the municipality communications section which provides services to the City and the other is the community communications providing service to residents and businesses. He noted that the revenues from the community communication section is not able to cover the operating cost, noting the original $9.8 million unsecured redevelopment agency loan has grown to more than $20 million with an additional $560,000 in interest accruing annually. He noted there are approximately 100 active residential subscribers and limited number of commercial subscribers. The recommendation by the Broadband Group is to maintain the operations of the municipal communications network section as it provides great benefits to the City, and to market the community communications network or look to have the existing loan forgiven. They do not see that the revenues generated would be able to service the current debt load.

Steve Dukett, TKE Engineering Inc., commended the Broadband Group for their report. He stated that he is working with City staff and anticipate returning to the Council no later than October with a report regarding canceling the debt. He sated that he, the City Manager and the Finance Director will be with the SB County Auditor Controller staff to provide a briefing of this loan debt.

The report was accepted for filing by the City Council.

City Council
From
John Trujillo, Deputy Director Public Works

RECOMMENDATION:

It is recommended that the City Council award the contract for pavement rehabilitation by slurry seal method at various locations to American Asphalt South, Inc, from Riverside, CA, in the amount of $103,602.11 and authorize a contingency allocation of $11,000.00, subject to any revisions deemed necessary by the City Attorney. City staff will provide the inspections and project management.

BACKGROUND:

This project is included in the approved Capital Improvement Program listed in the annual budget. Generally, this is a pavement rehabilitation by slurry seal method at various locations utilizing Measure I funding.

ANALYSIS:

Seven (7) bids were received and publicly opened on August 18, 2026. Bids ranged from a low of $103,602.11 to a high of $169,603.75 (see attached bid summary). The low bidder, American Asphalt South, Inc, from Riverside, CA, has been checked for references and found to be satisfactory. This contractor has performed satisfactorily on similar projects. It is not unusual for a project to change the quantities of work or the scope of work as field conditions dictate. This is generally caused by unforeseen circumstances or work needed to maintain the integrity of the project. Staff recommends an allocation of ±10% of the construction amount ($11,000.00) for a contingency allocation.

ENVIRONMENTAL IMPACT:

N/A
FINANCIAL IMPACT:

Funding for this project was included in the Fiscal Year 2026-27 adopted budget in the Measure I fund under Account No.1265340-58500. Approval of the proposed action will not result in any additional fiscal impact and no budget amendment is currently required.

RECOMMENDATION:

It is recommended that the City Council award the contract for installation of rubberized playground surfacing at Elmer Digneo Park (CIP 26-759) to R.E. Schultz Construction, Inc., of Orange, CA, the lowest responsive bidder, in the amount of $197,800.00, and authorize a contingency of $20,000.00, ±10% of the construction contract, subject to any revisions deemed necessary by the City Attorney. City staff will provide the inspections and construction management services.

BACKGROUND:

The project will install poured-in-place rubberized safety surfacing within the playground areas to provide a resilient, shock-absorbing surface and improve accessibility for park users.

ANALYSIS:

Three (3) bids were received ranging from a low of $197,800.00 to a high of $225,652.00 (see attached bid summary). The low bidder, R.E. Schultz of Orange, CA, has been checked for references and found to be satisfactory. It is not unusual for a project to change the quantities of work or the scope of work as field conditions dictate. This is generally caused by unforeseen circumstances or work needed to maintain the integrity of the project. Therefore, Staff recommends an allocation of ±10% of the construction amount ($20,000.00) for such circumstances.

ENVIRONMENTAL IMPACT:

N/A
FINANCIAL IMPACT:

Funding for this project was included in the Fiscal Year 2026-27 adopted budget in the Park Development Fund under Account No. 3045320-58500. The lowest responsive bid exceeded the Engineer’s Estimate; therefore, the amount originally budgeted for the project is insufficient to cover the total project cost. However, sufficient funds are available within the same account due to anticipated savings from the New Park Improvement at Citrus Trails project. These savings will be reallocated to cover the funding shortfall. No additional appropriations are required.

RECOMMENDATION:

It is recommended that the City Council approve the National Pollutant Discharge-Elimination System (NPDES) Stormwater Permit Implementation Agreement, Santa Ana Region, between the City of Loma Linda and the San Bernardino County Flood Control District, subject to any revisions deemed necessary by the City Attorney.

BACKGROUND:

The current Municipal Separate Storm Sewer System (“MS4”) Permit is issued jointly to the County of San Bernardino, the San Bernardino County Flood Control District (collectively hereinafter referred to as “County”), and the sixteen incorporated cities (“co-permittees”) in the Santa Ana River Watershed portion of San Bernardino County. The San Bernardino County Flood Control District is the Principal Permittee. Its primary responsibilities are to administer the overall stormwater program in conjunction with the cities, lead in the development of programs, act as the liaison with water board staff and prepare the consolidated required reports. As part of the requirements of the permit, all co-permittees are required to enter into an “Implementation Agreement” which specifies the responsibilities of the co-permittees and establishes a cost-sharing formula for the program costs to be borne by each co-permittee.

The City Council approved the original NPDES Stormwater Implementation Agreement on April 28, 1992, and subsequently approved an amendment to the agreement on November 14, 1995.

In 2010, it was determined that the cost share formula contained ambiguities that prevented the County from annually calculating land use conditions as required under the agreement. As a result, a new Implementation Agreement was developed to establish a revised cost share formula for allocating area-wide NPDES permit program costs among the co-permittees.

The updated formula provided a more equitable method for determining each co-permittee's cost share percentage by balancing the impacts of population, land area, and equal participation, resulting in a fairer distribution of costs among both large and small jurisdictions.

The proposed new Implementation Agreement does not modify the existing cost share formula. The current methodology for calculating each co-permittee's share of program costs will remain unchanged.

The most significant revision in the proposed agreement is the elimination of the County overhead rate applied to County staff time spent on area-wide program activities. At one point, this overhead rate reached 117% of direct labor costs. Removing the overhead charge will result in substantial savings to the area-wide program budget. For example, in FY 2024/25, the total program budget was $3,944,093, of which approximately $527,000 was attributable to overhead costs. Additional revisions to the agreement include:

Modifying meeting requirements to align with the MS4 Permit requirements, or at a minimum, require quarterly meetings;
Revising the agreement term so that it remains in effect until a new agreement is executed or a party provides a one-year notice of withdrawal;
Establishing a deadline for co-permittees to pay their annual cost share contributions to ensure timely funding of Area-Wide Program activities; and
Removing obsolete provisions related to grants received under the American Recovery and Reinvestment Act. These revisions are intended to streamline the agreement, improve administrative efficiency, reduce program costs, and ensure consistency with current regulatory requirements.

ANALYSIS:

The proposed agreement outlines the responsibilities of the County, the Flood Control District, and the sixteen participating cities for implementing the regional MS4 stormwater permit. It also establishes how regional monitoring, reporting, public education, program management, and training will be funded.

The existing cost-sharing formula will remain unchanged and will continue to be based on equal participation, population, and land area. The primary financial benefit is the removal of the County’s overhead charge, which is expected to reduce regional program costs.

The total FY 2026/27 Areawide Stormwater Program budget is $4,935,036.00. After applying $2,250,000 in available fund balance and $30,000 in projected interest revenue, the remaining amount to be funded by the participating agencies is $2,655,036. The proposed Implementation Agreement does not modify the existing costsharing formula. Future program costs may increase following adoption and implementation of the new Regional MS4 Permit.

Future costs may increase once the new Santa Ana Regional MS4 Permit is adopted. However, approving the agreement will allow the City to continue participating in the regional stormwater program and meeting its permit requirements.

ENVIRONMENTAL IMPACT:

N/A
FINANCIAL IMPACT:

The cost share for member agencies of the San Bernardino County Areawide Stormwater Program is calculated using the formula established in the Implementation Agreement, which is based on equal participation, population, and land area. For Fiscal Year 2026/27, the City of Loma Linda’s cost-share percentage is 1.99%, resulting in an annual contribution of $52,943. Funding for this program was included and paid for from the adopted Fiscal Year 2026-27 budget from the Sewer Fund under account no. 4053500-51830. There were no additional fiscal impacts and no budget amendments were required.

WHEREAS, cooperation between the CITIES, the COUNTY, and the DISTRICT to jointly file an application for the MS4 Permit is in the best interest of the CITIES, the COUNTY, and the DISTRICT; and
WHEREAS, the Permittees shall establish and maintain a Management Committee to coordinate compliance with MS4 Permit requirements and implement a Stormwater Management Program across all jurisdictions covered by this MS4 Permit; and NOW THEREFORE, the parties hereto do mutually agree as follows:

I. Filing Status. The COUNTY, DISTRICT, and CITIES will jointly file (unless directed to proceed separately by the SARWQCB) the application for an area-wide storm water permit.

The COUNTY, the DISTRICT, and each individual CITY will be a Permittee.

II. Management Committee. The DISTRICT, as Principal Permittee, and COUNTY and CITIES, as Co-permittees, shall support and facilitate compliance with area-wide MS4 Permit requirements and implementation of the Stormwater Management Program through the workings of the Management Committee. The responsibilities and structure of this committee shall include:

A. The purpose of the Management Committee shall be to develop policies, (including goals, needs, and priorities) budgets, and implementation strategies and plans for the area-wide Stormwater Management Program to ensure compliance with the MS4 Permit. The Management Committee shall evaluate implementation options and strategies and recommend implementation actions to the DISTRICT.

B. Each Permittee shall designate in writing at least one authorized representative and one alternate to participate in the Management Committee. Management Committee designees and alternates shall be authorized by their respective city council or governing board to cast votes on behalf of their jurisdiction to determine Stormwater Management Program budgets and all other program elements required to implement the areawide Municipal Stormwater Management Plan (MSWMP).

C. The Principal Permittee shall serve as the chairperson of the Management Committee.

June 8, 2010 MS4 MS4_Implementation_Agreement_Council_Version (1) 3 D. The Management Committee shall meet at the frequency required by the MS4 Permit or on a quarterly basis.

E. Ten (10) authorized representatives present in person at a scheduled meeting constitute a quorum for the transaction of business of the Management Committee. If a quorum is not present at a scheduled Management Committee meeting, less than a quorum may adjourn the meeting. For all Management Committee actions other than approval of the budget as set forth in Section VII.C.1. of this AGREEMENT, a majority vote of the quorum shall decide any question brought before the Management Committee for decision.

F. The Management Committee shall support Stormwater Management Program implementation by providing guidance to the Principal Permittee with respect to stormwater program administration and approving elements of the areawide MSWMP.

G. The Management Committee may establish subcommittees to support the work of the Management Committee. Subcommittees shall include interested members of the Management Committee, and/or other Permittee staff with necessary expertise. Subcommittees may develop recommendations for Management Committee consideration. Such recommendations require majority approval by members of the subcommittee on a one vote per Permittee basis.

H. Approval of Management Committee decisions will require a majority vote of the authorized representatives or alternates in attendance, on a one vote per Permittee basis. In the event that the Management Committee does not approve a subcommittee recommendation, the item will be directed back to the subcommittee for reconsideration.

I. All parties to this AGREEMENT achieve cost savings by working collectively to implement the areawide stormwater program. To maximize these cost savings, the Permittees agree that:

1. Each authorized representative shall actively participate in Management Committee meetings;

2. Each Permittee shall actively participate in at least one subcommittee, either through the authorized representative or other authorized designee. Participation will be defined as attendance at fifty percent (50%) or more of subcommittee meetings held in a given fiscal year.

June 8, 2010 MS4 MS4_Implementation_Agreement_Council_Version (1) 4 III. Principal Permittee Responsibilities.

The DISTRICT, acting through its Board of Supervisors, is the Stormwater Program Administrator for purposes of this AGREEMENT. The DISTRICT shall have administrative responsibilities and shall be reimbursed for its time expended on behalf of the Stormwater Program. These rates include actual hourly rate including fringe benefits plus any other direct cost(s). Materials are to be reimbursed at direct cost.

The DISTRICT, while acting as administrator, will strive to implement the policies, budget, and required program elements according to the recommendations of the Management Committee. In turn, the Management Committee will work in good faith with the DISTRICT to make reasonable policy, budget and required program element recommendations to the DISTRICT. The Parties recognize and acknowledge, however, that the DISTRICT, as governed by the San Bernardino County Flood Control District Board of Supervisors, retains final authority regarding the nature and manner in which the recommendations of the Management Committee shall be executed.

In the event that the DISTRICT proposes to implement an approach different than the one recommended by the Management Committee, the DISTRICT's proposed alternative action shall be communicated to the Management Committee at the next available meeting of the Management Committee. If the Management Committee approves the alternative action, then the cost sharing provisions of this AGREEMENT shall govern the allocation of any costs associated with that alternative action. If, in good faith, the Management Committee does not approve the alternative action, the DISTRICT may implement the alternative action, but the DISTRICT shall be solely responsible for paying the increased costs, if any, resulting from the alternative action. This increased cost shall be measured by the difference between the cost of the alternative action and the estimated cost of the action as reasonably recommended by the Management Committee.

If the DISTRICT’S proposed alternative implementation action involves an increase in program costs, that alternative implementation action shall not be adopted until such time as each authorized representative of the Management Committee has had 45 days to relay that alternative implementation action to its various governing bodies for approval. CITIES and COUNTY shall have no responsibility for the incremental increase in cost associated with an alternative action that is not approved by the Management Committee after 45 days has passed with the governing bodies failing to approve the alternative implementation action.

The DISTRICT will act as the contracting party, on behalf of the Co-permittees for Stormwater Management Program contracts and agreements with all consultants, contractors, vendors or other entities as recommended by the Management Committee.

The DISTRICT, if recommended by the Management Committee, may act on behalf of the Copermittees as applicant in preparing and submitting grant proposals, and may act as administrator for any awarded grant funds.

VII. Program Costs. The responsibilities for payment of all shared costs of equipment, services, contracted analytical services, and the cost of implementing the MS4 Permit, shall be distributed among the DISTRICT, COUNTY, and CITIES as follows:

A. The DISTRICT shall contribute 5% of the annual Program Costs; the other Permittees shall be responsible for the remaining 95% of the Program Costs.

B. The annual budget shall separate program costs into four Program Areas:

1. Monitoring, which shall include any water quality and hydrographic monitoring and laboratory analyses.

2. Public Education, which shall include all public outreach programs.

3. Program Management & Regulatory Activities, which includes administrative, reporting and regulatory activities.

4. Training, which addresses any training conducted to implement the stormwater management program.

C. The Principal Permittee shall prepare and implement an annual operating budget with the participation of the Permittees. The budget year shall coincide with the fiscal year of the DISTRICT, July 1 – June 30.

1. The Principal Permittee will forward the annual operating budget for the forthcoming year to the Co-permittees for review and approval.

The review period shall be from the first business day of November to the first business day of December of each year. During the review period, the Co-permittees may provide written comments on the budget to the Principal Permittee. The Fiscal Subcommittee will review the comments on the budget and endorse a draft budget for Management Committee approval. The Management Committee will consider the draft budget for approval at the January meeting. An affirmative response from a majority of the total number of authorized representatives or authorized alternates is required for approval.

F. For Fiscal Year 2026/27, and all subsequent fiscal years, the Permittees annual cost share shall be calculated by November 1 of each year and shall be included in the annual budget proposal.

G. The DISTRICT shall invoice each CITY and the COUNTY for its annual deposit after July 1, the start of the fiscal year. Each CITY and the COUNTY shall pay the deposit within 60 days of the date of the invoice. Each CITY’s and the COUNTY’s deposit shall be based on their prorated share of the approved annual budget, reduced for any surplus identified in the prior fiscal year-end accounting.

H. The DISTRICT shall make reasonable efforts to inform the Management Committee during the fiscal year of potential exceedances of the approved June 8, 2010 MS4 MS4_Implementation_Agreement_Council_Version (1) 9 budget that may require the Parties to increase the deposits. If the fiscal year end accounting results in costs exceeding the sum of the deposits (including interest earnings), the DISTRICT shall invoice each CITY and the COUNTY for its prorated share of the excess cost. Each CITY and the COUNTY shall pay the billing within 60 days of the date of the invoice. If the fiscal year end accounting results in the sum of the deposits (including interest earnings) exceeding costs, the excess deposits will carry forward to reduce the billings for the following year.

J. Upon termination of the program, a final accounting shall be performed by the DISTRICT. If costs exceed the sum of the deposits (including interest earnings), the DISTRICT shall invoice each CITY and the COUNTY for its prorated share of the excess. Each CITY and the COUNTY shall pay the invoice within 60 days of the date of the invoice. If the sum of the deposits (including interest earnings) exceeds the costs, the DISTRICT shall reimburse to each CITY and the COUNTY its prorated share of the excess (including any interest earnings remaining), within 30 days of the final accounting.

K. Each CITY and the COUNTY shall bear the financial responsibility for implementing the program within its jurisdictional boundaries, including any applicable MS4 permit fees, as outlined in Section V.

L. The annual administrative costs (includes actual hourly rate including fringe benefits plus any other direct cost) incurred by the DISTRICT shall be included in the budget for the Areawide Program Costs and paid according to this Section, Section III and Appendix A.

M. The financial responsibility for this AGREEMENT will be effective on the date this AGREEMENT takes effect.

VIII. Term of the AGREEMENT. The term of the AGREEMENT coincides with the current MS4 Permit (Order No. R8-2010-0036) and subsequent MS4 Permits that list the DISTRICT, COUNTY, and the CITIES as Permittees. This AGREEMENT shall take effect on the date it is approved by all parties. This AGREEMENT shall terminate upon the effective date of a new implementation agreement approved by all parties which will supersede this AGREEMENT.

June 8, 2010 MS4 MS4_Implementation_Agreement_Council_Version (1) 10 IX. Additional Parties. Any city or other entity which wishes to be a Permittee on the San Bernardino County MS4 Permit that was issued by SARWQCB shall agree to the provisions in this funding agreement and shall sign this AGREEMENT prior to being included in the permit. The date of initiation, for determining participant costs for any new Permittee shall be the date of inclusion in the San Bernardino County MS4 Permit issued by SARWQCB. The cost for adding any additional Permittee to the program, including additional permit and processing fees, shall be paid by the added Permittee. Monies, if any, to be reimbursed to the existing Permittees shall be credited to their respective annual program operating fees for the following budget year.

X. Withdrawal from the AGREEMENT. A Permittee may withdraw from this AGREEMENT at the end of any fiscal year with written notice being received by the DISTRICT 1 year prior to the end of the fiscal year. A withdrawing Permittee will not be allowed refunds for tasks, projects or studies already underway in which funds have been obligated for the fiscal year.

The withdrawing Permittee shall be responsible for all assessed penalties as a consequence of withdrawal. The cost allocations to the remaining members will be calculated in the following budget year.

XI. Breach. Failure to comply with the terms of this AGREEMENT is a breach of the agreement.

If a breach is not cured within ninety (90) days after receiving a notice to cure the breach by a permittee, permittee in breach may be terminated from this AGREEMENT by a majority vote of the Management Committee.

This section shall not apply to those costs and attorney’s fees arising from any third party legal action against a party hereto and payable under Section VI, Indemnification and Insurance.

XIV. Amendments to the AGREEMENT. This AGREEMENT may be amended by consent of a three-quarters majority of the Permittees (rounded to the nearest whole number).

Amendments to this AGREEMENT may be adopted and executed concurrently, and shall become effective upon its execution by a majority of the Permittees as defined above.

XV. Authorized Signatories: Each Permittee will determine who will be the authorized signatory.

APPENDIX A
A. The DISTRICT shall pay five percent (5%) of the total annual cost, and the COUNTY and the remaining Co-permittees, collectively, shall pay the remaining ninety-five percent (95%) of the total annual cost pursuant to the formula set forth in Paragraph C, below.

B. The Permittees total annual cost share is the sum of the individual cost-shares calculated for each Program Cost Area.

C. The Permittees annual cost share for each Program Cost Area (PCAi) shall be calculated using three cost factors:

1. Base, which represents the percentage of the program costs equally applied to all Permittees. The base (B) fraction is calculated as follows:

B = 1/N, where N = number of Permittees

2. Relative Population, which represents the percentage of the program costs based on the relative population of each Permittee. Relative population (RP) of each Permittee shall be calculated annually from annual population estimates issued by the California Department of Finance (E-1 Table).

RPi = (Pi/Ptotal), where
RPi = relative population of Permittee (i)
Pi = population of Permittee (i)
Ptotal = total population for area covered by the area-wide permit

3. Relative Land Area, which represents the percentage of the program costs based on the relative land area of each Permittee. Relative Land Area (RLA) shall be calculated as follows:
a. The calculation of relative land area within each Permittee’s jurisdiction shall exclude land under tribal, state or federal jurisdiction, or any land excluded by the State Water Resources Control Board. Any Permittee seeking to exclude lands under this Section shall specifically request that exclusion from the Principal Permittee by providing the request in writing along with necessary documentation no later than October 1 to be considered for inclusion in the next year’s annual budget. The requesting Permittee has the burden of proving entitlement to any exemption so requested.
b. The method for calculating relative land area shall be determined from the Assessor’s Parcel data provided by the COUNTY Information Services Department.

June 8, 2010 MS4 MS4_Implementation_Agreement_Council_Version (1) 14 RLAi = (Li/Ltotal), where
RLAi =relative land area of Co-permittee (i)
Li = land area of Co-permittee (i), less excluded lands Ltotal = total land area under permit jurisdiction
D. The Permittee’s cost share for each individual Program Cost Area is based on the relative importance of the cost factors to the Program Cost Area. The cost share calculation for each Program Cost Area is as follows:

PCAi = [(B * Xi * ABi) + (RPi * Yi * ABi) + (RLAi * Zi * ABi)] Where,
PCAi = Permittee’s cost share for PCAi
ABi = Annual budget for PCAi
B = Base fraction for each Permittee
Xi = Percentage apportioned to the base for PCAi
RPi = Relative population of Permittee(i)
Yi = Percentage apportioned to relative population for PCAi RLAi = Relative land area of the Permittee(i)
Zi = Percentage apportioned to relative land are for PCAi E. The Permittee’s total annual cost share shall be calculated by summing the cost shares calculated for each individual Program Cost Area:

Permittee’s annual cost share = PCA1 + PCA2 + PCA3 + PCA4 Table 1. Budget Year [DATE]

These parcel sizes and uses match the approved Tentative Parcel Map.

The map is now ready for City Council approval and subsequent recordation.

ENVIRONMENTAL IMPACT:

The environmental analysis for the project was previously completed through the adoption of an Initial Study/Mitigated Negative Declaration (IS/MND) in accordance with the California Environmental Quality Act (CEQA). J. Consider Approving the Renewal of a Three-Year Warranty Agreement with Western Audio-Visual & Security for the Annual Amount of $12,750 for Fiscal Year 2026-27 and Approving a Supplemental Appropriation of $5,100 from the General Fund Fund Balance to Partially Fund the Fiscal Year 2026–27 Annual Contract Amount (Information Technology) [CC]
> RECOMMENDATION: Approve warranty agreement as recommended in the staff report.

Consent Calendar Item: 2J.

To
City Council
From
Kyle MacGavin, Information Systems Manager
Via
T Jarb Thaipejr, City Manager
RECOMMENDATION:

It is recommended that the City Council:

1. Approve the three-year warranty agreement with Western Audio Visual & Security to provide ongoing support and maintenance for the Council Chambers’ audiovisual system in the amount of $38,250.00 for the three years, subject to any revisions deemed necessary by the City Attorney; and

2. Approve a Supplemental Appropriation of $5,100.00 from General Fund - Fund Balance into account no. 0013400-51830 to partially fund Year 1 of the annual agreement contract; and

3. Authorize the City Manager to sign any related paperwork.

BACKGROUND:

Western Audio Visual & Security (WAVS) designed and installed the City’s current audiovisual system in the Civic Center’s Council Chambers and has direct knowledge of its configuration and components. In the initial installation proposal, WAVS included a 3-year warranty that will be expiring September 27, 2026. The warranty covers the costs for labor, parts, and annual check-ups to ensure the system is up to date.

The new warranty agreement term will be: September 27, 2026 - September 27, 2029.

ANALYSIS:

Proposals were requested from 3 different vendors, and 2 refused to bid due to being unwilling to accept support and maintenance responsibility for a system they did not design or install. This outcome falls under City of Loma Linda's Municipal Code Section 3.32.260 “Exemptions from competitive bidding” due to the “commodity can be obtained from only one vendor or source”. As a result, Western Audio Visual & Security is uniquely familiar with the existing system and well positioned to provide ongoing support and maintenance. The proposed warranty agreement will provide ongoing support and maintenance for the Council Chambers’ audiovisual system for a three-year term, effective September 27, 2026, through September 26, 2029. Services will be billed annually at $12,750.00, for a total contract amount of $38,250.00.

A portion of the funding for this contract, totaling $7,650.00, is available in the General Fund; however, a supplemental appropriation of $5,100.00 is required to cover the remaining balance of year 1 of the agreement contract amount.

ENVIRONMENTAL IMPACT:

There is no environmental impact.

FINANCIAL IMPACT:

Approve a supplemental appropriation of $5,100.00 from General Fund - Fund Balance to General Fund account no. 0013400-51830 for partial funding of Year 1 warranty agreement contract. The remaining $7,650.00 of Year 1 warranty agreement contract was included in the Fiscal Year 2026–27 Adopted Budget under account no. 0013400-51830. No additional budget amendments will be required during this fiscal year.

From

T Jarb Thaipejr, City Manager
RECOMMENDATION:

It is recommended that the City Council:

1. Approve a five-year agreement with Burtronics Business Systems for the City’s Printing Management Program for $26,513.64 per year, subject to any revisions deemed necessary by the City Attorney; and

2. Authorize the City Manager to sign any related paperwork.

BACKGROUND:

The City currently utilizes Burtronics Business Systems for printer and copier equipment, maintenance, and the device's supplies. For the last five years, Burtronics has consistently provided reliable equipment, great customer service, and timely technical support to address equipment and service needs as they arise. The City’s current lease agreement is a five (5) year term which expires on October 23, 2026.

The new lease agreement term will be from October 23, 2026 - October 23, 2031.

ANALYSIS:

The City’s current monthly cost is $3,212.25, plus applicable taxes, for fifteen (15) printers, including two (2) wideformat printers.

The proposed agreement reduces the equipment inventory to twelve (12) printers, including two (2) wide-format printers, at a monthly cost of $2,209.47, plus applicable taxes.

Additionally, the City will retain ownership of three (3) previously leased printers, providing further savings by eliminating future lease costs for those units.

In preparation for the expiration of the current agreement, Burtronics has provided the City with a proposed fiveyear Printing Management Program agreement, using the NASPO pricing model, designed to reduce overall printing costs while maintaining the level of service and productivity necessary to support City operations. NASPO provides nationwide cooperative contracts that are already fully vetted through a rigorous, competitive bidding process led by individual state procurement officials which addresses the need for a competitive formal bidding process.

ENVIRONMENTAL IMPACT:

There is no environmental impact.

FINANCIAL IMPACT:

Funding for year 1 of this service agreement was included in the Fiscal Year 2026-27 Adopted Budget and allocated among departmental expenditure accounts city-wide under account no. 51830 (Contractual Agreements). Approval of the proposed action will not result in any additional fiscal impact and no budget amendments is currently required. It will be a monthly cost of $2,209.47 for an annual total of $26,513.64.

The proposed new agreement will result in a monthly savings of $1,002.78, plus applicable taxes, in comparison to the current agreement.

TERMS OF AGREEMENT

1. REQUEST FOR US TO ACQUIRE PRODUCTS FOR YOU. You (the Customer) wish to acquire certain Products from the Vendor identified above. Rather than purchasing the Products yourself, you have come to PEAC and asked us to purchase the Products and then lease them back to you. In exchange for our agreement to do this, you have agreed to the terms in this equipment lease agreement (the "Agreement"). We have given you an opportunity to discuss and negotiate these terms with us, and the following is the final version of our contract. If there is any information deleted from above, you give us permission to fill it in. This Agreement is not binding on us until we sign it. We agree to lease to you, and you agree to lease from us, the Products identified above and on any schedules attached to this Agreement. This Agreement also covers any and all replacement Products, add-ons, substitutions or accessories (collectively referred to as the "Products"). The other details of the Agreement such as the Payment amount, the initial Agreement term and other matters are set forth in the boxes above.

2. COST PER IMAGE PLAN. (a) Payments are due monthly, and on each Payment due date you promise to pay us the Minimum Monthly Payment. In return for the Minimum Monthly Payment, you may use the number of prints up to the Minimum Monthly Prints; provided, however, that you shall be obligated to pay the Minimum Monthly Payment even if you do not use the Minimum Monthly Prints for any reason. If you use more than the Minimum Monthly Prints in any month, you agree to pay us or our designee a charge equal to the number of images in excess of the Minimum Monthly Prints multiplied by the Excess Image Charge. You may be invoiced separately for the Excess Image Charges. Your obligation to pay the Minimum Monthly Payment and Excess Image Charges is absolute and unconditional, without any right to reduction or set-off. (b) You agree to provide us or our designee with accurate and timely meter readings on any business day of each month we may designate. Such meter readings shall be on forms acceptable to us or by some alternative means specified by us. If we do not receive the required meter readings in a timely manner, we may estimate the number of images used and charge you based upon such estimate. We will adjust the estimated charge as needed upon receipt of actual meter readings. In any event, you will never pay less than the Minimum Monthly Payment. (c) You agree that we may increase the Minimum Monthly Payment on an annual basis by an amount not to exceed fifteen percent (15%) of the original Minimum Monthly Payment in effect at the end of the prior annual period.

3. YOUR SELECTION OF THE EQUIPMENT VENDOR AND THE PRODUCTS. You hereby acknowledge and agree that: (a) YOU SELECTED THE EQUIPMENT VENDOR AND THE PRODUCTS BASED ON YOUR OWN SKILL AND KNOWLEDGE. (b) WE DID NOT SELECT

OR INSPECT THE PRODUCTS, HAVE NEVER SEEN THE PRODUCTS AND HAVE NO EXPERT KNOWLEDGE REGARDING THEM. (c) YOU AGREE THAT THIS AGREEMENT IS A FINANCE LEASE AS DEFINED IN ARTICLE 2A OF THE UNIFORM COMMERCIAL CODE. IT IS ALSO A "TRUE LEASE," MEANING THAT IT IS NOT A "LEASE INTENDED AS SECURITY," A CONDITIONAL SALE, A LOAN OR A SIMILAR ARRANGEMENT. (d) Prior to executing the Agreement, you received and approved the supply contract (if any) from the Vendor, and you are now advised hereby that you may have rights against the Vendor under the supply contract (if any) and that you may contact the Vendor for information about what your rights against the Vendor are (if any).

4. NO RIGHT TO CANCEL; OTHER IMPORTANT TERMS OF THE AGREEMENT. YOU AGREE AS FOLLOWS: (a) AGREEMENT CANNOT BE REVOKED; NO "TEST PERIOD." Because we are purchasing the Products for you at your request and cannot get a refund, this Agreement cannot be cancelled or revoked by you for any reason at any time, including but not limited to Products failure or defects, damage or loss. The Agreement cannot be prepaid except with our prior written permission on terms acceptable to us. There is no "test period" for the Products.
(b) PEAC IS NOT RELATED TO MANUFACTURER OR VENDOR; NO CLAIMS TO BE MADE AGAINST PEAC. We are not related in any way to the Products manufacturer or Vendor. Neither the Vendor nor anyone else is an agent of ours, and no statement, representation, guarantee or warranty made by the Vendor or other person is binding on us or will affect your obligations to us. Only an executive officer of PEAC is authorized to waive or alter any of the terms of this Agreement, and then only in writing. If the Products fail to operate properly, or the Vendor or any other person fails to provide any installation, maintenance, or other service, you will make any complaint only against the Vendor or other person and not against us (either by way of a claim, counterclaim, defense or excuse to payment). (c) PEAC MAKES NO WARRANTIES. The Products are leased by us to you "as is," "where is" and with any and all faults. We have made no statement, representation, or warranty regarding the Products. We disclaim all express and implied warranties, including without limitation any implied warranty of merchantability or fitness for a particular purpose.

We shall transfer to you all express warranties, if any, made by the Vendor to us, but this does not imply that there are any such warranties. You may contact the Vendor to get a statement of all warranties, if any. (d) BARGAINED FOR WAIVER OF RIGHTS. You waive any and all rights and remedies you have under article 2a of the Uniform Commercial Code, including sections 508 through 522 thereof. (e) DISCLAIMER OF LIABILITY. We are not liable for any loss, damage (including lost profits, special damages or incidental or consequential damages) or injury to you, your employees or any other person or property caused by the Products. (f) Time is of the essence with respect to the obligations of Customer under this Agreement. (g) Any provision of this Agreement that is unenforceable in any jurisdiction shall, as to such jurisdiction, be ineffective to the extent of such unenforceability without invalidating the remaining provisions of this Agreement, and any such unenforceability in any jurisdiction shall not render unenforceable such provision in any other jurisdiction.

5. PAYMENT AMOUNT; INTERIM RENT; LATE FEE; DOCUMENTATION FEE. The monthly or other periodic Payment you have agreed to pay is stated above. You agree that we may adjust the Payment amount above if the final Products cost varies by up to 15% from the amount the Payment was based upon. You also agree to pay a partial payment (interim rent) covering the period between the delivery date and the date the first regular Payment is due. If we do not receive your Payment of any amount due under this Agreement by its due date, there will be a late fee equal 15% of the late amount (or, if less, the maximum amount allowable under applicable law), which you agree is a reasonable estimate of the costs we incur with respect to late Payments and is not a penalty. Upon your request, we will waive the first assessed late charge. We may charge you a one-time documentation fee up to $850. You agree to pay (i) a convenience fee for any Payment you elect to make by telephone and (ii) a charge of $30 if any Payment made by ACH or check is dishonored or returned.

6. AGREEMENT COMMENCEMENT AND TERM. This Agreement will commence when the Products are delivered to you and will continue for the entire Agreement term plus any interim rent period and any renewal term. The monthly (or other periodic) due date will be established by us. The due date for the first regular rental Payment will also be established by us; however, it will not be greater than 30 days from the date on which the Products were delivered to you.

7. ADVANCE PAYMENT(S) AND/OR SECURITY DEPOSIT. You have paid us one or more advance payments and/or a security deposit in the amount(s) indicated above. If the Agreement does not commence for reasons other than our own negligence, we may retain such monies to compensate us for our credit and other administrative costs. You agree the security deposit will not bear interest and that we may apply it to any amount owed to us, and (Agreement continues on Page 2)

You will keep and use the Products only at the address listed above, will not move or return them prior to the end of the Agreement term and will not allow the Products to be used outside of the United States.

9. MAINTENANCE AND SERVICE. You agree that we are not responsible for installation, maintenance, repairs or service to the Products. You agree to use the Products strictly in the manner for which it is intended by the manufacturer, and you shall maintain the Products in good operating order. At the end of the term of the Agreement, unless you have been given a written option to purchase the Products and you make the purchase, you will be liable for all damage or distress to the Products. Your Payments may include amounts you owe to the Vendor under a separate maintenance, service and/or supply arrangement. We may invoice such amounts on the Vendor's behalf for your convenience. You agree that any claims related to maintenance, service or supplies will not impact your obligation to pay us the full amount due under the Agreement.

10. AGREEMENT ASSIGNMENT; SUBLEASE OF PRODUCTS. You agree that you may not assign, transfer or sell any of your rights or interests under the Agreement to any other person or entity, nor may you sublease or rent any of the Products to any other person or entity. However, you agree that we may assign, transfer, sell, pledge or otherwise encumber any or all of our rights and interests under this Agreement (including our rights and interests in the Products) to any other person or entity (including a bank or other secured party or a buyer) (collectively, a "third party") without prior notice to you. Such third party may also assign, transfer, sell, pledge or otherwise encumber its rights and interests. In this event, you agree that such third party, or its assignee or transferee, will receive all the rights and interests we had under the Agreement but none of our obligations or liabilities, if any. We will continue to be responsible for all such liabilities and will retain and honor all such obligations, if any. You promise and agree that you will not assert any claims, counterclaims, defenses or setoffs against such third party. You hereby acknowledge that any transfer of our rights and/or interests to a third party would not materially change your obligations under the Agreement or increase your risks.

11. DAMAGE TO PRODUCTS; RISK OF LOSS OF PRODUCTS; INSURANCE. You agree that we are not liable or responsible for any damage to the Products, or any loss of or casualty to the Products from any cause whatsoever. NO SUCH DAMAGE, CASUALTY OR LOSS WILL AFFECT YOUR RESPONSIBILITIES AND OBLIGATIONS UNDER THE AGREEMENT. You will notify us in writing within 5 days of any Products becoming lost, stolen or damaged. If any Products are lost, stolen, destroyed, damaged beyond repair or rendered permanently unfit for use for any reason, or in the event of condemnation or seizure of any Products, you will promptly pay us, within 10 days of our demand, an amount equal to PEAC's Loss as defined in Section 17 with respect to such item at the time of payment based on the proportion that the original cost of such item bears to the total cost of all items of Products.

Upon payment of such amount to us, such item shall become your property, we will transfer to you, without recourse or warranty, all of our right, title and interest therein, the rent with respect to such item will terminate, and the rental payments on the remaining items will be reduced accordingly. You shall pay any sales and use taxes due on such transfer. Any insurance or condemnation proceeds received will be credited to your obligation under this section and you will be entitled to any surplus. Whenever the Products are damaged and such damage can be repaired, you shall, at your expense, promptly effect such repairs as we deem necessary for compliance with section 10 above. You must maintain acceptable liability insurance with a minimum limit of $1 million per occurrence naming us as "additional insured". You must keep the Products insured against all risks of loss in an amount equal to the replacement cost and have us listed on the policy as "loss payee" with a Lender's Loss Payable endorsement for the entire term of the Agreement. If you do not give us proof of the required insurance within 30 days after the Agreement commences (or within 30 days of any subsequent renewal date), then depending on the original cost of the Products we may, but are not obligated to, obtain insurance to cover our interests and charge you a fee for such coverage (including a monthly administration fee and a profit to us). You can cancel the insurance coverage fee at any time by delivering the required proof of insurance.

12. TAXES AND CERTAIN FEES RELATING TO THE AGREEMENT OF THE PRODUCTS. You agree and understand that the amounts we are charging you to rent the Products do NOT cover taxes, governmental fees and similar types of costs. Accordingly, you agree to pay us upon demand for all taxes (including but not limited to sales, property, use and other taxes), administrative costs and other charges and fees relating to this Agreement or to the use or ownership of the Products. We may adjust this Agreement and the monthly (or other periodic) Payment amount to finance for you any taxes due at Agreement inception. We may bill you based on our estimate of the taxes or based on actual assessments we receive. We may charge you an annual property tax administration fee up to $25. If we gave you a $1.00 purchase option, we may require you to file all personal property tax returns.

13. TITLE TO THE PRODUCTS. You agree that the Products are and will remain throughout the term of the Agreement solely our property. We will have title to the Products throughout the term, and this is a "true lease." You hereby grant us a first priority security interest in the Products and you authorize us and our agents to file Uniform Commercial Code Financing Statements recording such security interest (in case this is later determined not to be a "true lease").

14. YOUR REPRESENTATIONS TO US. The person signing this Agreement on behalf of the customer hereby represents and warrants to PEAC that: This Agreement has been authorized by any and all action required of the corporation, partnership, limited liability company or other form of business (whichever applies in your case), and no consent of any other person or entity is necessary; the Customer entity has complete power to enter into this Agreement, and the person signing on behalf of the Customer has been authorized to do so; the Agreement is a legal, valid and binding obligation of the Customer entity, and enforceable against the Customer in accordance with its terms; all factual statements made in this Agreement and all other information supplied to us by the Customer entity or your representatives, is accurate and complete in all material respects. All prior conversations, agreements and representations relating to this Agreement or the Products are integrated herein. You will promptly execute and deliver to us such further documents and take such further action as we may request in order to carry out more effectively the intent and purpose of this Agreement.

15. DEFAULT DEFINED. You will be in default under this Agreement if any of the following events occur:
(a) you fail to make any rental Payment or pay any other amount due under this Agreement by its due date; (b) you fail to comply with any other term or condition of this Agreement or any other agreement between us, or fail to perform any obligation imposed upon you relating to this Agreement or any such other agreement; (c) you become deceased (if the Customer entity under this Agreement is one or more natural persons), go out of business, admit your inability to pay your debts as they fall due, become insolvent, make an assignment for the benefit of your creditors, file (or have filed against you) a petition in bankruptcy, a trustee or receiver of your business assets is appointed, or you sell all or substantially all of such assets; (d) you allow a controlling interest in the Customer (you) to be sold, transferred, or assigned to any person(s) or entity(ies) other than those who hold a controlling interest as of the date hereof whether by merger, sale or otherwise; (e) you enter into any merger or reorganization in which the Customer is not the surviving entity; or (f) you allow a Blocked Person to have ownership interest in or control of Customer. "Blocked Person" means any person or entity that isnow or at any time (A) on a list of Specially Designated Nationals issued by the Office of Foreign Assets Control ("OFAC") of the United States Department of the Treasury or any sectoral sanctions identification list, or (B) whose property or interests in property are blocked by OFAC or who is subject to sanctions imposed by law, including any executive order of any branch or department of the United States government or (C) otherwise designated by the United States or any regulator having jurisdiction or regulatory oversight over PEAC, to be a person with whom PEAC is not permitted to extend credit to or with regard to whom, a Customer relationship may result in penalties against PEAC or limitations on a lessor's ability to enforce a transaction.

16. OUR REMEDIES UPON DEFAULT. In the event you default under this Agreement, as defined above, we will have the right to take ANY OR ALL of the following actions, in addition to any and all other remedies that may be available to us under law: (a) terminate the Agreement without prior notice or warning to you; (b) directly debit, via the Automated Clearing House (ACH) system, any Payment(s) due or amounts owed to us from any bank account(s) we have on file for you or that you may provide us with from time to time and, in doing so, you agree to be bound by NACHA Operating Rules; (c) file a lawsuit against you to collect PEAC's Loss. "PEAC's Loss" means the sum of (1) all past due rent Payments then due plus (2) all rent Payments that will become due in the future during the unexpired term discounted from the dates the respective rent Payments would be due at a discounted rate of 3% per annum, plus (3) the "residual value" of the Products as determined by us in our sole but reasonable judgment, plus (4) all other fees, charges or amounts that are then due. You agree to pay all of our reasonable legal costs, including but not limited to reasonable attorney's fees, and/or reasonable overhead for employee time spent on preparing for suit or attempting to collect Payments; and/or (d) repossess or disable the Products or apply to a court for an order allowing repossession. In this event, you agree that, after the Products are repossessed or disabled, you will have no further rights in the Products, and you agree we may resell, re-lease or otherwise remarket the Products without notice to you. You agree (and you waive any rights that may provide to the contrary) that we will NOT be required to disable, repossess, resell, re-lease or otherwise remarket the Products at any time, and that our failure to do so will not affect our other rights of collection and other rights under this Agreement or under law. No delay or omission on our part in exercising any rights hereunder shall operate as a waiver of any of our rights and a waiver on any one occasion shall not be construed as a bar to or waiver of any right or remedy on any future occasion. No waiver or consent shall be binding upon us unless it is in writing and signed by us.

17. PERSONAL JURISDICTION OVER YOU IN PENNSYLVANIA, PLACE FOR ANY LAWSUIT. You hereby acknowledge that this Agreement was accepted by us in Pennsylvania, where we maintain an office, and it did not take effect until we received the executed legal documents in our Pennsylvania office. Accordingly, YOU AGREE THAT THIS AGREEMENT SHALL BE GOVERNED BY THE LAWS OF THE COMMONWEALTH OF PENNSYLVANIA. YOU AGREE THAT ANY SUIT RELATING TO THIS

AGREEMENT SHALL BE BROUGHT IN A STATE OR FEDERAL COURT IN PENNSYLVANIA, AND

YOU IRREVOCABLY CONSENT AND SUBMIT TO THE JURISDICTION OF SUCH COURTS, AND WAIVE ANY CLAIM THAT ANY SUCH COURT IS AN INCONVENIENT OR IMPROPER FORUM. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL. Any action by you against us must be commenced within one year after the cause of action arises or be forever barred. We and you have agreed that a scanned, facsimile or electronic copy of this Agreement and of the signatures of both parties shall be as valid, authentic and legally binding as an original version for all purposes and shall be admissible in court as final and conclusive evidence of this transaction and the execution of the Agreement. Our copy of this Agreement will be deemed chattel paper and evidence your monetary obligation to us. Any written notice hereunder to Customer or PEAC shall be deemed to have been given when delivered personally or deposited with a recognized overnight courier service or in the United States mail, postage prepaid, addressed to recipient at its address set forth on the first page of this Agreement or at such other address as may be last known to the sender.

18. TAX BENEFITS BELONG TO PEAC. The following applies to this Agreement UNLESS, at the commencement of this Agreement, we execute and deliver to you a document signed by an executive officer of PEAC giving you the option at the end of the Agreement term to purchase the Products for one dollar ($1.00): For all state, federal and local tax purposes, we (or our successors and assigns) are the sole owner of the Products and we are entitled to all tax benefits relating to the Products, including but not limited to tax credits, depreciation and deductions. You agree not to do anything that is inconsistent with our ownership of the Products. You agree not to claim to be the owner of the Products on any tax returns or in any other document or for any other purpose. If you do anything or file anything that causes us to lose any such tax benefit contemplated above, or if we suffer any harm, damage, cost, loss, liability (for example, if interest or tax penalties are imposed against us), or if any suit or proceeding is brought against us, arising out of your breach of any of the agreements you have made in this section, you agree to hold us harmless, defend us and indemnify (reimburse or pay) us with respect to the amount of such lost benefits or other damage, loss, cost (including reasonable attorneys fees) or liability. This duty to indemnify us shall survive the termination of this Agreement.

RECOMMENDATION:

It is recommended that the City Council:

1. Approve the Adobe software license subscription, including Acrobat, Photoshop, and Sign from Noted Technology Solutions, Inc., for $5,092.43 per year; and

2. Authorize the City Manager to sign any related paperwork and approve renewals.

The City uses Adobe software to support administrative, operational, and public-facing functions. Acrobat, Photoshop, and Sign provide essential capabilities for document creation and management, electronic signatures, and the development of graphics and other visual materials.

ANALYSIS:

The proposed licensing subscription will provide access to Adobe software necessary to support City operations and maintain efficient workflows across departments. Noted Technology Solutions, Inc. has provided a quote for the required licenses in the amount of $5,092.43 annually.

The Adobe licenses are being procured through Carahsoft Technology Corp., an authorized Adobe reseller that provides software and technology products to public-sector agencies. Carahsoft obtains its pricing directly from Adobe and extends applicable government or public-sector pricing to its authorized reseller partners, including Noted Technology Solutions, Inc. The quoted amount reflects the applicable pricing provided through this reseller channel. Quotes were requested from four separate vendors, and Noted Technology Solutions was the most cost effective.
