1 First Amendment to Agreement between
Willdan Engineering Services and the City of Lomita
for Capital Improvement Projects (CIP) and Water Related Project Management This First Amendment to the Agreement is made and entered into between the City of Lomita (“City”) and Willdan Engineering Services (“Consultant”). The City and Consultant mutually agree to amend the existing Agreement entered into on the 4th of day June, 2024, as follows:
RECITALS
A. On June 4, 2024, the City entered into an Agreement with Consultant for CIP/Water-Related Project Management (“Agreement”).
B. The City and Consultant now desire to amend Agreement and extend the term until December 31, 2027 with the option to extend by two additional one-year terms upon Consultant’s successful demonstration of exemplary contract performance.
NOW THEREFORE, in consideration of their mutual promises, obligations and covenants hereinafter contained, the parties hereto agree as follows:
1. Section 2 – Scope of Services. The City and Consultant agree to add the services and activities set forth in the scope of services attached hereto as Exhibit A for CIP/Water-Related Project Management Services.
2. Section 7 – Term of Agreement. The City and Consultant agree to extend the term of the Agreement for three (3) years and shall expire on December 31, 2027. This Agreement may be extended by two additional one-year terms, at the City’s sole discretion, upon written notice to Consultant.
3. All terms, conditions, and other provisions of the Agreement, including all exhibits, not affected by this First Amendment shall remain in full force and effect.
4. The Parties agree that this First Amendment to the Agreement will be considered signed when the signature of a party is delivered by facsimile transmission, scanned, and delivered via electronic mail, or delivered using digital signature technology approved by the City. Such facsimile or electronic signatures will be treated in all respects as having the same effect as an original signature.
IN WITNESS WHEREOF, the parties hereto have executed this First Amendment on the 5th day of November 2024, at Lomita, California.
