4. Professional Liability Coverage. CONSULTANT shall maintain professional errors and omissions liability insurance for protection against claims alleging negligent acts, errors, or omissions which may arise from CONSULTANT'S operations under this Agreement, whether such operations be by CONSULTANT or by its employees, subconsultants, or

Docusign Envelope ID: D875CD4B-2E67-44A7-9F53-4B6569672D1 C subconsultants. The amount of this insurance shall not be less than one million dollars ($1,000,000) on a claims-made annual aggregate basis; or a combined single-limit-per-occurrence basis. When coverage is provided on a "claims made basis," CONSUL TANT will continue to renew the insurance for a period of three (3) years after this Agreement expires or is terminated.

Such insurance will have the same coverage and limits as the policy that was in effect during the term of this Agreement, and will cover CONSULTANT for all claims made by CITY arising out of any errors or omissions of CONSUL TANT, or its officers, employees or agents during the time this Agreement was in effect.

B. Endorsements. Each general liability, automobile liability and professional liability insurance policy shall be issued by a financially responsible insurance company or companies admitted and authorized to do business in the State of California, or which is approved in writing by CITY, and shall be endorsed as follows. CONSUL TANT also agrees to require all CONSUL TANTs, and subconsultants to do likewise.

1. "The CITY, its elected or appointed officers, officials, employees, agents, and volunteers are to be covered as additional insureds with respect to liability arising out of work performed by or on behalf of the CONSULTANT, including materials, parts, or equipment furnished in connection with such work or operations."

2. This policy shall be considered primary insurance as respects CITY, its elected or appointed officers, officials, employees, agents, and volunteers.

Any insurance maintained by CITY, including any self-insured retention CITY may have, shall be considered excess insurance only and shall not contribute with this policy.

3. This insurance shall act for each insured and additional insured as though a separate policy had been written for each, except with respect to the limits of liability of the insuring company.

4. The insurer waives all rights of subrogation against CITY, its elected or appointed officers, officials, employees, or agents.

5. Any failure to comply with reporting provisions of the policies shall not affect coverage provided to CITY, its elected or appointed officers, officials, employees, agents, or volunteers.

6. The insurance provided by this policy shall not be suspended, voided, canceled, or reduced in coverage or in limits except after thirty (30) days' written notice has been received by CITY.

C. CONSUL TANT agrees to provide immediate notice to CITY of any claim or loss against CONSULTANT arising out of thework performed under this agreement.

CITY assumes no obligation or liability by such notice, but has the right (but not Page6 ofll
Docusign Envelope ID: D875CD4B-2E67-44A7-9F53-4B6569672D1 C the duty) to monitor the handling of any such claim or claims if they are likely to involve CITY.

D. Any deductibles or self-insured retentions must be declared to and approved by CITY. At CITY's option, CONSUL TANT shall demonstrate financial capability for payment of such deductibles or self-insured retentions.

E. CONSULTANT shall provide certificates of insurance with original' endorsements to CITY as evidence of the insurance coverage required herein.

Certificates of such insurance shall be filed with CITY on or before commencement of performance of this Agreement. Current certification of insurance shall be kept on file with CITY at all times during the term of this Agreement.

F. Failure on the part of CONSUL TANT to procure or maintain required insurance shall constitute a material breach of contract under which CITY may terminate this Agreement pursuant to Section 12 above.

G. The commercial general and automobile liability policies required by this Agreement shall allow CITY, as additional insured, to satisfy the self-insured retention ("SIR") and/or deductible of the policy in lieu of the CONSULTANT (as the named insured) should CONSULTANT fail to pay the SIR or deductible requirements. The amount of the SIR or deductible shall be subject to the approval of the City Attorney and the Finance Director. CONSULTANT understands and agrees that satisfaction of this requirement is an express condition precedent to the effectiveness of this Agreement. Failure by CONSUL TANT as primary insured to pay its SIR or deductible constitutes a material breach of this Agreement. Should CITY pay the SIR or deductible on CONSULTANT'S behalf upon CONSULTANT'S failure or refusal to do so in order to secure defense and indemnification as an additional insured under the policy, CITY may include such amounts as damages in any action against CONSUL TANT for breach of this Agreement in addition to any other damages incurred by CITY due to the breach.

19. USE OF OTHER CONSULTANTS. CONSULTANT must obtain CITY's prior written approval to use any CONSULTANTs while performing any portion of this Agreement. Such approval must include approval of the proposed CONSULTANT and the terms of compensation.

20. FINAL PAYMENT ACCEPTANCE CONSTITUTES RELEASE. The acceptance by the CONSULTANT of the final payment made under this Agreement shall operate as and be a release of CITY from all claims and liabilities for compensation to the CONSULTANT for anything done, furnished or relating to the CONSULTANT'S work or services. Acceptance of payment shall be any negotiation of CITY'S check or the failure to make a written extra compensation claim within ten (10) calendar days of the receipt of that check. However, approval or payment by CITY shall not constitute, nor be deemed, a release of the responsibility and liability of CONSULTANT, its employees, sub-CONSULTANTs

21. CORRECTIONS. In addition to the above indemnification obligations, the CONSULTANT shall correct, at its expense, all errors in the work which may be disclosed during CITY'S review of CONSULTANT'S report or plans. Should the CONSUL TANT fail to make such correction in a reasonably timely manner, such correction shall be made by CITY, and the cost thereof shall be charged to CONSULTANT. In addition to all other available remedies, CITY may deduct the cost of such correction from any retention amount held by CITY or may withbold.:... ________ ... payment otherwise owed CONSUL TANT under this Agreement up to the amount of the cost of correction.

22. NON-APPROPRIATION OF FUNDS. Payments to be made to CONSULTANT by CITY for services preformed within the current fiscal year are within the current fiscal budget and within an available, unexhausted fund. In the event that CITY does not appropriate sufficient funds for payment of CONSULTANT'S services beyond the current fiscal year, the Agreement shall cover payment for CONSULTANT'S only to the conclusion of the last fiscal year in which CITY appropriates sufficient funds and shall automatically terminate at the conclusion of such fiscal year.

2 RECENT GRANT AWARDS
Ou r track record of winning more than 60 percent of client grant applications submitted in any given year proves our uniqueness within the field of professional grant writing over the long term, particula rly when most grant prog rams only fund anywhere from 5 to 20 percent of appl ications received. Our knowledge and experience with grant prog rams, daily resea rch activities, and assistance with the "go" or "no-go" decision-making process ensu res that we a re knowledgeable of the programs and projects that granting agencies seek to fu nd. Our services are designed to ensure the client maintains situational awa reness of potentia l gra nts that su pport their specific needs, pursue all appropriate grant fu nding, and ensure proper grant reporting and close-out administration for award ed gra nts.

In the past five yea rs, B&A developed over 830 gra nts for our Cal ifornia cl ients, winning over $641 mil lion in grant fu nding. $52 million of these requests were for Cong ressionally directed spending and California legislature set asides.

Recently, B&A won 11 of 16 Ca ltra ns Hig hway Safety Improvement Program grant applications submitted on behalf of our clients, worth over $4.2 million in fund ing. This equates to a 69 percent win rate.

GRANT RESEARCH, WRmNG, & MANAGEMENT I 6
Docusign Envelope ID: D875CD4B-2E67-44A7-9F53-4B656967201 C I c. PROPOSED METHODOLOGY
B&A employs a tried-and-true methodology that has proven successfu l for our clients over the past two decades.

GRANT RESEARCH - GRANT MONITORING/INTELLIGENCE
Actively Identify Grant Resources. B&A resea rches, tracks, and identifies grant opportun ities util izing a systematic, daily process to fi nd grant sol icitations at the federa l, state, regional, and local level. The resea rch team in tu rn develops a Fact Sheet and attends workshops or webinars. The Fact Sheet routinely provides the name of the fu nding agency, leve l of fu nding ava ilable, historic average awa rds for the prog ram, due dates, elig ible and inelig i ble projects or activities, prog ram summary, and other critica l deta ils. In addition, our membership to the League of Cities provides us with up-to-date knowledge reg ardi ng issues facing local and regional government agencies. B&A also mon itors propositions and leg isl ative activities to understa nd the potentia l impact on our cl ients and grant prog rams.

GRANT RESEARCH - MONTHLY GRANT ACTIVITY REPORT
Our B&A Research
Department develops and
issues over 450 targeted
grant Fact Sheets and
summa ries every year.

B&A recommends a month ly Grant Activity Report (GAR) conference ca ll with key City staff. This sta nding conference ca ll allows discussion of open and active grant opportu nities and potential projects The GAR wi ll identify all grants in the development process, those that have been submitted, grant awa rds, den ied grants, and any special services provided.

Annual Roll-up Report with Return on Investment: B&A provides an executive level annual Grant Roll-up Report desig ned to give City staff updates about the grant prog ram accompl ishments and ROI, as applicable.

GRANT RESEARCH -GRANT RESEARCH CONSULTATION
At any time during our contract, the City ca n request the Grant Research team to perform grant resea rch consu ltation to i nvestigate a specific grant prog ram. Internal ly, B&A coo rd inates to ensu re that the research is conducted in a responsive, thorough, and timely fashion. This resea rch may include contact with the fu nding agency to develop intell igence on the goals and objectives of the prog ram or measure the agency's inte rest in fu nding the project as contemplated or proposed by the cl ient This is particu la rly va luable to the City when eva luating a proposed project that may not initia lly appear to be eligible or competitive for the program. Our extensive list of contacts within grant fu nding agencies enables the B&A resea rch team to gather useful information and actionable guida nce for the team.

GRANT APPLICATION DEVELOPMENT
Our services are desig ned to ensure the client maintains situational awareness of potential grants that support their specific needs, pursue all appropriate grant funding, and ensure proper grant reporting and close-out administration for awarded grants. Al l B&A-written appl ications are custom developed, with detailed and tailored narrative sections, graphics, photos, and artwo rk. Unlike competitors' processes, we do not employ cut-and-paste procedures, look-alike templates, or factory-style application approaches.

The following summarizes B&A's systematic grant writing process Over the past 20 years,
B&A has written more than
2,000 grant proposals
winning over $1.5 bill ion in
grant funding.
• Once the cl ient decides to pursue a grant, B&A carefully reviews the guidelines and develops a fixed fee notto-exceed quote proposal outlining the estimated costs for B&A to assist the cl ient This activity typically takes between one and three days to provide the client with a detailed quote. Upon cl ient approval, B&A sched ules all meeting s, assembles stakeholders, and obtains relevant information from multiple stakeholders (via emails, phone calls, or virtual meetings) to develop targeted, effective grant proposal submissions Throug hout the grant proposal development process, B&A ensures that all req uired components of a proposal are included in the application for submission, ensuring ad herence to grant evaluation criteria. • Based on the due date and proposal requirements, B&A develops an overall grant outl ine, cal led a Timeline and Checkl ist, which identifies a list of tasks to be accompl ished, milestone dates to be met, and who wi ll be responsible. B&A works with City staff and team to determine writing assignments, including an estimate of how much City staff time wi ll be needed at the beg inning of each project This includes ide ntifying who is responsible for completing the tasks and the dates tasks are to be completed. B&A strives to complete as much of the appl ication independently as possi ble. B&A provides the leadership for the coo rdination of any necessary meetings, conference calls, or discussions.

A grant Timeline &
Checklist is a B&A best
practice that guides the
entire grant writing
appl ication process.
• B&A develops an appl ication outl ine that includes the narrative questions from the grant that need answering.

B&A's associates are skilled in developing narrative with compelling arguments, in active voice, and within any character limitations. Using this outline, B&A conducts a kick-off conference call discussing the grant program, the Timeline and Checklist, and appl ication.
• Beginning with long-lead tasks, the B&A team researches necessary information, meets with appropriate staff, stakeholders, and consultants, and develops proposal language, including the scope of work, budget, timeline, justification, cost- benefit analysis, transmittal cover letter, and completes all necessary federal, state, and local forms, certifications, and assurances. B&A interviews key staff and/or other consultants to capture as much information about the project as possible. As needed, B&A can also develop Staff Reports and Resolutions for B

• B&A provides budget guida nce and ju stifications in alignment with City pol icies and personnel guidelines and in conformance with grant solicitation requirements.
• Concu rrently, B&A determines the role of any sta keholders and identifies those stakeholders in coordination with staff and consultants.

B&A will work with staff to identify sta keholders for letters of support and wi ll develop the letters of support for distribution B&A wi ll assist in distribution of the letters of support for signature. • B&A attends any pre-proposal conferences, etc. hosted by the grantmaking agency B&A collects data and photographs as independently as possible from existing resou rces such as General Pla ns, California Commu nities Environmental Hea lth Screening Tool (Ca lE nviroScreen), B&A grant applications are
all custom developed with
unique support letters and
graphics.
and Goog le Earth, to name a few All B&A team members are trained in the use of these tools; no outside consulta nts are required
• B&A determines if any special graphics, artwork, maps, etc. are needed and incorporates those exhibits into the proposa l as soon as possible. B&A ge nerally develops graphics, ma ps, and artwork in-house. If specialized Geog raphic Information System (GIS) maps are required, B&A ca n su bcontra ct with GIS special ists or work with the client's internal GIS team to perform these ta sks. However, most grant appl ications do not require highly detai led graph ics, and we have been very successfu l with our intern al map development. • B&A conducts any greenhouse gas reduction, water savings, energy savings and other calcu lations, as necessa ry. B&A staff are trai ned in the calcu lation tools accepted by most g ra nt fu nding agencies including the Ca liforn ia Air Resou rces Board emission reduction and greenhouse gas red uction tools. B&A mai nta ins relationships with specific technical or engineering firms that ca n provide access to other modeling tools, including Benefit Cost Ana lyses.
• B&A ma nages and incorporates all edits to g ra nt proposa ls to ensu re consistency of messaging, integ ration of gra nt requirements and succinctness prior to fi nal client review and submittal to the fu nding authority. B&A wi ll provide draft copies of grant proposa ls (80 percent and 100 percent) t o t h e City with an adequ ate amount of time to al low for feed back and fi nal editing. B&A's policy is to provide at least 48 hours for review time (longer if possible). B&A then reviews and incorporates the ed its or discusses any ed its that might impact the scoring of the project or exceed proposal limitations. The 80 perce nt draft is intended to ensure the technical aspects of the proposal are accurate and consistent with the goals of the clie nt, including the budget The final 100 percent draft ensu res the City and B&A are comforta ble with the final appl ication and there is an opportunity to interject any of the City's fi nal adjustments, sig natu res, and approva l to submit.

If submitti ng electronic appl ications via the intern et, B&A coordinates any password or authorization requirements as early as necessary to ensure the timely submission of e-grants. B&A has never missed a grant deadline.

B&A has never missed a
grant deadline.
• B&A maintains a comprehen sive project fi le - co nta ining all facts, data, statistics, and na rrative collected and written as part of the assigned projects - throug hout the development process, which is provided to City staff for futu re use once the grant appl ication is submitted and/or approved. Final documents are provided to the client. All original work products are provided to the cl ient via a link to our B&A system. All electronic fi les are in Microsoft Word, Excel, PowerPoi nt, or other ap propriate softwa re. • In the case that a grant proposal is denied, B&A will coordin ate with staff and the granting age ncy to req uest a debriefing. Debriefings are extremely va luable because the team can receive recomme ndations to strengthen the proposal for the next grant cycle.

While the application is undergoing development, B&A wi ll conti nually assess and score the project and appl ication against the prog ram requirements to ensure that it remains highly competitive. As a project, grant writi ng is unique beca use there is a hard deadline that must be met. B&A controls the schedule because it is crucial that the appl ication be submitted on time. Our staff is cog nizant of the need to.deliver the 80 and 100 percent complete drafts on schedule and are give n fu l l l atitude to ensure del ive ry o f t h e application. We have had occa sions where extreme measures were take n due to failures with FedEx - and the appl ication was sti ll del ive red on time.

QUALITY CONTROL
B&A exercises the hig hest level of professional care and accu racy when developing g ra nt del ivera bles for clients. B&A util izes a tiered review process involvi ng our most senior grant professionals to ensure that every piece of a grant appl ication is reviewed prior to del ivery. Once a g ra nt application is approximately 80 percent complete, B&A's team will del iver the appl ication to City staff to al low the City an op portu nity to provide in put and comments. After revisions are made at the 80 percent ma rk, B&A will fi nal ize the application and deliver a 100 percent complete appl ication to the City as a fi nal opportu n ity for review and provision of any additional input. Once B&A receives approva l from the City, B&A will su bmit the application on the City's behalf or will provide deta iled submission guida nce and support to the designated staff member, depending on the fu nding agency's pol icy.
