Amendment #2 to MOU #19-002 for Online Access to County Voter Registration EMS 1with City of Long Beach HOA.106121214.1 AMENDMENT NUMBER TWOMEMORANDUM OF UNDERSTANDINGBETWEENCOUNTY OF LOS ANGELES REGISTRAR-RECORDER/COUNTY CLERK ANDCITY OF LONG BEACH FOR ONLINE ACCESS TO THE COUNTY OF LOS ANGELES VOTER REGISTRATION ELECTION MANAGEMENT SYSTEM (EMS) This Amendment Number Two is made and entered into effect as of this ___________ day of __________________, 2026 by and between the County of Los Angeles, (County), through its Department of Registrar-Recorder/County Clerk (Department), and the City of Long Beach, a Municipal Corporation (City), by and through the City Clerk's Office (City Clerk). County, Department, City, and City Clerk are sometimes hereinafter referred to collectively as the "Parties" and each individually as a "Party." WHEREAS, Department and City Clerk entered into the Memorandum of Understanding (MOU) on October 7, 2019, to provide City with online access to the Election Management System (EMS), a voter registration and election management application for the sole purpose of conducting official government business; and WHEREAS, under that certain Amendment Number One to the MOU dated June 11, 2024, the MOU was amended to, among other things, extend the term of the MOU for the first two-year extension; WHEREAS, the Parties wish to amend the Agreement to (1) extend the term for the second two-year extension; and (2) replace Exhibit 1 (EMS Primary Contacts) to update contact information; and WHEREAS, Section 3.4 and Section 4.1 of the MOU provide that the MOU may be amended upon mutual written consent of the Parties; and WHEREAS, Department and City Clerk mutually agree to amend the MOU as hereinafter set forth. NOW THEREFORE, in consideration of the foregoing and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Agreement is hereby amended as follows: 1. Pursuant to Sections 3.4 and 4.1 of the MOU, the Parties hereby agree to extend the term of the Agreement for its second two-year extension effective October 7, 2026 to October 6, 2028. 2. Replace Exhibit 1 (EMS Primary Contacts) with a new Exhibit 1 (EMS Primary Contacts) to update contact information.
