Comments:
The proposed Service Provider Worker Retention Ordinance would require that certain existing service providers provide the City and any successor service provider with the contact information of any displaced worker due to a change in the ownership of the existing service provider, or a change in the company providing such services. It would require that the successor service provider offer any displaced workers employment a 90 day “transition” period, at which point the successor service provider can evaluate the displaced worker for consideration of continued employment. (CA) Recommendation:
Introduce for a second reading, read by title only, and waive further reading of the attached Ordinance No. ___, entitled “AN ORDINANCE OF THE CITY COUNCIL OF

ADDING SECTION 4-38
“SERVICE PROVIDER WORKER RETENTION” TO CHAPTER 4
“LICENSING AND BUSINESS REGULATIONS” OF THE LYNWOOD
MUNICIPAL CODE
Agenda Item # 7.1.
Recommendation:
Introduce for a second reading, read by title only, and waive further reading of the attached Ordinance No. ___, entitled “AN ORDINANCE OF THE CITY COUNCIL OF THE
CITY OF LYNWOOD, COUNTY OF LOS ANGELES, STATE OF CALIFORNIA, ADDING SECTION 4-38 “SERVICE PROVIDER WORKER RETENTION” TO CHAPTER 4 “LICENSING AND BUSINESS REGULATIONS” OF THE LYNWOOD MUNICIPAL CODE”.
Background:
The City awards numerous contracts every year to various service providers and contractors to perform essential and critical services and governmental functions. The effective and efficient performance of these services is highly dependent upon skilled and experienced workers capable of executing the necessary work in a timely and competent manner. Any changes in the personnel of these service providers can have an effect on the quality of services provided by the City, whether due to a change of ownership of the existing service provider or the subsequent award of a contract to a different service provider.
The City finds that the solicitation and procurement of new service providers is beneficial to the City’s overall economic health and provides the opportunity for other businesses to benefit from City service contracts. The City also recognizes that these benefits are not necessarily City Council City Council Regular Meeting 7
diminished by the retention of workers experienced in performing these duties as it allows for the City to utilize those workers’ expertise and knowledge in the effective performance of such duties. Whenever there is turnover related to the performance of these functions, there is an adjustment period for new workers to be able to perform these functions with the same expertise and effectiveness as their predecessors. There is also a loss of institutional knowledge accrued through the experience and longevity of the prior employee. Replacement of these highly experienced and highly skilled workers may affect the success and performance of various City projects, services, and functions.
The retention of the experienced workers also reduces the possibility of labor disputes and disruption of valuable City services. The minimization of such disruptions provides the City and the public with confidence that these services will continue seamlessly through any transition of ownership or change in providers. It will also reduce any impacts associated with unemployment due to such transitions or changes. The City recognizes that such efforts to reduce unemployment are a benefit to the City and the community in general.
Discussion and Analysis:
The proposed Service Provider Worker Retention Ordinance would require that certain existing service providers provide the City and any successor service provider with the contact information of any displaced worker due to a change in the ownership of the existing service provider, or a change in the company providing such services. It would require that the successor service provider offer any displaced workers employment a 90 day “transition” period, at which point the successor service provider can evaluate the displaced worker for consideration of continued employment.
This would not apply to professional or special services providers as defined in Lynwood Municipal Code (“LMC”) §6-3.1, with the exception of “consultant” and “security services”. The successor service provider may not discharge any displaced worker during the transition period except for cause, as defined by wrongful termination case law. In the event that less displaced workers are required to perform the scope of work of the successor service, any reduction in the number of displaced workers must be approved by the City Manager, and any displaced workers must be retained by seniority. No reduction in displaced workers wages or benefits are allowed under the Ordinance, nor will any waiver of these rights by displaced workers be valid.
The penalties for any violations, including discrimination or retaliation against displaced workers filing a complaint pursuant to this Ordinance, include all legal and equitable remedies at law, including back pay, reinstatement, injunctive relief, attorneys’ fees and punitive damages. A civil right of enforcement is available to displaced workers, but no criminal penalties. Any violations of this Ordinance would also allow the City to terminate the contract and withhold payments to the successor service provider and consider the violations in the City Council City Council Regular Meeting 8

evaluation of the providers performance.
The Ordinance also allows for the City to waive or modify any or all of the provisions of this Ordinance upon approval of the City’s Finance Committee and the City Council by majority vote. In the event of a deadlocked vote by the Finance Committee, the City Council may approve any waiver or modification by majority vote.
The City Council introduced the ordinance for a first reading at the June 4, 2024. The City Council modified the draft ordinance to include limiting the obligation to provide the same wages and benefits to the displaced workers by the new SSp to 90 days. The ordinance was voted on with the modified language.
Fiscal Impact:
There may be some increase costs associated with proposals from successor contractors, however the City may benefit financially from the retention of skilled and experienced workers providing the same services during such transition periods.

The City awards numerous contracts every year to various service providers and contractors to perform essential and critical services and governmental functions. The effective and efficient performance of these services is highly dependent upon skilled and experienced workers capable of executing the necessary work in and timely and competent manner. Any changes in the personnel of these service providers can have an effect on the quality of services provided by the City, whether due to a change of ownership of the existing service provider or the subsequent award of a contract to a different service provider.

4-38.1 Definitions.
Change in provider shall mean any change in the existing service provider of City’s contracted services to a successor service provider.
Change in ownership shall mean the assignment, alienation, transfer, sale, acquisition, or disposition of a controlling stake or substantially all of assets of the existing service provider by another entity, including but not limited such transfer through consolidation, merger, reorganization, or bankruptcy.
City shall mean the City of Lynwood.
Contracted services shall mean services provided by a Service Provider under contract with City for a cost above $300,000 for a period of twelve (12) consecutive months.
Contracted services shall not include professional or special services as defined under chapter 6-3.1 of this code, however the terms “consultant” and “security services” shall 11 3
not be considered professional or special services for the purpose of this section. The City Manager, with the consent of the Finance Committee, shall have the discretion to determine whether a certain service is considered a contracted service under this ordinance pursuant to section 4-38.7. In the absence of a determination by the City Manager regarding whether a certain service is considered a contracted service, the City Council shall have the authority to make the determination by a majority vote of the City Council.
Existing Services Provider or ESP shall mean the service provider contracted to provide contracted services to the City prior to any change in ownership or change in provider event.
Entity shall mean a person or individual, sole proprietor, partnership, limited partnership, limited liability company, company, corporation, agency, association, trust, estate, joint venture, or any other commercial or legal entity, whether domestic or foreign, but shall not include other governmental agencies or public institutions.
Displaced worker shall mean any person or individual performing contracted services for the City on behalf of an existing service provider, or any its subcontractors hired to perform work under such contract. This does not apply to exempt employees under the Fair Labor Standards Act (FLSA) or any person or individual who was not employed by the ESP for a minimum of thirty (30) days prior to the execution of the Succession event.
Service provider shall mean any entity under contract with the City to provide contracted services.
Successor service provider or SSP shall mean the entity that provides the same or substantially the same contracted services to the City as the existing service provider pursuant to any change in ownership or change in provider event.
Succession event shall mean the effective date of the document effecting a change in ownership; or in the event of a change of services, the date of upon which the City provides notice to the existing service provider that City has entered into a contract with a successor service provider.
Transition period shall mean the period as described under section 4-38.3 of this chapter. 4-38.3 Displaced Worker Retention.
a. Within ten (10) days of a succession event, the ESP must provide the SSP and the City Manager a list of all of its displaced workers providing contracted services which were subject to the change in provider or the change in ownership. The list shall include:
Each displaced worker's name; and
Last known address, email and phone number if available; and Date hired by the ESP; and
12 4
Each displaced worker’s job classification at the time of the transfer. b. If the identity of the SSP is not known at the time of the succession event, such information shall be requested from the City Manager. The SSP shall offer employment to all displaced workers via certified mail, and if available via email or telephone, within ten (10) days of being awarded the contracted services or a succession event, whichever is sooner. The letter shall require the displaced worker to return a signed copy of the letter to ESP indicating whether he or she has accepted or declined the offer. If the displaced worker fails to submit a signed and accepted offer letter within ten (10) days of displaced worker’s receipt of the offer letter, the offer shall be deemed as declined by the displaced worker. The SSP shall provide copies of all offer letters and certified mail receipts to the City Manager.
c. To the extent feasible, SSP’s contracted services must be performed by displaced workers, however, SSP shall not be required to unnecessarily create additional positions to perform the contracted services. In the event SSP desires to reduce the amount of work hours or positions utilized to perform SSP’s contracted services, the SSP must obtain written approval from the City Manager and hire workers based on seniority pursuant to section 4-38.4.
d. The SSP may not discharge any displaced worker without cause for at least ninety (90) days from the date on which the SSP actually begins providing contracted services (the “transition period”). “Cause” as used in this Section shall mean in good faith and based on a fair and honest reason, and not for reasons that are trivial, arbitrary or capricious, unrelated to business needs or goals, or pretextual. e. At the expiration of the transition period, the SSP shall conduct a written performance evaluation for each displaced worker retained by SSP. If the displaced worker’s performance evaluation is satisfactory or better, SSP shall offer the displaced worker continued employment with SSP subject to Section 4-38.5. 4-38.4 Preferential Hires.
a. If, after the expiration of the transition period, the SSP determines that fewer positions are needed to deliver and maintain the contracted service, the SSP shall retain displaced workers by seniority.
b. Seniority shall be determined by reference to the collective bargaining agreement covering the displaced workers, if one exists, or, if no such agreement exists, then by reference to the initial hire date with the ESP of each displaced worker. Any displaced workers not retained by the SSP shall be placed on a preferential hiring list and considered by the SSP for any job openings that may arise. 4-38.5 Wages and Benefits of Displaced Workers.
SSP must provide all displaced workers covered by this section 4-38 with wages and benefits at a value of not less than the greater of those (a) in effect at the time of the 13 5
termination or expiration of ESP’s contract or effective date of the change of ownership or (b) in any collective bargaining agreement applicable to the displaced workers employment with the ESP. Wages and benefits include all wages or compensation referenced in the existing collective bargaining agreement including provisions addressing how overtime shall be calculated, employer and employee contributions for medical insurance and retirement benefits, any tool, shoe or uniform allowance, sick leave, vacation time and personal or family leave. However, nothing in this ordinance will be construed to require the maintenance of wages and benefits beyond the 90-day transition period by the new SSP.
4-38.6 Retaliation and Discrimination.
a. No ESP or SSP may discriminate against any person for filing a complaint, participating in any investigation or proceeding relating to the enforcement of these provisions, or pursuing any remedies available at law or equity for any violation of this section 4.38 including any harassment, abuse, threats, discharge of duties, or reduction in work hours or duties.
b. Any waiver by a displaced worker of any or all of the provisions of this section 4.38 shall be deemed contrary to public policy and shall be void and unenforceable, except where such waiver occurs in a bona fide collective bargaining agreement. Any attempt by an ESP or SSP to have a displaced worker waive his or her rights given by this section
4.38 shall constitute a willful violation of this provisions included herein. 4-38.7 Enforcement.
a. The City reserves the right to waive or modify any or all the provisions of this section 4-38 with respect to any service provider upon a finding that it would not be in the best interest of the City. Any waiver or modification shall require approval by the City Council by a majority vote of the City Council.
b. Any displaced worker claiming a violation hereunder, may bring an action against the existing service provider or successor service provider in the Superior Court of the State of California to enforce the provisions of this Section 4-38. The penalty for any violation of this section 4-38 shall be for an amount equal to 90 days of the displaced worker's average regular rate of pay, and any other actual damages or legal or equitable remedies, including but not limited to reinstatement, injunctive relief, and back pay. This section further authorizes the awarding of punitive damages for willful violations of this section 4-38. Any plaintiff that successfully enforces his or her rights pursuant to this section 4-38 shall be entitled to reasonable attorney's fees, expert witness fees, and costs of litigation. Violations of this section 4-38 are declared to irreparably harm the public and covered employees generally. Notwithstanding any provision of this code or any other law to the contrary, no criminal penalties shall attach for any violation of this section 4-38. c. Displaced workers shall be considered third-party beneficiaries to any contract for contracted services, and shall have the right to enforce the provisions of this section 4- 14 6
38, and shall be independent of the City's right to enforce any and all provisions included herein.
d. If the City Manager determines that any SSP has violated any provision of this Section 4-38, the City Manager may also recommend to the City council take any or all of the following actions:
i. Document the violations which may be used in the evaluation of Successor Service Provider’s performance.
ii. Terminate the Successor Service Provider’s contract. ii. Withold any payments due to Successor Service Provider.
Section 6. CEQA Findings. The City Council hereby finds and determines that this Ordinance is not subject to the California Environmental Quality Act (Public Resources Code Section 21000, et seq.) (CEQA) pursuant to Section 15061(b)(3) of the State CEQA Guidelines because there is no possibility that it may have a significant effect on the environment.
Section 7. Severability. If any section, subsection, sentence, clause, or phrase of this Ordinance is for any reason held to be invalid or unconstitutional by a decision of any court of any competent jurisdiction, such decision shall not affect the validity of the remaining portions of this Ordinance. The City Council hereby declares that it would have passed this Ordinance, and each and every section, subsection, sentence, clause, or phrase not declared invalid or unconstitutional without regard to whether any portion of the Ordinance would be subsequently declared invalid or unconstitutional.
Section 8. Effective Date. The City Clerk shall certify to the passage of this Ordinance and shall cause this ordinance to be published and/or posted as required by law and said Ordinance shall become effective 30 days after its passage.

construction, and inspections of all businesses along with the additional administrative needs, one being the collection of annual recovery dues and the collection of quarterly dues specific to the development agreements or fee structures set in place.
The City currently contracts with Hdl Companies for the administration of online business license process (initial application and renewals). Lynwood Businesses have transitioned seamlessly to obtaining the Business Licenses online and the online portal has provided the end-user the ability to make payments from anywhere, saving time and money to the businesses and City. Community Development is proposing to incorporate the online Hdl module to enhance the customer portal system in order to effectively administer the cannabis fee collection of those operating cannabis businesses.
Discussion and Analysis:
The City of Lynwood envisioned a booming Cannabis industry that once awarded a development agreement or business license, would start operations as soon as possible and begin paying their fair share of tax revenue and or quarterly fees. City and staff has come to realize that collecting the tax revenues and fees is a cumbersome and time-consuming duty.
Keeping track of the operators, owners and chasing down businesses is more than our Community Development and Finance Division staff can manage in addition to other daily duties. New tools are necessary to better manage the Cannabis industry fee collection.
In March, 2024, Community Development requested a Proposal (RFP) from Hdl for an additional online service to assist in the cannabis administration and fee collection solution.
Hdl has a Tax & Fee Administration service division that specializes in the collection of Cannabis fees. This solution integrates seamlessly with our Business license system and financial systems. Hdl's experienced revenue team can handle all aspects of operations compliance and collection of fees via software hosting, reminders, and collections. This allows staff to focus its efforts on other areas of importance, inspections, permitting, and compliance inspections.
Staff followed the purchasing ordinance section 6-3.9 Professional/Special Services when reviewing the qualifications, cost, and RFP process.
Hdl currently has a contract with the city
to administer the business license permits and therefore they are in possession of all the vendors information as the Cannabis businesses are required to obtain business license permits. Hdl's administration will increase revenues, decrease staff costs, and improve customer service.
Staff is recommending approval of the second amendment to add the additional module/service. This online module will be customized and added to our business license City Council City Council Regular Meeting 49

customer portal, making a smooth transition to the Cannabis businesses.
Hdl fees are as follows.
Implementation Fee for online portal- $5,000. one-time cost Cannabis Tax Administration $900. per establishment/year + CPi
The total cannabis business approved in Lynwood is currently a max of 24 Businesses.
In 2019, there were 19 development agreements approved for Industrial non storefront but currently only 5 businesses are operating. In 2023, there were 5 retail cannabis businesses approved and none currently operating.
Therefore, the maximum annual cost will be $5,000 for implementation plus $900 x 19 businesses = $21,600, for a maximum annual total cost of $26,600.
All fees will be offset by the required $10,000 per business annual cannabis cost recovery fee.
Staff presented the Hdl amendment item to the Finance Committee on May 29, 2024 and the Finance Committee provided direction to move the second amendment forward for Council consideration at the next Council meeting.
Fiscal Impact:
The total fiscal impact for the second amendment is a cost not-to-exceed $26,600.00.

MANAGEMENT FOR DTSC-ECRG ROUND TWO (2) GRANT
Agenda Item # 8.5.
Recommendation:
Staff recommends that the City Council adopt the attached resolution entitled, "A
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LYNWOOD, COUNTY OF LOS
ANGELES, STATE OF CALIFORNIA AUTHORIZING THE CITY MANAGER TO EXECUTE,
IN A FORM SATISFACTORY TO THE CITY ATTORNEY, A THIRD AMENDMENT TO THE AGREEMENT WITH TIERRA WEST ADVISORS, INC. TO PROVIDE CONTINUED
ADVISORY AND IMPLEMENTATION SERVICES AND ONGOING PROJECT MANAGEMENT FOR THE DTSC-ECRG ROUND TWO (2) GRANT." (CD) Background:
The Community Development Department is seeking support to assist with economic development and various projects that support the health and wellbeing of the Community.
Staffing within the Department, as well as other Departments has experienced staff reductions over the past several years. Projects have been maturing into the implementation and development stages of the project cycle. The development of the Alameda Triangle Project (“Project/Site”) is now closer to reality with the City’s award of the DTSC-ECRG Round 2 grant of $6,252,725.00, ECRG-2023-01766. The grant funds are allocated to the remediation of environmental impacts in the Project Site. The City, in an effort to provide further economic development within the City is implementing the Lynwood Transit Area Specific Plan in order City Council City Council Regular Meeting 60
to approve the mixed use project consisting of commercial development and affordable housing. Project support for ongoing activities relative to the DTSC-ECRG Grant Round Two (2) and the Triangle Project will be provided by Tierra West Advisors, Inc. (“Tierra West”).
Tierra West will continue its efforts to assist in the mission of the Department to promote and enhance the quality of life in the City of Lynwood by protecting the health, safety, and welfare of residents and the business community with economic development support.
Discussion and Analysis:
Over the past three (3) years, the City has been working with Tierra West to provide services to secure DTSC-ECRG Grant funding to characterize the environmental issues at the Alameda Triangle Project Site. Tierra West guided the City through the DTSC-ECRG application process for Round two (2) funding. Funding for remediation has been awarded and secured by the City through Tierra West’s efforts with the DTSC-ECRG Grant Program.
Implementing the remediation plan on the Project Site and future development is now possible with the $6,252,725 DTSC-ECRG grant awarded to the City of Lynwood.
Having secured the DTSC Grant funding, it is essential for the City's overall operation and project management oversight, that the City retain Tierra West to oversee through completion of the ECRG grant for the Site. Staff is recommending that the City Council approve the amendment to the professional services agreement with Tierra West Advisors, Inc. to continue providing Grant administrative and monitoring services to the City for the DTSC Grant Project.
Fiscal Impact:
There is no fiscal impact to the General Fund. The total contract cost shall not exceed $300,000 annually which will be covered from the DTSC-ECRG reimbursable grant fund.
Funding will be included in the FY2024-25 budget update.

Grant Funding Implementation
Pursuant to our conversation and recent emails, I’d like to thank you both for assisting with Tierra West Advisors, Inc. (TWA) with our contract amendment. The Department of Toxic Substance Control (DTSC) Equitable Community Revitalization Grant (ECRG) has awarded the City of Lynwood with a Grant for $6,252,575 to remediate the Triangle Development site. Tierra West lead the consulting team in securing the Grant and now Tierra West is prepared to implement the clean-up of the site and prepare it for redevelopment.
Previously, the 1st amendment covered four (4) primary projects that were in various stages of implementation and have outstanding invoices between the City and TWA. The primary projects include the following; Cannabis Implementation, Lynwood Springs - DTSC-ECRG grant implementation for remediation, Triangle Site - DTSC-ECRG grant implementation for Site characterization, and Project Support - Various projects, on an as needed basis.
The proposed 2nd Amendment specifically covers the project oversight for the DTSC-ECRG Round 2 Grant Funding for the remediation of the Triangle Project environmental remediation as described in the RAP (Remedial Action Plan) prepared by Ramboll and Approved by the DTSC-ECRG Team.
Triangle DTSC-ECRG
The Triangle DTSC-ECRG Grant has budgeted the costs incurred for continued testing, reviewing, drafting, on-site remediation, outreach, consultant, and City staff project management support costs.
The Grant provides for a 5% overhead fee, not to exceed $200,000, to manage the implementation of the grant.

PROJECT ACCEPTANCE FOR THE FERNWOOD AVENUE PARK CIP
PROJECT NO: 4011.68.037
Agenda Item # 8.6.
Recommendation:
Staff recommends that the City Council adopt the attached resolution entitled: “A
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LYNWOOD ACCEPTING THE FERNWOOD AVENUE PARK CIP PROJECT NO: 4011.68.037 AS COMPLETE;
AUTHORIZING THE FILING OF THE NOTICE OF COMPLETION WITH THE LOS ANGELES COUNTY RECORDER’S OFFICE AND THE RELEASE OF THE 5% RETENTION 35 DAYS AFTER THE ACCEPTANCE.”
Background:
The goal of the Fernwood Avenue Park Project (Project) was to bring an opportunity for the residents of Lynwood to enjoy outdoor recreational activities with the renovation of previous vacant land into a beautiful public city park. This park includes a walking trail, a pedestrian bridge, new landscaping, seating areas, and a custom playground. On October 12, 2021, a Notice Inviting Bids (NIB) was advertised on the City’s web site (PlanetBids). The bid opening took place in the PlanetBids Platform on Tuesday, December 14, 2021, at 10:00 am (PST).
The city received nine (9) bids. After review, Staff recommended that the City Council award the contract to California Landscape & Design Co., with a bid amount of $2,385,294.70.
Discussion and Analysis:
City Council City Council Regular Meeting 70
On February 1, 2022, the City awarded the contract to the lowest responsible bidder California Landscape & Design, Co. in the amount of $2,385,294.70. The Notice to Proceed was issued for construction to begin on July 11, 2022.
At the December 20, 2022, City Council meeting, the Public Works Department received approval from the City Council for the change order limit to be increased to 20% of the original construction contract ($477,059.00). This authorization covered the change order request due to contaminant removal (arsenic) using soil abatement methods and future potential change orders to guarantee fewer delays and lessen the cost in the completion of the Project.
Scope of Work:
The Project consisted of the renovation of vacant land into a public city park, including walking trail, pedestrian bridge, new landscaping, seating areas, public right of way improvements, and a custom playground to decrease impermeable surfaces and runoff, and enhance opportunities for stormwater infiltration management. The Project included educational components on water saving techniques as well as stormwater runoff reduction. Project also included off-site improvements.
Approved Budget:
The original contract amount with California Landscape & Design, Co. was $2,385,294.70.
Due to various unforeseen circumstances, fifteen (15) change orders were issued and executed throughout the Project in the amount of $460,737.52. The new contract amount including change orders was $2,846,032.22. The final date of construction was November 2, 2023.
In addition, $362,080.00 was used for the construction management/construction inspection services by Willdan and $19,600.00 for labor compliance task provided by Avant Garde Inc.
Staff’s time in project management and other related cost for this project were $47,539.30.
The total cost of this project was $3,275,252 which is under the approved budget of $3,706,337.

Background:
The Los Angeles County Fire Department requested assistance from the City of Lynwood for an assessment of the existing conditions of Fire Station 147. The City consulted with Infrastructure Engineers (IE) to review the existing conditions of Los Angeles County Fire Station 147. Recommended improvements included: replacing the apparatus bay concrete floor, installing perimeter fencing and gate, and pavement repairs to the parking lot.
On July 26, 2023, staff sent an informal request to multiple contractors soliciting bids for Fire Station 147 back parking lot pavement improvements. Two (2) contractors attended the visit at the project site to discuss the scope of work.
On August 2, 2023 the City received two quotes
City Council City Council Regular Meeting 78

Approved Budget:
The original contract amount with California Paving and Grading Co., Inc. was $53,965.00 During the construction phase, Staff made a couple of adjustments in the field to accommodate the discrepancies in the working conditions of the project. There was one (1) change order executed in the amount of $6,000.00 to replace an additional area of cracked concrete totaling approximately 50 sq. ft. and to add approximately 95 sq. ft of gutter. The new contract amount including the change order was $59,965.00. The project included a cost of $1,500.00 for labor compliance, $3,155.92 for project management and other costs.
