OF SOUTH GATE FOR TWEEDY BOULEVARD STREET

IMPROVEMENTS
Agenda Item # 9.3.

Recommendation:

Staff recommends that the City Council adopt the attached resolution entitled: “A

RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LYNWOOD APPROVING THE

MEMORANDUM OF UNDERSTANDING BETWEEN THE CITY OF LYNWOOD AND SOUTH

GATE FOR STREET IMPROVEMENTS ALONG TWEEDY BOULEVARD WITH EQUITABLE COST SHARE; AUTHORIZE THE MAYOR TO EXECUTE THE MOU AND APPROVE THE BUDGET AMENDMENT TO ALLOCATE GAS TAX FUNDS FOR THE CITY’S SHARE OF NON-PARTICIAPTING IMPROVEMENT COST"
Executive Summary:

The City of South Gate has received an Active Transportation Program (ATP) Grant to fund street improvements along Tweedy Boulevard from Alameda Street to Dearborn Avenue and from Dorothy Avenue to the Los Angeles River Bicycle Trail. A portion of the project area is within the City of Lynwood. The MOU with the City of South Gate will ensure a collaborative effort between the cities to improve Tweedy Boulevard. By entering into this agreement, Lynwood ensures that improvements within its jurisdiction are constructed to appropriate standards while sharing costs equitably based on jurisdictional responsibility. (PW) City Council City Council Regular Meeting 338
Background:

The City of South Gate has received an Active Transportation Program (ATP) Grant to fund street improvements along Tweedy Boulevard from Alameda Street to Dearborn Avenue and from Dorothy Avenue to the Los Angeles River Bicycle Trail. A portion of Tweedy Boulevard in the project area—specifically the section west of Long Beach Boulevard and east of State Street—falls within the jurisdictional boundaries of the City of Lynwood.

As the jurisdiction responsible for maintaining streets within its boundaries, Lynwood has an interest in ensuring that improvements to this section of Tweedy Boulevard are constructed to appropriate standards and that the City fulfills its maintenance obligations for these improvements.

Discussion and Analysis:

The proposed street improvements will enhance safety, accessibility, and connectivity along Tweedy Boulevard, benefiting residents and visitors of both South Gate and Lynwood. South Gate will serve as the lead agency responsible for project design, construction management, and oversight.

Due to ATP Grant restrictions, certain project improvements are ineligible for grant reimbursement and are classified as "non-participating improvements." Under the terms of the proposed MOU South Gate will be responsible for designing and constructing all project improvements, including those within Lynwood's jurisdiction. Lynwood will reimburse South Gate for its proportionate share of design and construction costs related to non-participating improvements. Each city will bear 100 percent of the cost of non-participating improvements located within its respective jurisdiction. Design, construction management, and inspection services costs allocated to Lynwood will be based on non-participating improvements constructed within Lynwood's jurisdiction, with estimated costs detailed in Exhibit B of the MOU.

The City of Lynwood will utilize Gas Tax funds to reimburse South Gate for Lynwood's share of non-participating improvement costs. This project was not included in the Fiscal Year 2025– 26 budget, and a budget amendment is required to allocate the necessary funds.

Fiscal Impact:

The estimated cost to the City of Lynwood for its share of non-participating improvements, including design, construction management, and inspection services, is $447,846 as outlined in Exhibit B of the MOU. These costs will be funded through Gas Tax funds (2101).

A budget amendment is required to allocate funds for this project, as it was not included in the adopted FY 2025–26 budget.

Description
City Council City Council Regular Meeting 340

MEMORANDUM OF UNDERSTANDING
between

THE CITY OF SOUTH GATE
And

THE CITY OF LYNWOOD
for Traffic Signal Improvements and Street Improvements on Tweedy Boulevard
This Memorandum of Understanding ("MOU") is entered into by and between the City of South Gate, a California municipal corporation ("South Gate"), and the City of Lynwood, a California municipal corporation ("Lynwood"), with reference to the following facts:
-R -E -C ! -T -A -L S
The City of South Gate has obtained an Active Transportation Program Grant (ATP) from the State of California or Federal government for complete street improvements on Tweedy Boulevard from Alameda Street to Dearborn Avenue and from Dorothy Avenue to Los Angeles River Bicycle Trail; this project is known as Tweedy Boulevard Complete Streets Project (the "Project", as more particularly defined in Section 1 below), Phase II.

Phase II of the Project will enhance pedestrian, bicycle, and motorist safety, implement traffic calming measures, and address deferred maintenance in the project area. Improvements include road rehabilitation, high-visibility crosswalk enhancements, comer bulb-outs at intersections, parklets, traffic signal modifications for pedestrian safety, ADA ramp improvements, landscaping, installation of rectangular rapid flashing beacons at three intersections and signing and striping. The Project will also include bike racks, bus shelters, trash receptacles, shade trees to encourage walking and bicycling.

A section of Tweedy Boulevard in the project area between one hundred-sixty five feet (165') west of Long Beach Boulevard and one hundred-sixty feet (160') east of State Street is within the corporate boundaries of the City of Lynwood and Lynwood is responsible for maintaining those portions of the street located within its jurisdiction.

D. Due to grant restrictions, some of the proposed Project improvements are ineligible for grant reimbursement and are therefore considered non-participating improvements.
341
E. South Gate shall be responsible for designing and constiucting the Project improvements, and Lynwood shall pay its proportionate share of the design and construction costs of non-participating improvements, all subject to the terms of this Agreement.

AGREEMENT
Now, therefore, for good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, South Gate and Lynwood hereby agree as follows:

1. Description of Project. The "Project", as that term is used in this MOU, consists of the design and construction of improvements to Tweedy Boulevard from Alameda Street to Dearborn Avenue and from Dorothy Avenue to Los Angeles River Bicycle Trail as depicted in the project plans and specifications which are attached as Exhibit A.

2. Allocation of Performance and Payment Responsibfflties. South Gate shall be responsible for the design and construction of the Project. Lynwood shall reimburse South Gate for that portion of the design, construction management, construction inspection and construction costs attributable to the non-participating project elements on the portion of Tweedy Boulevard within the project limits and located within the Lynwood city limits, and South Gate shall bear the remainder of those costs. As the method of allocating costs, South Gate and Lynwood shall each be responsible for one hundred percent of the cost of the non-participating improvements within their respective jurisdictions. The design, construction management and inspections services costs shall be based on non-participating improvements to be constructed in Lynwood with the estimated costs shown on Exhibit B. The construction costs allocated to each City shall be based on actual costs based on the bid and final construction costs.

3. Proiect Plans and Specifications. The Project will be built in accordance with plans and specifications that have been prepared by South Gate. Lynwood shall have the right to approve those aspects of said plans and specifications which pertain to those portions of the Project located within the Lynwood city limits.

4. Construction Contract. Construction of the Project will be perfomed by a general contractor ("Contractor") selected by South Gate through public bidding pursuant to the requirements of California law. The contract for the construction of the Project ("Construction Contract") shall be awarded to the Contractor who is the lowest responsive and responsible bidder as determined by South Gate. The Construction Contract shall be entered into by and between the Contractor and South Gate. Although Lynwood will not be a party to the Construction Contract, the Construction Contract shall contain provisions for the benefit of Lynwood set forth in Sections

4. 1 and 4.2 below:

4.1 Insurance. To the extent that the Construction Contract requires South Gate to be named as an additional insured on policies of insurance carried by Contractor, the Construction Contract shall also require Lynwood to be named as an additional insured on those policies.

4.2 Construction Management and Inspection Services. Construction Management and Inspection Services shall be performed by a professional engineering services consultant that specializes in construction management and inspection ("Construction Management 2 MOU betyveen South Gate and Lynwood
342
Consultant") selected by a selection panel that includes South Gate and Lynwood. The contract for the Construction Management Consultant ("Construction Management Contract") shall be awarded to the consultant based on qualifications and a negotiated fee. APPROVAL OF AMENDMENT NO. 1 TO THE

PROFESSIONAL

SERVICES AGREEMENT WITH NORTH STAR LAND CARE FOR TREE

TRIMMING, MAINTENANCE, AND INSPECTION SERVICES
Agenda Item # 9.4.

Recommendation:

Staff recommends that the City Council adopt the attached resolution entitled: “A

RESOLUTION OF THE CITY COUNCIL OF THE CITY OF LYNWOOD APPROVING AMENDMENT NO. 1 TO THE PROFESSIONAL SERVICE AGREEMENT WITH NORTH STAR LAND CARE FOR TREE TRIMMING, MAINTENANCE AND INSPECTION SERVICES” Executive Summary:

Staff recommends approving an amendment to the Professional Services Agreement with North Star Land Care for tree trimming, maintenance, and inspection services from July 1, 2025, through November 8, 2026, in an amount not to exceed $1,078,000. Following the expiration of the previous agreement on October 15, 2023, North Star Land Care continued providing essential tree maintenance services on a month-to-month basis to ensure uninterrupted public safety services critical for fire prevention and risk management. In November 2025, City Council approved an agreement with North Star Land Care for a one year term from November 8, 2025 to November 8, 2026 for a not to exceed amount of $800,000. The proposed amendment would change the term and compensation amount, to a retroactive start date of July 1, 2025. The compensation would cover outstanding invoices totaling approximately $278,000 for services already rendered from July 1, 2025, through November 8, 2025, while allocating $800,000 for ongoing services through the contract term.

The agreement and amendment are authorized under the emergency exception to the competitive RFP process pursuant to Lynwood Municipal Code Section 6-3.12(a)(1), as any disruption in tree maintenance would create immediate safety hazards and potential liability City Council City Council Regular Meeting 351
for the City. (PW)
Background:

On July 16, 2019, the City Council awarded a three-year agreement to North Star Land Care for tree trimming, maintenance, and inspection services. On May 3, 2022, the First Amendment to the agreement was approved to increase the annual compensation from a not- to-exceed amount of $600,000 to a not-to-exceed amount of $850,000 for additional services related to capital improvement projects, as well as the addition of grids to trim. On December 20, 2022, the Second Amendment to the agreement was approved to extend the agreement one additional year, terminating on October 15, 2023.

Following the expiration of the extended agreement on October 15, 2023, North Star Land Care continued providing tree maintenance services on a month-to-month basis to ensure continuity of this essential public safety function. Tree trimming and maintenance are critical for risk management and fire prevention purposes and cannot be paused without creating potential safety hazards or liability exposure for the City.

Staff acknowledged that services continued beyond the formal agreement term due to operational necessity and recommended formalizing a new one-year professional services agreement to align with the City's purchasing policies and ensure continued compliance moving forward. City Council approved the agreement at the November 4, 2025 City Council meeting.

Discussion and Analysis:

The City is divided into 12 grids for tree trimming purposes. Each year North Star Land Care trims trees in the grids on a rotational basis. They also respond to emergency and special tree trimming requests or removals.

Tree maintenance is an essential, ongoing public safety service. The previous month-to-month contract structure ensured there was no lapse in services while the City continued to evaluate long-term maintenance needs, budget priorities, and potential updates to service specifications. Because unmaintained trees can create safety hazards, including falling limbs, blocked visibility, and increased fire risk, continuous maintenance is necessary to protect public property and reduce the City's liability exposure. The agreement and amendment provides the City uninterrupted, essential services that support the City's risk management objectives and ensures compliance with City policy.

Lynwood Municipal Code Section 6-3.7(b)(3) provides that the procurement of professional services in excess of $200,000 shall be awarded by a competitive RFP process. However, the City's procurement ordinance includes a list of exceptions to the competitive RFP process.

One such exception applies for emergencies where there is an urgent need for services to maintain the public's safety. (LMC 6-3.12(a)(1).) An RFP process would lead to the disruption of a valuable public safety service.

Resolution_-_NorthStar_Agreement First Amendment.docx
First Amendment - draft.pdf
The proposed amendment to the professional services agreement with North Star Land Care includes a retroactive start date of July 1, 2025, to formalize services already provided during the transition period following the expiration of the previous agreement. The proposed not-to- exceed amount of $1,078,000 represents an increase from the previous term compensation of $800,000. This increase is necessary to cover outstanding invoices for services rendered from July 1, 2025, through November 8, 2025, during the period when services continued on a month-to-month basis without a formal agreement in place.

Staff recognizes that the retroactive adjustment reflects an internal administrative oversight, and steps are being taken to strengthen internal controls to ensure this does not occur again.

Fiscal Impact:

The FY 25–26 and FY 26–27 adopted budgets include Landscape Maintenance Assessment District Funds for this work.
