AMENDMENT NO. 5 TO THE PROFESSIONAL SERVICES AGREEMENT
BETWEEN THE CITY OF MANHATTAN BEACH AND SA ASSOCIATES FOR
PROJECT MANAGEMENT CONSULTANT SERVICES
This Fifth Amendment (“Amendment No. 5”) to that ce rtain agreement by and between the City of Manhattan Beach, a California m unicipal corporation (“City”) and SA Associates, a California corporation (“Consu ltant”) (collectively, the “Parties”) is hereby made effective as of the date of the last authorized representative signature below (“Effective Date”).
RECITALS
A. On June 9, 2021, the City and Consultant entered into an agreement for professional services for the Consultant to pro vide project management consultant services (“Original Agreement”).
B. On July 20, 2021, the Parties entered into Amend ment No. 1 to the Original Agreement.
C. On October 19, 2021, the Parties entered into Am endment No. 2 to the Original Agreement.
D. On March 1, 2022, the Parties entered into Amend ment No. 3 to the Original Agreement.
E. On June 1, 2022, the Parties entered into Amendm ent No. 4 to the Original Agreement.
F. The Original Agreement, as amended by Amendment No. 1, Amendment No. 2, Amendment No. 3, and Amendment No. 4 is referred to as the “Agreement.”
G. The Parties now desire to amend the Agreement to increase the maximum compensation to be paid to Consultant under the Agreement (the “Maximum Compensation”).
NOW, THEREFORE, in consideration of the Parties’ pe rformance of the promises, covenants, and conditions stated herein, the Parties hereby agree as follows:
Section 1. Section 3.A of the Agreement is hereby a mended to increase the Maximum Compensation amount by $330,000, for a new Maximum Compensation of $ 729,400.
Section 2. Exhibit B of the Agreement is hereby ame nded to reflect the amendments in Section 1 of this resolution regarding Maximum Compensation, to reflect the total not-to-exceed amount of $729,400.

Section 3. Except as specifically amended by this A mendment No. 5, all other provisions of the Agreement shall remain in full force and effect.
