AMENDMENT NO. 4 TO THE PROFESSIONAL SERVICES AGREEMENT
BETWEEN THE CITY OF MANHATTAN BEACH AND GRANICUS, LLC.
This Fourth Amendment (“Amendment No. 4 ”) to that certain agreement by and between the City of Manhattan Beach, a California municipal corporation (“City”), and Granicus, LLC, a Minnesota limited liability company (“Contractor”) (collectively, the “Parties”) is hereby entered into as of January 1, 2023 (“Effective Date”).
RECITALS
A. On February 1. 2018, the City and Contractor entered into an agreement for professional services for the Contractor to provide streaming media solutions that include hardware, software, automated indexing capabilities, voting systems, website page design, and integration with City Council agenda, meeting minutes module, and related support services (“Agreement”); A. On February 1, 2019, the Agreement was amended (Amendment No. 1) to extend the term, increase the maximum compensation to be paid to the Contractor (the “Maximum Compensation”), and modify the services to be performed by the Contractor (the “Services”).
B. On January 1, 2020, the Agr eement was amended (Amendment No. 2) to extend the term, increase the Maxi mum Compensation, cl arify the Parties’ rights to certain information and documents, update the City’s contact information, and modify the Services.
C. On January 1, 2021, the Agr eement was amended (Amendment No. 3) to extend the term, increase the Maximum Compensation, and modify the Scope of Services and Payment Schedule.
D. The Parties now desire to amend the Agreement to extend the term, increase the Maximum Compensation and modify the Scope of Services and Payment Schedule.
NOW, THEREFORE, in consideration of the Parties’ performance of the promises, covenants, and condit ions stated herein, the Parties hereby agree as follows:
Section 1. Section 2 of t he Agreement is hereby revised to extend the term of the Agreement through December 31, 2023, unless sooner terminated as provided in Section 12 of the Agreement.
Section 2. Section 3. A of the Agreem ent is hereby revised to increase the Maximum Compensation amount by $171,659.58.

Section 3. Exhibit A (Scope of Serv ices and Payment Schedule) of the Agreement is hereby amended by adding the attached Exhibit A to this Amendment No. 4.
Section 4. Except as s pecifically amended by this Amendment No. 4, all other provisions of the Agreem ent (as previously amended by Amendment Nos. 1, 2, and 3) shall remain in full force and effect.

EXHIBIT A
SCOPE OF SERVICES AND PAYMENT SCHEDULE
A. Existing Services Payment Schedule and Subscription Services
The existing services subscription amount of $$79,084.58 will be paid in two (2) installments for 6 months of services as follows:
Installment #1 - Billing Period 1/1/ 2023 to 6/30/2023, Amount $39,542.29 due 30 days after January 15, 2023;
Installment #2 - Billing Period 7/1/ 2023 to 12/31/2023, Amount $39,542.29 due 30 days after July 15, 2023;
B. Additional Services Subscr iption and Payment Schedule The products and services listed are additi onal and related to the City website www.manhattanbeach.gov and meeting platform updates. They are to be initiated and scheduled for implementation per City discretion. The services cost are annual but to be adjusted and prorat ed as of the City’s acceptance date and for actual services rendered after City approval. Amount s may be split if the services are spread between two fiscal years. The City will identify in writi ng if there is a modification in the payment schedule once the services are implemented/completed.

1. GovDelivery Advanced Package / City website – integrated communications government platform to connect and engage citizens including personalized campaigns and publishing simultaneously across multiple engagement mediums.

4. Closed Captions / Co uncil and Planning Commission Meetings live stream and video-on-demand – recurring captioning services for live meetings and transcript for events.
Estimated Annual Cost: $35,550*
*Amount to be prorated depending on the implementation and services’ go- live date
a. Live Closed Captioning Serv ices – Annual Subtotal $11,700* ($899.74 discounted) / 90 hours
All meetings will incur a one-hour minimum
Cancellations within 24 hours will be charged 1-hour minimum Caption reservations should be reserved two weeks in
advance; Jobs with little notice may not be guaranteed
coverage, 24 hours as an absolute minimum;
Real-Time Captions are provided at a 98% accuracy
readability rating;
Recurring Caption hours not used in the period of
performance will not carry over to the following year, if applicable;

City will need to request a Tran script for each event that can be done when the captioning is scheduled;
Verbatim transcripts will be completed and returned 72 business hours from the completion of the event and
