AMENDMENT NO. 3 TO THE PROFESSIONAL SERVICES AGREEMENT
BETWEEN THE CITY OF MANHATTAN BEACH AND HANSON BRIDGETT This Third Amendment (“Amendment No. 3”) to that certain agreement by and between the City of Manhattan Beach, a California municipal corporation (“City”) and Hanson Bridgett, LLP, a California limited liability partnership (“Consultant”) (collectively, the “Parties”) is hereby entered into as of June 30, 2023 (“Effective Date”).
RECITALS
A. On September 1, 2021, the Parties entered into an agreement for professional services for the Consultant to provide workplace and administrative investigation services (“Agreement”).
B. On July 1, 2022, the Parti es amended the agreement to extend the term of the professional services agreement through June 30, 2023 (Amendment No. 1).
C. On July 27, 2022, the Parties amended the agreement to increase the Maximum Compensation (Amendment No. 2).
D. The Parties now desire to amend the Agreement to increase the Maximum Compensation, extend the term, and update the Fee Schedule.
NOW, THEREFORE, in consideration of the Parties’ performance of the promises, covenants, and conditions stated herein, the Parties hereby agree as follows:
Section 1. Section 2 of the Agreement is hereby amended to extend the term of the Agreement through June 30, 2025, unless sooner terminated as provided in Section 12 of the Agreement.
Section 2. Section 3.A of the Agreement is hereby amended to increase the Maximum Compensation amount by $200,000 for a new Maximum Compensation of $345,000.
Section 3. Exhibit B Fee Schedule of the Agreement is hereby replaced by the Updated Fee Schedule attached to this Amendment.
Section 4. Except as specifically amended by this Amendment No. 3 , all other provisions of the Agreement shall remain in full force and effect.

APPROVED FEE SCHEDULE
Cost estimates on specific matters will be provided to the City based on the following
rates:
Partner/Lead $475 per hour
Associates/Of Counsel $335 per hour
Paralegals $200 - $235 per hour
At the City’s discretion, specific charges and fees in addition to the hourly rates may be
approved on a case-by-case basis and in advance of fees being incurred.
Additional
expenses associated with the legal services may include the following:
Long distance telephone calls At cost
Photos At cost
Mileage IRS mileage rate (with prior
authorization)
Travel related expense At cost
Overnight mail Standard FedEx rate (with prior authorization)
