AMENDMENT NO. 1 TO THE PROFESSIONAL SERVICES AGREEMENT

BETWEEN THE CITY OF MANHATTAN BEACH AND DOCULYNX

OPERATIONS, LLC
This First Amendment (“Amendment No. 1”) to that certain agreement by and between the City of Manhattan Beach, a California municipal corporation (“City”) and docuLynx Operations, LLC, a Delaware limited liability company (“Consultant”) (collectively, the “Parties”) is hereby entered into as of October 3, 2023 (“Effective Date”).

RECITALS
A. On February 27, 2020, the City and Consultant entered into an agreement for professional services for the Consultant to provide micrographic and document scanning services (“Agreement”).

B. Consultant was acquired by DRS Imaging Services, LLC DBA Daida, a Delaware Limited Liability Company, which desires to accept and assume all of Consultant’s rights, duties, benefits, and obligations under the Agreement. The operating entity moving forward for Consultant will be DRS Imaging Services, LLC DBA Daida. The City desires to consent to such an assumption.

C. The Parties now desire to amend the Agreement to extend the term, increase the Maximum Compensation and modify the fee schedule.

NOW, THEREFORE, in consideration of the Parties’ performance of the promises, covenants, and conditions stated her ein, the Parties hereby agree as follows:

Section 1. Section 2 of the Agreement is hereby revised to provide that the term of the Agreement is through June 30, 2025, unless sooner terminated as provided in Section 12 of the Agreement.

Section 2. Section 3.A of the Agreement is hereby revised to increase the Maximum Co mpensation amount by $84,975.00, for a new Maximum Compensation of $134,875.00.

Section 3. Exhibit B Approved Fee Schedule of the Agreement is hereby replaced by the new Fee Schedule (2023) attached to this Amendment as Exhibit A.

Section 4. Except as specifically amended by this Amendment No. 1, all other provisions of the Agreement shall remain in full force and effect.
