AMENDMENT NO. 5 TO THE GENERAL SERVICES AGREEMENT BETWEEN
THE CITY OF MANHATTAN BEACH AND DEKRA-LITE INDUSTRIES,
INCORPORATED
This Fifth Amendment (“Amendment No. 5”) to that certain agreement by and between the City of Manhattan Beach, a California municipal corporation (“City”) and Dekra-Lite Industries, Incorporated, a California corporation, (“Contractor”) (collectively, the “Parties”). The date the City Manager executes this Amendment shall be the date this Amendment is effective (“Effective Date”).
RECITALS
A. On October 10, 2022, the City and Contractor entered into a General Services Agreement for the Contractor to provide Holiday Décor Lease, Storage, Installation, and Removal Services (“Original Agreement”).
B. On October 27, 2023 , the City and Con tractor entered into Amendment No. 1 to increase the Maximum Compensation , extend the term , amend the scope of services to add Exhibit A-and increase the deposit amount.
C. On May 16, 2024, the City and Contractor entered into Amendment No. 2 to increase the Maximum Compensation, extend the term, amend the scope of services to add Exhibit A-2, and increase the deposit amount.
D. On April 5, 2025, the City and Contractor entered into Amendment No. 3 to increase the Maximum Compensation and extend the term.
E. On November 19, 2025, the City and Contractor entered into Amendment No. 4 to the Agreement to add Exhibit A-3 which amends and restates Exhibit A-2, Contractor’s Proposal.
F. The Original Agreement as amended by Amendment No. 1 , Amendment No. 2, Amendment No. 3 and Amendment No. 4, is hereinafter referred to as the “Agreement.”
G. The Parties now desire to amend the Agreement to increase the Maximum Compensation, extend the term, and add Exhibit A-4 which amends and restates Exhibit A-3, Contractor’s Proposal.
NOW, THEREFORE, in consideration of the Parties’ performance of the promises, covenants, and conditions stated herein, the Parties hereby agree as follows:
Section 1. Section 7.A, Compensation of the Agreement is hereby amended to increase the maximum compensation by $ 20,000 for a new Maximum Compensation of $94,900.

Section 2. Section 3 of the Agreement is hereby amended to extend the term of the Agreement through June 30, 2027, unless sooner terminated as provided in Section 12 of the Agreement.
Section 3. Exhibit A-3 of the Agreement is hereby amended and restated by adding Exhibit A-4, Contractor’s Proposal.
Section 4. Except as specifically amended by this Amendment No. 5, all other provisions of the Agreement shall remain in full force and effect.
