AMENDMENT NO. 1 TO THE PROFESSIONAL
SERVICES AGREEMENT BETWEEN THE
CITY OF MANTECA AND STANTEC CONSULTING SERVICES, INCORPORATED This Amendment No. 1 (“Amendment”) to Agreement #C2021-155 (“Agreement”) is made and entered into this ___ day of ___________, 2024, by and between Stantec Consulting Services, Incorporated a California corporation (“Consultant”) and the City of Manteca, a municipal corporation (“City”).
RECITALS
A. On November 1, 2021, the City of Manteca entered into an Agreement with Consultant to provide professional services for the development of a Wastewater Master Plan and Sewer Rate Study CIP 22040.
B. City and Consultant now desires to amend the Agreement in order to increase the not to exceed compensation amount and extend the time of performance to be undertaken by the Consultant.
C. Consultant represents that it has the necessary professional skills and experience to satisfactorily provide consulting services in a timely manner.
D. City desires to engage Consultant for the purposes of completing the scope of services identified.
NOW, THEREFORE, the parties hereby agree as follows:
Article 3. Time of Performance, of the Agreement is hereby amended as follows:
Delete:
“All work shall be completed no later than April 30, 2024.” Replace with:
“All work shall be completed no later than April 30, 2025.” Article 4. Compensation, of the Agreement is hereby amended as follows:
Delete:
“Without additional authorization from the City, compensation to be paid to the Consultant shall not exceed one million, forty- eight thousand DOLLARS 1,048,000) unless otherwise permitted herein. If additional professional services are required from the City to meet the objective and needs of the Project, the Consultant may receive an additional amount not to exceed one- hundred and fifty thousand DOLLARS ($ 150, 000).” Replace with:
“Without additional authorization from the City, compensation to be paid to the Consultant shall not exceed ONE MILLION FOUR HUNDRED FORTY-EIGHT THOUSAND DOLLARS 1,448,000).” Except as modified in this Amendment, all other provisions of the Agreement shall continue in full force and effect.

TO EFFECTUATE THIS AMENDMENT, each of the parties has caused this Agreement to be executed by its duly authorized representative as of the date set forth in the introductory paragraph on page 1 above.
