1 AMENDMENT NO. 4 TO THE PROFESSIONAL
SERVICES AGREEMENT BETWEEN THE
CITY OF MANTECA AND DEWBERRY ENGINEERS, INC.
This Amendment No. 4 (“Amendment”) to Agreement #C2023-153 (“Agreement”) is made and entered into this ___ day of ___________, 2025, by and between Dewberry Engineers, Inc., a California corporation (“Consultant”) and the City of Manteca, a public body, corporate and politic (“City”).
RECITALS
A. On December 7, 2023, the City of Manteca approved an Agreement with Consultant to provide professional services for construction management and inspection services for the Retroreflective Traffic Sign Project (CIP 16027/HSIPL 5242-033) for a not-to-exceed amount of $282,800.35 (TWO HUNDRED EIGHTY-TWO THOUSAND EIGHT HUNDRED DOLLARS AND THIRTY-FIVE CENTS).
B. On August 15, 2024, the City of Manteca approved Amendment C2023- 153-A1 with Consultant to include additional scope and fee to be undertaken by Consultant for a not-to-exceed amount of $28,000.00 (TWENTY-EIGHT THOUSAND DOLLARS).
C. On September 11, 2024, the City of Manteca approved Amendment C2023- 153-A2 with Consultant to include additional scope and fee to be undertaken by Consultant for a not-to-exceed amount of $30,000.00 (THIRTY THOUSAND DOLLARS).
D. On December 31, 2024, the City of Manteca approved Amendment C2023- 153-A3 with Consultant to extend the time of performance, requiring all such work to be completed no later than June 30, 2025.
E. City now desires to amend the Agreement in order to include additional task and fee to be undertaken by Consultant for a not-to-exceed amount of $44,018.45 (FORTYFOUR THOUSAND EIGHTEEN DOLLARS AND FORTY-FIVE CENTS) in accordance with the Schedule of Charges set forth in Attachment 1, which is incorporated herein by reference.
F. Consultant represents that it has the necessary professional skills and experience to satisfactorily provide consulting services in a timely manner.
G. City desires to engage Consultant for the purposes of completing the scope of services identified.
NOW, THEREFORE, the parties hereby agree as follows:
1. Statement of Work. Attachment 1 to the Agreement is hereby amended by adding the tasks set forth in Attachment 1 to this Amendment, attached hereto and incorporated herein by reference, “Statement of Work and Activities #4”. 2 2. Paragraph 4 of the Agreement is hereby amended to read as follows:
Delete in its entirety.
Replace with:
“4. Compensation. Without additional authorization from the City, compensation to be paid to Consultant for this agreement including all four amendments shall not exceed $ 384,818.80 (THREE HUNDRED EIGHTYFOUR THOUSAND, EIGHT HUNDRED EIGHTEEN DOLLARS AND EIGHTY CENTS).
4. Except as otherwise provided in this Amendment, the Agreement shall continue in full force and effect.

3 TO EFFECTUATE THIS AMENDMENT, each of the parties has caused this Agreement to be executed by its duly authorized representative as of the date set forth in the introductory paragraph on page 1 above.

Dear Beshoy,
Dewberry is requesting an amendment to increase the CM contract budget due to the project running longer than originally anticipated. This amendment will compensate for our previously performed scope of services as agreed to in the contract.
Dewberry requests the following:
