RESOLUTION R20XX-XX
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF MANTECA, STATE OF CALIFORNIA, APPROVING AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT (C2023-59) WITH BADGER METER INC. TO EXTEND THE TERM BY THREE (3) ADDITIONAL YEARS AND INCREASE THE NOT-TO-EXCEED COMPENSATION BY $660,600 FOR A TOTAL NOT-TO-EXCEED CONTRACT AMOUNT OF $1,560,600; AND AUTHORIZING THE CITY MANAGER OR DESIGNEE TO EXECUTE THE AMENDMENT AND TAKE ALL NECESSARY ACTIONS TO IMPLEMENT THE AGREEMENT.
WHEREAS, on June 20, 2023, the City Council approved a professional service agreement with Badger Meter, Inc.; and WHEREAS, the City entered into Professional Services Agreement C2023-59 on June 27, 2023, to provide Beacon Advanced Metering Mobile Solutions services for three (3) years; and WHEREAS, the agreement with Badger Meter, Inc. will expire on June 27, 2026; and WHEREAS, the parties desire to extend the Agreement for three (3) additional years and increase compensation by $660,600; and WHEREAS, the City Council has considered all information related to this matter, as presented at the public meetings of the City Council identified herein, including any supporting reports by City Staff, and any information provided during public meetings.
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Manteca, as follows:
1. The City Council hereby finds that the facts set forth in the recitals to this Resolution are true and correct, and establish the factual basis for the City Council’s adoption of this Resolution.
2. The City Council hereby approves Amendment No. 1 to the Professional Services Agreement with Badger Meter Inc. and extends the term and increases the compensation to the base term.
3. The City Council authorizes the City Manager or designee to take all necessary actions to sign and implement the agreement.
4. This Resolution shall take effect immediately upon adoption.
I HEREBY CERTIFY that the foregoing Resolution was duly adopted by the City Council of the City of Manteca at a public meeting of said City Council held on the 2nd day of June 2026, by the following vote:
