RESOLUTION R20XX-XX
RESOLUTION OF THE CITY COUNCIL OF THE CITY OF MANTECA, STATE OF CALIFORNIA, APPROVING A LAND EXCHANGE AGREEMENT AND JOINT ESCROW INSTRUCTIONS BETWEEN THE CITY OF MANTECA, P.D. DANNA, LLC, AND P.L. DANNA, LLC FOR THE ACQUISITION OF PROPERTY FOR THE FUTURE FIRE STATION NO. 6 SITE, AUTHORIZING THE CITY MANAGER TO EXECUTE THE AGREEMENT AND RELATED DOCUMENTS, AND AUTHORIZING THE CITY MANAGER TO TAKE ALL ACTIONS NECESSARY TO COMPLETE THE TRANSACTION WHEREAS, the City of Manteca ("City") has identified the need to acquire property for the future construction of Fire Station No. 6 in order to enhance emergency response capabilities and serve the City's growing population; and WHEREAS, the City owns approximately 0.94 acres of unimproved property located at 19465 McKinley Avenue (APN 241-410-019) and 2901 Bronzan Road (APN 241-410-020), which the City has determined are no longer necessary for municipal purposes; and WHEREAS, P.D. Danna, LLC and P.L. Danna, LLC (collectively "Danna") own property located at 3131 W. Woodward Avenue (APN 241-260-330), a portion of which has been identified by the City as an appropriate location for the future construction of Fire Station No. 6; and WHEREAS, in January 2026, the City Council approved and the City and Danna executed a Non-Binding Letter of Intent establishing the framework for negotiating a mutually acceptable land exchange agreement for the acquisition of property necessary for the future fire station site; and WHEREAS, the parties have negotiated a Land Exchange Agreement and Joint Escrow Instructions that provides for the exchange of City-owned property and a portion of a future one-acre parcel for approximately 1.82 acres of Danna property, together creating an approximately two-acre site suitable for development of Fire Station No. 6; and WHEREAS, the Land Exchange Agreement establishes the terms and conditions governing escrow, feasibility investigations, environmental review, lot line adjustments, title review, required General Plan and zoning amendments, storm drainage requirements, and all other conditions necessary to complete the property exchange; and WHEREAS, the parties have agreed that the exchanged properties have substantially equal fair market value and that no additional monetary consideration will be exchanged as part of the transaction; and WHEREAS, the City Council finds that acquisition of the Danna property will further an essential public purpose by securing property necessary for construction of a future municipal fire station to protect the public health, safety, and welfare; and WHEREAS, the City Council further finds that the exchange of surplus City-owned property for property needed for a public facility is in the best interests of the City and its residents; and WHEREAS, the Land Exchange Agreement acknowledges that the proposed transaction is exempt from the Surplus Land Act pursuant to Government Code section 54221(f)(1)(C) because the property exchange is undertaken for an identified agency use consistent with the City's adopted General Plan; and WHEREAS, approval of the Land Exchange Agreement does not authorize construction of Fire Station No. 6 or any private development project, and any future discretionary approvals shall be subject to review under the California Environmental Quality Act ("CEQA"), as applicable.
WHEREAS, the City Council has considered all information related to this matter, as presented at the public meetings of the City Council identified herein, including any supporting reports by City Staff, and any information provided during public meetings.
NOW, THEREFORE, BE IT RESOLVED, by the City Council of the City of Manteca, as follows:
The City Council hereby finds that the facts set forth in the recitals to this Resolution are true and correct, and establish the factual basis for the City Council’s adoption of this Resolution.
The City Council hereby approves the Land Exchange Agreement and Joint Escrow Instructions between the City of Manteca, P.D. Danna, LLC, and P.L. Danna, LLC in substantially the form presented to the City Council.

This Resolution shall take effect immediately upon adoption.
