FIRST AMENDMENT TO COMMUNICATIONS SITE LEASE AGREEMENT
This First Amendment to Communications Site Lease Agreement (“First Amendment”) is effective on the date of the last signature (“Effective Date”) by City of Manteca, a municipal corporation (“Lessor”), and MetroPCS California, LLC, a Delaware limited liability company (“Lessee”).

Lessor and Lessee or their predecessors-in-interest have entered into a Communications Site Lease Agreement dated October 18, 2011, (the “Lease Agreement”) regarding the leased space (“Premises”) located at 208 East Wetmore Street, Manteca, CA 95337 (“Lessor’s Real Property”).

Lessor and Lessee now agree as follows:

1. The current and any remaining Renewal Term(s) of the Lease Agreement will end on September 30, 2026. Lessee is granted seven (7) additional five (5)-year terms, each a Renewal Term beginning on October 1, 2026.

2. Rent will be Two Thousand Six Hundred and 00/100 Dollars ($2,600.00) per month beginning on October 1, 2026.

3. Beginning on October 1, 2026, the current escalation set forth in the Lease Agreement will end.

Rent will then increase by fifteen percent (15%) on October 1, 2031, and at the start of each subsequent Renewal Term.

4. If Lessee remains in the Premises after the Lease Agreement ends, the Lease Agreement will automatically convert to a month-to-month tenancy on the same terms and conditions.

5. Tenant will maintain its Premises and equipment while the Lessor will keep the remainder of their Lessor’s Real Property in good order and condition, including without limitation, where applicable, any Lessor owned support structure, landscaping, and common areas.

6. Lessee may not assign the Lease Agreement or sublease the Premises without providing written notice to Lessor.

7. Lessee and Lessor will cooperate with each other's reasonable requests to approve permit applications and other documents related to the Premises.

8. Lessor may bill Lessee for any charges related to the Lease Agreement other than Rent within twelve (12) months after incurring the cost; otherwise, the charges are waived.

9. Lessor may assign the Lease Agreement immediately upon receiving Lessee’s prior written consent.
