TRAILER DONATION AND TRANSFER AGREEMENT
Habitat for Humanity Yuba/Sutter, Inc. to the City of Marysville This Trailer Donation and Transfer Agreement ("Agreement") is entered into as of September 15, 2026, by and between Habitat for Humanity Yuba/Sutter, Inc., a California nonprofit corporation ("Habitat"), and the City of Marysville, a California municipal corporation ("City").
Habitat and City are referred to collectively as the "Parties."
RECITALS
A. The County of Sutter acquired the trailer described below using funds received from the California Department of Housing and Community Development and/or federal funding sources and has agreed to donate the trailer to Habitat.
B. Habitat desires, after receiving title from the County, to donate the trailer to City, and City desires to accept the donation for an eligible public purpose consistent with applicable funding requirements.
The Parties therefore agree as follows:
1. DONATION AND PROPERTY
Habitat shall donate and transfer to City, without monetary consideration, one Pioneer travel trailer, VIN 5SFPB2620ME453361 ("Trailer"). The Trailer has a stated value of less than $9,000.
Transfer is contingent upon Habitat first obtaining lawful title from the County of Sutter.
2. TRANSFER; COSTS; POSSESSION
Habitat shall execute documents reasonably required to transfer title. City shall be responsible for its title, registration, transportation, storage, maintenance, operation, and disposal costs arising after delivery. Risk of loss and responsibility for the Trailer pass to City upon delivery and acceptance of possession. The Parties shall reasonably cooperate to complete the transfer.
3. CONDITION OF TRAILER
City accepts the Trailer in its present "AS IS, WHERE IS" condition, with all faults and without warranties, express or implied, except that Habitat represents it has authority to transfer the Trailer. City may inspect the Trailer before taking possession.
4. USE AND FUNDING REQUIREMENTS
City shall use, manage, and dispose of the Trailer in compliance with applicable federal, state, and local law and any written HCD or federal grant restrictions provided to City before transfer, including applicable requirements under 2 C.F.R. section 200.313. City shall not use or transfer the Trailer in a manner that causes Habitat to violate its agreement with the County. If a funding agency requires repayment solely because of City’s use, transfer, disposal, or failure to comply after acceptance, City shall be responsible for that repayment to the extent permitted by law.
