SUBJECT: AUTHORIZATION TO ISSUE A LETTER OF SUPPORT FOR AB 1586 -
SCHOOL SAFETY AND OPIOID OVERDOSE PREVENTION ACT
SUMMARY:
The City Council is requested to authorize the Mayor to issue a letter of support for Assembly Bill 1586 (AB 1586), known as the School Safety and Opioid Overdose Prevention Act. The proposed legislation would require school resource officers assigned to school campuses or school-sponsored activities to carry opioid overdose reversal medication and complete periodic training on overdose recognition and response. The bill also provides liability protections and directs state agencies to assist with implementation guidance and access to opioid antagonists.
BACKGROUND:
AB 1586 builds upon existing state law that allows school districts to provide emergency opioid overdose reversal medication to trained personnel. The bill would expand these safety measures by requiring each school resource officer to carry an opioid antagonist while on duty at school campuses or school-sponsored activities and to complete training upon assignment and at least every two years thereafter.
The City of McFarland currently provides two School Resource Officers who serve the campuses of the McFarland Unified School District. These officers are often among the first responders to emergencies occurring on school grounds and play a key role in campus safety, student engagement, and emergency preparedness.
The bill also includes provisions that protect school resource officers and their employing agencies from civil or criminal liability when administering an opioid antagonist in good faith, except in cases of gross negligence or willful and wanton misconduct. Additionally, AB 1586 directs the Department of Health Care Services, in consultation with the Department of Education and the Commission on Peace Officer Standards and Training, to provide guidance to assist local agencies in accessing opioid antagonists at low or no cost and integrating overdose response into school safety planning.
FINANCIAL IMPACT:
There is no direct fiscal impact associated with authorizing a letter of support.
RECOMMENDATION:
Authorize the Mayor to issue a letter of support for Assembly Bill 1586, the School Safety and Opioid Overdose Prevention Act.

Re: Support for AB 1586 – School Safety and Opioid Overdose Prevention Act Dear Assembly Members,
On behalf of the City of McFarland, we wish to express our strong support for Assembly Bill 1586, the School Safety and Opioid Overdose Prevention Act.
The City of McFarland currently provides two dedicated School Resource Officers who serve the campuses of the McFarland Unified School District. These officers play a critical role not only in maintaining campus safety, but also in building trust with students, staff, and families, and responding to emergencies that arise during the school day and at school-sponsored activities.
AB 1586 appropriately recognizes the reality that school resource officers are often among the first on scene when a medical emergency occurs at a school site. Requiring these officers to carry opioid overdose reversal medication and complete regular training in overdose recognition and response is a practical, life-saving measure that strengthens existing school safety practices and enhances preparedness without disrupting local operations.
We also appreciate the bill’s clear liability protections for school resource officers and their employing agencies when acting in good faith, while preserving accountability for gross negligence or willful misconduct. Equally important is the bill’s directive for state agencies to provide implementation guidance and support, including assistance in accessing opioid antagonists at low or no cost, which will help ensure consistent and effective implementation at the local level.
The City of McFarland values legislation that reflects on-the-ground realities faced by small, rural communities and supports proactive approaches to public safety. AB 1586 does just that by equipping existing personnel with the tools and training needed to respond swiftly to opioidrelated emergencies while recognizing the importance of state partnership when additional responsibilities are imposed.
Thank you for your leadership on this important issue. We welcome continued collaboration to protect the health, safety, and wellbeing of students and school communities across California.
Sincerely,
Saul Ayon

SUBJECT: Approval of Resolution No. 2026-4 A RESOLUTION OF THE CITY COUNCIL
OF THE CITY OF MCFARLAND APPROVING THE PROPOSAL FROM
LAYNE IN THE AMOUNT OF $87,500 FOR THE GARZOLI WELL ARSENIC
MEDIA CLEANING CAPITAL IMPROVEMENT PROJECT, AND APPROVING A BUDGET ADJUSTMENT OF $2,500 TO THE WATER FUND CAPITAL IMPROVEMENT PROGRAM FOR FISCAL YEAR 2025–26
SUMMARY:
The City of McFarland's Public Works Department is committed to upholding City Council's priority of a sustainable infrastructure. One of the top priorities of the department is schedule and follow a strict routine maintenance program for our water facilities.
One of the the City's main Water wells is the Garzoli Well, which is the highest producing well and functions with an Arsenic Removal Media Filtration system. The media that is contained within the vessels are required to be inspected and cleaned every 6-8 years to maintain their effectiveness. The Treatment system was installed in 2018, which means we are reaching its useful life before cleaning it to avoid further damage.
On April 17th, 2025 The City of McFarland's Public Works Department along with our Water Engineer, Dee Jasper and Associates, requested an inspection of the Media filtration by Layne. Layne is the manufacturer of the Media contained in the vessels which is proprietary to their company.
The inspection report by Layne concluded that the Media's effectiveness has declined but is still within the allowable tolerances per code. They recommend the media be cleaned as opposed to replacing as a cost savings alternative.
Attached is the report for the complete inspection analysis on the Garzoli Well Arsenic Media Filtration.
SOLE SOURCE & URGENCY DETERMINATION:
Although the cost of the Garzoli Media cleaning project meets the City’s threshold for formal competitive bidding under the purchasing policy, this procurement qualifies for exemption under two categories of McFarland Municipal Code § 2.24.070 (Purchasing Methods):
• E. Sole Source Purchases: Commodities that can only be obtained from a single vendor, including proprietary systems or items with only one authorized distributor, are exempt from competitive bidding. Layne Company is the proprietary owner of the Media contained in the vessels, and no other vendor can provide the required cleaning to maintain is complete effectiveness without completely replacing the media. This qualifies as a valid sole source procurement.
• F. Urgency Purchases: Urgency purchases include those necessary to preserve or protect life, health, or property, or to forestall a shutdown of essential public services.
Given the need of the existing Garzoli Well's Arsenic Filtration system cleaning, a critical component of the city's water infrastructure, risking service disruptions and public health impacts, this project qualifies as an urgency purchase. Pursuant to § 2.24.070(F), the City Manager may approve the urgency purchase, with subsequent Council action to appropriate the additional funds and authorize award of contract.
FINANCIAL IMPACT:
The total cost of the Garzoli Media Cleaning Project is $87,500. The adopted FY 2025–26 Water Fund Capital Improvement Program includes $85,000 for this project. Staff recommends approving a budget adjustment of $2,500 to the Water Fund CIP to fully fund the project. The adjustment will be funded by available Water Enterprise revenues and will have no impact on the General Fund.
RECOMMENDATION:
Staff recommends the City Council:
1. Approve Resolution No. 2026-04, approving the quote from Layne in the amount of $87,500 for the Garzolie Media Cleaning Capital Improvement Project.
2. Authorize the City Manager or designee to execute all necessary documents and award the contract to Layne.

ADDENDUM
The granular Manganese Dioxide media sample is covered with mixed deposits consisting of different minerals with the primary metal contaminant being iron.
Microscopy, the mineral content in the reaction supernatants, and dry weight loss show that there is significant fouling on the tested media. Based on the laboratory testing, treating the media will remove between 47 lbs and 86 lbs of deposits per vessel.
ICP analysis was performed on the sampled media. The following table represents the relevant amount of each type of metal found within the media deposits. The metals contributed by the treatment chemistries have been subtracted from the results below to provide data specific to the media deposits.
|
7 | Chandler, AZ | 602-345-8600
As materials accumulate onto the surfaces of the of the filtration media, deposits solidify, and the surface depressions of the media particle are no longer exposed. This decreases overall filter performance.
Deposits eventually cause filtration media particles to clump together and form mudballs (i.e. “cementing”).
This causes “channeling”, as the water will begin to flow through only certain parts of the filter resulting in uneven buildup. Other indicators of decreased filter performance include the following: increased media depth (bigger average particle size), blocked underdrains, short or declining run times, high starting head loss, uneven backwash, and high backwash pressure.
When the symptoms of dirty filters become intolerable, the conventional solution is to replace the media (and/or to replace the underdrains) – both very expensive and time-consuming undertakings. More often than not, neither is necessary. Studies have proven that media from thousands of filters show that the vast majority of media is in structurally like-new or near-new condition beneath covering deposits. Cleaning can restore the properties of the media and the performance of the filter without the need for replacement.
Cleaning always takes less time than replacement and is more often than not a much less expensive alternative.

The price of Contractor’s goods will be adjusted to the price in effect at time of shipment in accordance with Contractor’s current escalation policies or as specifically covered in this contract.
TERMS: Thirty (30) days net from date of invoice. For extended projects, Contractor shall submit invoices on a monthly basis for any and all work completed and materials or equipment provided during the previous month. Past due invoices shall be subject to a delinquency charge of one and one-half percent (1-1/2%) per month (eighteen percent (18%) per annum) unless a lower charge is required under applicable law, in which case the lower rate shall apply. Purchaser agrees to pay all collection fees, attorneys’ fees and costs incurred in the collection of any past due amounts arising out of this contract. Contractor shall have the right to immediately terminate this contract without further liability if Purchaser fails to make timely payment or otherwise materially breaches this contract.
MATERIAL SHORTAGES AND COST INCREASES: If any portion of materials or equipment which Contractor is required to furnish becomes unavailable, either temporarily or permanently, through causes beyond the control and without the fault of Contractor, then in the case of temporary unavailability any completion time frames shall be extended for such period of time as Contractor shall be delayed by such above-described unavailability, and in the case of permanent unavailability Contractor shall be excused from the requirement of furnishing such materials or equipment. Purchaser agrees to pay Contractor any increase in cost between the cost of the materials or equipment which have become permanently unavailable and the cost of the closest substitute which is then reasonably available.
DELAYS: If Contractor is delayed at any time in the progress of work by labor disputes, fire, unusual delays in transportation, unavoidable casualties, weather, or any cause beyond Contractor’s reasonable control, then any completion time frames shall be extended by a reasonable period of time, at least equal to the period of delay.
CHANGED CONDITIONS: The discovery of any hazardous waste, substances, pollutants, contaminants, underground obstructions or utilities on or in the job site which were not brought to the attention of Contractor prior to the date of this contract will constitute a materially different site condition entitling Contractor, at its sole discretion to immediately terminate this contract without further liability.
ESCALATION: This contract is made with the understanding that Contractor will be able to begin and continuously proceed with its work on or before the proposed start date on the reverse side hereof. In the event Contractor is unable to commence its work on or before said date because the project is not ready for Contractor's work, Contractor will charge Purchaser the amount of increase in Contractor's cost attributable to such delay, plus Contractor's normal overhead percentage.
GUARANTEE AND LIABILITY: Contractor warrants that its labor supplied hereunder shall be free from defect and shall conform to the standard of care in effect in its industry at the time of performance of such labor for a period of twelve (12) months after substantial completion of Contractor's work. Contractor agrees, to the extent it is permitted, to pass on any warranties provided by the manufacturers of materials and/or equipment furnished under this contract. Contractor itself provides no warranty, express, implied or otherwise, on any such materials or equipment. Contractor will not be responsible for: work done, material or equipment furnished or repairs or alterations made by others.
For any breach hereunder, Contractor shall be liable only for the value of the installation work or, if it wrongfully fails to install, then its liability is limited to the difference between the contract price herein, and the value of other similar installation work. If Contractor’s breach damages any materials or equipment furnished hereunder, Contractor shall only be liable for the value of such materials or equipment. Under no circumstances will Contractor be liable for consequential, special or indirect damages, including without limitation, any crop loss or damage, damage to other equipment, structures or property, nor for any other similar or dissimilar damages or losses whether due to delay, failure to furnish or install, delay in installation, defective material or equipment, defective workmanship, defective installation, delay in replacing, nor for any cause or breach whatsoever. In any event, Contractor’s total liability towards Purchaser for alleged faulty performance or nonperformance under this contract shall be limited to the total contract price. No materials, equipment or services contracted herein carries any guarantee not mentioned in this contract. THE ABOVE WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WHICH ARE HEREBY DISCLAIMED.
TITLE AND OWNERSHIP: In case of default on Purchaser’s part, Contractor shall have the right to enter the premises upon which any material or equipment furnished herein have been installed and retake such goods not then paid for and pursue any further remedy provided by law, including recovery of attorneys’ fees and any deficiency to the maximum extent and in the manner provided by law. Such materials and equipment shall retain their character as personal property of Contractor until payment in full is received by Contractor, regardless of their mode of attachment. Unless prior specific written instructions are received to the contrary, surplus and replaced materials and equipment resulting from repair or installation work shall become the property of Contractor.
DELIVERY: Shipment schedules and dates, expressed or implied, are contingent on normal conditions. Contractor will not be responsible for any delays in shipment or completion caused by factors beyond its control such as, but not limited to, suppliers’ failures, accidents, work stoppages or operation of or changes in the law. Shipments will be made as promptly as Contractor’s ability to obtain materials and/or equipment and scheduling will permit. No delay in shipments or variances from shipping schedule shall be cause of cancellation or any claim for damage. Any changes in layout or design requested after acceptance of this contract will be made at Purchaser’s additional cost. Any such change and/or time taken to supply engineering data or to approve drawings will automatically extend shipping schedules. Equipment will be shipped “knocked down” to the extent Contractor considers necessary, with small parts stripped from equipment and crated. On and after delivery to the carrier for transportation to the Purchaser’s site, Purchaser shall be responsible for all loss or damage to materials or equipment due to any cause, including but not limited to loss or damage resulting from casualty.
INDEMNIFICATION: Purchaser agrees to indemnify and hold Contractor, its directors, officers, stockholders, employees, agents and subcontractors, harmless from and against any and all claims, demands, causes of action (including third party claims, demands or causes of action for contribution or indemnification), liability and costs (including attorneys’ fees and other costs of defense) asserted and/or filed by Purchaser or any third party(ies), including without limitation Purchaser’s employees, and arising out of or as a result of: (i) the presence of Contractor or its subcontractors at the job site, (ii) the work performed by Contractor or its subcontractors, or (iii) any negligent act or omission of Purchaser, its employees, agents, consultants, other contractors or any person or entity under Purchaser’s control; except to the extent that such claims, demands, causes of action, liabilities or costs are caused by the negligence of Contractor or its subcontractors.
INTERPRETATION: This contract shall be governed by and construed in accordance with the laws of the state of the job site location. If any term, provision or condition contained herein shall, to any extent, be invalid or unenforceable, pursuant to state law or otherwise, the remainder of the terms, provisions and conditions herein (or the application of such term, provision, or condition to persons or circumstances other than those in respect of which it is invalid or unenforceable) shall not be affected thereby, and each term, provision and condition of this contract shall be valid and enforceable to the fullest extent permitted by law.
ASSIGNMENT & SUBLETTING: Purchaser shall not have the right to transfer or assign its rights and/or obligations under this contract to any third party, related or unrelated, without the express written consent of Contractor.
Contractor shall have the right to transfer, assign or sublet all or any portion of its rights or obligations hereunder, but such transfer, assignment or subletting shall not relieve Contractor from its full obligations to Purchaser unless such transfer, assignment or subletting is pursuant to the sale of Contractor, or the division of Contractor responsible for this contract, to a third party.
MISCELLANEOUS: The terms and conditions set forth herein constitute the entire understanding of the parties relating to the work to be performed, and materials and equipment to be provided, by Contractor for the Purchaser.
All previous proposals, offers, and other communications relative to the provisions of the subject work, oral or written, are hereby superseded, except to the extent that they have been expressly incorporated herein. Any modifications or revisions of any provisions herein or any additional provisions contained in any purchase order, acknowledgment, or other form of the Purchaser are hereby expressly objected to by Contractor and shall not operate to modify this contract. This contract shall take effect upon acceptance and execution by both parties.

City Council Meeting
STAFF REPORT
Agenda Item No. 8.
Section: ADMINISTRATIVE
AGENDA
Meeting Date: January 29,
2026
TO: Honorable Mayor and Council Members
FROM: Diego Viramontes, City Manager
Yerlys Hernandez , Public Works Director
SUBJECT: Approval of Resolution No. 2026-5 A RESOLUTION OF THE CITY COUNCIL
OF THE CITY OF MCFARLAND APPROVING THE PURCHASE OF TWO
NEW TRANSIT VANS AND AUTHORIZING A CAPITAL IMPROVEMENT
PROGRAM BUDGET ADJUSTMENT OF $39,999.42
SUMMARY:
The City’s Transit Department has an urgent need to purchase (2) new transit vans to replace an outdated vehicle that no longer meets current transit standards. The existing van has exceeded the useful life benchmark of four years and needs to be replaced so we can continue to provide reliable service to residents and avoid any potential compliance concerns. The City seeks to purchase (2) new E-Transit vans to advance its transition toward a zero-emissions fleet and ensure continued compliance with California’s environmental standards.
In compliance with the City’s purchasing policies, a Request for Proposal (RFP) was issued on December 30, 2025, for the procurement of a new ADA-compliant E-Transit Van. The RFP was published on the City’s website, and staff reached out to local vendors to solicit bids.
The bids received were as follows, per vehicle
• Haddad Dodge Ram: $116,231.17
• RO Bus Sales: $105,092.12
• Davey Coach: $98,710.62
• Jim Burke Ford: $94,271.53
• Fenton Mobility: $75,000
• Alamex USA Inc.: $56,924
• Model 1 (7 passenger van): $55,250.21
• Model 1 (9 passenger van): $105,746.21
The City originally budgeted for the phased purchase of two electric transit vans at an estimated unit cost of $71,041, for a total CIP allocation of $142,082, with one vehicle planned for purchase in the current fiscal year and the second in the following fiscal year. Due to favorable pricing received through the RFP process, staff recommends accelerating the project and purchasing both vehicles at this time. Staff further recommends moving the project in its entirety to Fiscal Year 2025-2026 and approving a Capital Improvement Program budget adjustment of $39,999.42 in the Transit Fund to reflect the revised project timing and cost.
FINANCIAL IMPACT:
The total financial Impact for the purchase of (2) new E-Transit Vans is $111,040.42. The City has received $107,393 in Low Carbon Transit Operations Program (LCTOP) funds to date related to this project and anticipates an additional allocation of $23,477 in Fiscal Year 2025- 2026 based on LCTOP estimates. These funds are consistent with the anticipated grant support for this project. To complete the purchase of both vehicles in Fiscal Year 2025-2026, a Capital Improvement Program budget adjustment of $39,999.42 is required within the Transit Fund.
RECOMMENDATION:
Staff recommends approval of RESOLUTION 2026-05 A RESOLUTION OF THE CITY
COUNCIL OF THE CITY OF MCFARLAND APPROVING THE PURCHASE OF TWO NEW

General Terms and Conditions of Dealer Vehicle Sale
1. APPLICABILITY. These General Terms and Conditions of Dealer Vehicle Sale (these “Terms”) are the only terms that govern the sale of all vehicles and any services thereto (“Vehicle”) by Model 1 Commercial Vehicles, Inc. (“Dealer”) to the buyer named on this Agreement (as defined below) to which these Terms are attached (“Buyer” or “You”). Collectively Buyer and Dealer are referred to as the “Parties” and individually as “Party.” As applicable, a Buyer’s Order Contract (the “BOC”) and/or an Order Confirmation setting forth the Vehicle to be purchased, and these Terms (collectively, this “Agreement”) comprise the entire agreement between the parties, and supersede all prior or contemporaneous understandings, agreements, negotiations, representations and warranties, and communications, both written and oral. This Agreement supersedes any of Buyer’s general terms and conditions of purchase regardless of whether or when Buyer has submitted a purchase order or such terms. Dealer expressly rejects Buyer’s general terms and conditions of purchase, and fulfillment of Buyer’s order does not constitute acceptance of any of Buyer’s terms and conditions or serve to modify or amend these Terms. Acceptance of this Agreement by Buyer shall be deemed as the earlier of (i) Buyer’s signature to the BOC and (ii) Buyer’s acceptance of the Vehicle. In the event of any conflict or inconsistency between the terms of an Order Confirmation and a BOC, the Order Confirmation shall prevail. Notwithstanding anything herein to the contrary, if a written contract signed by both Parties is in existence covering the sale of the Vehicle (“Master Agreement”), then the Master Agreement shall prevail to the extent of any inconsistency with these Terms.
4. DEALER NOT AGENT OF MANUFACTURER. Dealer is not the agent of the manufacturer. Dealer is not responsible for changes by the manufacturer in the price, available rebate, design or accessories of specially ordered vehicles. If Dealer’s price increases on a Vehicle, or if a rebate to be received by Dealer is reduced or eliminated, or the Vehicle becomes subject to a tariff, the Buyer’s price will be increased by a like amount. If the Vehicle price increases by more than 10% (excluding price increases due to tariffs) and Buyer is dissatisfied with the increase, Buyer may cancel this order and Buyer’s deposit and trade-in or the actual cash value of the trade-in, if sold, minus any loan, will be refunded.
Buyer understands that manufacturer may, from time to time, change the model, design, or other elements, including the parts and accessories, in the Vehicle and at any time a manufacturer makes such changes, neither Dealer nor manufacturer are obligated to make the same changes to Buyer’s Vehicle, even if such changes are made prior to delivery of the Vehicle.
5. DEPOSIT; PAYMENT. Unless other payment terms are indicated on the Agreement, (i) a deposit is due at the time of signing the Agreement and before the Vehicle will be ordered or prepared for delivery by Dealer, and (ii) the balance due shall be paid in full within 48 hours of Notification (as set forth in Section 8) and before the Vehicle will be released to the Buyer. Any credit, voucher, rebate, or similar incentive from any state, federal, or other governmental or third-party program that is listed on the BOC is acknowledged as a potential incentive, without guarantee. Dealer neither controls nor assumes any responsibility for the approval, administration, funding, or timing of such programs. Unless otherwise agreed, if Dealer does not receive such funds for any reason, Buyer remains fully responsible for payment of the entire contract price.
For any payment terms, in the event Buyer does not make timely payment in full, Dealer may charge Buyer interest on any overdue amount at a rate of 10% per annum or the maximum allowable rate under applicable law, whichever is less, until the overdue amount is paid in full. The Vehicle will not be titled to the Buyer until the contract total for such Vehicle plus any interest charges indicated herein are paid in full.
3. LIMITED SERVICE WARRANTY. Dealer represents and warrants to Buyer that it shall perform any services performed to the Vehicle using personnel of required skill, experience, and qualifications and in a professional and workmanlike manner in accordance with generally recognized industry standards for similar services and shall devote adequate resources to meet its obligations under this Agreement. Dealer shall not be liable for a breach of this Section 3 unless Buyer gives written notice of the defective services, reasonably described, to Dealer within seven (7) days of the time when Buyer discovers or ought to have discovered that the services were defective, and in no event shall Dealer be responsible for any defective services later than sixty (60) days following Notification (as set forth in Section 8). Dealer shall, in its sole discretion, either (a) repair or re-perform such services; or (b) credit or refund the price of such services at the pro rata contract rate. THE REMEDIES SET FORTH IN THIS SECTION 3 SHALL BE THE CUSTOMER'S SOLE AND EXCLUSIVE REMEDY AND DEALER'S ENTIRE LIABILITY FOR ANY BREACH OF THE LIMITED SERVICE WARRANTY SET FORTH IN THIS SECTION 3. If the services include the installation of accessories, parts or components manufactured by third parties, Dealer makes no warranty whatsoever regarding such third-party accessories, parts and components. Dealer will pass through any third-party warranties on such accessories, parts and components.
2. DEALER MAKES NO GUARANTEE OR WARRANTY, EXPRESS OR IMPLIED. The Vehicle is sold by Dealer “AS-IS” with no Dealer guarantee or warranty, implied or express, except as noted in Section 3. All warranties on this Vehicle are made by the manufacturer, and not the Dealer. DEALER HEREBY DISCLAIMS AND EXCLUDES FROM THIS SALE ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING,
WITHOUT LIMITATION, THE IMPLIED WARRANTY OF MERCHANTABILITY AND THE IMPLIED WARRANTY OF FITNESS FOR A PURPOSE; OR WARRANTY AGAINST INFRINGEMENT OF INTELLECTUAL PROPERTY RIGHTS OF A THIRD PARTY; WHETHER EXPRESS OR IMPLIED BY LAW, COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE OF TRADE, OR OTHERWISE. Buyer understands Dealer does not warrant the year of this Vehicle, the year of the chassis, or the year of any of its component parts, and that the manufacturer(s) of the Vehicle chassis or component is solely responsible for the year assigned to this Vehicle to the extent its year is referenced in the Agreement. If Buyer is purchasing a “new” Vehicle as indicated above, Buyer acknowledges that “new” means that the Vehicle has not been previously titled to an end user although the Vehicle may have been used in a demo or a show. Buyer understands and agrees that manufacturer(s)’ written warranties, if any are applicable to this Vehicle, will be provided by Dealer at the time of Vehicle delivery, or made available earlier upon Buyer’s request. Buyer acknowledges that Dealer is not an agent of the manufacturer and that Dealer has not represented or misrepresented the terms of any applicable manufacturer(s)’ written warranties. Buyer understands and agrees that if either of Buyer or Dealer should breach this Agreement or if Buyer institutes any claim arising out of the purchase of the Vehicle, the statute of limitations for any such claim is limited to one (1) year from the date of sale.
Version 3.10 10/10/2025 2 of 4
6. CANCELLATION; CHANGE FEES. There is no “cooling off” or other cancellation period for vehicle sales or services. Therefore, Buyer cannot later cancel this Agreement without the agreement of Dealer, or for legal cause. Further, if either party wishes to change any term of this Agreement or the details of the Vehicle as set forth therein after acceptance of this Agreement, neither party shall be bound by such changes after the date of this Agreement unless mutually agreed upon in writing. If Buyer wishes to change any detail of the Agreement related to the Vehicle being purchased, Buyer shall submit details of the requested change to the Dealer in writing. Dealer shall, within a reasonable time after such request, respond to Buyer’s request indicating (i) the acceptance or denial of the change, (ii) the likely impact to timing of the Vehicle’s delivery, and (iii) any necessary variations to the fees (including any change fees that may be charged by Dealer). Promptly after receipt of the written estimate, the parties shall negotiate and agree in writing on the terms of the change.
10. FINANCING OR INSTALLMENT SALES CONTRACTS. IF YOU ARE FINANCING THIS VEHICLE, PLEASE READ THIS NOTICE: YOU ARE PROPOSING TO ENTER INTO A RETAIL INSTALLMENT SALES CONTRACT WITH THE DEALER. PART OF YOUR CONTRACT INVOLVES FINANCING THE PURCHASE OF YOUR VEHICLE. IF YOU ARE FINANCING THIS VEHICLE AND THE DEALER INTENDS TO
TRANSFER YOUR FINANCING TO A FINANCE PROVIDER SUCH AS A BANK, CREDIT UNION OR OTHER LENDER, YOUR VEHICLE PURCHASE DEPENDS ON THE FINANCE PROVIDER’S APPROVAL OF YOUR PROPOSED RETAIL INSTALLMENT SALES CONTRACT. IF
YOUR RETAIL INSTALLMENT SALES CONTRACT IS APPROVED WITHOUT A CHANGE THAT INCREASES THE COST OR RISK TO YOU OR THE DEALER, YOUR PURCHASE CANNOT BE CANCELLED. IF YOUR RETAIL INSTALLMENT SALES CONTRACT IS NOT APPROVED, THE DEALER WILL NOTIFY YOU VERBALLY OR IN WRITING. YOU CAN THEN DECIDE TO PAY FOR THE VEHICLE IN SOME OTHER WAY OR YOU OR THE DEALER CAN CANCEL YOUR PURCHASE. IF THE SALE IS CANCELLED, YOUNEED TO RETURN THE VEHICLE TO THE DEALER WITHIN 24 HOURS OF VERBAL OR WRITTEN NOTICE IN THE SAME CONDITION IT WAS GIVEN TO YOU, EXCEPT FOR NORMAL WEAR AND TEAR. ANY DOWN PAYMENT OR TRADE-IN YOU GAVE THE DEALER WILL BE RETURNED TO YOU. IF YOU DO NOT RETURN THE VEHICLE WITHIN 24 HOURS OF VERBAL OR WRITTEN NOTICE OF CANCELLATION, THE
DEALER MAY LOCATE THE VEHICLE AND TAKE IT BACK WITHOUT FURTHER NOTICE TO YOU AS LONG AS THE DEALER FOLLOWS THE LAW AND DOES NOT CAUSE A BREACH OF THE PEACE WHEN TAKING THE VEHICLE BACK.
11. TITLE; ODOMETER STATEMENT. Title to the Vehicle will remain with Dealer until the agreed upon purchase price is paid in full in cash or Buyer has signed a retail installment contract and it has been accepted by a bank or finance company, at which time title shall pass to Buyer even though the actual delivery of the Vehicle may be made at a later date. Buyer agrees that no statement has been made as to the number of miles on any new, used, or demo vehicles, except as set forth in the odometer mileage statement as provided by the Federal Odometer Law and on the face of this Agreement as required under state law which does not constitute a warranty, express or implied, or a contractual term of this Agreement as required under state law which does not constitute a warranty, express or implied, or a contractual team of this Agreement.
Buyer acknowledges receipt of such Federal Odometer Statement.
12. TRADE-IN. If Buyer is trading in a vehicle, Buyer will give Dealer the original bill of sale or the title to the trade-in. Buyer promises that any trade-in which Buyer gives in this purchase transaction is owned by Buyer free of any lien or other claim except as noted on the other side of this Agreement. Buyer promises that all taxes of every kind levied against the trade-in have been fully paid. If any government agency makes a levy or claims a tax lien or demand against the trade-in, Dealer may, at Dealer’s option, either pay it and Buyer will reimburse Dealer on demand, or Dealer may add that amount to this Agreement as if it had been originally included. Any trade-in delivered by Buyer to Dealer in connection with this Agreement shall be accompanied by documents sufficient to enable the Dealer to obtain a title to the trade-in in accordance with applicable state law. Buyer warrants that the trade-in is or will be properly titled to Buyer and/or Buyer has the right to sell or otherwise convey the trade-in and the trade-in has never been a salvaged, reconditioned or rebuilt, flooded or a lemon buyback, and the trade-in is free and clear of all liens or encumbrances except as may be noted on the front of this Agreement. If Buyer’s initial trade-in value is determined by anything other than a physical appraisal by Dealer, Dealer may later reappraise and amend the value of the trade-in allowance at such time Dealer has the opportunity to perform a physical appraisal of the trade-in. This physical appraisal will then determine the actual trade-in allowance provided on the front side of this Agreement.
7. DELAYS. Buyer will not hold Dealer liable for any failure or delay in performing this Agreement if such failure or delay is caused by any event outside of Dealer’s reasonable control, including, without limitation, (a) any act or omission of the Vehicle manufacturer or any component part manufacturer; (b) Buyer’s delay to respond promptly to any Dealer request to provide direction, information, approvals, authorizations, or decisions that are reasonably necessary for Dealer to perform services in accordance with the Agreement, (c) acts of God, natural disasters, flood, fire, earthquake, or explosion; (d) war, invasion, hostilities (whether war is declared or not), terrorist threats or acts, riot or other civil unrest; (e) government order, law, or action; (f) embargoes or blockades in effect on or after the date of this Agreement; (g) national or regional emergency; (h) telecommunication breakdowns or power outages or shortages; (i) epidemics, pandemics, or acts of quarantine; and (j) other similar events beyond the reasonable control of Dealer.
8. DELIVERY; INSPECTION; RISK OF LOSS. The method of delivering the Vehicle (“Delivery”) shall be set forth in the BOC and if no such method is defined, then Buyer is responsible for picking up the Vehicle at the Dealer location within forty-eight (48) hours after being notified that the Vehicle is ready for delivery (“Notification”). Unless otherwise set forth in the BOC, the Vehicle will be delivered ExWorks (Dealer location) and full risk of loss will pass upon Notification that the Vehicle is ready for Delivery. If the Buyer delays Delivery of the Vehicle more than five (5) days after Notification, Dealer will have the right to charge a storage fee of $50 per day for storage of the Vehicle.
9. BUYER’S INSPECTION. If the Vehicle is delivered via a transportation carrier, Buyer shall immediately inspect the Vehicle upon arrival and report any defects resulting from transportation of the Vehicle directly to the transportation carrier through such carrier’s reporting processes.
Separately, within forty-eight (48) hours after Delivery, Buyer shall inspect the Vehicle for conformance to the Agreement and report any issues to Dealer (“Inspection”). Upon Delivery and Inspection, Buyer acknowledges: (i) having received ample opportunity for, and actually inspecting the Vehicle as fully as Buyer desires and (ii) utilizing and relying solely upon Buyer’s own judgment to inspect and determine that the Vehicle is of adequate quality, merchantable, and otherwise fit for the purposes intended by Buyer. Buyer further acknowledges that Buyer did not make Dealer aware, and that Dealer was unaware, implicitly or expressly, of any particular purpose intended by Buyer for the Vehicle. Consequently, Buyer has not relied upon Dealer’s skill or judgment in the selection or delivery of the Vehicle. Buyer acknowledges that Dealer has not made any representation regarding the Vehicle’s condition, history, status, prior usage, quality of or regularity of care or servicing, nor the existence of prior damage and/or repair of damage except as required by law.

15. PATENT LIABILITY. Where Dealer supplies goods to Buyer's specifications and/or manufactured or fabricated from Buyer's blueprint, sketch, specifications, or tooling Buyer, at its own expense, shall defend any suit or proceeding of any kind whatsoever brought against Dealer in any capacity if such suit or proceeding involves a claim that any goods or any part thereof constitutes an infringement of any patent, copyright or trademark and Buyer shall pay or indemnify any and all judgments, expenses and costs which may be awarded against or incurred by Dealer related to such legal action.
16. TAXES, INSURANCE. Buyer shall be liable for all sales, use, or other taxes of a similar nature applicable to the transaction unless such payment is otherwise prohibited by law. Buyer assumes responsibility to cover the Vehicle described on the front of this Agreement with necessary and proper insurance coverage and assumes all legal liability arising from the operation of the Vehicle from the time of Delivery.
Buyer understands that Buyer is not covered by insurance on the Vehicle until Buyer’s insurance company accepts coverage on the Vehicle.
Buyer agrees to hold Dealer harmless from any and all claims due to loss or damage prior to Buyer’s insurance company accepting coverage on the Vehicle.
13. FAILURE TO COMPLETE PURCHASE. Failure to timely accept Delivery by Buyer shall give Dealer the right to dispose of any trade-in, trading any cash consideration received as a deposit and retaining the same, and at Dealer’s option, the right to retain any deposit and pursue any other remedy available under the law to adequately compensate Dealer’s damages, costs, expenses, or losses incurred by Dealer because Buyer failed to complete this purchase; further, Dealer may make the Vehicle available for sale to other customers. If Dealer paid any negative equity balance on the trade-in, Buyer shall pay to Dealer the amount paid on Buyer’s behalf. If Dealer brings an action or involves an attorney to enforce the terms of this section, Buyer agrees to pay Dealer’s reasonable attorneys’ fees, court costs, and other expenses incurred in pursuing such action.
14. EXCLUSION OF CERTAIN DAMAGES. IN NO EVENT SHALL DEALER OR ANY OF ITS REPRESENTATIVES BE LIABLE FOR
CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, LOST PROFITS OR
REVENUES OR DIMINUTION IN VALUE, ARISING OUT OF OR RELATING TO THIS AGREEMENT, REGARDLESS OF (A) WHETHER
SUCH DAMAGES WERE FORESEEABLE, (B) WHETHER BUYER WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND (C) THE LEGAL OR EQUITABLE THEORY (CONTRACT, TORT, OR OTHERWISE) UPON WHICH THE CLAIM IS BASED. Such excluded damages may include, but are not limited to, any loss of use, loss of time, inconvenience, aggravation, loss of wages/earnings/income, fuel/transportation expenses, hotel/motel costs, insurance, storage, rental or replacement, altered or cancelled trips/vacations, the cost of any food/meals and any other consequential, indirect, incidental, special, exemplary, punitive or enhanced damages. Buyer acknowledges that Buyer shall not seek or recover such damages from Dealer. Buyer acknowledges this disclaimer of damages is independent of and shall survive any failure of the essential purpose of any warranty or remedy. DEALER’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS
AGREEMENT, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, SHALL NOT EXCEED TOTAL CONTRACT PRICE OF THE VEHICLE BEING SOLD UNDER THIS AGREEMENT.
17. CHOICE OF LAW AND VENUE, FEES. Any controversy, dispute or claim arising out of or relating to this Agreement or breach thereof shall be interpreted under the laws of the state in which Dealer is located and venue will be in the state and county in which Dealer is located or the applicable federal court. If Dealer brings a legal action to enforce or interpret this Agreement and prevails, Buyer shall pay Dealer’s reasonable attorneys’ fees and costs incurred in such action. If Buyer brings an action based on this Agreement and does not prevail, Buyer shall pay Dealer’s reasonable attorneys’ fees and costs incurred in the defense of such action or any part thereof.
18. WAIVER OF JURY TRIAL; CLASS ACTIONS. Buyer agrees that any controversy, dispute or claim arising out of or relating to this Agreement or breach thereof will be decided by a judge, rather than a jury. Buyer further agrees in connection with this purchase to waive Buyer’s right to participate as a class member in any class action lawsuit that might be brought against Dealer.

19. SEVERABILITY. Buyer and Dealer agree that each portion of this Agreement is such that if any term, provision or paragraph is found to be invalid, voidable, or unenforceable for any reason, such provision or paragraph may be severed and all other portions of this Agreement shall remain valid and enforceable.

General Terms and Conditions of Dealer Vehicle Sale
Version 3.10 10/10/2025 2 of 4

SUBJECT: Approval of Resolution No. 2026-7 A RESOLUTION OF THE CITY COUNCIL
OF THE CITY OF MCFARLAND APPROVING THE PURCHASE OF TWO
HIGH-FLOW DIESEL PUMPS AND ONE HYDRO-EXCAVATION PUMP FOR
EMERGENCY STORMWATER MITIGATION AND APPROVING A GENERAL FUND BUDGET ADJUSTMENT OF $36,588.50
SUMMARY:
The City of McFarland is dedicated to preserving and protecting life, health, and property of all its residents by providing for essential public services. Specifically, the Public Works Department has taken a proactive approach to mitigating storm water flooding. The City of McFarland lacks the adequate storm drainage infrastructure system to handle continuous rain fall for more than a few consecutive hours. Water begins to pond or flood heavily in key areas where gravity flow gutters direct water and collect and specific points of the city.
Although Storm Drainage infrastructure is one of our top priorities of the Public Works Department for the long term solution of the flooding, the Department has developed a plan to place temporary high flow pumps to move water away and towards retention basins. The plan includes staging our Vactor Truck to remove any debris caught in any drain inlets, and renting (2) additional pumps and operate a hydrovac trailer where debris blocks the gutter flow.
This plan, although it does not complete solve our flooding problem, has been proven to be effective in mitigating storm water damage to property and keeping roads in a safe drivable condition.
Due to the inefficiencies and uncertainties of rental equipment and rising cost of rentals, Staff is proposing to purchase (2) - used pumps and (1) - Hdrovac Trailer to continue our executing the plan of flood mitigation. The purchase of this equipment will ensure we always have the pumps available when needed, and will also provide a cost effective solution in the long run.
At the midway point of the fiscal year, the Water Department has expended its rental budget by renting the pumps for the recent storms. Purchasing these pumps will provide a long term solution for our storm water mitigation without the paying the premium for rentals, until the City is able to install permanent storm drainage infrastructure.
To be cost conscious, the City's Public Works Department has decided to purchase used equipment from Sun Belt rentals for a fraction of the cost of new. The City has procured
multiple quotes from different vendors for used equipment and has found Sun Belt Rentals to be the best package for all (3) pieces of equipment. City Staff and Sun Belt will verify all new used equipment is in good working condition before squiring the equipment.
FINANCIAL IMPACT:
The total one-time cost of the equipment purchase is $36,588.50, which was not budgeted in the adopted FY 2025–26 budget. Approval of this item requires a General Fund budget adjustment in the amount of $36,588.50.
RECOMMENDATION:
Staff recommends that the City Council adopt Resolution No. 2026-7 approving the quote from Sunbelt Rentals for the purchase of two high-flow diesel pumps and one hydro-excavation pump for emergency stormwater mitigation and approving a budget adjustment appropriating $36,588.50 from the General Fund.
