RESOLUTION NO. 25-27
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF MENDOTA APPROVING
AN AMENDMENT TO THE NONEXCLUSIVE LICENSE AGREEMENT WITH RAMON
GONZALEZ FOR RACETRACK OPERATIONS AT THE FORMER SITE OF THE
WILLIAM ROBERT JOHNSTON MUNICIPAL AIRPORT
WHEREAS, on September 3, 2024, the City Council of the City of Mendota (“City”) adopted Resolution No. 24-50, approving a nonexclusive license agreement (“License”) with Ramon Gonzalez (“Operator”) allowing racetrack operations at the former site of the William Robert Johnston Municipal Airport; and WHEREAS, during the term of the License, Operator’s events have generated positive news stories regarding the City, fostered community involvement, and promoted the City’s local businesses through increased visitors from all over California; and
WHEREAS, following further review, the City’s risk management firm has requested minor amendments to the License’s insurance requirements to ensure the interests of the City and its citizens are adequately guarded in connection with Operator’s racetrack operations; and
WHEREAS, Section 7 of the License provides that the City Manager may adjust the amounts of liability insurance Operator must maintain upon sixty (60) days’ advance written notice; and
WHEREAS, the City approved Resolution No. 25-26 to provide minor amendments to the License as outlined above; and
WHEREAS, following discussions with Operator regarding the amendment, the City requires an additional amendment to the License’s insurance provisions; and WHEREAS, in the interest of clarity in support of Operator’s efficient maintenance of the License, the City intends to formally amend the License to clarify the changes to its various insurance requirements in lieu of outlining new requirements by letter from the City Manager.
NOW, THEREFORE, BE IT RESOLVED, that the City Council of the City of Mendota hereby:
1. Approves the Amendment to the License in substantially the form attached hereto as Exhibit “A”; and
2 2. Authorizes and directs the City Manager, or his designee, to execute the Amendment to the License and such additional documents as are reasonably required to effect its purpose; and
3. The City Council hereby finds and determines that the adoption of this Resolution is not subject to environmental review under the California Environmental Quality Act (“CEQA”; Pub. Res. Code, § 21000 et seq.), because the Amendment does not have the potential for resulting in either a direct physical change in the environment, or a reasonably foreseeable indirect physical change int eh environment, and therefore is not a “project” under CEQA. (Pub. Res. Code, §§ 21065; Cal. Code Regs., tit. 14, §§ 15378, subd. (a), 15064, subd. (d)(3).)

EXHIBIT A
1 AMENDMENT TO NON-EXCLUSIVE LICENSE AGREEMENT
This Amendment to Non-Exclusive License Agreement (“Amendment”) is made by and between the City of Mendota (“City”), a California municipal corporation, and Ramon Ganzalez, an individual (“Licensee”), as of May 20, 2025.
RECITALS
WHEREAS, on September 3, 2024, the Parties entered into a Non-Exclusive License Agreement (the “Agreement”) for an initial Term of ten (10) years; and WHEREAS, Section 7 of the Agreement allows the City to revise Licensee’s insurance obligations under the Agreement via sixty (60) days’ written notice; and WHEREAS, in the interest of clarity in support of Licensee’s efficient maintenance of the License, the City intends to formally amend the Agreement to clarify changes to its various insurance requirements in lieu of outlining new requirements by letter from the City Manager.
NOW, THEREFORE, in exchange for the mutual promises and consideration stated herein, the Parties agree as follows:
1. Terms. Capitalized terms that are not otherwise defined herein shall be deemed to have the same meanings that are ascribed to those terms in the Agreement.
2. Amendment. The following provisions of the Agreement are hereby amended:
a. Section 7 of the Agreement is amended to read as follows:
7. Insurance. Licensee shall not occupy the Property or operate any racetrack-related operations thereon without obtaining insurance sufficient to conduct racing events on the Property in accordance with the requirements hereunder. Said required insurance amounts below may be adjusted by the City Manager upon sixty (60) days' advance written notice to Licensee:
7.1. Commercial General Liability. During the Term of this License, Licensee shall continuously maintain, at its own cost and expense, coverage at least as broad as Insurance Services Office (ISO) form CG 00 01, in an amount not
less than $1,000,000 per occurrence and $2,000,000
general aggregate. The policy shall include a per project or per location general aggregate endorsement. If a per
project/location endorsement is not available, the limit for the general aggregate shall be doubled. Coverage shall state that Licensee’s insurance shall apply separately to each insured against whom claim is made or suit is brought,
except with respect to the limits of the insurer’s liability.
Any failure to comply with reporting provisions of the
2 policies by Licensee shall not affect coverage provided to the City.
7.2. Business Automobile Liability. Licensee shall provide automobile liability coverage for owned, non-owned, and hired autos using ISO Business Auto Coverage form CA 00 01 (or equivalent) with a limit of not less than $2,000,000 per accident.
In lieu of Business Automobile Liability, Licensee shall maintain throughout the term of this License and provide the City with evidence (including the policy Declarations Page) of personal automobile insurance coverage in
accordance with the laws of the State of California. As and if available under the policy, evidence shall be provided with the Certificate of Insurance, along with an additional insured endorsement in favor of the City, primary and noncontributory coverage and endorsement, and waiver of subrogation coverage and endorsement. City approval of
coverage is required prior to commencement of services
and operations.
7.3. Workers’ Compensation and Employers’ Liability -
Statutory. Licensee shall, at its sole cost and expense, maintain Statutory Workers’ Compensation Insurance and
Employer’s Liability Insurance for all persons employed directly or indirectly by Licensee. The Statutory Workers’ Compensation Insurance and Employer’s Liability
Insurance shall be provided with limits of not less than $1,000,000 each accident, $1,000,000 by disease-policy
limit, and $1,000,000 by disease-each employee. No
proprietor, partner, executive officer, or member shall be excluded.
7.4. Personal Property. Licensee understands and agrees that it is Licensee's sole responsibility to obtain and maintain insurance covering its operations and other personal
property used at the Property. Notwithstanding any
provision to the contrary, Licensee specifically waives any claim against the City for theft, loss, or damage of any kind or from any source whatsoever that may occur to
Licensee’s operations and personal property located at the Property and in its vicinity.
7.5. Fire and Extended Coverage Insurance. Throughout the Term, at Licensee's sole cost and expense, Licensee shall keep, or cause to be kept, insured, for the mutual benefit of 3 City and Licensee, all improvements located on or
appurtenant to the Property, whether constructed at the time of signing this License or not, against loss or damage by fire and such other risks as are now or hereafter included in an extended coverage endorsement in common use of
structures, including vandalism and malicious mischief.
The amount insurance shall be sufficient to prevent either Licensee or City from becoming a co-insurer under the
provisions of the policies, but in no event shall the amount be less than eighty percent (80%) of the actual replacement cost, excluding the cost of replacing excavations and
foundations, but without deduction for depreciation (herein called full insurable value). In the event payments are made for repairs, payments of proceeds for repair, restoration, or reconstruction of improvements shall be made monthly on architects' certificates until the work is completed and accepted. Any insurance proceeds remaining after
complying with the provisions of this License relating to maintenance, repair, and reconstruction of improvements shall be the Licensee's sole property.
7.6. Documentation. Licensee shall provide the City with a certificate of insurance and amendatory endorsements
evidencing the required insurance coverages. All insurance required by the express provisions of this License shall be carried only in responsible insurance companies licensed to do business in the State of California and with an AM Best rating of A- VII or higher. All such policies shall be nonassessable and shall contain language, to the extent obtainable, to the effect that: (1) City, its officials, officers, directors, contractors, employees, agents, and volunteers shall be named and endorsed additional insured on the
Commercial General Liability (as broad as Insurance
Services Office CG 20 10) and Automobile Liability
policies; (2) any loss shall be payable notwithstanding any act of sole negligence or willful misconduct of the City that might otherwise result in failure of the insurance;
(3) insurer endorses and waives the right of subrogation against the City and against the City's officials, officers, directors, contractors, employees, agents, volunteers, and representatives; (4) except Workers’ Compensation
coverage, the policies shall allow and be endorsed primary and non-contributing with any insurance or self-insurance that may be carried by City; and (5) the policies cannot be canceled or materially changed except after thirty (30) days' advance notice by the insurer to the City. If a carrier will not provide the required notice of cancellation or 4 material change, the Licensee shall provide written notice to the City of a cancellation or material change no later than five (5) business days before cancellation or material change. Licensee shall furnish the City with copies of all such policies upon Licensee’s receipt of City’s request. b. Section 13 of the Agreement is amended to read as follows:
13. Indemnification. Licensee covenants and agrees that, during the Term, any injury suffered as a result of the use of the Property by Licensee and its employees, agents, contractors, licensees, invitees, and guests shall be the sole responsibility of Licensee, and the City shall not be liable to Licensee, or any other person or persons whatsoever for any such injury, loss, or damage to persons or property unless caused by the City's employees' or agents' sole negligence or willful misconduct. Licensee shall defend, indemnify, and hold the City, its officials, officers, directors, employees, consultants, agents, volunteers, successors, and assigns ("Indemnitees"), harmless from and against any and all claims, costs, liabilities, debts, demands, suits, actions, causes of action, proceedings, damages, judgments, liens, expenses, or obligations of whatever nature, including attorneys' fees and costs, all other professional costs, and all court, arbitration, or other dispute resolution costs (collectively "Costs") which may be made against Indemnitees arising out of or in connection with: (a) any use of the Property under this License, (b) any breach by Licensee of its obligations under this License; (c) the death and/or injury to any person or damage to any property (real or personal) which may be caused or is claimed to have been caused, by the negligence, act, or omission of Licensee, or Licensee's agents, employees, contractors, guests, invitees, or licensees; and (d) any enforcement by the City of any provision of this License. The foregoing indemnity shall not apply to the extent any such Costs are ultimately established by a court of competent jurisdiction to have been caused by the Indemnitees' sole negligence or willful misconduct. Licensee, upon notice from the City, shall defend the City at Licensee's expense by counsel satisfactory to the City. The provisions of this Section shall survive the expiration or termination of this License. c. Section 14 of the Agreement is amended to read as follows:
14. Waiver of Claims. As a material part of the consideration to be rendered to the City for this License, Licensee hereby waives any and all claims or causes of action against the City and each of its officials, officers, directors, agents, contractors, employees, and volunteers which Licensee may now or hereafter have for damages or theft of Licensee's property at or on the Property, except as may 5 arise from the sole and active negligence or willful misconduct of the City, its officials, officers, directors, agents, contractors, employees, or volunteers or from a known dangerous condition of public property as specified in Government Code section 835 et seq.
3. Governing Law. This Amendment and the rights and obligations of the Parties shall be governed by, and construed and interpreted in accordance with, the laws of the State of California.
4. Counterparts. This Amendment may be executed in any number of counterparts, each of which shall be deemed an original, but all of the separate counterparts shall constitute the same agreement.
5. All Other Provisions Remain Unchanged. Except as specifically set forth in this Amendment, all other terms and conditions of the Agreement shall remain unchanged and in full force and effect.
IN WITNESS WHEREOF, the Parties have caused this Amendment to be executed on the date written above.

FROM: MICHAEL OSBORN, CITY ENGINEER
VIA: CRISTIAN GONZALEZ, CITY MANAGER
SUBJECT: ACCEPTING THE DONATION OF LAND FROM WESTLANDS WATER DISTRICT AND
AUTHORIZING THE CITY MANAGER TO SIGN ALL DOCUMENTS NECESSARY FOR THIS
TRANSFER OF LAND
DATE: MAY 20, 2025
ISSUE
Shall the City Council adopt Resolution No. 25-28, accepting the donation of land from Westlands Water District and authorizing the City Manager to sign all documents necessary for this transfer of land?
BACKGROUND
Since 2019 the City of Mendota (“City”) has been in a continuous process of expanding and improving Rojas-Pierce Park (the “Park”), one of the City’s most valuable and widely used assets. The City currently has plans and funding for the addition of a new soccer field, a water tank and pump station, and the extension of Amador Avenue and Smoot Avenue onto land that is currently owned by Westlands Water District.
ANALYSIS
On July 23, 2019, the City adopted the Mitigated Negative Declaration (SCH# 2019069031) which studied the proposed improvement of this area and on December 15, 2020, the Westlands Water District Board of Directors approved donating 4.61 acres of land to the City. This transfer of land would extend City property out to the extension of Amador Avenue.
FISCAL IMPACT
There is no direct fiscal impact from the acceptance of the donated land by Westlands Water District. The City currently has construction documents and grant funding (CDBG, ARPA, CMAQ & STBG) to expand the Park and is facing the potential of losing those funds if the land is not acquired.
RECOMMENDATION
Staff recommends that the City Council adopt Resolution No. 25-28, accepting the donation of land from Westlands Water District and authorizing the City Manager to sign all documents necessary to complete the land transfer.

TO: HONORABLE MAYOR AND COUNCIL MEMEBERS
FROM: JEFFREY O’NEAL, AICP, CITY PLANNER
VIA: WYATT CZESHINSKI, AICP, ASSISTANT CITY PLANNER
SUBJECT: 6TH CYCLE HOUSING ELEMENT PROGRAMS ZONING TEXT AMENDMENT DATE: MAY 20, 2025
ISSUE
Shall the City Council waive the second reading of and adopt Ordinance No. 25-01, adding Chapter
17.42 (Housing Element Implementation Overlay District) to the Mendota Municipal Code (MMC), and finding that such action is exempt from the California Environmental Quality Act (CEQA) under CEQA Guidelines Section 15061(b)(3)?
BACKGROUND
On October 1, 2024, the Mendota City Council adopted Resolution No. 24-53, approving a General Plan Amendment adopting the City of Mendota 2023-2031 6th Cycle Housing Element (Housing Element). The Housing Element commits the City to accommodating housing for all socioeconomic levels within the city through the implementation of certain programs contained in the Housing Element. Program 5 (Annexation for RHNA) and Program 7 (Use of Sites in Previous Cycles) commit the City to amending the MMC after adoption of the Housing Element.
The Mendota Planning Commission, at its regularly scheduled meeting on April 22, 2025, adopted Resolution No. PC 25-01, recommending that the City Council adopts an ordinance amending the MMC to address the requirements of Program 5 and 7 of the City’s 6th Cycle Housing Element.
On May 6, 2025, the City Council introduced and waived the first reading of Ordinance No. 25- 01, but did not conduct a public hearing to consider adoption of the item at this City Council meeting. The City Council now wishes to conduct a public hearing and consider the Zoning Text Amendment for adoption.
ANALYSIS
Program 5 of the Housing Element states that the City shall “modify the zoning ordinance such that [sites used in the sites inventory requiring annexation] will permit owner-occupied and rental multifamily uses by right pursuant to Government Code section 65583.2(i) for developments in which 20 percent or more of the units are affordable to lower income”. Sites within the Housing Element subject to this requirement include Site 1 (Assessor’s Parcel Number [APN] 01305045S), Site 2 (APN 01306109S), Site 3 (APN 01305012S), and Site 4 (APN 01306109S).
Program 7 of the Housing Element states that for “any non-vacant sites identified in the prior 5th Cycle Housing Element or vacant sites identified in two or more consecutive planning periods 2 [the City shall provide] by-right development when at least 20 percent of the units in the proposed development are affordable to lower-income households”. Sites within the Housing Element subject to this requirement include Site 1 (APN 01305045S), Site 2 (APN 01219056ST), Site 3 (APN 01305012S), Site 4 (APN 01306109S), and Site 6 (APN 01220028).
In response to the requirement to amend the MMC based on these two Housing Element programs, a Zoning Text Amendment has been proposed by staff. The amendment would add a new chapter to the MMC called the “Housing Element Implementation Overlay District”. This new chapter will specifically reference the requirements of the two programs described herein, of which the City Council has already committed to through adoption of the Housing Element.
Codifying the requirements within the MMC will allow prospective developers to better access housing regulations established under the City’s Housing Element. Attachment 1, provided below, shows the sites inventory map included in the Housing Element, which shows the site numbers referenced above. The California Department of Housing and Community Development sent the City a letter on December 4, 2024, requesting a status update on the Zoning Text Amendment that the City committed to when it adopted the Housing Element (see Attachment 2). Should the City Council ultimately choose to not adopt the proposed Zoning Text Amendment, the City would risk falling out of compliance with State Housing Element Law.
ENVIRONMENTAL
The first step in complying with CEQA is to determine whether the activity in question constitutes a “project” as defined by CEQA, Public Resources Code Section 21000, et seq. and the CEQA Guidelines, California Code of Regulations, Title 14, Chapter 3, Section 15000, et seq. A “project” consists of the whole of an action (i.e., not the individual pieces or components) that may have a direct or reasonably foreseeable indirect effect on the environment. The second step is to determine whether the project is subject to or exempt from the statute. This proposal qualifies as a project under CEQA because it involves “an activity directly undertaken by any public agency including but not limited to public works construction and related activities clearing or grading of land, improvements to existing public structures, enactment and amendment of zoning ordinances, and the adoption and the amendment of local General Plans or elements thereof pursuant to Government Code Sections 65100-65700” as described in CEQA Guidelines Section 15378.
While amending the MMC qualifies as a “project” under CEQA, the project involves the addition of language to the MMC based on requirements of the adopted Housing Element and does not directly or indirectly approve any development. The project has no potential to result in a direct impact on the environment. As a result, because it can be seen with certainty that there is no potential for the project to impact the environment, the project is exempt from further environmental analysis pursuant to CEQA Guidelines Section 15061(b)(3). Therefore, the project is exempt under CEQA and a notice of exemption would be filed following project approval.
PUBLIC NOTICE
A Notice of Public Hearing was published in The Business Journal on May 9, 2025, and mailed to owners of the affected properties and owners of properties within 300 feet. It was also posted at City Hall and on the City’s website.
3 FISCAL IMPACT
The proposed Zoning Text Amendment has been funded using general fund dollars for staff time in drafting the City Council materials and text changes. While the project has been funded through the general fund, non-compliance with State Housing Element Law (which would result without adoption of the proposed Zoning Text Amendment) would result in penalties to the City that would significantly affect the City’s ability to obtain grant funding in the future.
RECOMMENDATION
Staff recommend that the City Council waive the second reading of and adopt Ordinance No. 25- 01, amending Title 17 of the MMC and finding that such action is exempt from CEQA.

RE: 6th Cycle Housing Element Update Rezone Requirements – Letter of Inquiry Dear Cristian Gonzalez:
The purpose of this letter is to inquire about the status of the City of Mendota’s (City) 6th Cycle Housing Element Implementation Program related to sites to accommodate the Regional Housing Needs Allocation (RHNA) pursuant to Government Code section 65585, subdivision (i). The California Department of Housing and Community Development (HCD) sent the City a letter on October 25, 2024 finding the City’s housing element in substantial compliance with Housing Element Law.1 This was based on, among other reasons, the City’s commitment to complete Program 5 (Annexation for RHNA) to address the RHNA shortfall of capacity and Program 7 (Use of Sites in Previous Cycles) to allow by-right processing of sites identified in previous housing elements pursuant to Government Code section 65583.2, subdivision (c) by December 31, 2024. HCD requests that the City provide an update on the status and timeline of implementation for Programs 5 and 7 by January 3, 2025.
Rezoning Requirements
Pursuant to Government Code section 65588, subdivision (e)(4)(C) if a local government fails to adopt a compliant housing element within 120 days of the statutory deadline (December 31, 2023), then any rezoning to make sites available to accommodate the RHNA shall be completed no later than one year from the statutory deadline.
2 As the City did not adopt a compliant housing element within 120 days of the statutory deadline, Programs 5 and 7 must be completed no later than one year from the statutory deadline.
Consequences of Failure to Implement Programs 5 and 7
1 Gov. Code, § 65580 et seq.
2 Gov. Code, §§ 65583, subd. (c), 65583.2, subd. (c).
Cristian Gonzalez, City Manager
Government Code section 65585, subdivision (i), grants HCD authority to review any action or failure to act by a local government that it determines is inconsistent with an adopted housing element or Housing Element Law. This includes failure to implement program actions included in the housing element. Failure to implement rezone actions in Programs 5 and 7 by the statutory deadline means the City’s housing element will no longer substantially comply with Housing Element Law, and HCD may revoke its finding of substantial compliance.
Various consequences may apply if the City does not have a housing element in compliance with Housing Element Law, including ineligibility or delay in receiving certain state funds, referral to the California Office of the Attorney General, court-imposed financial penalties, the loss of local land use authority to a court-appointed agent, and the application of the “builder’s remedy.”3
Conclusion
Housing elements are essential to developing a blueprint for growth and are a vital tool to address California’s prolonged housing crisis. Accordingly, state law has established clear disincentives for local jurisdictions that fail to comply with Housing Element Law.
To ensure the City continues to meet the 6th cycle update requirements for a substantially compliant housing element, the City must submit any adopted rezones and accompanying resolutions to HCD for review.
4 HCD will consider any written response before taking further action authorized by Government Code section 65585, subdivision (i), including issuance of a Corrective Action Letter and removal of HCD’s finding of housing element compliance.
HCD looks forward to receiving your written response to this inquiry. If you have any questions or would like to discuss the content of this letter, please contact Reid Miller from our staff at [email protected].
Sincerely,
Melinda Coy
