AMENDMENT NO. 1 TO AGREEMENT BETWEEN CITY OF MENIFEE AND TRAUMA INTERVENTION PROGRAMS, INC.
This is Amendment No. 1 (“Amendment No.1”) to that certain AGREEMENT BETWEEN CITY OF MENIFEE AND TRAUMA INTERVENTION PROGRAMS, INC. (“Agreement”) made on June 20, 2023 between the City of Menifee (“City”) and Trauma Intervention Programs of Riverside County, Inc. (“TIP”) which this Amendment No. 1 is made and entered into on ____________________ to correct a clerical error, increase the compensation amount, and extend the term of the Agreement.
1. Capitalized terms used but not defined in this Amendment No. 1 shall have the meanings ascribed to them in the Agreement.
2. City and TIP acknowledge that the Agreement was mistitled “AGREEMENT BETWEEN COUNTY OF RIVERSIDE AND TRAUMA INTERVENTION PROGRAMS, INC.” City and TIP agree that the title of the Agreement shall be amended to read “AGREEMENT BETWEEN CITY OF MENIFEE AND TRAUMA INTERVENTION PROGRAMS, INC.”
3. Section 2, “Compensation for Services” is amended to read as follows:
The City of Menifee agrees to pay TIP a maximum amount of $13,565 (113,045 population x 12¢) for the period from July 1, 2023 to June 30, 2024, and a maximum amount of $13,856.04 (115,467 population x 12¢) for the period from July 1, 2024 to June 30, 2025 for the services to be performed hereunder. The City of Menifee agrees to pay all undisputed amounts due on or before July 1 for each fiscal year this Agreement is effective unless some other method of payment is mutually agreed to in writing.
4. Section 8, “Term” is amended to read as follows:
This Agreement shall continue through the 30th day of June, 2025 unless earlier terminated in accordance with Section 7.
5. All other terms and conditions of the Agreement remain in full force and effect.
6. This Amendment No. 1 may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement. (Signatures on Following Page)
