CITYWIDE TREE TRIMMING AND MAINTENANCE SERVICES
This is Amendment No. 4 (“Amendment No. 4”) to that certain Contract Services Agreement (“Agreement”) made on January 18, 2023 between the City of Menifee (“City”) and WEST COAST ARBORISTS, INC, a California Corporation (“Contractor”) for CITY OF MENIFEE CITYWIDE TREE TRIMMING AND MAINTENANCE SERVICES as amended by that certain Amendment No.1 to the Agreement entered into on July 20, 2023 (“Amendment No. 1”), as amended by that certain Amendment No.2 to the Agreement entered into on March 22, 2024 (“Amendment No. 2”), and as amended by that certain Amendment No.3 to the Agreement entered into on May 20, 2024 (“Amendment No. 3”), which this Amendment No. 4 is made and entered into on ______________, 2024 to extend the term of service, increase the scope of work, and increase the compensation amount as indicated below:
1. Capitalized terms used but not defined in this Amendment No. 4 shall have the meanings ascribed to them in the Agreement.
2. Section 3.5, “Term” is amended to read as follows:
3.5 Term. The term of this Agreement shall begin on the January 18, 2023. Unless earlier terminated in accordance with Article 7 of this Agreement, this Agreement shall end on June 30, 2025, whichever is later.
3. SECTION 2.1, “Contract Sum” is amended to read as follows, increasing the contract amount by: ONE HUNDRED SEVENTY SIX THOUSAND FOUR HUNDRED TWO DOLLARS AND ZERO CENTS ($176,402.00).
SECTION 2.1 Contract Sum.
Subject to any limitations set forth in this Agreement, City agrees to pay Contractor the amounts specified in the Scope of Services and incorporated herein by this reference. The total compensation, including reimbursement for actual expenses, shall not e xceed SIX
HUNDRED THIRTY FIVE THOUSAND SIX HUNDRED FORTY ONE DOLLARS AND TWENTY CENTS ($635,641.20) (the “Contract Sum”), unless additional compensation is approved pursuant to Section 1.10.
4. Exhibit B, “Scope of Services” is supplemented to include the supplement attached as Exhibit A hereto. The supplement to the “Scope of Services” is not intended to replace the original Exhibit B to the Agreement, but instead to augment and increase the sco pe of work listed in the original Exhibit B to the Agreement. The initial paragraph of the original Exhibit B, “Scope of Services”, to the Agreement is amended to read as follows:

Contractor shall provide City -Wide Tree Trimming and Maintenance Services in the amount not to exceed SIX HUNDRED THIRTY FIVE THOUSAND SIX HUNDRED FORTY ONE DOLLARS AND TWENTY CENTS ($635,641.20) as further detailed in the following page(s).
5. Exhibit C, “Schedule of Performance” to revised to read in its entirety as follows:
The services to be performed pursuant to this Agreement are to be completed on a timely basis, with an estimated completion date of no later than the date set forth in Section 3.5 above.
6. All other terms and conditions of the Agreement remain in full force and effect.
7. This Amendment No. 4 may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement.
