CIP 24-01 CITYWIDE TRAFFIC SIGNAL SAFETY IMPROVEMENT (DESIGN SERVICES) (PRELIMINARY ENGINEERING PHASE)
This is Amendment No. 1 (“Amendment No. 1”) to that certain Professional Services Agreement for CIP 24 -01 Citywide Traffic Signal Safety Improvement (Design Services) (Preliminary Engineering Phase) (“Agreement”) made on May 15, 2024 between the City of Menifee (“City”) and Kimley-Horn and Associates, Inc. (“Consultant”), which this Amendment No. 1 is made and entered into on _________________ to correct an error in the original Agreement.
1. Capitalized terms used but not defined in this Amendment No. 1 shall have the meanings ascribed to them in the Agreement.
2. The Parties agree that the Disadvantaged Business Enterprises (DBE) participation goal) listed in Exhibit “B” to the Agreement was erroneously listed as twenty percent (20%) instead of twenty-two percent (22%). Accordingly, Section B of Article XVIII of Exhibit “B” to the Agreement is revised to read in its entirety as follows:
The goal for DBE participation for this AGREEMENT is twenty -two percent ( 22%).
Participation by DBE CONSULTANT or subconsultants shall be in accordance with information contained in Exhibit 10- O2: Consultant Contract DBE Commitment, to the Local Assistance Procedures Manual prepared by Caltrans. If a DBE subconsultant is unable to perform, CONSULTANT must make a good faith effort to replace him/her with another DBE subconsultant, if the goal is not otherwise met.
3. All other terms and conditions of the Agreement remain in full force and effect.
4. This Amendment No. 1 may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement. (Signatures on Following Page)
