This is Amendment No. 8 (“Amendment 8”) to that certain Professional Services Agreement (“Agreement”) made on April 16, 2014 between the City of Menifee (“City”) and T.Y.
LIN INTERNATIONAL (“Consultant”) for ENVIRONMENTAL AND CIVIL ENGINEERING DESIGN SERVICES ON THE HOLLAND RD/I-215 OVERCROSSING PROJECT, CIP #13-03 as amended by that certain Change Order to the Agreement entered into on April 14, 2016 (“Amendment No. 1”), as amended by that certain Amendment No. 2 to the Agreement entered into on July 18, 2018 (“Amendment No. 2”), as amended by that certain Amendment No. 3 entered into on May 1, 2019 (“Amendment No. 3”), as amended by that certain Amendment No. 4 entered into on September 1, 2021 (“Amendment No. 4”), as amended by that Amendment No. 5 entered into on May 4, 2022 (“Amendment No. 5”), as amended by that certain Amendment No. 6 entered into on October 11, 2023 (“Amendment No. 6”), as amended by that certain Amendment No. 7 entered into on November 20, 2024 (“Amendment No. 7”), which this Amendment No. 8 is made and entered into on ______________, 2025 to extend the term of the Agreement as indicated below:
1. Capitalized terms used but not defined in this Amendment No. 8 shall have the meanings ascribed to them in the Agreement.
2. Section 1.1, “Term of Services” is amended to read as follows:
1.1 Term of Services. The term of this Agreement shall begin on the April 16, 2014 and shall end on December 31, 2025 unless the term of the Agreement is otherwise terminated or extended as provided for in Section 8. The time provided to Contractor to complete the services required by this Agreement shall not affect the City's right to terminate the Agreement, as provided for in Section 8.
3. All other terms and conditions of the Agreement remain in full force and effect.
4. This Amendment No. 8 may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement.
